Hackenberger, of Rye Township, Perry County, Pennsylvania, being of sound and disposing mind, memory and understanding, do hereby make, publish and declare this as my Last Will and Testament as follows: 1. I direct my hereinafter named Executor to pay my just debts, funeral expenses and costs of administration of my estate as soon as possible and convenient after my death. 2. I direct my hereafter named Executor to pay out of the corpus of my estate, all state inheritance taxes and federal estate taxes, if any be due, which may be assessed by reason of my death on property passing under this my Last Will and Testament, or on property passing to any person or persons by reason of joint ownership thereof, such as certificates of deposit, savings bonds, etc. to the intent and effect that no person shall be required to~ personally pay any Pennsylvania inheritance tax or federal tax thereon. 3. I give, devise and bequeath all the rest, residue and remainder of my property, both personal and real of whatever nature and wheresoever situate t~ my husband, Leo Hackenberger, provided he survives ~y th~ty~ 4. Market Data approach: Compares the qualities of the subject item to an article with similar or identical qualities, and researches and records current verifiable sales of such merchandise. Cost approach: Establishes the total value of an item by considering the value of its component parts (precious metal content, gemstone weights and qualities, labor, and any other fees) together with the appropriate retail markup according to the norms of the jewelers in the locale, supply and demand, and the current state of the marketplace. Page 2 of7 Fair Market Value is estimated using the market data approach. Neither the income approach nor the cost approach apply in establishing Fair Market Value. However, the cost approach to value was used to check on the reasonableness or market values found. Market To value an item a market (and market level) must be recognized. The most appropriate market for jewelry can vary depending upon the article's age, condition, quality, intrinsic content, aesthetic appeal, provenance, current fashion trends, artistic interpretation, period of manufucture among others. The type of retail outlet that most commonly carries the items being appraised is considered to be the most appropriate market. However, the auction market was also considered as another appropriate market in establishing Fair market Value for this type of jewelry. Limiting Conditions The jewelry described within has been analyzed and graded in accordance with prescribed grading standards using "state of the art" methods and precision laboratory equipment. Jewelry constructed solely of, or in combination with, precious metals (i.e. platinum, palladium, yellow or white gold and/or silver) is tested, analyzed and described for its type and content of such metal. Unless otherwise stated, all gemstone weights, grades and measurements are approximate and stones have not been removed from their mountings. Diamonds are graded with the prescribed grading nomenclature of the Gemologicallnstitule of America (GIA) and the use of pre-graded permanent master diamond color comparison stones. Colored stones are color graded with the use of the GIA Gem Set color grading system. Unless otherwise stated, all colored stones listed on this appraisal report have probably been subjected to various treatments to improve their appearance. Treatments are considered usual and customary practices when properly disclosed and when done without intent to defraud the consumer. The treatments are mostly stable and do not require special care. When a treatment is detected and considered unusual it will be so noted by this appraiser. Some treatments are reversible and re-treatable. It may be beyond the scope of an appraisal to determine exact treatment methods or the amount of treatment present. HACKENBERGER, as ExeCUlor~~flhe Estate of Victoria V. Hackenberger and as Guardian for Victoria V. Hackenberger, AND WILLIAM C. HACKENBERGER, RICHARD R. HACKENBERGER, and DANIEL L. HACKENBERGER (hereinafter "Beneficiaries"). WITNESSETH: WHEREAS, on September 16, 2002, Daniel L. Hackenberger became successor plenary Guardian of Victoria V. Hackenberger, and the aforesaid Guardian filed on January 27,2005 (for the period September 16, 2002 through December 31,2004) a full report and accounting of his Guardianship, with copies of same sent to Beneficiaries; WHEREAS, Victoria V. Hackenberger ("Decedent") died on December 1, 2004, having first made and published her Last Will and Testament dated February 25, 1998, in which she named Daniel L. Hackenberger as Executor (hereinafter "Executor"). A copy of said Will was previously distributed to the Executor and Beneficiaries; and, WHEREAS, on December 30,2004 said Will was duly probated by the Register of Wills of Cumberland County, Pennsylvania, and Letters Testamentary granted thereon to Daniel L. Hackenberger, as Executor; and G WHEREAS, the Executor has proceeded with the administration of the Estate of Victoria V. Hackenberger (hereinafter "Estate"), prepared and filed a Pennsylvania Inheritance Tax Return which was approved, and prepared a Summary of Account ("Summary") (i.e., a tentative First and Final Account) and Proposed Schedule of Distribution (hereinafter collectively "the Documents"), which were not filed. A true and correct copy of the Documents accompany but are not attached to this Agreement to maintain privacy interests of the parties, when solely this Agreement is filed. WHEREAS, in the interest of time and expense, the Beneficiaries agree that the Executor shall not be required to file a First and Final Account and Schedule of Distribution with the Orphans' Court of Cumberland County and that the net estate of the decedent shall be distributed in accordance with the Proposed Schedule of Distribution without the necessity of a formal filing, such distribution pursuant to the terms of this Agreement to have the same force and effect as if it had been filed and confirmed by the Orphans' Court. NOW THEREFORE, the parties hereto, intending to be legally bound hereby and in consideration of One Dollar ($1.00) and other valuable consideration, mutually agree as follows: 1. The Beneficiaries, and each of them, agree that the Executor not be required to file a First and Final Account and Petition for Distribution with the Orphans' Court, acknowledging that they have received and fully and carefully examined the Documents and that they find all of such to be true and correct, and acceptable to the parties hereto and each of them. 2. The Beneficiaries shall and do hereby release, remise and forever discharge the Estate of Victoria V. Hackenberger, Daniel L. Hackenberger, as Guardian and as Executor, Howard B. Krug, Esquire, and the law firm of Purcell, Krug & Haller, jointly and severally, as well as their respective heirs, partners, employees, agents, successors, and assigns, of and from all manner of acts, suits, claims, accounts, accountings, debts, dues and demands whatsoever which they or any of them or their legal representatives, heirs, successors, or assigns may at any time hereafter have, from, touching upon, or concerning any aspect of Victoria V. Hackenberger or the Estate, including but not limited to: governmental filings and taxes paid; any claim or interest of, in, or to the Estate; or assets of Decedent; the administration of the Estate or guardianship; the preservation, retention, repair, improvement, management, collection, sale or distribution of any Estate or guardianship assets; the receipt by the Estate or guardianship of any asset, interest or item of income; and the assets sold or proceeds paid out of the Estate or guardianship to satisfy any debt from the date of death of the guardianship through the date of death of the Decedent to and including the date of this Agreement. 3. The Beneficiaries further shall and do hereby indemnify, defend and hold harmless from all losses, costs, taxes, and expenses, including counsel fees to defend against any claim, Daniel L. Hackenberger, as Executor and as Guardian, Howard B. Krug, Esquire and the law firm of Purcell, Krug & Haller, jointly and severally, including their respective heirs, partners, employers, agents, successors and assigns, from any claim, action, liability, or demand asserted by any person, firm, corporation, government agency, department or other entity with respect to or concerning the Estate or guardianship, directly or indirectly. 4. In the event any tax or other liability arises against the Estate or Guardian after the signing of this Agreement, the Beneficiaries shall be solely and equally responsible for satisfying same, including but not limited to any and all income, gift, estate and inheritance taxes, liabilities, creditors, claims, demands, suits and causes of action which may be successfully prosecuted, assessed or awarded against the Estate or Decedent during the guardianship. 5. Notwithstanding the two immediately preceding paragraphs, the total obligation of each Beneficiary under the said two paragraphs shall be limited to the amount received by him pursuant to the Proposed Schedule of Distribution: $61,215.12. Further, each Beneficiary shall be required to contribute an equal, pro-rata share in the case of any such payment obligation. Compliance with both of the provisions stated in this paragraph shall be a condition precedent to the making by the Beneficiaries of any payment required by the preceding two paragraphs. 6. Neither William C. Hackenberger, nor Richard R. Hackenberger shall have any financial obligation under this Agreement for any payment resulting from any intentionally wrongful or grossly negligent act of the Guardian or of the Executor. 7. Daniel L. Hackenberger shall make no claim for any Guardian's fee or expense or Executor's fee or expense, unless the claim is: (1) for an amount expressly claimed or reserved in the Summary of Account, or (2) otherwise expressly provided for in this Agreement. 8. This instrument is a full and final Family Settlement Agreement by and among the parties hereto, both fiduciary and individual, all of the same having been arrived at, concluded and executed after a full and complete disclosure of the assets, debts, and expenses of the Estate and the guardianship to the full satisfaction of the parties, and each of the parties agrees to all the terms of this Family Settlement Agreement. 9. The parties hereto, and each of them, agree that they will at all times in the future, whenever necessary, make, execute and deliver to the Executor, or to any other person authorized by the Executor, any and all instruments, documents, conveyances, deeds, releases or other instruments of any kind needed to carry out the terms and intention of this Agreement or to permit, assist or enable the Executor to fulfill his duties with reference to the '11l-~~ Estate and all of the assets thereof. This Paragraphj sn~~lso accrue to benefit the Guardian. 10. This Agreement constitutes the entire understanding among the parties hereto, and each of them acknowledge that no representations or statements of any kind, written or oral, have been made to them or any of them prior to the date of this Family Settlement Agreement by the Executor, the Guardian, or by any other person acting upon their behalf not stated in this Agreement. In any event, the terms of this Agreement shall supercede any prior verbal or written representations or statements. 11. This Agreement shall enure to the benefit of and shall be binding upon the parties hereto, and each of them, as well as their respective heirs, executors, administrators, successors and assigns. 12. A modification or waiver of the provisions of this Agreement shall be effective only if made with the same formality as this Agreement. The failure of any party to insist upon strict performance of the provisions of this Agreement shall not be construed as a waiver of any subsequent default of the same or similar nature. 13. The Beneficiaries have been advised and understand that each has the right to have this Agreement, Summary and Schedule of Distribution reviewed by an attorney of his choice, and each has either done so prior to the signing of this Agreement or waived the right to so do. Richard R. Hackenberger has been represented by James Cameron, Esquire throughout the administration of the Estate and has reviewed the terms of this Agreement and the Documents. 14. This Agreement shall be construed, interpreted and covered by the laws of the Commonwealth of Pennsylvania, and where such law is inconsistent, the terms of this instrument shall govern. 15. The original signature page and notarization on the respective agreements of each Beneficiaries may be removed and attached by the Executor to a single, identical Agreement to be filed with the Court, avoiding the filing of three (3) individual copies of the Agreement. The Documents need not be filed by the Executor with the Orphans' Court, absent demand by a Beneficiary.
