I, Mary Jo Meyer, now of Carlisle, Cumberland County, Pennsylvania, do hereby
Make, publish and declare this to be the First Codicil to my Last Will and Testament dated
April 7, 2006,
ITEM 1. The following paragraph replaces Item 2 and is added to Page 1 of
the aforesaid Last Will and Testament:
ITEM 2. 1 devise and bequeath my residence located at 225
Touchstone Drive, Carlisle, Cumberland County, Pennsylvania to Ann Uzupis and Linda
Uzupis, jointly or to the survivor of them.
In the event that Ann Uzupis or Linda Uzupis fail to
survive me, I devise and bequeath said residence to my brother, Philip Dangelo, pursuant
to the Trust established for his benefit in Item 6 below.
ITEM 2. In every other respect, I hereby confirm and republish my Last Will
and Testament dated April 7, 2006.

1, Mary Jo Meyer, of Lower Paxton Township, Dauphin County, Pennsylvania,
being of sound and disposing mind, memory and understanding, do hereby make, publish
and declare this as and for my Last Will and Testament, hereby revoking any and all prior
Wills and all Codicils made by me at any time heretofore.
ITEM 1. 1 direct that all my just debts and funeral expenses, and all expenses
of my last illness, shall be paid from my residuary estate as soon as practicable after my
decease as a part of the expense of the administration of my estate. My gravemarker and
perpetual care have been pre-paid.
ITEM 2, 1 devise and bequeath my residence located at 4707 Danbury Road,
Lower Paxton Township, Dauphin County, Pennsylvania to Ann Uzupis and Linda
Uzupis, jointly or to the survivor of them.
In the event that Ann Uzupis or Linda Uzupis fail to survive me, I
devise and bequeath said residence to my brother, Philip Dangelo, pursuant to the Trust
established for his benefit in Item 6 below.
f ITEM 3, All framed art in my estate shall be distributed to the Allied Artists of
Schuylkill County, now in Pottsville, Pennsylvania.

ITEM 4. 1 devise Twelve Thousand and 001100($12,000.00) Dollars to endow
the existing Eric J. Meyer Scholarship, which I have set up during my life at the North
Schuylkill School District.
ITEM 5. 1 devise and bequest the following specific amounts to the following
named Beneficiaries, on the condition that my residuary estate, after the devises and
bequests stated in this paragraph and the paragraphs preceding this one, is at least One
Hundred Fifty Thousand and 00/100 ($150,000.00) Dollars. If my residuary estate falls
below One Hundred Fifty Thousand and 00/100 ($150,000.00) Dollars, I direct that each
of the following bequests be proportionately reduced until the residuary estate remaining
after the said bequests is no less than One Hundred Fifty Thousand and 00/100
($150,000.00) Dollars. Subject to the reduction set forth herein above, I devise and
bequeath the following sums to the following named individuals:

and Cindi Meyer, brother and sister-in-law of my late husband, Eric Meyer, now of Elicott

wherever situate, shall be held in trust for the benefit and care of my brother, Philip
Dangelo, now of Harrisburg, Pennsylvania.

(a) During the lifetime of Philip Dangelo, to the extent that benefits are
not made available to Philip Dangelo for other than basic living expenses, including food
and shelter, Trustee, in its absolute discretion, may distribute from income and principal
to or for the benefit of Philip Dangelo, for his needs other than basic support. For the
purposes of this provision, non-support purchases include, but are not limited to: travel;
entertainment; radios, telephone and television, including cable television; gifts for family
members; spending money; movies; additional food and clothing; dental care;
unreimbursable medical expenses,including plastic and reconstructive surgery,diagnostic
work and treatment, rehabilitative training and experimental medical services; the
differential in cost between shelter for a shared and private group home or room;
supplemental nursing care; recreation, cultural experiences, outings and travel, including
payment for other to accompany my beneficiary; reading and educational materials;
exercise equipment; and unreimbursed therapy. Trustee's discretion in making
distributions authorized hereunder, is absolute, full and complete with regard to
distributions from the trust estate, and shall be binding on all interested persons. If
possible, Trustee shall make distributions directly to the service provider and not to my
disabled brother.
As this trust is specifically not intended to provide basic support and
maintenance needs for Philip Dangelo. If Philip Dangelo is unable to maintain and
support himself from his own resources and sources of income, Trustee shall seek such

support for Philip Dangelo from public sources. The trust has specifically not been
created to supplant or replace public assistance benefits. Trustee should, therefore, seek
entitlements which are available to members of the community who are experiencing
disabilities that are substantially similar to those that Philip Dangelo experiences. Trustee
shall deny any request made by any agency or governmental entity requesting
disbursement of trust funds to satisfy Philip Dangelo's support needs.
Trustee shall take whatever legal steps may be necessary to initiate or
continue public assistance programs for which Philip Dangelo is or may be eligi le.
(b) On the death of Philip Dangelo,the then-remaining principl and any
accumulated interest shall be paid and distributed as follows:
The first Ten Thousand and 00/100($10,000.00)Dollars remaining from said
trust shall be given, as an endowment, to the existing Eric J. Meyer Scholarship at the
North Schuylkill School District. Thereafter, the next Ten thousand and 00/100
($10,000.00) Dollars shall be given as an unrestricted gift to the Bethesda Mission, now
of Harrisburg, Pennsylvania, or its successor. The rest, residue and remainder of said trust
shall be distributed as an unrestricted gift to the Multiple Sclerosis Society, Harrisburg
Chapter, or its successor.
ITEM 7. 1 appoint Morgan Stanley Trust, F.S.B., of Harrisburg, Pennsylvania
as Trustee of any property which passes, either under this Will or otherwise, for the benefit
of my brother, Philip Dangelo, now of 5669 Chambers Hill Road, Harrisburg,

Pennsylvania, and with respect to which I am authorized to appoint a Trustee and have not
otherwise specifically done so, provided that this appointment of a Trustee should not
supersede the right of any fiduciary in its discretion to distribute a share where possible to
my brother or for his benefit.
ITEM 8. Ali Federal, State and other Death Taxes payable because of my
death, with respect to the property forming my estate for tax purposes, whether or not,
passing under this Will, including any interest or penalty imposed in connection with such
tax, shall be considered a part of the expense of the administration of my estate and shall
be paid from my residuary estate without apportionment or right of reimbursement. All
such taxes on present or future interest shall be paid at such time or times as my Executor
thinks proper, regardless of whether such taxes are then due.
ITEM 9. The interest of any Beneficiaries hereunder or in any Trust created
hereunder, shall not be subject to anticipation or to voluntary or involuntary alienation.
ITEM 14. My Executor, Trustee and Guardian shall have the following powers
in addition to those vested in them by law and by other provisions of my Will applicable to
all property, whether principal or income, including property held for minors, exerciseabie
without Court approval, and effective until actual distribution of all property:
(a) To retain any and all of the assets of my estate, real or personal,
including any shares of stock or other securities that I own of a corporate fiduciary or its
successor, or of a holding company controlling the corporate fiduciary or its successor,

without restriction to investments authorized for Pennsylvania fiduciaries, as they deem
proper, without regard to any principal or of diversification or risk.
(b) To invest in all forms of property(including stock or other securities of
the corporate fiduciary or its successor, or of a holding company controlling the corporate
fiduciary or its successor, and common trust funds and mortgage investment funds,
whether retained by my corporate fiduciary or its successor or others), without restriction
to investment authorized for Pennsylvania fiduciaries,asthey deem proper,without regard
to any principal or of diversification or risk.
(c) To sell at public or private sale, to exchange, or to lease for any
period of time, any real or personal property and to give options for sales, exchanges or
leases, for such prices and upon such terms or conditions as they deem proper.
(d) To allocate receipts and expenses to principal and income or partly
to each as they from time to time think proper.
(e) To borrow from, or to sell to, my Trustee.
ITEM 11. 1 nominate, constitute and appoint Linda Uzupis, as Executrix of this,
my Last Will and Testament. In the event of the renunciation, death or resignation or
inability to act for any reason whatsoever of Linda Uzupis, I hereby nominate, constitute
and appoint, Ann Uzupis, as Successor Executrix of this, my Last Will and Testament.
ITEM 12. 1 direct my Executor, Trustee and Guardian shall not be required to
give bond for the faithful performance of their duties in any jurisdiction.
