THIS AGREEMENT by and between PAMELA K. FRAZIER, individually and
as Executrix of the Estate of PEGGIE K. DICK, Deceased, and BRIAN J. SMITH, of
New Cumberland,Cumberland County,Commonwealth of Pennsylvania.
WHEREAS, PEGGIE K. DICK, who resided at Bethany Village, 313 Asbury Dr.,
Mechanicsburg, Cumberland County, Pennsylvania 17055, died testate on August 16,
2011,having left her Last Will and Testament dated November 1,2005,and
WHEREAS, PAMELA K. FRAZIER was duly appointed as Executrix of the
Estate of PEGGIE K. DICK, Deceased, by Letters Testamentary granted on August 31,
2011,and
WHEREAS, the estate was advertised in the The Patriot News — Metro West
Legals on October 14, October 21, and October 28, 2011, and in the Cumberland Law
Journal on October 21, October 28, and November 4, 2011, (see Exhibits F-1 and F-2),
and

WHEREAS,the Parties in interest under the Last Will and Testament of PEGGIE
K.DICK,Deceased,are:
(1)PAMELA K.FRAZIER,friend and Executrix
(2)BRIAN J. SMITH,godson,adult;and
WHEREAS, PAMELA K. FRAZIER is entitled to "my two carat solitaire ring
with diamond chips in the band surrounding the diamond worn on my left hand"; "the
remainder of my personal property"; and a seventy-five percent (75%) distributive share
of the residuary estate;and
WHEREAS, BRIAN J. SMITH is entitled to a twenty-five percent (25%)
distributive share of the residuary estate;and
WHEREAS,the rings listed under Articles H-A and H-C of the will bequeathed to
KAREN LESARGE and STEPHYNE HAYS, respectively, were distributed prior to
decedent's death, in 2006 and 2007, respectively, as evidenced by decedent's
handwritten comments on her Will, which was accepted by Decree of the Register of
Wills dated August 29, 2011, (see Exhibit E-1), and by letters from Executrix to KAREN
LESARGE and STEPHYNE HAYS, notifying them that these rings were distributed
prior to decedent's death(see Exhibits E-2-1&2 and E-3-1&2),and
WHEREAS, each of the parties to this Agreement has been furnished with a
complete listing of the estate assets, receipts and disbursements as set forth on the
Accounting as attached hereto and marked as Exhibit A; and
WHEREAS, it is the desire of the parties to this Agreement that final distribution
of this estate be accomplished without a formal accounting to the Orphans' Court
Division of the Court of Common Pleas of Cumberland County, it being the desire of the
parties to avoid the expense,delay and publicity of a formal accounting; and
WHEREAS, the parties to this Agreement each acknowledge to have received a
proposed Schedule of Distribution attached hereto and marked as Exhibit B; and

WHEREAS, each of the parties to this Agreement does acknowledge to have
received, from the Executrix, sums as advanced distributions evidenced by Receipt,
Release and Refunding Agreements which are attached hereto and marked as Exhibits C-
1, C-2,C-3,C-4,C-5,C-6 and C-7,as follows:

NOW, THEREFORE, WITNESSETH, in consideration of the mutual promises,
covenants and agreements recited herein,the parties do agree as follows:
1. Each of the parties to this Agreement does hereby release and forever
discharge PAMELA K. FRAZIER, Executrix, from any and all liability which
may from time to time arise in connection with her service as Executrix of the
Estate of PEGGIE K. DICK, Deceased. The parties do further agree to
indemnify and hold harmless said PAMELA K. FRAZIER, Executrix, from
any and all liability which may arise against the estate from creditors or other
claimants.
2. Each of the parties does hereby acknowledge receipt of the assets described on
the Memorandum of Distribution attached hereto and marked as Exhibit D.
3. Each party to this Agreement acknowledges that this Agreement shall be
indexed and recorded in the estate proceedings and that the terms hereof shall
be binding upon their respective heirs,successors,administrators,and assigns.
4- This Agreement shall be governed by the laws of the Commonwealth of
Pennsylvania.

Will and Testament,which is dated November 1,2005,and containing certain modifications thereon,the
Register of Wills having given consideration thereto,has made an official determination regarding those
modifications and renders the following decision:
IT IS DECREED that the instrument be admitted to probate as The Last Will and Testament of
Peggie K.Dick with the following modifications.
1. The handwritten interlineation,"Ring was given to her 2006"of ARTICLE II,(A)is not admitted to
probate as it is unsigned.
2. The obliteration of the word"STEPHYNE HAYS"of ARTICLE U,(C)and the modification to include
the handwritten sentence,"decided to give this ring to Lynn McNaughten cause I gave Debi,Faith&
Stephyne a diamond years ago,&Stephyne has diamonds&Lynn does not—Fall of 2007',are admitted
