COMPLAINT
AND NOW, comes Plaintiff, John Gross & Company, Inc., by and through its attorneys,
MARTSON DEARDORFF WILLIAMS & OTTO, and hereby avers as follows:
I. Plaintiff, John Gross & Company, Inc., is a Pennsylvania corporation with a principal
place of business at 400 Cheryl A venue. Mechanicsburg, Cumberland County, Pennsylvania.
2. Defendant Henry Greenawalt, Jr., is an adult individuals residing at 476 Nottingham
Drive, Chambersburg, Pennsylvania, who trades and does business as H. Greenawalt & Associates
Food Service Management and Consulting.
3. Defendant H. Greenawalt & Associates, LLC, is a business entity located at 476
Nottingham Drive, Chambersburg. Pennsylvania.
4. On June 9, 2003, Plaintiffreceived a credit application signed by Henry Greenawalt.
Jr., as owner of a sole proprietorship known as H. Greenawalt & Associates Food Service
Management and Consulting. Henry Greenawalt, Jr., signed a personal guaranty as part of the credit
application. A copy of the credit application is attached hereto as Exhibit A.
5. On December 1. 2003, Defendant Henry Greenawalt, Jr., formed a Pennsylvania
Limited Liability Company called "H. Greenawalt & Associates, LLC."
6. Pursuant to the credit application, Defendants doing business interchangeably as the
sole proprietorship and the limited liability company requested that Plaintiff provide goods and
services to them.
7. In 2004, Plaintiff provided goods and services to Defendants having a total value of
$265,699.82.
8. Defendants have made payments for these goods and services to the Plaintiffs place
of business in Cumberland County totaling $160,392.27.
9. As of December 30, 2004, there was an outstanding balance on Defendants' account
of$I05,307.55, including interest at 1.5% per month on past due amounts aged over 30 days as
agreed to in paragraph 2 of the Credit Application attached hereto as Exhibit "A."
10. The credit application clearly indicates that John Gross & Company, Inc. is located
in Cumberland County, Pennsylvania, and all payments made by Defendants on the account were
received in Cumberland County, Pennsylvania, under the agreement between the parties.
II. The credit application indicates that Plaintiff is entitled to reasonable attorney's fees
and costs if the account is turned over for collection.
12. Despite repeated demand. no payment has been made by the Defendants for amounts
due.
COUNT 1 - BREACH OF CONTRACT
13. Plaintiff hereby incorporates by reference the averments contained in paragraphs I
through 12 as if fully set forth.
14. Defendants have breached an expressed or implied a!,'Teement, directly or through
agents, to pay for the goods and services provided under the credit agreement.
WHEREFORE, Plaintiff, John Gross & Company, Inc., demands judgment against the
Defendants in the amount of$105.307.55, plus attorneys fees and costs.
COUNT II - QUANTUM MERUIT
15. Plaintiff hereby incorporates by reference the averments contained in paragraphs 1
through 14 as if fully set forth.
16. The Defendants are liable to the Plaintiff and/or have been unjustly enriched in the
amount of $1 05,307.55
WHEREFORE, PlaintitT demands judgment against Defendants III the amount of
$105,307.55, plus costs and attorneys fees.

NOW comes Defendants Henry Greenawalt, Jr., t1d/b/a H. Greenawalt &
Associates Food Service Management & Consulting, Henry Greenawalt, Jr. and H.
Greenawalt & Associates, LLC by and through their attorneys, Graham & Graham, and
moves for the following:
I. Defendant Henry Greenawalt, Jr. was involved in a traffic accident on July
21, 2005, which resulted in injuries requiring emergency transport via helicopter to
Hershey Medical Center.
2. After his discharge from the hospital, Mr. Greenawalt's physician ordered
him to remain home, allowing travel outside his home for medical appointments only.
3. Mr. Greenawalt has eye surgery related to his injuries scheduled for
Wednesday, August 23,2005.
4. Mr. Greenawalt cannot see to read and his ability to assist in preparation
for trial has been significantly diminished as a result of his injuries.
5. Mr. Greenawalt's medical condition is stilI such that sitting for a trial
scheduled for Thursday, September 1,2005 would be a physical hardship for him.
6. Opposing counsel, Carl C, Risch, Esquire was consulted regarding the
instant motion and does not object to this request for a continuance.
WHEREFORE, Defendants request the Honorable Court continue the
proceedings and schedule a trial at a later date.

PLAINTIFF'S UNCONTESTED MOTION FOR CONTINUANCE OF TRIAL
AND NOW, comes Plaintiff, John Gross & Company, Inc., and moves as follows:
1. On August 25, 2005, this Court scheduled a non-jury trial for October 17, 2005, at
1:00 p.m.
2. On October 11,2005, counsel to Plaintifneamed that Defendant Henry Greenawalt
is seeking, or has sought, protection from the United States Bankruptcy Court for the Middle District
of Pennsylvania as a debtor.
3. Plaintiff believes that Defendant's bankruptcy filing will result in an automatic stay
of Plaintiff's lawsuit against the Defendants.
4. Counsel to Defendants concurs in this Motion and has indicated that he will be filing
a "suggestion of bankruptcy" in due course.
WHEREFORE, Plaintiff requests that the trial be continued until re-listed by one of the
parties and that this matter be stayed generally.
