I, FRANCES S . NICHOLAS, of the Township of Forks ,
County of Northampton, and Commonwealth of Pennsylvania, being
of sound mind, memory, and understanding, do make, publish,
and declare this to be my Last Will and Testament, hereby
revoking all wills and codicils at any time heretofore made
by me .
FIRST: I direct my Executrix hereinafter named to
pay all my just debts and funeral expenses as soon as is,^con-

SECOND: Any condominium or other residence wlfPch I
may own at the time of my death and which may have been owned
jointly prior thereto by my husband, Thomas E . Nicholas , and
me, shall be sold and the proceeds thereof distributed in
equal shares to my daughter, Judith D. Boyer, or to her issue
per stirpes, and my husband' s daughter, Dawn Taylor, or to
her issue per stirpes .
THIRD: I give, bequeath, and devise one-third (1/3)
of the residue of my estate, both real and personal , per stirpes
to the issue of my daughter, Judith D. Boyer.
FOURTH: All the rest of the residue and remainder
of my estate, both real and personal, I give, bequeath, and
devise to my daughter, Judith D. Boyer , or to her issue per
stirpes .

FIFTH: In order to avoid court proceedings for the
appointment of guardians for minor beneficiaries , I appoint my
daughter, Judith D. Boyer, or if she does not survive, then
her husband, Samuel Boyer, as Trustee of any property or pro-
ceeds which passes as a result of my death, either under this
Will or otherwise to a beneficiary under the age of eighteen
(18) years , and with respect to which I am authorized to appoint
a guardian and have not otherwise specifically done so ; the
said Trustee shall use from time to time so much of it and
the income thereof as said Trustee thinks advisable for the
beneficiary' s support , education, and welfare (by paying bills
directly or by paying amounts to any person taking care of the
beneficiary) , shall deposit in a savings account , or invest,
any surplus until it is needed, and shall pay the remaining
balance to the beneficiary when he or she reaches the age of
eighteen (18) years , or to the beneficiary' s heirs under the
Pennsylvania Intestate Law in case of death prior to his
attaining the age of eighteen (18) years .
SIXTH: In addition to powers granted by law, my
Executrix and said Trustee shall have the following powers
exercisable at her discretion without court approval with re-
spect to both principal and accumulated income and such powers
shall continue until distribution is actually made:
A. To sell at public or private sale, to ex-
change, or to lease for any period of time, any real
or personal property, to give options for sales or
leases , and to execute and deliver deeds or other
necessary instruments therefor.
B. To compromise claims or controversies .
C. To make distribution in cash or kind or
partly each.

D. To accept in kind, retain, and invest in
any form of property without being limited in any
jurisdiction to what are known as legal investments
for fiduciaries , including stock in any corporation
which may become a fiduciary in my estate or in any
Trust created by this Will, and including any Com-
mon Trust Fund of a corporate fiduciary.
E. To allocate receipts and expenses to prin-
cipal or income or partly to each.
F. To exercise any option, right or privilege
granted in insurance policies or in other invest-
ments .
G. To accumulate income and, from time to time,
to distribute from current income or from accumulated
income amounts for the purposes set forth elsewhere
herein.
SEVENTH: If my husband, Thomas E. Nicholas , shall
die simultaneously with me or under such circumstances as to
render it difficult or impossible to determine who predeceased
the other, I hereby declare that I shall be deemed to have
survived my said husband and that this Will and all of its
provisions shall be construed upon that assumption and basis .
EIGHTH: All estate, inheritance, and other taxes
imposed because of my death with respect to the property in-
cluded in my gross estate for tax purposes shall be charged
against my general estate just as if such taxes were my debts .
All such taxes on present or future interests shall be paid at
such time or times as my Executrix thinks proper, regardless
of whether such taxes are then due.
NINTH: I appoint my daughter, Judith D. Boyer,
Executrix. If she does not qualify or ceases to act, I appoint

in her place my personal attorney, David H. Miller, Esquire,
of Easton, Pennsylvania, Executor. No bond shall be required
of the Executrix or the Trustee appointed herein, nor of her
successors.

I, FRANCES S. NICHOLAS, of the Township of Forks,
County of Northampton, and Commonwealth of Pennsylvania, being
of sound mind, memory, and understanding, do make, publish,
and declare this to be the sole Codicil to my Last Will and
Testament dated October 25, 1982 .
ITEM ONE: On March 21, 1983, my husband, Thomas E.
Nicholas, and I executed a written agreement which was joined
in by my daughter, Judith D. Boyer, and my husband' s daughter,
Dawn Taylor, which Agreement provided for the ownership, use,
and disposition of certain real property in Hillsborough County,
Florida. I hereby direct that said Agreement shall remain in
full force and effect and shall not be changed, modified, nor
affected in any way by the provisions of my aforesaid Last
Will and Testament, nor by the provisions of this Codicil.
