LAST WILL AND TESTAMENT OF ROY J. HILL I, ROY J. HILL, widower, of Middlesex Township (mailing address: 5 Far View Avenue, Carlisle, Pennsylvania 17013), being of sound and disposing mind, memory, and understanding, do hereby make, publish, and declare this as and for my Last Will and Testament, hereby revoking and making void any and all Wills by me at any time heretofore made. 1. I direct my hereinafter named Executor to pay aJI of my just debts and funeral expenses as soon after my death as may be found convenient to do so. 2. I give and bequeath the sum of Thirty Thousand ($30,000.00) Dollars to Cumberland Star Lodge No. 197, 1236 Holly Pike, Carlisle, Pennsylvania, to be added to its building fund for maintaining the Masonic Center free and clear of all estate, transfer, succession, inheritance or other similar tax or charge, it being my express intention that said bequest be received by the named legatee in full and without reduction for taxes or contribution for taxes. 3. I give and bequeath all of my household goods and furnishings together with the sum of Twenty Thousand ($20,000.00) Dollars to my faithful friend, Miriam S. Neff, provided she shall survive me by a period of ninety (90) days, but should she fail to so survive me then the same shall lapse and be included in the residue of my estate. 4. I give and bequeath the sum of $1,000.00 to each of the following: my nephew Carl Tanger, my nephew George Tanger who is also known as Leo Tanger, Jr., my nephew Mervin Hill, Jf. my nephew Gary Hill, and my niece Darlene McNaughton, provided they shall survive me by a period of ninety (90) days, but should any of them fail to so survive me then the same shall lapse and be included in the residue of my estate. 5. I give and bequeath the sum of $5,000.00 to rny niece Linda Sloop, provided she shaJI survive me by a period of ninety (90) days, but should she fail to so survive me then the same shall lapse and be included in the residue of my estate. 6. I give and bequeath the sum of $10,000.00 to each of the following: my great nephew Jason Sloop, my nephew Larry Hill, my niece Shirley Kramer and my niece, Donna Myers, provided they shall survive me by a period of ninety (90) days, but should any of them fail to so survive me then the same shaJllapse and be included in the residue of my estate. 7. I give and bequeath $15,000.00 to my niece Pauline McCoy provided she shall survive me by a period of ninety (90) days, but should she fail to so survive me then the same shall lapse and be included in the residue of my estate. 8. All the rest, residue, and remainder of my estate, real, personal, or mixed, and wheresoeverthe same may be situate, I give, devise, and bequeath to Keystone Financial, in Trust in memory of my wife, Dorothy M. Hill, which trust shall be known as the "Dorothy M. Hill Memorial Grants Trust for the First United Methodist Church of Carlisle" and The income from this Trust shall be distributed as follows: a. By a majority vote of its Administrative Board, the First United Methodist Church of Carlisle, 64 East North Street, Carlisle, Pennsylvania, or its successor, shall designate persons as recipients of scholarships who are full time students pursuing a course of study leading to a career in nursing as a Registered Nurse or who are full time students pursuing at least a four year college course which upon the successful completion of four years or more of study will lead to the award of a Bachelor's or similar degree. The particular school being attended need not necessarily be a four year institution if the course of study being pursued is such that credit for its successful completion is expected to be given to the student evidencing satisfactory completion of work required in order to become 2 Regi~tered Nurse or the C()llr~e of study hf"ln3 pursued is such that c:redit for its successful completion is expected to be given to the student upon his intended transfer to some other institution at which the student intends to complete a four year course of study .~...rl h"" '~n"~..A",,..-1 " 0....,..1."'1,..,...." ,.,l"'n.."''''' ........ The undergraduate course of study being pursued shall nevertheless qualify if the course of study is reasonably necessary in order to qualify the student for becoming a Registered Nurse or even if more than four years of study are required for qualifying for a Bachelor's degree or similar degree, but no payment shall be made to such designated person after four years of undergraduate study have been completed. The persons so designated shall be deemed deserving but need not necessarily be students who are outstanding academically nor need they be destitute, but shall be students who are believed to be capable of successfully completing the course undertaken and in the opinion of the Administrative Board to be persons meriting financial assistance. b. The amount paid to each person shall not exceed the amount reasonably required to be expended by the recipient for the cost of tuition, books, fees, and reasonable living expenses including food and lodging. c. In designating the person or persons as recipients of "Dorothy M. Hill Memorial Grants", preference shall be given to the person or persons who, in the opinion of the First United Methodist Church, merit financial assistance and are pursuing a course of study, not necessarily as long as four years, which upon the successful completion will lead to a career in nursing as a Registered Nurse, but if there are no such applicants then the First United Methodist Church shall designate persons who are full time students pursuing at least a four year college course which upon the successful completion of four years or more of study will lead to the award of a Bachelor's or similar degree. d. The fiscal year of the trust shall be July I through June 30, and the income arising therefrom shall be distributed to those persons designated by the First United Methodist Church at one or more times during each fiscal year as the First United Methodist Church may direct. i. During the first full fiscal year, all of the income earned that fiscal year and all of the income earned prior to that fiscal year shall be paid to or for the benefit of one or more persons designated by the First United Methodist Church who are enrolled as first year nursing students or first year college students, divided as the First United Methodist Church shall direct. ii. During the second fiscal year, all of the income earned in that year shall be paid, one-half to or for the benefit of one or more persons designated by the First United Methodist Church who are enrolled as first year nursing students or first year college students, divided as the First United Methodist Church shall direct; and one-half to or for the benefit of one or more persons designated by the First United Methodist Church who are enrolled as second year nursing students or second year college students, divided as the First United Methodist Church shall direct. iii. During the third fiscal year, all of the income earned in that year shall be paid, one-third to or for the benefit of one or more persons designated by the First United Methodist Church who are enrolled as first year nursing students or first year college students, divided as the First United Methodist Church shall direct; one-third to or for the benefit of one or more persons designated by the First United Methodist Church who are enrolled as second year nursing students or second year college students, divided as the First United Methodist Church shall direct; and one-third to or for the benefit of one or more persons designated by the First United Methodist Church who are enrolled as third year nursing students or third year college students, divided as the First United Methodist Church shall direct. iv. In all subsequent fiscal years, all of the income earned in each fiscal year shall be paid one-fourth to or for the benefit of one or more persons designated by the First United Methodist Church who are enrolled as first year nursing students or first year college students, divided as the First United Methodist Church shall direct; one-fourth to or for the benefit of one or more persons designated by the r:':_~..TT_:.._--3"-If_,,-1._.J:_..r"lL__.__LnL___________l1_..J~~_______1_ _'.1. e. Should the First United Methodist Church fail to designate a person in any category, either because no member of the First United Methodist Church is thought to qualify or upon failure to designate after thirty (30) days written notice from the Trustee so to do, then such income as would have been paid to such person or persons shall be paid to The Salvation Army, Inc., a corporation organized and existing under the laws of the State of New York, having a citadel and office at 20 East Pomfret Street, Carlisle, Pennsylvania, or elsewhere. 9. I hereby nominate, constitute, and appoint Keystone Financial, and its successors, One West High Street, Carlisle, Pennsylvania, as Executor of this my Last Will and Testament and I further direct that it shall not be required to post any bond to secure the faithful performance of its duties in the Commonwealth of Pennsylvania or in any other jurisdiction. 10. In addition to the powers conferred by law, my herein named Executor and Trustee is empowered: a. To invest any part of tbe trust corpus in such securities, investments, or other property as may be deemed advisable and proper, irrespective of whether the same are authorized for the investment of trust funds under the laws of any governing jurisdiction. b. With respect to any corporation, the stocks, bonds, or other securities of which may be held, to vote in person or by proxy on any shares of stock; to consent to the merger, consolidation or reorganization of such corporations; to consent to the leasing, mortgaging or sale of the property of any such corporations; to make any surrender, exchange or substitution of such stocks, bonds or other securities as an incident to the merger, consolidation or reorganization of such corporations; to pay all assessments, subscriptions and other sums of money which may be deemed wise and expedient for the protection and maintenance of the proportionate interest of the investment in such corporations; to exercise any option or privilege which may be conferred upon the holders of such stocks, bonds, or other securities of such corporations either for the conversion of the same into other securities or for the purchase of additional securities, and to make any and all necessary payments which may be required in connection therewith; and generally to have and exercise as to all such stocks, bonds and other securities, the powers of an individual owner who is not under trust obligation. c. To hold the trust corpus in one or more consolidated funds in which separate shares shall have undivided interests. d. To sell at public or private sale for cash or upon credit, or partly for cash and partly on credit, and upon such terms and conditions as shall be deemed proper, any part or parts of the trust estate, and no purchaser at any such sale shall be bound to inquire into the expediency or propriety of any such sale or to see to the application of the purchase moneys arising therefrom. e. To keep on hand and uninvested such money as may be deemed proper and for such period as may be found expedient. f. To compromise, settle or arbitrate any claim or demand in favor of or against the trust estate. g. And authorized in the discharge of fiduciary duties, to employ counsel and to determine and to pay such counsel reasonable compensation which shall be charged against the principal or income of the trust fund, and shall further be entitled to charge against the principal or income such other reasonable expenses and charges as may be necessary and proper to incur for the proper discharge of fiduciary duties and for the proper management and administration of the trust estate. h. In making any division of property into shares for the purpose of any distribution thereof directed by the provisions of the trust, to make such division or distribution, either in cash or in kind, or partly in cash and partly in kind, as shall be deemed most expedient, and in making any division or distribution in kind may allot any specific security or property or any undivided interest therein to anyone or more of such shares, and to that end may appraise any or all of the ______L__ __.._ L~ _11_.,-,,-__1 _ _.1.1 . 1 .1' '" . .. . . the investment of trust funds under the laws of any governing jurisdiction. \. To determine from time to time whether all or some portion of realized capital gains shall be treated as ordinary income for distribution to a beneficiary or treated as principal to be retained as part of the corpus, and such designation need not be consistent from one year to another.
