AND NOW comes Plaintiff, by and through its attorneys, Pecht & Associates, PC, and
makes the following Complaint against Defendant
1. Plaintiff is a Pennsylvania business corporation with its principal place of
business at 4713 Old Gettysburg Pike, Mechanicsburg, Pennsylvania 17055,
2. Defendant is a New York corporation with its principal office at 2663 Route 9L,
Cleverdale, New York.
3. Plaintiff is in the business of selling cleaning supplies and related items.
4. During the period from October 2003 through and including August 2004,
Plaintiff sold to Defendant and Defendant purchased from Plaintiff various cleaning and related
supplies for the total amount of$41,921.37. Copies ofthe invoices relating to those purchases
are attached hereto collectively as Exhibit "A" and incorporated herein by this reference thereto.
5. Defendant has failed to pay for any of the purchases and continues to refuse to
pay, even after repeated demands by Plaintiff to do so.
6. Plaintiff is entitled to collect the sum of$41,921.37, plus interest and costs of
suit, for providing to Defendant the products listed in Exhibit "A".
7, The orders for these purchases were received and finalized in Cumberland
County, Pennsylvania.

COUNT I
BREACH OF CONTRACT
8. The avennents of Paragraphs I through 7 are incorporated herein by reference as
if fully set forth at length.
9. Defendant has breached its agreement with Plaintiff because it has not paid for
the products delivered to it as the parties had agreed.
10. Defendant is liable to Plaintiff in the amount of $41 ,921.37, plus interest and
costs of suit.
WHEREFORE, Plaintiff respectfully requests this Honorable Court to enter a judgment
in its favor and against Defendant in the amount of$41,92I,37, together with interest and costs of
suit.
COUNT II
QUANTUM MERUIT
11. The avennents of Paragraphs 1 through 10 are incorporated herein as if fully set
forth at length.
12, Plaintiff provided goods to Defendant with a fair market value of$41,921.37
13. Defendant received the goods and used them to its advantage and has benefited
from the same.
14, Defendant has not paid Plaintiff for any of the delivered goods.
15, If Defendant is not forced to pay Plaintiff for the goods, it will be unjustly
enriched.
16. Defendant is liable to Plaintiff in the amount of $41 ,921.37, together with interest
and costs of suit.
WHEREFORE, Plaintiff respectfully requests this Honorable Court to enter a judgment
in its favor and against Defendant in the amount of$41,921.37, together with interest and costs of
suit.

COUNT III
INTENTIONAL INTERFERENCE WITH BUSINESS RELATIONSHIP
17. The averments of Paragraphs I through 16 are incorporated herein as if fully set
forth at length,
18. Defendant and its representatives have contacted some of Plaintiffs customers
and have stated and insinuated that products provided by Plaintiff are of a lesser quality than
otherwise acceptable in the marketplace,
19. Defendant and its representatives have contacted some of Plaintiff s customers
and have stated and insinuated that Plaintiff provides products at a higher cost than necessary.
20. Defendant and its representatives have contacted some of Plaintiffs customers
and have stated and insinuated that Plaintiff is in some way engaging in unacceptable business
practices.
21. All of the aforesaid statements and insinuations by Defendant regarding Plaintiff
are untrue.
22. These contacts, statements, and insinuations where purposefully directed at
Plaintiff s customers in an effort to interfere with the business relationship between Plaintiff and
its customers.
23. Defendant engaged in a course of conduct calculated and organized to interfere
with business relationships that Plaintiff has developed over the years with its customers,
24. Defendant engaged in this intentional conduct with the malicious and bad intent
of disrupting or devaluing Plaintiff's business.
25. Defendant is liable to Plaintiff for damages it has caused to Plaintiff's business
through this deliberate and malicious course of conduct.
26, Because of the intentional and malicious nature of Defendant's course of
conduct, Plaintiff is entitled to recover punitive damages from Defendant.

WHEREFORE, Plaintiff respectfully requests this Honorable Court to enter a judgment
in its favor and against Defendant in an amount in excess of $20,000, the limit requiring
arbitration in Cumberland County, plus interest and costs of suit.
