COMPLAINT FOR CONFESSION OF JUDGMENT FOR MONEY
AND NOW COMES, Plaintiff Commerce Bank/Harrisburg NA, by and through its
counsel Smigel, Anderson & Sacks, L.L.P., who file the within Complaint for Confession
of Judgment for Money by averring as follows:
1. Plaintiff is Commerce Bank/Harrisburg NA ("Commerce"), a Pennsylvania
Miscellaneous Corporation with a principal place of business located at Erford Road and
Senate Avenue, Camp Hill, Cumberland County, Pennsylvania.
2. Defendant is Getty Accounting Services, Inc. (hereinafter "Getty"), a
Pennsylvania business corporation which, undersigned counsel certifies, has a principal
business address of 13 Lilac Drive, Mechanicsburg, Cumberland County, Pennsylvania.
3. Attached hereto and made a part of this Complaint as Exhibit "A" is a true
and correct copy of the original Promissory Note for loan number 3020395 entered into
between Commerce and Getty, which contains a Confession of Judgment with Warrant
of Attorney clause therein ("Loan 1 ").
4. Attached hereto and made a part of this Complaint as Exhibit "8" is a true
and correct copy of the original Promissory Note for loan number 3020488 entered into
between Commerce and Getty, which contains a Confession of Judgment with Warrant
of Attorney clause therein ("Loan 2").
5. Attached hereto and made a part of this Complaint as Exhibit "C" is a true
and correct copy of the original Promissory Note for loan number 3053288 entered into
between Commerce and Getty, which contains a Confession of Judgment with Warrant
of Attorney clause therein ("Loan 3").
6. The instant Judgment is not being entered against a natural person by
confession in connection with a consumer transaction.
7. The Commercial Guarantees at issue herein have not been assigned.
8. No judgment has been entered upon the Commercial Guarantees at issue
herein in any jurisdiction.
9. Getty is in default under the Commercial Guarantees, giving rise to this
claim for relief and the right of Commerce to confess judgment against Getty, in that
default occurred as follows:
a. as to Loan 1, Getty defaulted under the terms of the loan on
November 14, 2004, and thereafter, by failing to make the monthly loan
installment payments;

b. as to Loan 2, Getty defaulted under the terms of the loan on

October 14, 2004, and thereafter, by failing to make the monthly loan installment
payments; and
c. as to Loan 3, Getty defaulted under the terms of the loan on
October 10, 2004, and thereafter, by failing to make the monthly loan installment
payments.
10. As a result of the default alleged in Paragraph 9 herein, the amounts due
Commerce from Getty are as follows:

WHEREFORE, Plaintiff Commerce Bank/Harrisburg NA demands Judgment
against Defendant Getty Accounting Services, Inc. in the amount of $69,903.99, plus
interest at a per diem rate until the judgment is satisfied together with court costs and
such other relief as this Honorable Court shall deem reasonable.

Principal Amount: $20,000.00 Initial Rate: 5.750% Date of Note: January 14, 2003
PROMISE TO PAY. Getty Accounting Services, Inc. ("Borrower") promises to pay to COMMERCE BANK/HARRISBURG N.A. ("Lender"), or
order, in lawful money of the United States of America, on demand, the principal amount of Twenty Thousand & 00/100 Dollars ($20,OOO.OO) or
so much as may be outstandingl together with interest on the unpaid outstanding principal balance of each advance. Interest shall be
calculated from the date of each advance until repayment of each advance.
PAYMENT. Borrower will pay this loan immediately upon Lender's demand. Payment In full is due immediately upon lender's demand.
Borrower will pay regular monthly payments of all accrued unpaid interest due as of each payment date, beginning February 14, 2003, with all
subsequent interest payments to be due on the same day of each month after that. Unless otherwise agreed or required by applicable law,
payments will be applied first to accrued unpaid interest, then to principal, and any remaining amount to any unpaid collection costs and tate
charges. The annual interest rate for this Note is computed on a 3651360 basis; that is, by applying the ratio of the annual interest rate over a
year of 360 days, multiplied by the outstanding principal balance, multiplied by the actual number of days the principal balance is outstanding.
Borrower will pay lender at Lender's address shown above or at such other place as Lender may designate in writing.
VARIABLE INTEREST RATE, The ir.terest rate on this Nole is subject to change from time to time based on changes in an index Which is Lender's
Prime Rate (the "Index"). This is the rale Lender charges, or would charge, on gO-day unsecured loans to the mosl creditworthy corporate customers.
This rate may or may not be the lowest rate available from Lender at any given time. Lender-will tell Borrower the current Index rate upon Borrower's
request. The interest rate change will not occur more otten than each day. Borrower understands that Lender may make loans based on other rates as
welL The Index currently is 5.250'% per annum. The interest rate to be applied to the unpaid principal balance of this Note will be at a rate of
0.500 percentage points over the Index, resulting in an initial rate of 5.750% per annum. NOTICE: Under no circumstances will the interest rate
on this Note be more than the maxImum rate allowed by applicable law.
PREPAYMENT. Borrower agrees that all loan fees and other prepaid finance charges are earned fully as of the date of the loan and will not be subject
to refund upon early payment (whether voluntary or as a result of default), except as otherwise required by law. Except for the foregoing, Borrower
may pay WIthout penalty all or a portion of the amount owed earlier than it is due. Early payments will not, unless agreed to by Lender in writing, relieve
Borrowef 01 Borrower's obligation to continue to make payments of accrued unpaid interest. Rather, early payments will reduce the principal balance
due. Borrower agrees not to send Lender payments marked "paid in full", "without recourse''. or simIlar language. It Borrower sends such a payment,
Lender may accept it without losing any of lender's eights under this Note, and Borrower will remain obligated to pay any further amount owed to
Lender. All written communications concerning disputed amounts, including any check or other payment instrument that indicates that the payment
constitutes "payment in full" of the amount owed or that is tendered WIth other conditions or limitations or as fun satisfaction of a disputed amount must
be mailed or delivered to: COMMERCE BANK/HARRISBURG N.A., COMMERCIAL BUSINESS DEPARTMENT, 100 SENATE AVENUE, CAMP HILL,
PA 17011.
LATE CHARGE. If a regularly scheduled Interes1 payment is 15 days or more late, Borrower will be charged 5.000%. of the regularly scheduled
payment. 11 Lender demands payment 01 this loan, and Borrower does not pay the loan in full within 15 days after Lender's demand, Borrower also
will be charged 5.000%. of the sum of the unpaid principal plus accrued unpaid interest.
INTEREST AFTER DEFAULT. Upon default, including faIlure to pay upon final maturity, the total sum due under this Note will bear interest from the
date of acceleration or maturity at the variable Interest rate on this Note. The interest fate will not exceed the maximum rate permitted by applicable law.
DEFAULT. Each of the following shall constitute an event 01 default (nEvent of Default") under this Nole:
Payment Default. Borrower fails to make any payment when due under this Note,
Other Defaults. Borrower fails to comply with or to perform any other term, obligation, covenant or condition contained in this Note or in any of
tI'Ie related documents or to comply with or to periorm any term, obtlgation, covenant or condition contained in any other agreement between
Lender and Borrower.
Default in Favor of Third Parties. Borrower or any Grantor defaults under any loan, extension of credit, security agreement, purchase or sales
agreement, or any other agreement, in favor of any other creditor or person that may materially affect any of Borrower's property or Borrower's
ability 10 repay this Note or perform Borrower's obligations under this Note or any 01 the related documents.
False Statements. Any warranty, representation or statement made or fUn1ished to lender by Borrower or on Borrower's behalf under this Note
or the related documents is false Dr misleading in any material respect, either now or at the time made or furnished or becomes false or mIsleading
at any time thereafter.
Insolvency. The dissolution or termination of Borrower's existence as a going business, the insolvency 01 Borrower, the appoIntment of a receiver
for any part at Borrower's property, any assignment lor the benefit 01 creditors, any type of creditor workout, or the commencement of any
proceeding under any bankruptcy or insolvency laws by or against Borrower.
Creditor or Forfeiture Proceedings. Commencement of foreclosure or forteiture proceedings, whether by judicial proceeding, self-help,
repossession or any other method, by any creditor of Borrower or by any governmental agency against any collateral securing the loan. This
includes a gamishment of any of Borrower's accoun1s, including deposit accounts, with LendeL However, this Event of Default shall not apply it
there is a good faith dispute by Borrower as io the validity or reasonableness of the claim which is the basis of the creditor or forfeiture proceeding
and ]f Borrower gIves Lender writ1erl notice of the creditor or forfeiture proceeding and deposits with lender monies or a surety bond for the
creditor or forfeiture proceeding, in an amount determined by lender, in its sole discretion, as being an adequate reserve or bond for the dispute.
Events Affecting Guarantor. Any of the preceding events occurs with respect to any Guarantor of any 01 the indebtedness or any Guarantor dies
or becomes incompetent, or revokes or dispu1es the validity of, or liability under, any guaranty of the indebtedness evidenced by this Note. In the
event of a death, Lender, at its option, may, but shall not be required to, permit the Guarantor's estate to assume unconditionally the obligations
arising under the guaran1y in a manner satisfactory to Lender, and, in doing so, cure any Event of Default.
Change In Ownership. Any change in ownership of twenty-five percent (25%) or more of the common stock of Borrower.

Principal Amount: $30,000.00 Interest Rate: 6.500% Date of Note: January 14, 2003
PROMISE TO PAY. Getty Accounting Services, Inc. ("Borrower") promises to pay to COMMERCE BANK/HARRISBURG N.A. ("Lender"), or
order, in lawful money of the United States of America, the principal amount of Thirty Thousand & 00/100 Dollars ($30,000.00), together with
interest al the rate of 6.500% per annum on the unpaid principal balance from January 14, 2003, until paid in full.
PAYMENT. Borrower will pay this loan in 60 payments of $588.25 each payment. Borrower's first payment is due February 14, 2003, and all
subsequent payments are due on the same day of each month after that. Borrower's final payment will be due on January 14, 2008, and will
be for all principal and all accrued interest not yet paid. Payments include principal and interest. Unless otherwise agreed or required by
applicable law, payments will be applied first to accrued unpaid interest, then to principal, and any remaining amount to any unpaid collection
costs and late charges. The annual interest rate for this Note is computed on a 365/360 basis; that is, by applying the ratio 01 the annual
interest rate over a year af 360 days, multiplied by the outstanding principal balance, multiplied by the actual number of days the principal
balance is outstanding. Borrower will pay lender at lender's address shown above or at such other place as lender may designate in writing.
PREPAYMENT PENALTY. Borrower agrees that all loan fees and other prepaid finance charges are earned fully as of the date of the loan and will not
be subject to refund upon early payment (whether voluntary or as a result of default), except as otherwise required by law. Upon prepayment of this
Note, Lender is entitled to the following prepayment penalty: Prepayment of any amount of the principal sum shall be subject to a penalty
charge of 5% during the first year ot amortizatiorr and declining 1 % per year thereafter to par. Except tor the foregoing, Borrower may pay all
or a portion of the amount owed earlier than it is due. Early payments will not, unless agreed to by Lender in writing, relieve Borrower of Borrower's
obligation to continue to make payments under the payment schedule. Rather, early payments will reduce the principal balance due and may result in
Borrower's making fewer payments. Borrower agrees not to send Lender payments marked "paid in full", "without recourse", or similar language. If
Borrower sends such a payment, Lender may accept it without losing any of Lender's rights under this Note, and Borrower will remain obligated to pay
any further amount owed to lender. All written communications concerning disputed amounts, including any check or other payment instrument that
indicates that the payment constitutes "payment in full" of the amount owed or that is tendered with other conditions or limitations or as full satisfaction
of a disputed amount must be mailed or deiivered to: COMMERCE BANK/HARRISBURG NA, COMMERCIAL BUSINESS DEPARTMENT, 100
SENATE AVENUE, CAMP HILL, PA 17011.
LATE CHARGE. If a payment is 15 days or more late, Borrower will be charged 5.000% of the regularly scheduled payment.
INTEREST AFTER DEFAULT. Upon default, including failure to pay upon final maturity, the total sum due under this Note will bear interest from the
date of acceleration or maturity at the interest rate on this Note. The interest rate will not exceed the maximum rate permitted by applicable law.
DEFAULT. Each of the IoIlowing shaU constitute an event of default ("Event of Default") under this Note:
Payment Default. Borrower fails to make any payment when due under this Note.
Other Defaults. Borrower fails to comply with or to perform any other term, obligation, covenanl or condition contained in this Note or in any at
the retated documents or to comply with or to perform any term, obligation, covenant or condition contained in any other agreement between
Lender and Borrower.
Default in Favor of Third Parties. Borrower or any Grantor defaults under any loan, extension of credit, security agreement, purchase or sales
agreement, or any other agreement, in favor of any other creditor or person that may materially affect any of Borrower's property Or Borrower's
ability to repay this Note or perform Borrower's obligations under this Note or any of the related documents.
False Statements. Any warranty, representation or statement made or furnished to Lender by Borrower or on Borrower's behalf under this Note
or the related documents is false or misleading in any material respect, either now or at the time made or furnished or becomes false or misleading
at any time thereafter.
Insolvency. The dissolution or termination of Borrower's existence as a going business, the insolvency of Borrower, the appointment of a receiver
for any part of Borrower's property, any assignment for the benefit of creditors, any type of creditor workout, or the commencement of any
proceeding under any bankruptcy or insolvency laws by or against Borrower.
Creditor or Forfeiture Proceedings. Commencement of foreclosure or forfeiture proceedings, whether by judicial proceeding, serf~he'p,
repossession or any other method, by any creditor of Borrower or by any governmental agency against any collateral securing the loan, This
includes a garnishment of any of Borrower's accounts, including deposit accounts, with Lender. However, thrs Event of Default shall not apply if
there is a good faith dispute by Borrower as to the validity or reasonableness of the claim which is the basis of the creditor or forfeiture proceeding
and if Borrower gives Lender written notice of the creditor or forfeiture proceeding and deposits wilh Lender monies or a surety bond for the
creditor or forfeiture proceeding, in an amount determined by Lender, in its sole discretion, as being an adequate reserve or bond for the dispute.
Events Affecting Guarantor. Any of the preceding events occurs with respect to any Guarantor of any of the indebtedness or any Guarantor dies
or becomes incompetent, or revokes or disputes the validity of, or liability under, any guaranty of the indebtedness evidenced by this Note. In the
event of a death, Lender, at its option, may, but shall nol be required to, permit the Guarantor's estate to assume unconditionally the obligations
arising under the guaranty in a manner satisfactory to Lender, and, in doing so, cure any Event of Default.
Change In Ownership. Any change in ownershrp of tvventy-five percent (25%) or more of the common stock of Borrower.
Adverse Change. A material adverse change occurs in Borrower's financial condition, or Lender believes the prospect of payment or
performance of this Note is impaired.
Insecurity. Lender in good faith believes itself insecure.
Cure Provisions. If any default, other than a default in payment is curable and if Borrower has not been given a notice of a breach of the same
provision of this Note within the preceding twelve (12) months, it may be cured (and no event of default will have occurred) if Borrower, after
receiving written notice from Lender demanding cure of such defauit: (1) cures the default within fifteen (15) days; or (2) if the cure requires
more than fifteen (15) days, immediately initiates steps which Lender deems in Lender's sole discretion to be sufficient to cure the default and

PROMISE TO PAY. Getty Accounting Services, Inc. ("Borrower") promises to pay to COMMERCE BANKlHARRISBURG N.A. ("Lender"), or
order, in lawful money of the United States of America, the principal amount of Twenty-five Thousand One Hundred Forty & 00/100 Dollars
($25,140.00), together with Interest at the rate of 6.250% per annum on the unpaid principal balance from June 10. 2003, until paid in full.
PAYMENT. Borrower will pay this loan in 60 payments of $490.Q8 each payment. Borrower's first payment Is due July 10, 2003, and all
subsequent payments are due on the same day of each month after that. Borrower's final payment will be due on June 10, 2008, and will be
for all principal and all accrued interest not yet paid. Payments Include principal and interest. Unless otherwise agreed or required by
applicable law, payments will be applied first to any accrued unpaid interest; then to principal; then to any unpaid collection costs; and then to
any late charges. The annual interest rate for this Note Is computed on a 365/360 basis; that is, by applying the ratio of the annual interest
rate over a year of 360 days, multiplied by the outstanding principal balance, multiplied by the actual number of days the principal balance is
outstanding. Borrower will pay Lender at Lender's address shown above or at such other place as Lender may designate in writing.
PREPA.YMENT PENAL TV. Borrower agrees that all loan fees and other prepaid finance charges are earned fully as of the date ot the loan and will not
be subject to refund upon early payment (Whether voluntary or as a result of default), except as otherwise required by law. Upon prepayment of this
Note, Lender is entitled to the following prepayment penalty: Prepayment of any amount of the principal sum shall be subject to a penalty
charge of 5% during the first year of amortization and declining 1 % per year thereafter to par; applicable only If the prepayment source is
refinancing from another Institution. Except for the foregoing, Borrower may pay all or a portion of the amount owed earlier than it is due.
Early payments will not, unless agreed to by Lender in writing, relieve Borrower of Borrower's obligation to continue to make payments under the
payment schedule> Rather, early payments will reduce the principal balance due and may result in Borrower's making fewer payments. Borrower
agrees not to sen~;,Lender payments marked "paid in full", "without recourse", or similar language. If Borrower sends such a payment, Lender may
accept it without, I.9Sin9 any of Lender's rights under this Note, and Borrower will remain obligated to pay any further amount owed to Lender. All
written communicCitioos concerning disputed amounts, including any check or other payment instrument that indicates that the payment constitutes
"payment in futl" of.the amount owed or that is tendered with other conditions or limitations or as full satisfaction of a disputed amount must be mailed
or delivered to: COMMERCE BANK/HARRISBURG N.A., 100 SENATE AVENUE, P.O. BOX 8599, CAMP HILL, PA 17011.
LATE CHARGE. J\,a payment is 15 days or more late, Borrower will be charged 5.000% of the regularly scheduled payment.
INTEREST AFTER' DEFAULT. Upon default, including failure to pay upon final maturity, the total sum due under this Note will bear interest from the
date of acceleratiol}or maturity at the interest rate on this Note. The interest rate witt not exceed the maximum rate permitted by applicable law.
DEFAULT. Each:9f the following shall constitute an event of default ("Event 01 Default") under this Note:
Payment Default. Borrower 1ails to make any payment when due under this Note.
Other Defaults. Borrower fails to comply with or to perform any other term, obligation, covenant or condition contained in this Note or in any of
the related documents or to comply with or to pertorm any term, obligation, covenant or condition contained in any other agreement between
Lender and Borrower.
Default in Favor of Third Parties. Borrower or any Grantor defaults under any loan, extension 01 credit, security agreement, purchase or sales
agreement, or any other agreement, in favor of any other creditor or person that may materially affect any of Borrower's property or Borrower's
ability to repay this Note or pertorm Borrower's obligations under this Note or any of the related documents.
False Statements. Any warranty, representation or statement made or furnished to Lender by Borrower or on Borrower's behalf under this Note
or the related documents is false or misleading in any material respect, either now or at the time made or furnished or becomes false or misleading
at any time thereafter.
insolvency. The dissolution or termination of Borrower's existence as a going business, the insolvency of Borrower, the appointment of a receiver
for any part of Borrower's property, any assignment for the benefit of creditors, any type of creditor workout, or the commencement of any
proceeding under any bankruptcy or inSOlvency taws by or against Borrower.
Creditor or Forieiture Proceedings. Commencement of foreclosure or fortelture proceedings, whether by judicial proceeding, self-help,
repossession or any other method, by any creditor of Borrower or by any governmental agency against any collateral securing the loan. This
includes a garnishment of any of Borrower's accounts, including deposit accounts, with Lender. However, this Event of Default shall not apply if
there is a good faith dispute by Borrower as to the validity or reasonableness of the claim which is the basis of the creditor or forfeiture proceeding
and jf Borrower gives Lender written notice of the creditor or forteiture proceeding and deposits with Lender monies or a surety bond for the
creditor or forfeiture proceeding, in an amount determined by Lender, in its sole discretion, as being an adequate reserve or bond for the dispute.
Events Affecting Guarantor. Any of the preceding events occurs with respect to any Guarantor of any of the indebtedness or any Guarantor dies
or becomes incompetent, or revokes or disputes the validity of, or liability under, any guaranty of the indebtedness evidenced by this Note. In the
event of a death, Lender, at its option, may, but shall not be required to, permit the Guarantor's estate to assume unconditionally the obligations
arising under the guaranty in a manner satisfactory to lender, and, in doing so, cure any Event of Default.
Change In Ownership. Any change in ownership of twenty-five percent (25%) or more of the common stock of Borrower.
Adverse Change. A material adverse change occurs in Borrower's financial condition, or Lender believes the prospect of payment or
pertormance of this Note is impaired.
Insecurity. Lender in good faith believes itself insecure.
Cure Provisions. If any de1ault, ather than a de1ault in payment is curable and if Borrower has not been given a notice of a breach of the same
provision of this Note within the preceding twelve {12} months, it may be cured (and no event of default will have occurred) if Borrower, after
receiving written notice from Lender demanding cure of such de1ault: {1} cures the default within fifteen (15) days; or (2) if the cure requires
more than fifteen (15) days, immediately initiates steps which Lender deems in Lender's sole discretion to be sufficient to cure the default and

CONFESSION OF JUDGMENT FOR MONEY
Rule 2959. Strikin!! Off or On.nin!! Jud!!m.nt: PI.adin!!.: Procedure
(a)(1) Relief from a judgment by confession shall be sought by petition. Except as provided in
subparagraph (2), all grounds for relief whether to strike off the judgment or to open it must be asserted in a
single petition. The petition may be filed in the county in which the judgment was originally entered, in any
county to which the judgment has been transferred or in any other county in which the sheriff has received
a writ of execution directed to the sheriff to enforce the judgment.
(2) The ground that the waiver of the due process rights of notice and hearing was not voluntary, intelligent
and knowing shall be raised only
(i) in support of a further request for a stay of execution where the court has not stayed execution despite
the timely filing of a petition for relief from the judgment and the presentation of prima facie evidence of
a defense; and
(ii) as provided by Rule 2958.3 or Rule 2973.3.
(3) If written notIce is served upon the petitioner pursuant to Rule 2956.I(c)(2) or Rule 2973.I(c), the
petition shall be filed within thirty days after such service. Unless the defendant can demonstrate that there
were compelling reasons for the delay, a petition not timely filed shall be denied.
(b) If the petition states prima facie grounds for relief the court shall issue a rule to show cause and may
grant a stay of proceedings. After being served with a copy of the petition the plaintiff shall file an answer
on or before the return day of the rule. The return day of the rule shall be fixed by the court by local rule or
special order.
(c) A party waives all defenses and objections which are not included in the petition or answer.
(d) The petition and the rule to show cause and the answer shall be served as provided in Rule 440.
(e) The court shall dispose of the rule on petItIOn and answer, and on any testimony, depositions,
admissions and other evidence. The court for cause shown may stay proceedings on the petition insofar as
it seeks to open the judgment pending disposition of the application to strike off the judgment. If evidence
is produced which in a jury trial would require the issues to be submitted to the jury the court shall open the
judgment.
(l) The lien of the judgment or of any levy or attachment shall be preserved while the proceedings to strike
off or open the judgment are pending.
