FIRST: PAYMENT OF EXPENSES I direct that the expenses of my last illness and funeral be paid from my Estate as soon as practicable after my death. SECOND: SPECIFIC BEQUESTS AND DEVISES I give any automobiles , household and personal effects, and other tangible personalty of like nature owned by me at my death, together with any insurance thereon, to my wife , MARIE PINTO, if she survives me . If my wife , MARIE 1 PINTO, predeceases me , my surviving children shall select such articles as they desire and any articles not selected shall be sold and the proceeds added to my residuary estate . My Executor shall resolve any conflicting choices regarding said articles . My children' s right of selection shall be personal to them and shall not pass to their estate if they die before distribution is complete . THIRD: GIFT OF RESIDUE I give, devise and bequeath all the rest, residue and remainder of my Estate , both real and personal of whatever nature and wherever situated , to my wife, MARIE PINTO, if she survives me . (My spouse shall be deemed to have survived me if. the order of our deaths is not clear) . FOURTH: DISCLAIMER I remind my wife (and her Executor , administrator , guardian or agent acting under a power of attorney) that she may disclaim any part or all of any power or interest hereunder . In particular, it may be desirable for her to disclaim a portion of the outright gift of residue given to her in Item Third hereof . A disclaimed portion, or any other 2 disclaimed property, shall pass to the Trust established by Item Fifth hereof , which shall be established. if my wife predeceases me or if she survives me and there is a disclaimer of any kind.. The disclaimed portion shall pass to said Trust and my wife shall retain, nevertheless , whatever rights she would have in the income and principal of said Trust as augmented as a result of her disclaimer and shall be an eligible beneficiary of said Trust , including the disclaimed portion, as if she were living; provided however that my wife shall have no power to withdraw any property passing to said Trust as the result of any such disclaimer . FIFTH: TRUST In the event my wife should fail to survive me, (or in the event she survives me or is deemed to have survived me but disclaims any part or all of any interest or power hereunder) , I give, devise and bequeath all the rest, residue and remainder of my estate (and any such disclaimed interest IN TRUST, to manage and invest it and or power) to my Trustee to make distributions as follows : A. If my wife, MARIE PINTO, survives me , during her lifetime: 3 1 . The net income shall be paid to her in quarterly or other convenient installments ; 2 . As much of the principal as my Trustee may from time to time think desirable - taking into account funds available from other sources - for the health, support, maintenance or education of my wife or any of my children either shall be paid to that person or shall be applied directly for those purposes; 3 . My wife shall have the right in each calendar year to withdraw from the principal up to FIVE THOUSAND ( $5 , 000 .00) DOLLARS at any time, and , in addition, if she is living on December 31st of any year, to withdraw up to five per cent of the fair market value of the principal determined on December 31st of that year ( the amount subject to withdrawal as of December 31st to be reduced by any prior withdrawals during that year, and any rights of withdrawal for a particular year to lapse if not exercised during that i year) . B. After my wife ' s death (or mine if I survive her.,) , the residue of my estate and the then remaining principal of any Trust shall be divided into equal shares , so that there shall be one share for each child of mine, SUZANNE 4 FEINBERG, MICHAEL PINTO, MATTHEW PINTO and KATHLEEN NICHOLS, who is then living or then deceased leaving issue surviving, and each such share shall be kept invested as a separate Trust, and thereafter : 1 . With regard to the Trust share for my daughter SUZANNE FEINBERG; during her lifetime : (a) the net income from her Trust shall be paid. to her , in quarterly or other convenient installments; (b) as much of the principal of her Trust as my trustee may from time to time think desirable, taking into account funds available from other sources , for the health, support , maintenance or education of that child or any of her issue either shall be paid to that person or shall be applied directly for those purposes ; (c) such child shall have the right. to withdraw up to one-half of the principal of her Trust at any time after the fifth anniversary of my death; said right to withdraw to be exercisable only in writing; and (d) At such child ' s death or upon the tenth anniversary of my death (or at the time for the setting apart of shares in the case of a child who dies before that 5 time) any then remaining principal of her Trust shall be paid. ( i ) to such child if living and if requested in writing; ( ii ) if deceased , to her then-living issue, per stirpes; or in default of such issue; ( iii ) to my then- living issue , per stirpes ( any portion thus accruing to a child for whom principal is then held in trust hereunder to be added to and thereafter treated as a part of such principal ) ; or , in default of such issue , one-half to those who would be entitled to take the same under the Intestate Laws of Pennsylvania , as though I had died. at that time without leaving a Will and the other one-half to those who would be entitled to share in the Estate of my wife, MARIE PINTO, under the Intestate Laws of Pennsylvania as though she had died at that time without leaving a Will . 2 . With regard to the Trust share for my daughter KATHLEEN NICHOLS; during her lifetime : (a) the net income from her Trust shall be paid to her, in quarterly or other convenient installments ; (b) as much of the principal of her Trust as my 6 trustee may from time to time think desirable, taking into account funds available from other sources , for the health, support, maintenance or education of that child or any of her issue either shall be paid to that person or shall be applied directly for those purposes; (c) such child shall have the right to withdraw up to one-half of the principal of her Trust at any time after the fifth anniversary of my death; said right to withdraw to be exercisable only in writing; and (d ) at such child ' s death or upon the tenth anniversary of my death (or at the time for the setting apart of shares in the case of a child who dies before that time) any then remaining principal of her Trust shall be paid.: ( i ) to such child if living and if requested in writing; ( ii ) if deceased , to her then-living issue, s per stir.pes ; or in default of . such issue; ( iii ) to my then-living issue , per stirpes (any portion thus accruing to a child for whom principal is then held in trust hereunder to. be added to and thereafter treated as a part of such principal ) ; or , in default of such issue, one-half to those who would be entitled to take the 7 same under the Intestate Laws of Pennsylvania, as though I had died at that time without leaving a Will and the other one-half to those who would be entitled to share in the Estate of my wife, MARIE PINTO, under the Intestate Laws of Pennsylvania as though she had died at that time without . leaving a Will . 3 . With regard to the two Trust shares for my sons, MICHAEL PINTO and MATTHEW PINTO, as to each; during his lifetime : (a) The net income from his Trust shall be paid to him, in auarterly or other convenient installments; (b) As much of the principal of his Trust as my trustee may from time to . time think desirable, takinq into account funds available from other sources , for the health, support, maintenance or education of that child or any of his issue either shall be paid to that person or shall be applied directly for those purposes; (c) At age fifty ( 50 ) or upon such child ' s death, whichever occurs first , ( or at the time for the setting apart of shares in the case of a child who dies before that time ) any then remaining principal of his Trust shall be paid: 8 4 ( i ) to such child , or if deceased, to his then-living issue, per stirpes; or in default of such issue; ( ii ) to my then-living issue , per stirpes (any portion thus accruing to a child for whom principal is then held in trust hereunder to be added to and thereafter treated as a part of such principal ) ; or, in .default of such issue, one-half to those who would be entitled to take the same under the Intestate Laws of Pennsylvania, as though I had died. at that time without leaving a Will and the other one- half to those who would be entitled to share in the Estate of my wife , MARIE PINTO , under the Intestate Laws of Pennsylvania as though she had. died at that time without . leaving a Will . SIXTH: EARLY TERMINATION OF TRUSTS. Should the principal of any trust herein provided for be or become too small , in trustee ' s discretion, so as to make establishment or continuance of the trust inadvisable, trustee or my personal representative may make immediate distribution of the then remaining principal and any accumulated or undistributed income outright to the person or persons and in the proportions they are then entitled to 9 income. If any such person is then a minor, distribution may be made to the guardians appointed in Item NINTH. Upon such termination the rights of all persons who might otherwise have an interest as succeeding life tenant or in remainder shall cease . SEVENTH: PROTECTIVE PROVISION. To the greatest extent permitted by law , no interest in income or principal shall be assignable by or available to anyone having a claim against a beneficiary before actual payment to the beneficiary . However , a beneficiary may assign any part or all of his or her interest to his or her descendants . EIGHTH: ADDITIONS. I and my wife and , with my Trustee ' s approval , anyone else may add to the principal of any of the Trusts by Deed or by Will or otherwise. NINTH: GUARDIAN. I appoint my daughters , SUZANNE FEINBERG and KATHLEEN NICHOLS, Guardians of any property which passes, 10 either under this Will or otherwise , to a minor and with respect to which I am authorized to appoint a Guardian and have not otherwise specifically done so, provided that this appointment of a Guardian shall not apply . to property distributable under this Will to a minor for whom special provision has otherwise been made herein ; and provided further , that this appointment of a Guardian shall not supersede the right of any fiduciary in its discretion to distribute such share to the minor, or to another for the minor ' s benefit . Such Guardians shall have the power to use principal as well as income from time to time for the minor ' s support and education ( including college education, both graduate and undergraduate ) without regard to his or her parent ' s ability to provide for such support and education, or to make payment for these purposes , without further responsibility, to the minor , or to the minor ' s parent , or to any person taking care of the minor . Such property shall include funds .paid or delivered under contracts of insurance or in any other manner . No bond shall be required of my Guardians in this . or any other jurisdiction. 11 to delegate discretionary duties with respect thereto; G. To allocate any property received or charge incurred to principal or income or partly to each, without regard to any law defining principal and income; H. To distribute in kind and to allocate specific assets among the beneficiaries ( including any trust hereunder ) in such proportions as my Executors or my Trustee may think best, so long as the total market value of any beneficiary' s share is not affected by such allocation; and I . To make a disclaimer under the provisions of 20 Pa. C. S .A. Section 6202 , of the Pennsylvania Laws, or any amendment thereto. These authorities shall extend to all property at any time held by my Executors, Guardians or my Trustee and shall continue in full force until the actual distribution of all such property, except as specifically stated . Should he fail to qualify or cease to act , I appoint my daughter , SUZANNE FEINBERG , and my brother-in-law, URBAN LAMAY, as Co-Trustees . No beneficiary , whether having a vested or contingent interest , who is also an Executor or Trustee, shall participate in any discretionary decision relating to his or her right in or to income or principal or the division of tangible personal property, or in any determination of his or her capacity in which cases the decision of the disinterested fiduciary shall alone control , and , except in such circumstances , whenever the words " Executor" or " Trustee " are used in this instrument , such shall be construed to include the plural and the proper _gender . My trustees may settle any account or question concerning the administration of a trust by agreement with my issue who are legally competent at the time and with the 15 legal guardian, parent or natural guardi,an 'or any of them who is not then legally competent. Such agreement shall bind each person then living or thereafter born who has an interest in a trust and shall effectively release and discharge the trustees , and the assets of a trust shall indemnify my trustees with respect to or against any claim arising from such agreement or the account or question settled thereby. Any Executor or Trustee may resign at any time without Court approval . FIFTEENTH: TERMS. Any term used in the singular or plural , or in the masculine , feminine or neuter form, shall be singular or plural , or masculine, feminine or neuter as a proper reading of this Wi11 may require = The words "Child" , "Children" , "Descendant " and "Issue" shall include adopted persons and the issue of adopted persons , regardless of the date of adoption. SIXTEENTH: BOND WAIVER. I direct that my personal representatives , Guardians and Trustees, as well as their successors, shall 16 e xr not be required to give bond for the faithful performance of their duties in any jurisdiction.
