1 At the time of his death, Decedent was the sole shareholder of Plum Sport Limited a 0.00
Pennsylvania Subchapter"S"Corporation, which he operated as a women's apparel business
known as"The Plum Sport", 512 Strawberry Square, Harrisburg, PA 17101. (The decedent's
family has been in the high end women's apparel business for several decades in Harrisburg).
However, decedent's business never achieved a level of success and had operated at a loss
for 4 of the past 5 years. In order to fund the continuation of this struggling enterprise, a Wells
Fargo business equity line of credit was obtained by The Plum Sport as obligor and for which
the decedent's father, Isaac L. Mishkin, is an additional guarantor.
At the time of decedent's death, The Plum Sport was being wound down and the lease was set
to terminate in December of 2012, the decedent was fully matriculated at the Temple University
School of Pharmacy effective September 2012, and he was living in Philadelphia to attend
school full time.
Insofar as decedent's family has been in the women's apparel business for several decades,
unique circumstances existed to allow the business to be effectively liquidated. Final tax
returns are filed and the Subchapter S Corporation is to be terminated as soon as practicable.

At the time of his death, Decedent was the sole shareholder of Plum Sport 0.00
Limited a Pennsylvania Subchapter"S"Corporation,which he operated as a
women's apparel business known as"The Plum Sport",512 Strawberry Square,
Harrisburg, PA 17101. (The decedent's family has been in the high end women's
apparel business for several decades in Harrisburg). However,decedent's
business never achieved a level of success and had operated at a loss for 4 of
the past 5 years. in order to fund the continuation of this struggling enterprise,a
Wells Fargo business equity line of credit was obtained by The Plum Sport as
obligor and for which the decedent's father, Isaac L. Mishkin, is an addit�onal
guarantor.
At the time of decedent's death,The Plum Sport was being wound down and the
lease was set to terminate in December of 2012,the decedent was fully
matriculated at the Temple University School of Pharmacy effective September
2012,and he was living in Philadelphia to attend school full time.
Insofar as decedent's family has been in the women's apparel business for
several decades, unique circumstances existed to allow the business to be
effectively liquidated. Final tax returns are filed and the Subchapter S
Corporation is to be terminated as soon as practicable.

At your request, I have prepared an opinion of the fair market value of Plum Sport Limited,a
Pennsylvania S Corporation,as of October 30, 2012. The valuation was prepared solely for PA
Inheritance Tax calculation purposes only.
The.Valuation is based on IRS Revenue Ruling 59-60 which is the primary tax guidance for the
valuation of a closely held business. Section 4 of the Revenue Ruling lists eight factors to be
considered in arriving at a valuation. Although Revenue Ruling 59-60 is not all-inclusive, it has
stood the test of time and is widely recognized by the courts.
A summary of the eight factors listed in Section 4 of IRS Revenue Ruling 59-60 and their
application to Plum Sport Limited is attached.
Also attached are two valuations of Plum Sport Limited based on 1)the net asset value and 2)the
capitalization of earnings.
Based on the aforementioned information, it is my considered opinion that Plum Sport
Limited has no fair market value.

1. BorrQwer's Promise To Pay. In consideration for a loan which, I, SHAWN M.
MISHKIN, have received from the lender, ISAAC L. MISHKIN (the "Lender"), I
promise to pay the sum of Two kiundred Twenty-Eight Thousand Seven Hundred

any time before they are due. A payment of Principal only is known as a
"Prepayment." When I make a Prepayment, I will tell the Note Holder in writing

made all the monthly payments due under this Npte. Moreover, I may make a
full Prepayment or partial Prepayments without paying a Prepayment charge.

A. If all or any part of the Property or any Interesfi in the Property is soid
or transferred without the Note Holder's prior written consent, the Note
Holder may require immediate payment in full of all sums secured by this

THIS OPTION/SALES AGREEMENT is made this 9th day of January 2009.
1. DEFINITIONS: The foliowing words and phrases when used in this Mortgage shall
have the following meanings uniess clearly indicated otherwise:
Applicable Law. The term "Appiicabie Law" means all controlling appiicable federal,
state and local statutes, regulations ordinances and administrative rules and orders
(that have effect of law) as well as all applicable final, non-appealable judicial opinions.
Borrower. The term "Borrower" means Shawn M. Mishkin.
Community Association Dues, Fees, and Assessments. The term "Community
Association Dues, Fees, and Assessments" means all dues, fees, assessments and
other charges that are imposed on Borrower or the Property by a homeawners
association or similar organization.
Lender. The term "Lender" means Isaac L. Mishkin.

Miscelianeous Proceeds. The term "Miscellaneous Proceeds" means any
compensation, settlement, award of damages, or proceeds paid by any third party
(other than insurance proceeds paid under the cove�ages described in Section 4 for: (i)
damage to, or destruction.of, the Property; (ii) condemnation or other taking of all or any
part of the Property; (iii) conveyance in lieu of condemnation; or(iv) misrepresentation �
of, or omissions as to, the value and/or condition of the Property.
Note. The term "Note" means that promissory note signed by the Borrower, and dated
January 9, 2�09.
Periodic Payment. The term "Periodic Payment" means the regularly scheduled
amount due for principal and interest under the Note.
Property. The term "Property" means that property described below under the heading
"Transfer of Rights in the Property."
Loan. The term "Loan" means the debt evidenced by the Note, plus interest, any
prepayment charges and late charges due under the Note, and all sums due under this
Security Instrument, plus interest.
RESPA. The term "RESPA" means the Real Estate Settlement Procedures Act (12
U.S.C. Section 2601 et seq.) and its implementing regulations, Regulation X (24 C.F.R.
P2�rt 3500), as they might be amended from time to time, or any additional or successor
legislation or regulation that gaverns the same subjecf matter. As used in this Security
Instrument, RESPA refers to all requirements and restriction that are imposed in regard
to a Nfederally related mortgage loan" even if the Loan does not qualify as a"federally
related mortgage loan" under RESPA.
Security Ins#rument. The term "Security Instrument" means this document, which is
dated January 9, 2009.
Successor in Interest of Borrowe�. The term "Successor in Interest of Borrower"
means any party that has taken title to the Property, whether or not that party has
assumed Borrower's obligations under this Note and/or this Security Instrument.
II. TRANSFER 4F RIGHTS IN THE PROPERTY. This Security I nstrument secures to
Lender: (i) the repayment of the Loan, and all renewals, extensions and modifications of
the Note; and (ii) the performance of Borrower's covenants and agreements under this
Security Instrument and the Note. For this purpose, Borrower does hereby mortgage,
grant and convey to Lender the following described property located in the County of
Cumberland, Pennsylvania:

Curnberland County, Pennsylvania, bounded and described in accordance with a
survey by Gerrit J. Betz, R.S., dated July 23, 1971, as more particularly described as

BEGINNING at a hub on the northeriy side of Sycamore Circle at a corner of Lot
16, said point being measured along the said side of Sycamore Gircie the distance of
finro hundred and finro one-hundredths (200.02) feet from its point of intersection with the
side of Conodoguinet Drive; thence extending from said point of beginning and along
the northerly side of Sycamore Circle on the arc af a circle curving to the left having a

BEING known as No. 816 Sycamore Circle.
BEING the same premises which Allen G. Menke and Neita M. Menke, husband
and wife, by their deed dated July 29, 2004, granted and conveyed unto Shawn M.
Mistikin (said deed being filed of record with the Recorder of Deeds (�ffice of
Cumberland County, Pennsylvania simultaneously herewith).
UNDER AND SUBJECT, NEVERTHELESS, to all easements, rights-of-way,
conditions, restrictions and covenants of record.
TOGETHER WITN all the improvement now or hereafter erected on the
property, and all easements, appurtenances, and fixtures not own hereafter a part of
