LAST WILL AND TESTAMENT
OF
EMMA VIGNAPIANO
I, EMMA VIGNAPIANO, Cumberland County, Pennsylvania, being of
sound and disposing mind, memory and understanding, do hereby make, publish and
declare this as and for my Last Will and Testament, hereby revoking all other wills and
codicils heretofore made by me.
FIRST
I direct the payment of my debts and the expenses of my last illness and
funeral from my estate as soon after my death as conveniently may be done.
Further, in this connection, I authorize my personal representative to
expend funds from my estate, in such amount as my personal representative shall
consider necessary and desirable for the purchase, erection and inscription of a
suitable marker for my grave.
SECOND
I give, devise and bequeath to each of my surviving grandchildren,
$5,000.00. I give, devise and bequeath the rest, residue and remainder of my estate of
whatever nature or wherever situate as follows:
A) 75%) to my daughter JULIA; and,
B) 250/0 to my daughter-in-law, CAROL VIGNAPIANO.

Should JULIA or CAROL predecease me or fail to survive me by thirty (30) days,
then that heir's portion of my estate of whatever nature or wherever situate shall pass
to her surviving issue. Should both JULIA or CAROL predecease me or fail to survive
me by thirty (30) days, then the rest residue and remainder of my estate of whatever
nature or wherever situate shall be divided equally among my grandchildren that
survive me. In the event that a grandchild is a minor, then that grandchild's share shall
be placed in trust with his/her parents until such time as the child attains his/her
majority.
THIRD
I nominate, constitute and appoint my daughter, JULIA, as Executrix of
this my Last Will and Testament. Should my said Executrix fail to so serve for any
reason, I appoint ROBERT L. O'BRIEN, ESQUIRE, Executor of this my Last Will and
Testament. I relieve my personal representative from the necessity of posting security
in connection with her duties as such in any jurisdiction in which she may be called
upon to act insofar as I am able by law to do so.
FOURTH
In addition to the powers conferred by law, I authorize my Executrix in her
absolute discretion:
A. To retain in the form received, and to sell either at public or private
sale any real or personal property.

C. To invest and reinvest in all forms of property without being confined

to legal investments, and without regard to the principal of diversification.
D. To exercise any option or rights arising from ownership of
investments.
E. To compromise claims without court approval, and without the consent

SETTLEMENT AGREEMENT

between JULIA A. BEAM (Beam) and CAROL VIGNAPIANO (Vignapiano).

WITNESSETH
WHEREAS, Beam is the Executrix of the Estate of Emma Vignapiano (Estate); and
WHEREAS, Beam and Vignapiano are the only beneficiaries of the Estate; and
WHEREAS, Beam has filed a first and final account for the Estate with the Cumberland
County Register of Wills; and
WHEREAS, Vignapiano has filed objections to the account and proposed scheduled
distribution; and
WHEREAS, the parties have reached an agreement in order to resolve all issues in this
Estate and they desire to set forth herein their agreement with respect to that settlement.
NOW, THEREFORE, the parties in consideration of their mutual covenants herein
expressed and intending to be legally bound hereby, agree as follows:

Vignapiano hereby withdraws all objections she has filed to the accounting and schedule of
distribution in the Estate of Emma Vignapiano.

Beam shall pay to Vignapiano the following sums:
A. The sum of $14,262.64 to be paid in accordance with the schedule of
distribution filed in the Estate.
B. The sum of $20,000.00.
C. Twenty-five percent (25(%) of any monies remaining in the Estate of Emma
Vignapiano from the $750.00 reserved for account fees and additional
Register of Wills fees after payment of said fees.

Vignapiano hereby forever releases, compromises, settles and discharges any and all
claims, demands, actions or causes of action, legal or equitable, absolute or contingent,
which she may have against the Estate of Emma Vignapiano or against the Executrix, Julia
A. Beam, in her individual capacity and in her capacity as Executrix of the Estate of Emma
Vignapiano, by reason of any matter, cause or thing growing out of or relating to any
property or assets of the Estate or growing out of or relating to any act of the Executrix in
her administration of the Estate. This release shall release the Executrix from all liabilities,
whether due to her negligence or otherwise, which she may have by reason of her
administration of the Estate of Emma Vignapiano. This release shall not release the
Executrix from any claims relating to fraud or claims relating to any willful action on
behalf of the Executrix in failing to disclose or account for assets of the Estate which the
Executor may have received.

The parties agree that this release agreement may be filed with the Cumberland County
Register of Wills, and by the filing of this release agreement with the Cumberland County
Register of Wills the mentioned objections to the accounting and schedule of distribution
filed in the Estate of Emma Vignapiano are withdrawn and the court is authorized, without
any further notice to the parties or hearing whatsoever, to confirm the accounting and
schedule of distribution that has been filed.

I, EMMA VIGNAPIANO, Cumberland County, Pennsylvania, being of
sound and disposing mind, memory and understanding, do hereby make, publish and
declare this as and for my Last Will and Testament, hereby revoking all other wills and
codicils heretofore made by me.
FIRST
I direct the payment of my debts and the expenses of my last illness and
funeral from my estate as soon after my death as conveniently may be done.
Further, in this connection, I authorize my personal representative to
expend funds from my estate, in such amount as my personal representative shall
consider necessary and desirable for the purchase, erection and inscription of a
suitable marker for my grave.
SECOND
I give, devise and bequeath to each of my surviving grandchildren,
$5,000.00. I give, devise and bequeath the rest, residue and remainder of my estate of
whatever nature or wherever situate as follows:
A) 750/0 to my daughter JULIA; and,
B) 25010 to my daughter-in-law, CAROL VIGNAPIANO.

Should JULIA or CAROL predecease me or fail to survive me by thirty (30) days,
then that heir's portion of my estate of whatever nature or wherever situate shall pass
to her surviving issue. Should both JULIA or CAROL predecease me or fail to survive

nature or wherever situate shall be divided equally among my grandchildren that
survive me. In the event that a grandchild is a minor, then that grandchild's share shall
be placed in trust with his/her parents until such time as the child attains his/her

I nominate, constitute and appoint my daughter, JULIA, as Executrix of
this my Last Will and Testament. Should my said Executrix fail to so serve for any
reason, I appoint ROBERT L. O'BRIEN, ESQUIRE, Executor of this my Last Will and
Testament. I relieve my personal representative from the necessity of posting security
in connection with her duties as such in any jurisdiction in which she may be called
upon to act insofar as I am able by law to do so.
FOURTH
In addition to the powers conferred by law, I authorize my Executrix in her
absolute discretion:

I am writing to inform you of the resolution reached in the above-referenced
estate. The executrix of the estate, Julia Beam, and my client, Carol Vignapiano, who is
a residual beneficiary of the estate, have executed a settlement agreement which
ultimately disposes of the objections we filed to the first and final accounting.
By copy of this letter, I am providing Mr. O'Brien and Mr. Gilroy, who represent
the estate and the executrix, respectively, of this communication to the Court.
It is my understanding that Mr. Gilroy will be filing the executed agreement with

OBJECTIONS TO ACCOUNT
NOW comes the Petitioner, Carol Vignapiano, by her attorney, Nathan C. Wolf,
Esquire, and files these objections to the account filed by Julia A, Beam, executrix of the
Estate of Emma Vignapiano, deceased, representing as follows:
1. Petitioner is Carol L. Vignapiano, an adult individual residing at 77
Partridge Circle, Carlisle, Cumberland County, Pennsylvania 17013.

2. Decedent resided at 415 S. Broad Street, Mechanicsburg, Cumberland
County, Pennsylvania.
3. Decedent executed a last will and testament in Pennsylvania on August
11, 1999, while she was residing in Pennsylvania with her daughter, Julia A. Beam.
4. Said will provided, inter alia, for the appointment of Julia A. Beam as
executrix of the estate.
5. Decedent died on April 15, 2001, at 415 South Broad Street,
Mechanicsburg Cumberland County, Penrsylvania 17013.
6. Pursuant to the provisions of the will of the decedent, the petitioner is to
receive a twenty-five percent (250/0) share of the residuary of the estate.
7. The inheritance tax return filed by executrix includes, on Schedule G, the
value, of the real property as gifted by decedent prior to her death.
8. Executrix, acting in her capacity as power-ot-attorney for Decedent
conveyed Decedent's home to her granddaughter, Kerry L. Brumbach and her husband,
Troy D. Brumbach on or about December 12, 2000.
9. Executrix was without the authority to make an unlimited gift by virtue of
the authority of the power-of-attorney, and was, instead limited to gifts not to exceed
$10,000.00 per year per donee. This instrument was recorded with the Recorder of
Deeds at Book 662, Page 556.
10. Executrix was thus unable to make such a gift to Decedent's
granddaughter and her husband, and as such, the gift is void.
11. Thus, Executrix fails to account for the proceeds of the sale of the
property, along with the assets available for distribution, which result petitioner believes
is in error.
12. Petitioner believes and therefore avers that the proceeds of the sale of the
residence were excluded from the accounting and from the estate to avoid their
distribution in proportional shares to the petitioner.
13. Petitioner believes and therefore avers that the Executrix has attempted to
claim that the proceeds of the sale of Decedent's residence were transferred by
decedent to executrix before decedent's o3ath.
14. Petitioner believes and therefore avers that additional property or assets
may have been gifted under the authority of the power-of-attorney which were also void
and requests an opportunity to review and inspect such accounts.
WHEREFORE, Petitioner Carol L. '/ignapiano respectfully requests that this
Honorable Court appoint an auditor to examine the accounting and to resolve the
foregoing objections and, to permit discovery and a swift resolution in this matter, and
order any other relief as the Court deems appropriate.

7. Upon her receipt of the inheritance tax return filed by Executrix, petitioner
became aware that the valuations of the amount of personal property owned by the
decedent at the time of her death, were incorrect as compared to what she otherwise
believed them to be.
8. Petitioner has made several attempts through counsel to resolve the
apparent discrepancies in the information, but to no avail.
9. Petitioner initiates the instant action in the hopes that this issue will meet a
timely resolution and that the accuracy of the information purported on the inheritance
tax return will be verified, the whatever reasonable extent possible.
WHEREFORE, Petitioner Carol L. Vignapiano respectfully requests that this
Honorable Court issue Rule to Show Cause Why a Citation should not be issued upon
the executrix, Julia A. Beam, to permit discovery and a swift resolution in this matter,
and order any other relief as the Court deems appropriate.

EMMA VIGNAPIANO
I, EMMA VIGNAPIANO, Cumberland County, Pennsylvania, being of
sound and disposing mind, memory and understanding, do hereby make, publish and
declare this as and for my Last Will and Testament, hereby revoking all other wills and
codicils heretofore made by me.
FIRST
I direct the payment of my debts and the expenses of my last illness and
funeral from my estate as soon after my death as conveniently may be done.
Further, in this connection, I authorize my personal representative to
expend funds from my estate, in such amount as my personal representative shall
consider necessary and desirable for the purchase, erection and inscription of a
suitable marker for my grave.
SECOND
I give, devise and bequeath to each of my surviving grandchildren,
$5,000.00. I give, devise and bequeath the rest, residue and remainder of my estate of
whatever nature or wherever situate as follows:
A) 75% to my daughter JULIA; and,
B) 25% to my daughter-in-law, CAROL VIGNAPIANO.

Should JULIA or CAROL predecease me or fail to survive me by thirty (30) days,
then that heir's portion of my estate of whatever nature or wherever situate shall pass
to her surviving issue. Should both JULIA or CAROL predecease me or fail to survive
me by thirty (30) days, then the rest residue and remainder of my estate of whatever
nature or wherever situate shall be divided equally among my grandchildren that
survive me. In the event that a grandchild is a minor, then that grandchild's share shall
be placed in trust with his/her parents until such time as the child attains his/her
! majority.
THIRD
I nominate, constitute and appoint my daughter, JULIA, as Executrix of
this my Last Will and Testament. Should my said Executrix fail to so serve for any
reason, I appoint ROBERT L. O'BRIEN, ESQUIRE, Executor of this my Last Will and
Testament. I relieve my personal representative from the necessity of posting security
in connection with her duties as such in any jurisdiction in which she may be called
I, upon to act insofar as I am able by law to do so.
FOURTH
In addition to the powers conferred by law, I authorize my Executrix in her
absolute discretion:
A. To retain in the form received, and to sell either at public or private
sale any real or personal property.
B. To manage real estate.
C. To invest and reinvest in all forms of property without being confined
to legal investments, and without regard to the principal of diversification.
