To Husband: To my husband, Willis A. Halteman, if he survives me by 30 days. If he does not survive me by 30 days, I give all that property B. To Children: To those of my children who survive me by 30 days to be divided as they may agree. In the absence of agreement the division shall be made as my executor may think appropriate. My executor may choose for a minor child and distribute the property to the minor or to any person to hold for the minor. However, articles which my executor considers unsuitable for minors may be sold and the proceeds added to my residuary estate. ARTICLE IL Residuary Estate: I give the residue of my estate: A. To Husband: To my husband, Willis A. Halteman, if he survives me by 30 days; or, {f he does not survive me by 30 days, B. To Children/Descendants: In equal shares to those of my children who survive me by 30 days. However, if a child does not survive me by 30 days, but leaves descendants who survive me by 30 days, those descendants shall receive, per stirpes, the share the child would have received had he or she survived me by 30 days. ARTICLE III. Powers of Appointment: No provision of this will shall exercise any power of appointment I may have. Will Of Gladys I. Halteman G.I.H. � j Page 1 ° I TAX PROVISIONS ARTICLE IV. Death Taxes: All federal, state and other death taxes payable because of my death on the property forming my gross estate for tax purposes, whether or not it passes under this will, shall be paid out of the principal of my probate estate so that the burden falls on my residuary estate. None of those taxes shall be charged ARTICLE V. Tax Options: I authorize my executor to exercise any options available in determining and paying any taxes in my estate, and to allocate my generation-skipping tax exemption. These decisions may be made without requiring adjustments between income and principal. The decision of my executor shall be conclusive upon all persons concerned. ARTICLE VI. Beneficiaries Under 21: Any property passing under this will to a person under 21 years of age shall be paid to his or her parent as custodian for that beneficiary under the Uniform Transfers to Minors Act of Pennsylvania. If his or her parent for any reason fails to qualify or ceases to act as custodian, my executor shall appoint the custodian in his or her place. ARTICLE VII. Protective Provision: To the greatest extent permitted by law, before actual payment to • beneficiary or to his or her account no interest in income or principal shall be assignable by • beneficiary or available to anyone having a claim against a beneficiary. ADMINISTRATIVE PROVISIONS ARTICLE VIII. Management Provisions: I authorize my executor to: A. Retain/Invest: Retain and invest in any form of real or personal property anywhere which, in my executor's opinion, is appropriate for my estate, without being required to diversify; B. Compromise: Compromise claims and abandon any property which, in my executor's opinion, is of little or no value; Will Of Gladys I. Halteman G.I.H. Page 2 C. Borrow: Borrow from anyone and pledge property as security for repayment of any funds borrowed; D. Sell/Lease: Sell at public or private sale, exchange, lease or lend for any period of time, any real or personal property, and give options for sales or leases; E. Capital Changes: Join in any merger, reorganization, voting-trust plan or other concerted action of security holders, and delegate discretionary duties with respect thereto; F. Distribute: Distribute in cash or in kind and allocate specific assets among the beneficiaries (including any custodianship) in such proportions as my executor may think best, so long as the total market value of any beneficiary's share is not affected by such allocation. The powers, authorities and discretion given under this document shall be in addition to those granted by law, shall continue until the distribution of the property, and shall be exercisable without court authorization. Any discretion under this will - if exercised or not exercised in good faith - shall be conclusive upon all persons concerned. ARTICLE IX. Miscellaneous: If my spouse and I die under such circumstances that it is impossible to determine which of us survived, it shall be conclusively presumed and this will shall be construed as if my spouse had survived me. FIDUCIARIES ARTICLE X. Executor. I appoint my spouse, Willis A. Halteman, executor of my will. If my spouse fails to qualify or ceases to act, I appoint Alvin W. Halteman and Esther Mae Reinford, or the survivor of them, executor. 1 direct that: A. Resignation: Any executor may resign at any time without court approval. B. Successor Fiduciary: If for any reason and if at any time a further successor or an additional executor is needed, the last executor in office shall have the right to nominate one or more individuals and/or a corporate fiduciary (such as a bank or trust company) as an additional or successor executor. C. Gender/Plural: Wherever appropriate, the masculine gender may include the Will Of Gladys I. Halteman G.I.H. S Page 3 feminine or neuter, and the singular may include the plural, and vice versa. D. Bond- No executor shall be required to give bond or security in any jurisdiction. E. Compensation: Any corporate executor shall receive compensation in accordance with its standard schedule of fees in effect while its services are performed. No individual executor who is a beneficiary under this document shall receive compensation but shall be compensated for any out-of-pocket expenses incurred.
