4. The Decedent was survived by Smith, the Decedent's sister and his only sibling.
5. Pursuant to a Pre-Nuptial Agreement executed by and between the Decedent and
Tykhonova on September 7, 2010, Tykhonova agreed to waive, release, and relinquish any and
all rights to inherit from Decedent's Estate. See Pre-Nuptial Agreement by and between Robert
A. Adler and Natalia Tykhonova, a true and correct copy of which is attached hereto as Exhibit
"1", at Paragraph 6(a).
6. As a result of the Pre-Nuptial Agreement, Smith became the sole beneficiary of
Decedent's Estate under the intestate laws of Pennsylvania. See 20 Pa.C.S.A. §2103.
7. By the tenns of the Pre-Nuptial Agreement, Tykhonova also "waived, released
and relinquished ... the right to act as executor, administrator or personal representative of
[Decedent's] estate." See Pre-Nuptial Agreement at Paragraph 6(a).
8. Nevertheless, on February 24, 2012, Tykhonova filed a Petition for Grant of
Letters of Administration and was granted Letters by the Register of Wills of Cumberland
County by decree dated February 29, 2012. The Estate is indexed at No. 21-12-252.
9. In light of the above provision of the Pre-Nuptial Agreement and as the sole
intestate heir and beneficiary of the Decedent, however, Smith would have a statutory and
judicial preference to serve as Administratrix of the Estate by virtue of 20 Pa. C.S.A.
§3155(b)(3) and caselaw. See Reamer's Estate, 315 Pa. 148, 172 A. 655 (1934)(one who has no
financial interest in an intestate estate has no standing to petition for letters or to nominate an
administrator for it).
10. On or about July 6, 2012, Smith and Tykhonova entered into an Agreement
(hereinafter"Settlement Agreement") in which Tykhonova agreed, inter alia, "not to contest the

Pre-Nuptial Agreement in exchange for a portion of the assets of the Estate." A true and correct
copy of the Settlement Agreement is attached hereto as Exhibit "2".
11. The Settlement Agreement recited Tykhonova's conflict of interest in"entering
into this Agreeinent in her capacity as Administratrix of the Estate of Robert A. Adler and also as
a beneficiary of the Estate."
12. The Settlement Agreement acknowledges that Smith had been made the sole
beneficiary of the Estate as a result of the Pre-Nuptial Agreement.
13. In Paragraph 2 of the Settlement Agreement, Tykhonova and Smith purportedly
"agree to divide the assets of the Estate." However, as set forth below, such"agreement"was
illusory.
14. As Administratrix, it was one of Tykhonova's primary duties to gather, collect,
and inventory all of the Decedent's assets. See 20 Pa.C.S.A. §3301, 3311.
15. Pursuant to Paragraph 2 of the Settlement Agreement, Smith was intentionally led
to believe that she and Tykhonova were agreeing to divide the total assets of the Estate based
upon Tykhonova's false representations and a listing of assets of the Estate provided by
Tykhonova.
16. Paragraph 2(A) of the Settlement Agreement directs that Smith shall receive the
assets as set forth therein, including"all of the assets set forth on Exhibit "A"" attached to the
agreement, which included a substantial portion of the personal property of the Decedent and
Adler family heirlooms. Smith was also to receive certain cash payments, several of Decedent's
vehicles, a boat,jewelry, silver and guns.

17. Tykhonova, however, has failed and/or refused to distribute assets to Smith and
has repeatedly breached the Settlement Agreeinent and has rendered the Settlement Agreement
null and void, including by:
a. Failing to disclose, concealing and/or removing substantial assets of the
Decedent;
b. Failing to distribute to Smith "all of the assets set forth on Exhibit A"to the
Settlement Agreement as required by Paragraph 2(A)(i);
c. Failing to disclose, removing and/or concealing numerous items of personal
property, including household furnishings and furniture listed or that should have
been listed on Exhibit "A" to the Settlement Agreement;
d. Failing to pay Smith the sum of Fourteen Thousand Dollars ($14,000.00) as
required by Paragraph 2(A)(iii);
e. Failing to turn over to Smith all of the vehicles listed in Paragraph 2(A)(iv); and
f. Failing to distribute to Smith "all jewelry", "all silver" and "all guns" as required
by Paragraphs 2(A)(vi), (vii) and (viii).
18. More importantly, as will be set forth in detail below, Tykhonova purposefully
failed to disclose and concealed and/or removed and/or disposed of substantial assets of the
Estate and misrepresented her entitlement to assets, including assets that should have been
divided in the Settlement Agreement and/or assets that rightfully belonged to Smith.
19. Tykhonova filed the Inventory for the Estate on February 13, 2013 which she
verified as including"all of the personal assets wherever situate and all of the real estate in the
Commonwealth of Pennsylvania" (the "Inventory"). The Inventory included, inter alia, the
Decedent's primary residence. The Inventory also included appraised personal property with a

stated value of$82,300.00 based upon an appraisal of June 27, 2012 (hereinafter the
"Appraisal"), all of which rightfully belonged to Smith as sole beneficiary of the Estate and/or
pursuant to the Settlement Agreement. Moreover, the Appraisal was not complete in that, upon
information and belief, Tykhonova removed and/or concealed items of Decedent's personal
property. A true and correct copy of the Inventory is attached hereto as Exhibit"3".
20. The Inventory included additional assets that were unknown to Smith and had not
been disclosed to Smith by Tykhonova as part of the assets to be divided in the Settlement
Agreement, including an Integrity Bank Certificate of Deposit with a value of$156,526.71 and
various bank accounts (Metro Bank, Members 1 S` and M&T) with a combined value of
$44,588.09 (hereinafter the "Undisclosed Assets").
21. Smith was not provided with a copy of the Inventory.
22. On the same date, February 13, 2013, the Pennsylvania lnheritance Tax Return
was filed which reflected "Total Gross Assets" of$1,164,850.00 and a Net Value of
$910,254.00. The Inheritance Tax Return similarly reflected the existence of the Undisclosed
Assets plus several other assets previously unknown to Smith and not disclosed by Tykhonova.
A true and correct copy of the Inheritance Tax Return is attached hereto as Exhibit"4".
23. Schedule E of the Inheritance Tax Return (Cash, Bank Deposits, and
Miscellaneous Personal Property) makes reference to the appraisal of personal property dated
June 27, 2012 attached to the Tax Return as Exhibit "B". Exhibit "B" is an itemized list of
personal property with a stated appraisal value of$82,300.00, all of which would have belonged
to Smith as sole beneficiary of the Estate and all or some of which should have been distributed
to Smith pursuant to the Settlement Agreement.

24. Of particular note on the Inheritance Tax Return, Schedule J (Beneficiaries) lists
Tykhonova as beneficiary of the "Remainder Estate"referencing the Settlement Agreement,
Exhibit J. However, Smith is listed as beneficiary referencing not the Settlement Agreement, but
some sheet of paper labeled as Exhibit K that purports to be "Property to be Distributed to Stacy
Adler Smith Pursuant to July 6, 2012 AgreemenY'. This otherwise unidentified paper completely
eliminates the items of personal property belonging to Smith as designated by Exhibit A of the
Settlement Agreement and/or as set forth in the Appraisal, and fails to list other valuable assets
required to be distributed to Smith.
25. Smith was not provided with a copy of the Inheritance Tax Return or with a copy
of`Bxhibit K".
26. Having fraudulently failed to disclose and concealed and/or removed assets from
the Estate, Tykhonova inserted Paragraph 2(B) into the Settlement Agreement that states:
The remainder of the assets [including Decedent's primary residence]
shall remain with the Estate to be distributed by [Tykhonova] as she
determines, in her sole discretion.
27. Even more problematic, paragraph 2(B)(ii) of the Settlement Agreement declares:
The Morgan Stanley IRA Account reflected in the attached Exhibit
"B" naming [Tykhonova] as the beneficiary thereof shall be
excluded as part of the above division and shall remain
[Tykhonova's] separate asset, whether the funds are ultimately
paid to [Tykhonova] as beneficiary or to the Estate as beneficiary.
28. Tykhonova, however, was not named as beneficiary of the Morgan Stanley IRA
Account (hereinafter"IRA"). The account statement did NOT list Tykhonova as beneficiary. The
account statement attached as Exhibit "B"to the Settlement Agreement and also attached and
referenced in the Inheritance Tax Return clearly names "Stanley Adler" as "Primary
Beneficiary" with no contingent beneficiary. Stanley Adler is Decedent's deceased father. Upon

information and belief, there was no change in beneficiary. As such, the IRA would go to the
estate of Stanley Adler or, failing that, to the Decedent's Estate.
29. Furthermore, the Pre-Nuptial Agreement specifically provides that the IRA shall
remain the separate property of Robert A. Adler. See Pre-Nuptial Agreement at¶5(c).
Tykhonova specifically waived "any and all rights" to the IRA including"any rights as a
surviving spouse or beneficiary thereunder." Id. Moreover, Tykhonova consented to "the
imposition of a constructive trust on any funds received from the [IRA] plan,"with such funds
being returned to their rightful owner. Id.
30. Thus, directly contrary to Tykhonova's representations in paragraph 2(B)(ii) of
the Settlement Agreement, she was not the named beneficiary of the IRA and the IRA was not
her"separate asset" that should have been excluded from the division of assets. The facts are that
Tykhonova had no right at all to claim the IRA and must immediately return any IRA funds she
has received.
31. By virtue of the false representations in paragraph 2(B)(ii), Tykhonova committed
another fraud upon Smith, as well as the Decedent's Estate and/or the estate of Stanley Adler in
misrepresenting and claiming ownership of the IRA funds.
32. Schedule"G" (Transfers) of the Inheritance Tax Return indicates that the full
amount of the IRA funds, $322,700.51 plus an additional previously undisclosed Primerica IRA
of$12,024.59, was fraudulently transferred to Tykhonova. This total amount of$334,725.10 is
listed on the "Recapitulation"page of the Inheritance Tax Return under "Inter Vivos Transfers".
33. Thus, contrary to Tykhonova's representations that the Settlement Agreement was
dividing the totality of the Estate assets, Tykhonova falsely claimed entitlement to the IRA and
concealed and failed to disclose the existence of a substantial number of Decedent's assets with a

value of approximately$235,000.00, including the Integrity Bank Certificate of Deposit worth
$156,526.71, the Primerica IRA of$12,024.59 and various bank accounts totaling $44,588.09.
34. Smith only recently learned of the additional assets upon finally receiving a copy
of the"Financial Disclosure of Robert A. Adler" that was an attachment to the Pre-Nuptial
Agreement. A true and correct copy of the Financial Disclosures for both Tykhonova and the
Decedent which were attached and made part of the Pre-Nuptial Agreement are attached hereto
and collectively marked as Exhibit "5".
35. Tykhonova knew that Smith was justifiably and specifically relying upon her
false representations that all of Decedent's assets were being addressed and distributed in the
Settlement Agreement and that Smith would be caused great harm by such reliance.
36. Tykhonova knew that Sinith was justifiably and specifically relying upon her
false representations that she was the true beneficiary of the IRA and that the IRA must be
excluded as part of the Settlement Agreement's division of assets. She further knew that Smith
would be caused great harm by such reliance.
37. Based on the Inventory, the Inheritance Tax Return, and the Financial Disclosures
attached to the Pre-Nuptial Agreement, Tykhonova intentionally concealed and/or excluded
assets from the Settlement Agreement for her own personal benefit and for the purpose of
deceiving and defrauding Smith.
38. The Settlement Agreement is a voidable and now unenforceable contract based on
the fraud and misrepresentations of Tykhonova. See In re: Estate of Lon�, 615 A.2d 421 (Pa.
Super. 1992); Restatement (Second) of Contracts § 380.

39. Without the Settlement Agreement, Smith is restored to her capacity as sole
beneficiary of the Estate. As such, Smith is entitled to distribution of all assets of Decedent's
Estate, including Decedent's primary residence.
40. The"interests of the estate"have been jeopardized and the rights of Smith to take
as sole heir have been emasculated by Tykhonova's fraudulent misrepresentations and
concealment of Estate assets, by the fraudulent Settlement Agreement and by her failure to
properly perform her fiduciary duties as Administratrix.
41. Tykhonova also fraudulently induced the Register of Wills to grant her Letters of
Administration by concealing and failing to disclose the contents of the Pre-Nuptial Agreeinent.
42. Pursuant to 20 Pa.C.S.A. §3181(a): "the register may revoke letters of
administration granted by him whenever it appears that the person to whom the letters were
granted is not entitled thereto."
43. The PEF Code prescribes that no person shall be qualified to serve as personal
representative who is unfit to be entrusted with the administration of the estate. See 20 Pa.C.S.
§3156(3); �, L. Brooks, Appeal from Re is�ter., 2013 Phila. Ct. Com. Pl. LEXIS 82 (Phila.
2013).
44. Petitioner submits that Tykhonova is not entitled and is not fit to serve as
Administratrix and that the proper administration of the Estate will be further jeopardized if the
Letters of Administration are not immediately revoked.

WHEREFORE, Petitioner, Stacy Adler Smith, respectfully requests that the Letters of
Administration granted to Nataliia Tykhonova Adler should be revoked, ab initio, and that
Letters of Administration be issued to Petitioner, Stacy Adler Smith.

this Pren�tptial Agreement and their legal effect fully explained to them before its execution.
Natalia has been advised of her right to obtain indcpendent legal counsel to represent her in tha
preparation and execution of this Prenuptial AgreemenL How�ever;Natalia has chosen to not
� � seek legal advic�and to remain unrepresented for the preparadon and execution. Natalia
� 'understands Attomey Kissinger represents only Robert in the preparation and execution of this
Prenupdal Agrc�ncn� Neveriheless,Natalia�knowledges she has read and fully understands
the provisions of this Prenupdal Agreernent and the legal effect upon both parties. The parties
further ackrwwledge each was provided a copy of this Prenupdal Agreement and all exhibits
sufficiently in advancc of the execudon date hereof to se�k and obtain independent legal advice.
(b) Each party uaderstands that,in the absence of this Prenuptial
Agreement,upon their marriage:
� (i) He or she might, as a rnatter of law,be entitled,as the
surviving spouse of the other party,to recaive,on the other party's death,a share of the decedent's
� real and personal estate and that the sharc to which the survivor would be entitled tnight be more
{ or loss than the amount providcd for under this Prcnuptial Agreement;

Notwithstanding the foregoing, each party accepts and agrecs to be bound by the
provisions of this Preuuptial Agreement in lieu of any right he or she might have against the
other arising out of thcir marital relatior�ship or othetwise,

2. �ULL bISCLOSURE.
(a) Natalia has made.a full and fair disclosure to Robert of her
financial worth, inclucli.ng assets, incomc and liabilitics,and attached hereto and rnade a part
hereof as Exhibit "A"is an itemi2adon of same as close to the date of execution of this prenuphal
Agreement as reasotiably possible. Robert acknowledges some of Natalia's assets may not be
susceptible to precise valuation,and ho furthcr acknowledgcs thc values reflected on Exhibit"A"
are bated,variously,upon appraisals,purchase prices or estimations of values,but due to the
current economic climate,the nature of the assets and other cir�cumstances,precise valuation
cannot bc guaranteed. Further,w}iere assigaed values arc based upott�appraisals/valuations, each
P�Y�lcnowledges cxpert valuators can have substantial disagrecinent as to t�ie fair market
valuc of any such assets. Natalia may havc other miscella�eous assets not specifically reflected
. on Exhrbit"A"but which�do not�materially cf�'ect Natalia's nct wprtb. Robert acknowledges
� that,prior to the execution ofthis Prenuptial Agreemcnt,he was givett ample o�pvrhmity to
conduct addidonal investigation of Natalia's asscts,income and liabilities in any manner he
wishcd, including obtaining fotmal appraisals,and including all means of discovery authoriud

fuiancial worth, inciuding assets,income and liabilities,and attached hereto and made a part
hereof as Exhibit"B"is an itemization of same as close to the date•af execution of this Prenuptial
Agreement as rcasonably possible. Natalia acknowledges some of Robert's assets, including,but
not limitod to,his business interest,may not be susceptible to prcciso valuation,and she further
acknowledges the values reflected on Exhibit"B"ere based,variously,upon appraisals,ptu�chase
prices or estimations of value, but due to the current economic climatc,the naturc of thc assets
and other circumstance.s,pt�ecise valuation cannot be guaranteed. Further,where assigned values
are based upon appraisals/valuations, each party acknowledges expert valuators can have
substantial disagreement as to the fair markci value of any such assets. Robert may havc other
miscellaneous asscts not reflectcd on Exhibit"B"but which do not materially effect Robert's net

benefits of each party under atty pension,profit sharing, deferred compensation,401(K),Keogh,
IRA,employee benefit,stock option or any other retirement plan or deferred benefit plan
(whother or not the same is a"qualificd"plan under the Intemal Revenue Code)(hereinafter
"retirement plan"or"retirement benefits"),whether acquired before or after the date of marriage
of the parties,is and shall be the separate property of thc plan participant or owner and is not and
shall not become marital property,community Property or quasi-community Property�without
rcgard to whcre the parties may residc. It is the intention of the partics that by this Prenuptial
Agreement cach is specifically waiving any and all rights cither may have or acquire in any Such
retirement plan,including any increase in value thereof(including but not limited�to any increase
caused by con�ibution made after the date of marriage)and,except as set forih in paragraph 6,

wifiessed by a plan administrator or a notary public. Should a party fail,for any reason,to
executc such waiver or thereafter fsil to immediately disclaim any resuldng surviving spouse
benefits received or othorwise entiticd to be received after the plan participanYs death,or fail to
disclaim any other rights under any such plan to such bencfits,and this Prenuptial Agreement is

not othcrwise upheld so as to constitute an ef�'ective waiver of that party's rights,that party
consents to the imposition of a consUuctive trust on any funds received from the plan as a result
of his or her failure to execute thc waiver,with such funds to be retumcd to the pecson who
otherwise would receive such payments or,if no such person eacists,to the deceased participant's
estate.
6. �ROVISTON�1N THE EVENT OF DEATH. .

� otherwise,includIng without limitation,pretermitted spouse sharc,homestead property,exempt
ProPertY,inchoate interest,dower,curtesy, family allowance,the right to take in intestacy,any
rights of surviving spouse to take against the other's will or against any conveyance made by the
othcr party, the right to act as executor,administrator or personal representative of the other's
estate and any other similar rights grantcd to hlm or her by the laws of the Commonwealth of
Pennsylvania or by the laws of any other jurisdicdon which may be applicable.
(b) �1nt pwned Pro�e�y►. If either party dies while the parties are
rnanied to each other and not separatcd as defin�d herein, all jointly owned property as set forth
in paragraph S{b)(ii),supra,shall pass to the surviving spouse.

(c) Subsequent Wilk. If either party dies while the parties are
married to each oth�r and not separated as defined herein,the provisions of this paragraph sha�l
not affect the right of either party to provide for the other as he or she may see fit by Wiil or other
bequest executed after the date of execution of this Prenuptial Agrcement,which results in
property interests in addition to those contemplated by this Preuuptial Agreement,or to appoint
him or her as executor,nor shall this Prenuptial A.greetnent bar either party from serving as
execuior in the event of such appointment by the other aftcr the date of execution of this
Prenuptial Agreement,nor shall it operate to bar any survivorship rights of either party in any
jointly-held property acquired af�er the datc af exeaution of this Prenuptial Agreement. Nothing
herein contained shall be deemed to constitute a waiver by either party of any bequest or legacy
greater than as provided for in this Prenuptial Agrecment which may be lef�to him or her by any

Robert and Natalia arc married io each other and not separated. In the event that one party dies
after separation as de£uied hercin,then the provisions of paragraph 7 of thls Prenuptial
Agreement relating to separation or divorce shall be controlling.

(t) Marital Residence Owned by I2obert. Robert cuirently
owns real estate situated at 2930 Aicona Road,Mcchanicsburg,PA 17055,where both parties
presently reside. The parties intcnd to make this property their primary marital residence. If at
the time of the partics' separation as defined herein,the property which is the parties' primary
marital residcnce is titled in R,obcrt's name alone, then unless othecwisc agreed in writing by the
parties,Natalia sha11 vacate the msidcnce within thirty(30)days of the date of separation,
Thereafter, Robert shal! be the sole owncr of the property free from any right, title,claim or
interest of NataIia.
(ti) �arital Residen�ce Owned by talia . If at the time of

residence by paying to her a sum cqua!to fifty percent(SO'/o)of thc then net equity(fair marlcet
value less all initial contributions&om the separate assets of each of the pazties to the acquisition
of thc Marital Residence, less any morigages or liens),said payment to be made in fu]1 within
sixty(60)days of R.oben's exercise of the buy-out oprion. If Robert does not exercise his buy-

realtor,with the net proceeds to be divided cqually between the parties. Fair marlcet value,in tho
absence of a sa1c,or listing price in the cv�nt of sale,shall be as agrecd upon by the parties or,
upon failw�e to agree,cach party shall obtain an appraisal of the proPertY and,if thc two •
. �ppraisals are within 20%of each other,then the fair market value•or list pricc of the prop�rty�

term is defined herein,and an action for divorce is initiated by one of the parties,Robert agrees
to pay to Natalia,as and for equitable distributioa,the lump sum of Fifteett Thousand Dollars
{$I5,040.00). Said lump sum payment shall be pa.id to Natalia no later than thirty{30)days after
a divorcc decree is cntcrcd by a court. Robert hereby waives,relinquishes and releases any and
all interest in and to thc FiRcen Thousand Dollar($15,000.00)cquitablo distn'bution payment to
Natalia,including,but not limited to,any interest or eamings thereon or any property acquired
therewith.
Furthermore,after the parties many, but in no event latcx than thirty(30)days from the
date of exccution of this Prcnuptial Agreement,Robcrt.ag�rccs to transfer to Nataiia title and
ownership to his 2005 Ford Mustang automobilc. In the event the padics scparate as that term is
. defined hercin,and an action for divorce is initiatcd by one of the parties,Robert agrees Natalia
. � shall receivc,�s and for equitable distribution,ownership of his 2006 Ford Mustang automobile.
Natalia will receivc said vehicle along with all rights under any insurance policies thereon and
with all responsibility for payment of any outstanding indebtcdness pertaining thcreto and
insurance thereon,frec of any and all right,title,c1alm or interest of Robert. Robert and Natalia
will cooperate with one another in effectuating the transfcr of titles and insurance to effectuate
this paragraph.
(e) Qther Progg�ty. Except as specifically provided for herein,in thc
event of a separation of the parties or divorcc as defined in this Prenuptial Agrcemcnt,all
sepazacc property of Robert(as defined in paragaph 5 herco� includ�ng all property titled in
Robert's separate name,or acquired by him or with his assets or his income if untitled,inciud'wg

Robert's business intcrest,shall belong to Robcrt free and clear of any claim by Natalia except
assets titled jointly. In the event of a separation of the parties or divorce as defined in this
Prenuptial A�ement,all scpar�ate property of Natalia(as defined in paragraph 5 herco fl
including all property titled in Natalia's separat�name,or acquired by her or with her assets or
her incume if untitled, including any business interest,shall belong to Natalia free and clear of
any claim by Robert except assets titicd jointly. The net equity of any pr•operty titicd jointIy in

(a) Except as may be provided in thi�Prenuprial Agreement,each

any elaim which he or she may have or may acquire by reason of the contemplated marriage in
any pmperty of the other party,including,without limitation,any claim or right of dower or
curtesy or in the nature thereof,any claim or right to a distribudve sharc,widow's or widower's
allowance,family exemption,any claim or right to a share of the benefits payable(including

� � 14. p�FINITIOTTS. For purposes of this Prenuptiat Agree�nent,the �
following terms shall be dcfined as set forth below:
(a) e ar o . A "separation"of the partios shall be deemeci to ha�e
occurrtd upon the datc of dolivery of written notice by one of the parti�s to the othcr that he or
she intends to separate and to invoke the provisions of this Agreemen� In the absence of written
notice,a separauon of the parties shall be decmod to have occun�ed upon tbc expiration of a
period of thiriy(30)days during which the parties were continuously living separate and apart
from one another,such that the thirty-first day shaIl be deemed to be the separation date, except
with respect to any separation which is causcd by vacation or busincss travel, the hospitalization
of elther party or the admission of either party to a nursing home or other similar institution.

Notwithstanding the foregoing,separation shall be deemed to have occurred, if not
alr�ady establishcd,not later than the date on which either party Sles and serves a divorce
complaint against the other.
(b) ivorce. A "divorce"shall be deemcd to have occurrcd at such
time as there is in effect a final decree of divorce with respect to which any appeal period has
expired or from which no further appeal may be taken.
(c) o e . The term"property"as used in this Prenupfial
Agreement shall mean any and/or all real or personal properly of any naturc whatsoevar,tangiblo
or intangible,now titled to or otherwise owncd(hereinafter"owned"or"acquired")by a pariy,or
owned by a party at the time of their marriagc or which may thereafter be acquired by a party,
including,without iimitation,any.intcrest in such property,whether held at right or in tnst,
• pre.scnt or future,vested or contingent,legal or oquitable;�any inc:ome generatcd by such
.' properiy;any property acquircd in exchange thcrefor,any appreciation or increasc in value wluch
may occur in such pmpctty after the date of thc p�tties'marriage or aft�r thc date of the
acquisition of such property; any and all accrued and future interests in any retirement,dcfernxi
compensation or similar plans;any gifts or inheritances;and all income and esrnings of each
party. Furtharmore, such term shall also include,without limitation,all ownership interest now
or which may hereafter be held by either party in any business,corporation,partnership,limited
partnership,limited Iiability company or other busincss entity.

(d) Uate ot Execatioa. Thc"ciatc of execution" or"execution date"of
this Prenuptial Agrecment shall be de�mcd to be the date on which it is signed by both parties if
tl�cy sign on the same date. I��the partics do not cxccute the Prenuptial Agrcemcnt on the same
datc,then the"date of e�cecution" or"cxccution date"sha11 be the date thc Prcnuptial Agre.ement
was signed by thc lasi party to execute the Prenuptial Agreement.
Il. �NTEGRATION, This Prenuptial Agreement constitutes the entire
understanding of the parties and supersedes any and all prior agrecments and negotiations

pnenuptial Agreemeat shall remain in full force and�ffect and shall not be abrogatcd upon any
reconciliation after separation or rcmarriage to each other after divorce. No modification or
waivcr of any of the terms h�reof shall be valid unlass in writing and signcd by both parties,and
no waiver of any breach hereof or default hereundcr shall be deemed to bc a waivcr of any othcr
defauit of thc same or similar nature. The faiIure of either party to insist upon strict perfomiancc
of any of the provisions of this Prenuptial Agreement shall in no way affect the right of such
Party thereaftcr to cnforce the samc,nor shall it be construed as a waivei of strict performance of
any other obligations herein.

Tn th�event Robert seeks to set aside any provision of this Prenuptial Agreement or
challenges this Prenuptial Agreemeni or any provision hereof in any proceeding,or asserts any
claim waived by the terms of this Prenuptial Agreement,or seeks in any manner relief in cxcess
of that provided by this prenuptial Agrcement,and Natalia retains counsel to defend the teims of
this Prenuptial A.greement,Robert shall pay all of Natalia's reasonable counsel fees and costs
incuircd in such defense,whether succcssful or unsucccssful,and Natalia may, in addition to any
other remedy,set of�any suah amount against any obligation to Robert.
The party challcnging the Prenuptial Ag�eement shall,uo later than thc datc of filing the
first document chall�nging the agreetiient in any court,advance to the other party,the sum of Ten
Thousand Dollars($.10,044.00)in attotnoys' fecs.
20. �REACH AND EIV�ORCEN�ENT. Tf either pariy initiates any legal

(30)days of service of any such acdon,to have such disputc resolved by binding arbitration.The
arbitrator shall be an attorney licensed to practice law in the Commonwealth of Pennsylvania
who is a Fellow of the American Academy of Matrimonial Lawyers and who has been ccrtified
by the AAML as having successfully completed the AAMV's training program for matriin,otusl
arbitr�rion,selected by agreemcnt of the parties,or,upon their failurc to ag,ree,by the President

AGREEMENT
This Agreement is made this ��day of_ ��'`j , 2012, by and between
NATALII ADLER, in her capacity as Administratrix of the Estate of Robert A. Adler and also as
beneficiary of the Estate (herein "Adler") and STACY ADLER SMITH (herein"Smitli").
WHEREAS, Robert A. Adler,husband of Adler and.brother of Smith, died intestate on
February 20, 2012,a resident of Cumberland County, Pennsylvania;
WHEREAS,Letters of Administration were granted to Adler by the Register of Wills of
Cumberland County, Pennsylvania(Estate No. 21-12-252);
WHEREAS,Adler is entering into this Agreement in her capacity as Administratrix of
the Estate of Robert A. Adler and also as beneficiary of the Estate;
� , •WHEREAS, Robert A. Adler died leaving no living children, parents or siblings other
than Smith;
WHEREAS, Robert A. Adler and Adler executed a Pre-Nuptial Agreement under
circumstances that the parties are not desirous of litigating including being presented with the
Pre-Nuptial Agreement without counsel under circumstances of duress only two days befQ�e the
wedding whereby Adler purportedly agreed to waive her rights to inherit from Robert A. Adlaz�''s
Estate, rr�aking Smith the sole beneficiary of the Estate of Robert A. Adler, Deceased (the
"Estate"); and
WHEREAS,Adler has agreed not to contest the Pre-Nuptial Agreement in exchange for a
portion of the assets of the Estate and Smith is not desirous of litigating the validity thereof.

NOW THEREFORE, with the intent to be legally bound hereby,the parties, for and in
consideration of the mutual promises, covenants and conditions herein set forth and for other
good and valuable consideration, receipt of which is hereby acknowledged, covenant and agree
by and among themselves as follows:
1. The recitals set forth above aze hereby incorporated into this Agreement by
reference and constitute a part thereof.
2. Adler and Smith agree to divide the assets of the Estate as follows:
(A) Smith shall receive the following:
(i) All of the assets set forth on Exhibit"A", which assets shall be
distributed to Smith immediately upon the signing of this Agreement, or at such later
� 'date as Smith shall decide iri her sole discretion. � . �
(ii) The sum of One Hundred Fifteen Thousand ($115,000.00) Dollazs
payable at the time of the signing of this Agreement.
(iii) The sum of Fourteen Thousand ($14,000.00)Dollars payable at the
time of the closing of the Estate.
(iv) The following vehicles, the titles of which shall be transferred
to Smith at the time of the signing of this Agreement:
(a) 1978 Chevrolet Camaro
(b) 1988 Chevrolet Blazer Silverado
(c) 2000 Corvette convertible

(d) 2006 Ford Mustang GT
(v) The cigarette boat, which shall be transferred to Smith at the time of
the signing of this Agreement, or at such later time as she shall determine in her sole
discretion.
(vi) All jewelry
(vii) All silver
(iv) All guns
(B) The remainder of the assets shall remain with the Estate to be distributed
by Adler as she determines, in her sole discretion. These assets include, but are not
- ' limited to: � ' '
(i) The primary residence situate at 2930 Arcona Road, Mechanicsburg,
PA 17055, which property is presently encumbered by a mortgage.
(ii) The Morgan Stanley IRA Account reflected in the attached Exhibit
"B"naming Adler as the beneficiary thereof shall be excluded as part of the above
division and shall remain Adler's separate asset, whether the funds are ultimately paid
to Adler as beneficiary or to the Estate as beneficiary.
3. The Estate shall be responsible for payment of all inheritance tax, if any,which
may be due.

4. Adler acknowledges that she has been advised by Butler Law Firm to retain an
attorney to review this Agreement.
5. This Agreement shall be binding upon and inure to the benefit of the parties hereto,
their respective personal representatives and assigns.
6. This Agreement and any accompanying instruments and documents represent the
entire transaction between the parties hereto, and there are no representations, warranties,
covenants or conditions except those specified herein or in the accompanying instruments and
doeuments.
7. This Agreement may not be modified or terminated orally, and no modification,
termination or attempted waiver shall be valid unless in writing signed by the party against
whom the same is sought to be enforced.
8. This Agreement may be executed simultaneously in two or more counterparts, each
of which shall be deemed an original, but all of which shall constiiute one and the same
instnunent.
9. This Agreement shall be construed according to the laws of the Commonwealth of
Pennsylvania in effect as of the date of the execution of this Agreement. �
10. All covenants, warranties and representations herein set forth sha11 survive this
Agreement.
1 l. Smith acknowledges the conflict that exists with Adler being both the Administratrix
of the Estate and the beneficiazy of the Estate and is willing to accept and waive these conflicts
specifically relating to the resolution of the issues dealt with in this Agreement.

the compiexity of this specific appraisal assignment. The scope of work explanations discussed here and within the bc
of the �eport further define, ctarify and document what the appraiser did[or did not doj in order to develop the appraisal
and report the value opinion, based on the complexity of this appraisal assignment and/or as a result of a suppiementa
Agreement or Enoa4ement Letter•as accepted by the appraiser, Robert A. Ensminger and his client.

COMPLETE VISUAL INSPECTION:
It should be noted that the Appraiser conducted a visual inspection of only the readily accessible areas of the assets,
viewing only those components of the asset which were clearly visible. No tests we made of any mechanical, electrical
electronic systems as such tests are not within the Scope of Work. Comments on the condition of the asset are based
a casual observation only and which may have been limited by the placement of assets so as to preclude observation c
the items blocked by same.
Although the report may cite a general rating of the adequacy and or condition (based on observation only) it should be
clearly understood that these statements are a general guide for comparison purposes(as part of the valuation proces;
and are not a detailed report on the physical and or operational condition of these items. The appraiser is not an expert
these matters and any opinion stated is advisory based only upon observation. While others may choose to rely on the
report, they should not rely on it to disclose condition and stated defects. Such knowledge goes beyond the scope of th
appraisal and as such, comments on observed conditions given in this report should not be taken as a guarantee that a
problem does not exist.
REPAIRS/DETERIORATION: An effort was made to�eport those repai�items that, in the appraise�'s opinion, will affec
safety, adequacy, and.marketability of the property. .
- � The Market Data or Sales Compa�ison Approach to value compares recent sales of similar assets to the subject ass�
being appraised. Adjustments may be made to the comparable sale for such items as condition, age, provenance,
obsolescence and time of sale to arrive at an indication of the most probable selling price of the asset. The Market Dat�
Approach is based on the premise that the asset is easily substituted in the market place for a similar asset of similar
quality and price. The market is an established means of buying and selling assets through established channels
including auctions, second hand dealers, public and private sales. Auctions are the preferred method of marketing whe
a iiquidation value is being sought. Auctions are usually properly advertised and professionally managed and assets ca
be liquidated in a relativefy short period of time. The orderly liquidation value as reported herein is not consistent with tr
definition of"insurable value"and should not be relied upon for insurance purposes.
The Cost Approach measures value by determining the current cost of an asset and adding for appreciation or deducti
for depreciation. Several types of depreciation can be associated with an asset including, but not limited to physica!
deterioration, functional, economic and technological obsolescence. Since depreciation is very subjective and sometim�
difficult to prove, use of the cost approach and reliability on the same as a value indicator could be misleading. In most
cases the Cost Approach is not deemed necessary to the development of a reliable value opinion, therefore the Cost
Approach has been excluded and was not used in this report.
Scope of Work (Concluded)
The lNCOME APPROACH is typically developed when the value is related to the economic return that an asset can
produce. It is usually not applied to individuai assets due to the difficuit task of identifying individual income streams. '
Income Approach is typically used with assets that produce rental income, especially large, movable construction
equipment,and commercial transportation vehicies. The appraiser has determined the income Approach was not
appropriate and meaningful to the analysis and value opinion. For this reason, the Income Approach was not employec
a valuation tool.
EXTENT OF DATA RESEARCH: Sales and listings of assets comparable to the assets being appraised have been
researched, verified, analyzed, and reported. Sales data of assets geographicaily, physically,functionally and
economically similar to the subject assets and that are sufficiently recent to reflect current buyer and setler actions wen
researched and considered. If necessary and applicable, the appraiser also researched data on comparable income ar
expense information and replacement costs.
Depending upon the availability and reliability of various data sources, the appraiser used any combination of reasonat
available information from owner's comments; buyer's descriptions; manufacturers and dealer's web sites; brochu�es;
Internet auction sites such as eBay or Auction Arms; informational web sites such as Kelley Blue Book, NADA, Edmun�
Machinery Trader,Art Facts, Prices for Antiques and the like; posied auction prices of other auctioneers; the appraiseP
own experiences setling similar type assets at public auction and the appraiser's personal iibrary. When and where
possible, the applicable information was verified with sources deemed to be reliable and from a disinterested party or
cor�oborated with a 3rd party source. In some cases, the motivations of the parties and other factors (terms, arms-leng
transactions, etc.) may not have been available and the data was used at"face value as factually accurate.°

11. Porcelains, pottery, ceramics, and other fragile items have not been examined to museun
standards or methods, for repairs or hidden damage, and are therefore subject to further
examination.
12. Colored stones and diamonds may be enhanced by using one or more techniques includin
but not limited to, clarity enhancement, resins, and heat treatment. In many cases, it is
impossible to tell whether a natural stone has been enhanced without a detailed report fror
a qualiFled laboratory. The value determination in this report assumes that no rnajor
enhancement has taken place unless so stated.
13. Ivory, jade, bronze, gold, sterling silver, and similar materials have not been tested by
laboratory standards, or methods for purity and authenticity, and are subject to further

5. This Agreement shall be binding upon and inure to the benefit of the pariies hercto,
their respective persanal representatives and assigns.
6. This A�;reement and any accompanying instruments and documents represent the
entire transaction between the partics hereto, and lhere are no representations, warranties,
covenants or conditions except those specified herein ar in the accampanying instrurnents and
documents.
7. This Agreement may not bc modified or terminnted orally, and no modification,
termination or attcmpted waiver sha11 be valid unless in writing signed by the party against
whom the same is sought to be enforced.
� 8. This A�reement may be executed simultAneously in two or more countcrparts,each
of which shall be deemed an original, but all of which shall constitute one and the same
instrument.
9. This A�reement shall be construed uccordins to the laws of the Commonwealth of
Pennsylvania in effect as of the date of the execution of this Agreement.
10. All covenants, warrAnties�nd representations herein set forth sha(I survive this
Agreement.
11. Smith acknowledges the conflict that exists wilh Adler being both the Administratrix
of the Estate and the beneficiary of the �state and is willing to�cccpt and waivc these conflicts
specifically relating to the resolution of the issues dealt with in this Agrcement.
