CALNON z rn U1 � v U1 T (D CD T n O *E n O r ril ESTATE SETTLEMENT AGREEMENT —+ w trn T ua This Estate Settlement Agreement is executed this 24th day of March 2014, by Jackie Ann Lerch and Vicki Lee Kean, in their capacity as Executors, beneficiaries and residuary legatees in the Estate of George J. Calnon. BACKGROUND George J. Calnon became deceased on January 7, 2013 a resident of Cumberland County, Pennsylvania. George J. Calnon hereinafter referred to as "Decedent" died testate. Letters Testamentary were granted to the undersigned,Jackie Ann Lerch and Vicki Lee Kean, on January 24, 2013 and the Estate proceedings are docketed in the Register of Wills Office of Cumberland County,Pennsylvania to No.21-2013-0096. The said Jackie Ann Lerch and Vicki Lee Kean are the sole beneficiaries of all assets of the Estate. The Executors have paid all of the taxes,debts and expenses of the Estate known to them and they have no knowledge of any unpaid claims whether absolute or contingent which may be asserted against the Estate nor do they have any reason to believe there are any such claims. The Executors have completed the administration of this Estate and have distributed all of the residuary assets held in the Estate to themselves as the sole beneficiaries. 1 While no formal accounting has been prepared for this Estate, the Executors, Jackie Ann Lerch and Vicki Lee Kean, are fully familiar with all of the assets, expenses and taxes of the Estate and desire to waive their rights to an accounting. NOW THEREFORE,witnesseth that for and in consideration of the foregoing and intending to be legally bound hereby the undersigned, Jackie Ann Lerch and Vicki Lee Kean, heirs represent and agree as follows: 1. That they have read this Agreement and represent that the facts set forth above are true and correct to the best of their knowledge, information and belief. 2. They do waive the filing of a formal account of the administration of this Estate to any Court which has jurisdiction, in particular, the Orphan's Court Division, Court of Common Pleas, Cumberland County, Pennsylvania. 3. Declare that they have examined all financial information in the Estate. 4. Acknowledge that all distribution of all assets of the Estate have been made to them. 5. Warrants that there are no outstanding and unsatisfied claims against the Estate nor do they know of any such outstanding and unsatisfied claims and they do approve the distribution of the balance of the assets to them as the sole residuary beneficiaries. 6. That they do absolutely and irrevocably release and discharge their attorneys, Kevin D. Dolan,Esq., and Gingrich, Smith,Klingensmith&Dolan, who represented them during the Estate administration acknowledging that all matters to be completed by them have been so completed and they do agree to indemnify and hold said attorneys harmless of and from any claim of any kind which might ever be made against them or the Estate for any matter or thing which may have arisen during the Estate administration. 2 7. Agree to pay any bill or invoice of the Estate which might legally be required to be paid in the future if any such matter or thing shall arise. 8. Agree that this Agreement shall be governed by the laws of the Commonwealth of Pennsylvania and executed with the intent that the Estate administration of the above named decedent may be closed without the necessity of filing a formal account with the Orphan's Court Division ofthe Court of Common Pleas in Cumberland County,Pennsylvania and that this document shall constitute a full complete receipt, release and indemnification agreement arising out of the Estate administration.
