1. Disposition of Certain Tangible Personal Propert y.
(a) I might leave a memorandum in which I set forth how I
would like certain of my tangible personal property distributed at my death. I ask
that my Personal Representative follow that memorandum. If my Personal
Representative, having exercised reasonable diligence, cannot locate any such
memorandum within one month after the date of my death, it shall be conclusively
presumed that no such memorandum exists.
(b) I give all tangible personal property that I have not
effectively disposed of or in by reference to Paragraph 1.(a), and all proceeds of
insurance pertaining to any such property, to those of my children who survive me,
per stirpes; provided, however, that if any of my children shall predecease me
leaving issue, the share of my estate that would otherwise pass to such deceased
child of mine shall pass per stripes and not per capita, to the issue of the deceased
child who are living on the thirty-first (31S) day after my death. The term
"children" includes children who may be adopted by me. The term " issue" means
lawful blood descendants in any degree of the ancestor designated, and includes
legally adopted children.
(c) My Personal Representative shall act for each of my
children who is a minor at my death. In doing so, my Personal Representative
(a) may distribute any such property directly to the child, or to any person who is
suitable to my Personal Representative, for the exclusive use and benefit of the
child; and (b) sell any such property that my Personal Representative considers to
be unsuitable for distribution in kind under this Paragraph 1., and blend the net sale
proceeds with my residuary estate.
(d) My Personal Representative shall responsibly place any
pets that I own at my death and pay the reasonable costs of placement and
maintenance of my pets from my residuary estate, as an expense of administration.

2. Payment of Death Taxes. Except for any generation-skipping
transfer tax, all inheritance, estate and other death taxes which are payable as a
result of my death with respect to property taxing under this Will and any interest
and penalties with respect to those taxes shall be paid from the principal of my
residuary estate at such time or times as my Personal Representative shall select,
without apportionment or right of reimbursement.
3. Disposition of Residuary Estate. I give the residue of my estate
and appoint all property I may appoint by will to my children in the same manner
and fashion as contained in the provisions of paragraph 1(b).
4. Custodianships for Certain Beneficiaries. If any cash or other
property would otherwise be distributable under this Will to a beneficiary who has
not reached the age for terminal distribution under the Pennsylvania Uniform
Transfers to Minors Act by the time of distribution under this Will, my Personal
Representative shall select and appoint, and make distribution thereof to, a legally
qualified custodian, for administration on the beneficiary's behalf pursuant to the
terms of that Act and any amendments to that Act. If otherwise legally qualified,
any fiduciary under this Will may act as custodian.
5. Protective Provision. No beneficial interest under this Will
may be assigned by the beneficiary or attached by the beneficiary's creditors until
the time of actual distribution to the beneficiary.
6. Powers of Personal Representative. In extension and not in
limitation of powers given to my Personal Representative by law or other
provisions of this Will, my Personal Representative shall have the following
powers, each of which may be exercised in my Personal Representative's
discretion and without order or approval of any court, but in all events only in a
fiduciary capacity and solely for the benefit and in the interest of the beneficiaries:
(a) To make divisions or distributions of property in kind, in
money or both, pro rata or non-pro rata, and to that end, to allocate specific
property, or an undivided interest or interests therein. All property distributed in
kind shall be valued as of the time of distribution or allocation.

(b) To employ and pay reasonable compensation to agents,
accountants and attorneys, and rely in good faith upon information or advice
furnished by them.
(c) To lease for any term, exchange or sell at public or
private sale any assets, real or personal, and grant options to lease for any term,
exchange or purchase any assets, real or personal.
(d) To borrow money at any time from any source, including
any Personal Representative, secure any such loan by a pledge or mortgage of any
assets, renew any such loan and give additional security.
(e) To act as my Personal Representative without filing bond
or entering any other security in any jurisdiction or in any matter.
(f) Without liability for self-dealing, to retain, purchase as
an investment, sell, vote or refrain from voting securities issued by any corporate
Personal Representative or by any corporate Personal Representative's affiliates;
exercise or refrain from exercising any options, rights or privileges available to my
Personal Representative for the purchase of any such securities; invest principal or
income in any corporate Personal Representative's common trust funds or mutual
funds, or in the common trust funds or mutual funds of any corporate Personal
Representative's affiliates; borrow money from any affiliate of a corporate
Personal Representative; and delegate any part or all of any corporate Personal
Representative's responsibilities to one or more of my Personal Representative's
affiliates.
(g) To allocate, in case of any reasonable doubt as to the
applicable rule of law, gains, losses and expenses between principal and income.
In the absence of an abuse of discretion, my Personal Representative's judgment in
doing so shall bind all persons who have interests in such property.
(h) To retain any property, regardless of any risk of non-
diversification.
(i) To invest principal and income without restriction to so-
called "legal investments" for fiduciaries. As examples not suggestive of
limitations, my Personal Representative may invest in partnerships as a general or
limited partner or both, and in shares of mutual funds.

(j) To exercise any option, right or privilege to subscribe for,
and to purchase or acquire stocks, bonds, notes, mortgages or other real or personal
property, regardless of any risk of non-diversification.
(k) To vote securities in person or by proxy.
(1) To maintain, insure, protect, develop, subdivide,
otherwise improve, manage, sublet, repossess, partition, and convey any interest in
real estate.
(m) To compromise claims.
(n) My Personal Representative may disclaim any interest in
property on my behalf, without court authorization to do so.
7. Appointment and Definition of"Personal Representative " I
appoint my two daughters PATRICIA SHEAFFER and HEATHER ZIELONIS as
co-executors of this Will. If both PATRICIA or HEATHER predeceases me or
otherwise fails to qualify or ceases to act as executor at any time, I appoint my son
DUNCAN K. DEVORE, executor of this Will. As used in this Will, the term
"Personal Representative" means such of the foregoing as may be acting as my
personal representative at any time, and such other person or persons, legally
qualified corporation or both as may be duly appointed to act as my personal
representative in any jurisdiction.
8. It is my intention that my funeral and last expenses arising from
or incidental to my death, be paid from the proceeds of insurance policies executed
in my name or any other available proceeds of my estate.
