RECEIPT &RELEASE
AGREEMENT
This Receipt & Release Agreement (the "Agreement") is made by and between Steve C.
Nicholas, Executor of the Estate of Freda Prokop-Vladyka, of the first part; and the
Shippensburg University/Shippensburg University Foundation (the `Beneficiary") of the second
part.
In accordance with their desire that the administration of the Estate of Freda Prokop-
Vladyka, who died on October 3, 2011, be terminated without the expense and further delay of a
Court accounting and, that a distribution be made at this time; the parties hereto, in consideration
of the mutual covenants herein expressed, and intending to be legally bound hereby agree that:
1. The Estate of Freda Prokop-Vladyka is now in the process of administration,
Letters Testamentary having been duly granted to Steve C. Nicholas (the "Executor") by the
Register of Wills of Cumberland County, Pennsylvania on November 7, 2011 at Will No. 2011-
01196.
2. The Estate has been properly advertised in accordance with the law in "The
Sentinel" a news publication of general circulation on December 16, 23 and 30, 2011; and in
"Cumberland Law Journal," the county legal publication on December 23 & 30, 2011, and
January 6, 2012.
3. The Inheritance Tax Returns as filed with the Pennsylvania Department of
Revenue have been accepted without changes and all inheritance tax assessed are paid in full.
4. The Executor has determined that there are sufficient probate assets to pay all
expenses of administration, costs of funeral and burial, medical and nursing services rendered
within six months of death, all other claims timely filed of the Estate.
The Executor has paid all known expenses, debts and claims of the Estate presented to
him at or before the date of this Agreement or has reserved sufficient funds to pay such claims.
5. Under provisions of the Decedent's Last Will dated June 30, 2011, at ITEM III,
the Decedent made the following specific bequests:
At ITEM III a: Twenty-Five Thousand ($25,000.00) Dollars to Shippensburg
University / Shippensburg University Foundation to establish the "Ignatios and Anastasia
Prokop/John L. Prokop and Freda Prokop Vladyka Scholarship Fund;" and
At ITEM III b. Twenty-Five Thousand ($25,000.00) Dollars to the Holy Trinity
Greek Orthodox Cathedral Sunday School to further the needs of such students
There are sufficient probate assets available to pay all the specific bequests made by the
Decedent in her Last Will dated June 30, 2011.
6. Under provisions of the Decedent's Last Will dated June 30, 2011, at ITEM IV,
the Decedent bequeathed the residue of her estate as follows:
At ITEM IV a. To: Katherine Rose Kamowski, her God Daughter, ten (10%)
percent of the residue, providing she survived the Decedent by ninety (90) days.
Katherine Rose Kamowski has survived the Decedent in excess of ninety (90) days and is
entitled to her share of the Estate.
At ITEM IV b. To: Order of AHEPA, Harrisburg Chapter Number 64, forty-
five (45%) per cent to residue, to establish the "John L. Prokop/Order of AHEPA,
Harrisburg Chapter Number 64 Merit Scholarship Trust Fund."
ITEM IV c. To: The Holy Trinity Greek Orthodox Cathedral, forty-five (45%) per
cent to residue, to be used for capital improvements to the Cathedral.
7. The Executor is at personal risk for any distributions made without a Court Order.
The Executor is prepared to make final distribution at this time, without an order of court. On
advice of counsel for the Estate, distribution shall not be made until such time as a Receipt &
Release Agreement is executed by all Beneficiaries of the Estate.
8. The funds to pay the bequests to the beneficiaries consist solely of cash. Upon
receipt of a properly executed and acknowledged ("notarized") counterpart this Agreement from
all Specific and Residuary Beneficiaries, the Executor shall make distribution to the
Shippensburg University/Shippensburg University Foundation in the amount of Twenty-Five
Thousand ($25,000.00) Dollars per ITEM III a of Decedent's Last Will dated June 30, 2011.
9. Subject to receipt of its bequest, the Beneficiary hereby forever fully releases,
compromises, settles and discharges any and all claims, demands, actions or causes of action,
legal or equitable, absolute or contingent, vested or hereafter to accrue, which it may have
against the Estate of Freda Prokop-Vladyka, or the Executor, or his attorneys, by reason of any
matter, cause or thing growing out of or relating to any property or assets of the said Estate, or
growing out of or relating to any act of the Executor or his attorneys, in the administration of
said Estate, even if attributable to negligence.
10. The parties hereto acknowledge that they have been advised that this Receipt,
Release & Indemnification Agreement shall be filed with the Court of Common Pleas of
Cumberland County, Pennsylvania in order to finalize the Estate Proceedings.
11. This Agreement may be executed in multiple counterparts and, when so executed
by all parties hereto, shall be binding upon all the parties, and their respective heirs, next-of-kin,
personal representatives and assigns.

RECEIPT& RELEASE
AGREEMENT
This Receipt & Release Agreement (the "Agreement") is made by and between Steve C.
Nicholas, Executor of the Estate of Freda Prokop-Vladyka, of the first part; and the Holy Trinity
Greek Orthodox Cathedral Sunday School (the `Beneficiary") of the second part.
In accordance with their desire that the administration of the Estate of Freda Prokop-
Vladyka, who died on October 3, 2011, be terminated without the expense and further delay of a
Court accounting and, that a distribution be made at this time; the parties hereto, in consideration
of the mutual covenants herein expressed, and intending to be legally bound hereby agree that:
1. The Estate of Freda Prokop-Vladyka is now in the process of administration,

INDEMNITY AGREEMENT
This Agreement is made by and between Steve C. Nicholas, Executor of the Estate of
Freda Prokop-Vladyka (the "Executor"), and Katherine Rose Kamowski (the "Residuary
Beneficiary"),party of the second part.
In accordance with their desire that the administration of the Estate of Freda Prokop-
Vladyka, who died on October 3, 2011, be terminated without the expense and further delay of a
Court accounting and that a distribution be made at this time, the parties hereto, in consideration
of the mutual covenants herein expressed, and intending to be legally bound hereby agree that:
1. The Estate of Freda Prokop-Vladyka is now in the process of administration,
Letters Testamentary having been duly granted to Steve C. Nicholas by the Register of Wills of
Cumberland County, Pennsylvania on November 7, 2011, at Will No. 2011-01196.

such claims.
5. Under provisions of the Decedent's Last Will dated June 30, 2011, at ITEM III,
the Decedent made the following specific bequests:
At ITEM III a: The sum of $25,000.00 to the Shippensburg University /
Shippensburg University Foundation to establish the "Ignatios and Anastasia
Prokop/John L. Prokop and Freda Prokop Vladyka Scholarship Fund;" and
At ITEM III b. The sum of $25,000.00 to the Holy Trinity Greek Orthodox
Cathedral Sunday School to further the needs of such students

7. Steve C. Nicholas, Executor, charges himself with the receipt of principal probate
and non-probate assets, if any, as adjusted, in the total amount of $1,523,237.09, as more
particularly described on Exhibit "A" attached hereto and made apart hereof
8. Steve C. Nicholas, Executor has paid or has made appropriate arrangements to
pay the known the administration expenses, funeral, burial and related expenses, fees,
commissions, debts and claims of the Estate, in the amount of$110,556.83, as more particularly
described on Exhibit"B" attached hereto and made apart hereof.
9. The Executor is prepared to make an advanced distribution at this time, which
distribution, without a court order, shall be made at Executor's risk. The Executor agrees to make
an advanced distribution at this time without the expense and further delay of a Court accounting
and only upon execution of this Receipt, Release & Indemnity Agreement by all Beneficiaries of
the Estate. Otherwise, the Executor will proceed to prepare and file a formal accounting with the
Cumberland County Court of Common Pleas that shall result in additional legal expenses and
delay in the distribution of any assets of the Estate.
10. The Executor will reserve funds, in the amount of$15,000.00 for payment of any
additional claims, fiduciary taxes, attorney fees and costs that may be incurred by him in the
John L. Prokop Estate and/or the Freda Prokop-Vladyka until he is no longer at risk. Any unused
balance remaining in the reserve fund at that time shall be distributed to the residuary
beneficiaries in accordance with the proposed distribution percentages set forth hereafter.
11. The assets available for distribution are summarized as follows:
a. Principal, income and non-probate assets: $1,523,237.09
b. Expenses, inheritance tax, fees, claims (less) 110,556.83
C. Specific Bequests (less) 50,000.00
d. Total Reserve fund (less) 15.000.00
Balance available for distribution $1,347,680.26
12. The Executor proposes to make the following advance distribution in the amount
of$1,347,680.26, at this time, as follows:
a 10%to Katherine Rose Kamowski $ 134,768.03
b 45%to Order of AHEPA, Harrisburg Chapter No. 64 $ 606,456.12

Any unused portion of the $15,000.00 reserve shall be distributed as follows:

13. The Beneficiaries consent, approve and agree that the distribution is to be made in
accordance with the proposal of the Executor set forth in set forth hereinabove.
14. The parties acknowledge receipt of an informal accounting set forth in this
Receipt and Release Agreement and approve the same as stated and agree that the Executor has
received the assets and has made the expenditures as set forth therein.
15. Without intending to limit the rights or remedies of the Executor or his attorneys,
the parties further agree to indemnify the Executor and/or his attorneys and save them harmless
against all liability, loss and expense (including, but not limited to, costs and counsel fees) which
they may incur, whether due to their negligence or otherwise, as a result of making the above-
described distributions without a Court audit. In the event that the reserve fund is insufficient to
pay any further claims, debts and expenses of which the estate may be notified in excess of the
reserve fund, each party agrees to contribute their pro-rata share to payment of the excess amount
needed to satisfy such claims.
The parties, and each of them, hereby forever fully release, compromise, settle and
discharge any and all claims, demands, actions or causes of action, legal or equitable, absolute or
contingent, vested or hereafter to accrue, which any of them may have against each other, or any
other party hereto or against the Estate of Freda Prokop-Vladyka, Deceased, or the Executor or
his attorneys thereof, by reason of any matter, cause or thing growing out of or relating to any
property or assets of the said estate,or growing out of or relating to any act of the Executor or his
attorneys, in the administration of said estate, even if attributable to negligence, and agree that in
no event shall the said period for collection of any erroneous distribution or distributions be less
than two years after the actual discovery thereof by the Executor or his attorneys.
16. The parties agree to execute such additional releases as the Executor or his
attorneys, may submit to them in order to confirm their discharge from any further liability to the
parties in connection with the said Estate.
I7. The parties hereto acknowledge that they have been advised that this Receipt and
Release shall be filed with the Court of Common Pleas of Cumberland County in order to
finalize the Estate Proceedings.
18. This Agreement may be executed in multiple counterparts and, when so executed
by all parties hereto, shall be binding upon all the parties, and their respective heirs, next-of-kin,
personal representatives and assigns.

RECEIPT RELEASE&
INDEMNITY AGREEMENT
This Agreement is made by and between Steve C. Nicholas, Executor of the Estate of
Freda Prokop-Vladyka (the "Executor"), party of the first part, and, the Order of AHEPA,
Harrisburg Chapter No. 64 (the "Residuary Beneficiary"), party of the second part.
In accordance with their desire that the administration of the Estate of Freda Prokop-
Vladyka, who died on October 3, 2011, be terminated without the expense and further delay of a
Court accounting and that a distribution be made at this time, the parties hereto, in consideration
of the mutual covenants herein expressed, and intending to be legally bound hereby agree that:
1. The Estate of Freda Prokop-Vladyka is now in the process of administration,
Letters Testamentary having been duly granted to Steve C. Nicholas by the Register of Wills of
Cumberland County, Pennsylvania on November 7, 2011, at Will No. 2011-01196,
2. The Executor has paid all known expenses, debts and claims of the Estate
presented to him at or before the date of this Agreement or has reserved sufficient funds to pay
such claims.
3. The Inheritance Tax Returns as filed with the Pennsylvania Department of
Revenue on October 4, 2012, have been accepted as filed and without changes. The inheritance
tax assessed in the amount of$21,144.26 has been paid in full.
4. The Executor has paid all known expenses, debts and claims of the Estate
presented to him at or before the date of this Agreement or has reserved sufficient funds to pay
such claims.
5. Under provisions of the Decedent's Last Will dated June 30, 2011, at ITEM II1,
the Decedent made the following specific bequests:
At ITEM III a: The sum of $25,000.00 to the Shippensburg University 1
Shippensburg University Foundation to establish the "Ignatios and Anastasia
Prokop/John L. Prokop and Freda Prokop Vladyka Scholarship Fund;" and
At ITEM III b. The sum of $25,000.00 to the Holy Trinity Greek Orthodox
Cathedral Sunday School to further the needs of such students
6. Under the provisions of the Decedent's Last Will dated June 30, 2011, at ITEM
IV, the Decedent bequeathed the residue of her estate as follows:
At ITEM IV a. To: Katherine Rose Kamowski, her God Daughter, ten (10%)
percent of the residue, providing she survived the Decedent by ninety (90) days.
Katherine Rose Kamowski has survived the Decedent in excess of ninety(90) days and is
entitled to her share of the Estate.
At ITEM IV b. To: Order of AHEPA, Harrisburg Chapter Number 64, forty-
five (45%) per cent to residue, to establish the "John L. Prokop/Order of AHEPA,
Harrisburg Chapter Number 64 Merit Scholarship Trust Fund."
ITEM IV c. To: The Holy Trinity Greek Orthodox Cathedral, forty-five (45%) per
cent to residue, to be used for capital improvements to the Cathedral.
7. Steve C. Nicholas, Executor, charges himself with the receipt of principal probate
and non-probate assets, if any, as adjusted, in the total amount of $1,523,237.09, as more
particularly described on Exhibit "A" attached hereto and made apart hereof
8. Steve C. Nicholas, Executor has paid or has made appropriate arrangements to
pay the known the administration expenses, funeral, burial and related expenses, fees,
commissions, debts and claims of the Estate, in the amount of$110,556.83, as more particularly
described on Exhibit "B" attached hereto and made apart hereof.
9. The Executor is prepared to make an advanced distribution at this time, which
distribution, without a court order, shall be made at Executor's risk. The Executor agrees to make
an advanced distribution at this time without the expense and further delay of a Court accounting
and only upon execution of this Receipt, Release & Indemnity Agreement by all Beneficiaries of
the Estate. Otherwise, the Executor will proceed to prepare and file a formal accounting with the
Cumberland County Court of Common Pleas that shall result in additional legal expenses and
delay in the distribution of any assets of the Estate.
10. The Executor will reserve funds, in the amount of$15,000.00 for payment of any
additional claims, fiduciary taxes, attorney fees and costs that may be incurred by him in the
John L. Prokop Estate and/or the Freda Prokop-Vladyka until he is no longer at risk. Any unused
balance remaining in the reserve fund at that time shall be distributed to the residuary
beneficiaries in accordance with the proposed distribution percentages set forth hereafter.
11. The assets available for distribution are summarized as follows:
a. Principal, income and non-probate assets: $1,523,237.09
b. Expenses, inheritance tax, fees, claims (less) 110,556.83
C. Specific Bequests (less) 50,000.00
d. Total Reserve fund (less) 15 000.00
Balance available for distribution $1,347,680.26
12. The Executor proposes to make the following advance distribution in the amount
of$1,347,680.26, at this time, as follows:
a 10%to Katherine Rose Kamowski $ 134,768.03
b. 45%to Order of AHEPA, Harrisburg Chapter No. 64 $ 606,456.12
C. 45%to Holy Trinity Greek Orthodox Cathedral $ 606,456.11

RECEIPT RELEASE&
INDEMNITY AGREEMENT
This Agreement is made by and between Steve C. Nicholas, Executor of the Estate of
Freda Prokop-Vladyka (The "Executor"), party of the first part, and, the Holy Trinity Greek
Orthodox Cathedral (the "Residuary Beneficiary"), party of the second park.
In accordance with their desire that the administration of the Estate of Freda Prokop-
Vladyka, who died on October 3, 2011, be terminated without the expense and further delay of a
Court accounting and that a distribution be made at this time, the parties hereto, in consideration
of the mutual covenants herein expressed, and intending to be legally bound hereby agree that:
L The Estate of Freda Prokop-Vladyka is now in the process of administration,
Letters Testamentary having been duly granted to Steve C. Nicholas by the Register of Wills of
Cumberland County, Pennsylvania on November 7, 2011, at Will No. 2011-01196.
1 The Executor has paid all known expenses, debts and claims of the Estate
presented to him at or before the date of this Agreement or has reserved sufficient funds to pay
such claims.
3. The Inheritance Tax Returns as filed with the Pennsylvania Department of
Revenue on October 4, 2012, have been accepted as filed and without changes. The inheritance
tax assessed in the amount of$21,144.26 has been paid in full.
4. The Executor has paid all known expenses, debts and claims of the Estate
presented to him at or before the date of this Agreement or has reserved sufficient funds to pay
such claims.
5. Under provisions of the Decedent's Last Will dated June 30, 2011, at ITEM III,
the Decedent made the following specific bequests:
At ITEM III a: The sum of $25,000.00 to the Shippensburg University i
Shippensburg University Foundation to establish the "Ignatios and Anastasia
Prokop/John L. Prokop and Freda Prokop Vladyka Scholarship Fund;" and
At ITEM III b. The sum of $25,000.00 to the Holy Trinity Greek Orthodox
Cathedral Sunday School to further the needs of such students
6. Under the provisions of the Decedent's Last Will dated June 30, 2011, at ITEM
IV, the Decedent bequeathed the residue of her estate as follows:
At ITEM IV a. To: Katherine Rose Kamowski, her God Daughter, ten (10%)
percent of the residue, providing she survived the Decedent by ninety (90) days.
Katherine Rose Kamowski has survived the Decedent in excess of ninety (90) days and is
entitled to her share of the Estate.
At ITEM IV b. To: Order of AHEPA, Harrisburg Chapter Number 64, forty-
five (45%) per cent to residue, to establish the "John L. Prokop/Order of AHEPA,
Harrisburg Chapter Number 64 Merit Scholarship Trust Fund."
At ITEM IV c. To: The Holy Trinity Greek Orthodox Cathedral, forty-five
(45%)per cent to residue, to be used for capital improvements to the Cathedral.
7. Steve C. Nicholas, Executor, charges himself with the receipt of principal probate
and non-probate assets, if any, as adjusted, in the total amount of $1,523,237.09, as more
particularly described on Exhibit`°A" attached hereto and made apart hereof
8. Steve C. Nicholas, Executor has paid or has made appropriate arrangements to
pay the known the administration expenses, funeral, burial and related expenses, fees,
commissions, debts and claims of the Estate, in the amount of$110,556.83, as more particularly
described on Exhibit `B" attached hereto and made apart hereof.
9. The Executor is prepared to make an advanced distribution at this time, which
distribution, without a court order, shall be made at Executor's risk. The Executor agrees to make
an advanced distribution at this time without the expense and further delay of a Court accounting
and only upon execution of this Receipt, Release & Indemnity Agreement by all Beneficiaries of
the Estate. Otherwise, the Executor will proceed to prepare and file a formal accounting with the
Cumberland County Court of Common Pleas that shall result in additional legal expenses and
delay in the distribution of any assets of the Estate.
10. The Executor will reserve funds, in the amount of$15,000.00 for payment of any
additional claims, fiduciary taxes, attorney fees and costs that may be incurred by him in the
John L. Prokop Estate and/or the Freda Prokop-Vladyka until he is no longer at risk. Any unused
balance remaining in the reserve fund at that time shall be distributed to the residuary
beneficiaries in accordance with the proposed distribution percentages set forth hereafter.
11. The assets available for distribution are summarized as follows:
a. Principal, income and non-probate assets: $1,523,237.09
b. Expenses, inheritance tax, fees, claims (less) 110,556.83
C. Specific Bequests (less) 50,000.00
d. Total Reserve fund (less) 15,000.00
Balance available for distribution $1,347,680.26
12. The Executor proposes to make the following advance distribution in the amount
of$1,347,680.26, at this time, as follows:
a 10%to Katherine Rose Kamowski $ 134,768.03
b 45%to Order of AHEPA, Harrisburg Chapter No. 64 $ 606,456.12
c 45% to Holy Trinity Greek Orthodox Cathedral $ 606.456.11
Total $1,347,680.26

Any unused portion of the $15,000.00 reserve shall be distributed as follows:
a. 10%to Katherine Rose Kamowski; and
b. 45%to Order of AHEPA, Harrisburg Chapter Number 64; and
C, 45%to Holy Trinity Greek Orthodox Cathedral,
13. The Beneficiaries consent, approve and agree that the distribution is to be made in
accordance with the proposal of the Executor set forth in set forth hereinabove.
14. The parties acknowledge receipt of an informal accounting set forth in this
Receipt and Release Agreement and approve the same as stated and agree that the Executor has
received the assets and has made the expenditures as set forth therein.
15. Without intending to limit the rights or remedies of the Executor or his attorneys,
the parties further agree to indemnify the Executor and/or his attorneys and save them harmless
against all liability, loss and expense (including, but not limited to, costs and counsel fees) which
they may incur, whether due to their negligence or otherwise, as a result of making the above-
described distributions without a Court audit. In the event that the reserve fund is insufficient to
pay any further claims, debts and expenses of which the estate may be notified in excess of the
reserve fund, each party agrees to contribute their pro-rata share to payment of the excess amount
needed to satisfy such claims.
The parties, and each of them, hereby forever fully release, compromise, settle and
discharge any and all claims, demands, actions or causes of action, legal or equitable, absolute or
contingent, vested or hereafter to accrue, which any of them may have against each other, or any
other party hereto or against the Estate of Freda Prokop-Vladyka, Deceased, or the Executor or
his attorneys thereof. by reason of any matter, cause or thing growing out of or relating to any
property or assets of the said estate, or growing out of or relating to any act of the Executor or his
attorneys, in the administration of said estate, even if attributable to negligence, and agree that in
no event shall the said period for collection of any erroneous distribution or distributions be less
than two years after the actual discovery thereof by the Executor or his attorneys.
16. The parties agree to execute such additional releases as the Executor or his
attorneys, may submit to them in order to confirm their discharge from any further liability to the
parties in connection with the said Estate.
17. The parties hereto acknowledge that they have been advised that this Receipt and
Release shall be filed with the Court of Common Pleas of Cumberland County in order to
finalize the Estate Proceedings.
18. This Agreement may be executed in multiple counterparts and, when so executed
by all parties hereto, shall be binding upon all the parties, and their respective heirs, next-of-kin,
personal representatives and assigns.
