COMPLAINT IN CONFESSION OF JUDGMENT

Plaintiff, Nemean Partners, files this Complaint pursuant to Pa. R.C.P. No. 2951(b) for
Judgment by Confession and avers the following:
1. Plaintiff, Nemean Partners, is a Pennsylvania general partnership, with its principal
place of business located at 320 King of Prussia Road, Radnor, Delaware County, Pennsylvania
19087.
2. Defendant, Helen 1. Myers, is an individual who resides at 2300 Market Street, Camp
Hill, Cumberland County, Pennsylvania 17011.
3. On or about February 24, 1987, CCNB Bank, N.A., predecessor to PNC Recovery
Corp. ("PNC"), extended a one million three hundred fifty thousand dollar ($1,350,000) term loan
("Loan") to Robert L. Myers, III and Helen J. Myers. In consideration of the Loan and as evidence
of the indebtedness, the Myers executed and delivered to CCNB Bank, N.A. a mortgage note (the
"Note") dated February 24, 1987. A true and correct copy of the Note is attached hereto as Exhibit
171458-)
"A". The Loan was modified by a Mortgage Loan Modification Agreement dated April 27, 1993
(the "Modification Agreement"). A true and correct copy of the Modification Agreement is attached
hereto as Exhibit "B"
4. The Loan is secured in part by a first mortgage on certain real estate located in
Cumberland County known as Trailer Park, Fairview Township, Cumberland County, Pennsylvania
(the "Mortgage"). A true and correct copy of the Mortgage is attached hereto as Exhibit "C". The
Trailer Park real estate is more fully described in Exhibit "C".
5. On April 20, 2000, PNC Recovery Corp. and Nemean Partners executed a Loan Sale
Agreement whereby Nemean purchased all of:
PNC's right, title and interest in and to the Loan, including all accrued
and unpaid interest in and to the Loan, including all accrued and
unpaid interest on the Note as of the date hereof; all documents
evidencing, embodying, or securing the Loan, including but not
limited to the Note, the Mortgages, the CCCD Agreement and the title
Policy; and all collateral and other rights and benefits securing the
Loan and all rights, remedies and choses in action at law or in equity
and all rights as a "Holder in Due Course" under the Uniform
Commercial Code assuming such rights, remedies and choses in
action exist.
A true and correct copy of the Loan Sale Agreement is attached hereto as Exhibit "D".
6. Robert L. Myers, III is deceased. Helen 1. Myers ("Myers") is now the sole
mortgagor under the Mortgage and borrower under the Note.
7. The Note provides
It is hereby expressly agreed that if at any time default be made in
payment of said principal sum, or of any installment of interest or
premiums of insurance, as aforesaid, for the space of twenty (20)
days... the whole of said principal debt or sum together with all
premiums of insurance, taxes, water and sewer rents paid shall
thereupon become due and payable, and judgment may be entered and
execution may issue forthwith for the collection of the same, and all
interest thereon, together with all fees, costs and expenses of collecting
the same, including an attorney's commission of five per centum (5%),
anything herein contained to the contrary, notwithstanding.

8. The Note further provides:
And Borrower does hereby empower any Attorney of any Court of
Record within the United States or elsewhere, to appear for Borrower
in any Court, and with or without a declaration filed, confess
judgment or judgments against Borrower, Borrower's heirs and
assigns, in favor of the said Bank, or its successors or assigns, as of
any term, for the above principal sum, together with costs of suit, and
attorney's commission of five per centum (5%) for collection, on
which judgment, execution or executions may issue forthwith, on
failure to comply with any of the conditions of this Note; hereby
waiving inquisition and condemnation of any property levied upon by
virtue of any such execution and also waiving all exemption from
levy and sale on any property that now is or that hereafter may be
exempted under any Act of the Assembly, and with a release of all
heirs.

9. The Note further provides "In the event that any payment provided for herein shall
become overdue for a period in excess of fifteen (15) days, Borrower agrees to pay a "late charge" of
Five cents (S<,t) for each dollar so overdue for the purpose of defraying expenses incident to handling
the delinquent payment". See Exhibit "A".
10. The Modification Agreement provides that the annual interest rate on the outstanding
principal balance of the Loan is eight percent (8%). See Exhibit "B".
11. The Mortgage Loan Modification Agreement extended the term of the Loan and
affected the interest rate, but expressly continued all other obligations and rights under the Note and
Mortgage. See Exhibit "B".
12. As of September 1, 2004, Myers is in default under the Note and Modification
Agreement for failure to pay, inter alia, the monthly installments of principal and interest due as
required.
13. On November 30, 2004, Nemean provided Myers, via certified mail, a Notice of
Default under the Note. A true and correct copy of the Notice of Default is attached hereto as
Exhibit "E".

14. Myers has failed to cure the default.
15. Consequently, Myers is indebted to Nemean as follows:

16. The notice requirements of 41 P.S, S 403 and 35 P.S. S l680.402(c) do not apply in
this action because the property that this action affects is not a residential property.
17, Judgment is not being entered by confession against a natural person in connection
with a consumer credit transaction.
18. The Mortgage and Note were assigned on April 20, 2000 from PNC Recovery Corp.
to Nemean Partners through an Assignment Agreement attached to the Loan Sale Agreement. There
has been no further assignment of the Mortgage or Note.
19. Judgment has not been entered in any jurisdiction on the Note,
WHEREFORE, Plaintiff demands judgment in the sum of fifty-nine thousand three hundred
thirty one dollars ($59,331.00), plus future interest.

The Borrower covenants and agrees: That with the payments of principal and interest he will pay to Bank a pro
rata portion of the taxes, assessments and insurance premiums next to become due as estimated by the Bank so that the
Bank will have sufficient funds on hand to pay taxes, assessments and insurance premiums thirty (30) days before the
due date thereof. Any deficit shall immediately be paid to Bank by Borrower. Moneys so held shall not bear interest,
unless otherwise required by law, and, upon default, may be applied by Bank on account ofthe mortgage indebtedness.
It shall be thc responsibility of the Borrowcr to furnish Bank with bills in sufficient time to pay taxes before the
penalty attaches,
The Borrower herein agrees that in the event of the passage, after the date of this Note, of any law of the Common,
wealth ofPcnnsylvania, deducting from the value of the land for the purpoSe of taxation, any lien thereon, or changing
in any way the laws now in force forlhe taxation of mortgages or debts secured thereby, for state or local purposes, or
the manner of the collection of any such taxes, so as to afTect the interest of the Bank, the whole of said principal sum
secured by this Note, together with the interest due thereon, shall, at the option of the Bank, immediately become due
and payable,
The Borrower herein further agrees that ifany installment ofinterest be not paid when due, such installment shall
bear interest at the rate set forth above until paid. In the event that any payment provided for herein shall become over-
due for a period in excess offitleen (15) days, Borrower agrees to pay a "late charge" of Five cents (5~) for each dollar
so overdue for the purpose of defraying expenses incident to handling the delinquent payment, And further, Borrower
agrees not to conveyor otherwise transfer title (either legal or equitable) to the premises described in the mortgage
securing this Note without prior written consent by the Borrower to the specific transfer. A transfer to the survivor or
devisees or heirs of the Borrower in the event of Borrower's death shall not come within the prohibition of this
covenant.

Documents, if such clause is contained in any thereof. A default under any
of the Note, the Mortgage, the Other Documents or this Mortgage Loan
Modification Agreement shall be deemed to be a default under all of them.
Nothing contained herein shall be or shall be construed to be a waiver of
any of the Bank's rights and remedies contained in the Note, the Mortgage,
and the Other Loan Documents as previously existing or as modified
hereby.
6, ENVIRONMENTAL OBLIGATIONS. No pollutant or other toxic or
hazardous substance, including any solid, liquid, gaseous or thermal irritant

NOW, THEREFORE, in consideration of these premises, the terms and conditions set forlh
herein, other good and valuable consideration, the sufficiency of which are hereby acknowledged,
the parties agree as follows:
]. In consideration of the sum of $180,000 (the "Purchase Price"), PNC hereby sells to
Ncmean and Nemean hereby purchases from PNC, without representation or warranty of
what.cver nature or kind (except as set forth in Paragraph 4 of this Agreement) or recourse,
all of PNC's right, title and interest in and to the Loan, including all accrucd and unpaid
interest in and to the Loan I including all accrued and unpaid interest on the Note as of the
date hereof; all documents evidencing, embodying, or securing the Loan, including but not
limited to the Notc, the Mortgages, the CeCD Agreement and the title Policy; and all
col1atcral and other righlS and benefits securing the Loan and all rights, remedies and
choses in action at jaw or in equity and al1 rights as a "Holder in Due Course" under the
Uniform Commercial Code assuming such rights, remedies and choses in action exist
(hereinafter collectively rererreAl to as the ."Loan Documenls"),
Nemcan hereby acknowlt:dgcs that it has been given the opportunity to and has agreed to
purchase the Loan and Loan Documents as a result of their independent inspection of the
Loan Documents, the collateral securing the Loan, and any sllch other reports which
Nemean has requested from time to time, and such other investigations ,tS Ncmcan has
chosen to make and that the Loan and Loan Documents and the interests created thereby
are being purchased as a resul t of Neme.an' si n spcctlon and investigation and not as a resul t
of any representalion by PNC, its counsel, or any other agent or representalive, either
oral, written or implied. made by PNC, or its counselor any agent OJ representative of
PNC. Nem~n acknowledges that it has not relieD upon any representations, warranties or
statements made by PNC, its counselor any agent or representative of PNC as to the status
of the Loan, the physical condition of the collateral securing the Loan, the financial results
of operations of Myers or any projections or estimates of income or costs which may be
realized or incurred in the future or the value of the collateral securing the Ulan.
PNe further makes no warranty, expressed or implied, as to the quality, merchantability,
condition, feasibility or fitness fuf a parlicular purpo!>e of the r .0;1n, the Loan Doc'uments
or any collateral securing the Loan, as the case may be, all or the same being sold in their
"as-is," '"'where-is" condition, with all faults.
2. Upon the execution of this Agreement, PNC shall: (i) execute an Assignment Agreement
in the form attached hereto as Exhibit HB"; (ii) deliver a copy or the origin-al Note; (iii)
deljver to Nemean all original instruments evidencing, emhodying or securing the Loan.
with such assignments as Nemc..1.11 may reasonably request, including, but nOl1imitcd to,
the Loan Documents and all other documents in PNC's possession pertaining to the Loan
including Joan applications, appraisals. surveys and insurance certificates but excluding,
however, all internally prepared credit reporls, servicing records and like material~ in
PNC's possession.

3. }JNC and Nemean agree to eXe(ute, in a timely manner, such furlhcr and additional
agreements as may be reasonably necessary to affect, complete or correct the transactions,
transfers and assignments provided for in this Agreement including but not limited to an
assignment of the Mortgage in recordable form and DCC-] Financing Statements or to
prove the authenticity of nlC Note including but not limited to an affidavit r~lffirming the
Notc. If any additional document contemplated by this Paragraph 3 requires execution by
Myers, PNC shall have no obligation or duty to procure the same.
4. PNC warrants, rcpwsents and covenants to Ncmean that:

PNC has the capacity and all r~~jsjte actions have been taken and approvals
obtained by PNC to fully authorize and empower PNC to execute this Agreement

The authorization, exccution and delivery of this Agreement and the consummation
of the transactions contemplated hereby, will not, with or without the giving of
notice or passage of time or both violate, conflict with or result in the bre.lch of
any terms or provisions of any instrument or agreement to which PNC may be
bound and which relates to or affects, the LOan or the L{Jan Documents.

subs~lIent to execution of this Agreement, whether directly or indirectly, from the Loan,
the 1..Dan Documents or Nemean's administration, collection or enforcement of any
obligations, rights and remedies in connection with the Loan and the Loan Document~
arising including, but not limited to any and all claims, causes of action, damage!; or losses
arising from any environmental protection ~tatutcs, whether federal, state or local. PNC
agrees that Nemean shall have the right to select counsel rcquirf~l pursuant to this
Paragraph 5 provided sllch counsel is reaso.~ably satisfactory to PNC.
6. If any provision of this Agreement is hcld to be invalid or unenforceable by a cOllrt of
competent jurisdiction, the other provisions of this Agreement shall remain in full force
and effect. This Agreement shall be governed by and construed according to the laws of
the Commonwealth of Pennsylvania,
7. This Agreement and all of its terms find provisions shall be binding upon and inure to the
benefit of PNC and its successors and assigns, and Ncmean and its ~U(;ccssors and assigns.

NOTICE IS HEREBY GIVEN THAT JUDGMENT IN THE ABOVE-CAPTIONED
MATTER HAS BEEN ENTERED AGAINST YOU. THE FOLLOWING IS THE PROCEDURE
YOU MUST FOLLOW IN ORDER TO STRIKE THE JUDGMENT AND/OR SEEK TO HA VE THE
JUDGMENT OPENED. PLEASE BE RJRTHER ADVISED THAT YOU ARE ENTITLED TO
COSTS AND REASONABLE AITORNEY'S FEES AS DETERMINED BY THE COURT IF YOU
HA VE BEEN INCORRECTLY IDENTIFIED.
Rule 2959. Striking Off or Opening Judgment; Pleadings; Procedure
(a) (1) Relief from a judgment by confession shall be sought by petition. Except as
provided in subparagraph (2), all grounds for relief whether to strike off the judgment or to open it must
be asserted in a single petition. The petition may be filed in the county in which the judgment was
originally entered, in any county to which the judgment has been transferred or in any other county in
which the sheriff has received a writ of execution directed to the sheriff to enforce the judgment.
(2) The ground that the waiver of the due process rights of notice and hearing was not
voluntary, intelligent, and knowing shall be raised only
(i) in support of a further request for a stay of execution where the court
has not stayed execution despite the timely filing of a petition for relief from the judgment and the
presentation of prima facie evidence of a defense; and
(ii) as provided by Rule 2958.3 or Rule 2973.3.

(3) If written notice is served upon the petitioner pursuant to Rule 2956.1(c)(2) or
Rule 2973.1(c), the petition shall be filed within thirty (30) days after such service unless the defendant
can demonstrate that there were compelling reasons for the delay, a petition not timely filed shall be
denied.
(b) If the petition states prima facie grounds for relief, the court shall issue a rule to show
cause and may grant a stay of proceedings. After being served with a copy of the petition, the plaintiff
shall file an answer on or before the return day of the rule. The return day of the rule shall be fixed by
the court by local rule or special order.
(c) A party waives all defenses and objections which are not included in the petition or
answer.
(d)
Rule 440.
The petition and the rule to show cause and the answer shall be served as provided in
(e) The court shall dispose of the rule on petition and answer and, on any testimony,
depositions, admissions, and other evidence. The court for cause shown may stay proceedings on the
petition insofar as it seeks to open the judgment pending disposition of the application to strike off the
judgment. If evidence is produced which in a jury trial would require the issues to be submitted to the
jury, the court shall open the judgment.
(f) The lien of the judgment or any levy or attachment shall be preserved while the
proceedings to strike off or open the judgment are pending.
