Second Amendment to
� The Revocable Trust of Charles Ellwood Maclay and Jobyna Marie Maclay
Under Agreement Dated September 9, 1998
WHEREAS, Charles Ellwood Maclay and Jobyna Marie Maclay ("Settiors"), as
settlors and as trustees, executed an agreement of trust dated September 9,
1998; and
WHEREAS, by Article II (2.01 ) of the said trust agreement, Settlors reserved the
right, exercisable by the settlors while living and by the surviving settlor after the
death of one, to alter or amend the trust agreement and any amendment
thereto, in whole or in part at any time by written instrument executed by the
settlor and delivered to the trustee; and
WHEREAS, the surviving Settlor now desires to amend the trust agreement and
the first amendment thereto;
NOW THEREFORE, by this instrument, executed in duplicate, Settlor, the
undersigned Charles Ellwood Maclay, hereby further amends the said trust
agreement dated September 9, 1998, by restating the trust agreement in its
entirety and replacing its existing provisions with the following:
FIRST: TRUST CORPUS
The primary purpose of this trust is to hold, preserve and maintain for the
benefit of Settlors' son, William E. Maclay, during his lifetime, that dwelling house
and lot known and numbered as 6 Shirley Lane, Boiling Springs, PA, which the
Settlors placed in this trust by their deeds dated September 29, 1998 and
October 26, 1999. Any cash or other assets added to this trust by me during my
lifetime or by my executor pursuant to the terms of my will shall be held and
administered in furtherance of such primary purpose and as otherwise
hereinafter provided.

SECOND: APPOINTMENT OF SUCCESSOR TRUSTEE
After the death of Charles Ellwood Maciay, Charles E. Maclay, Jr., shall
serve as successor trustee of this trust. In the event that Charles E. Maclay, Jr. is
unwilling to serve as trustee, or, once having assumed such duties, to continue
to serve, he shall have the full power and authority to appoint an individual or
corporate trustee to replace or succeed him. Any trustee so appointed by him
shall immediately succeed to all powers, rights, discretion, obligations and
immunities of the trustee under this Agreement; and any corporate trustee shall
be entitled to reasonable and customary compensation for its services.
THIRD: TRUSTEE'S POWERS AND DUTIES WITH RESPECT TO 6 SHIRLEY LANE
A. During the lifetime of William E. Maclay he shall have the exclusive
right to reside in the dwelling house known as 6 Shirley Lane, Boiling Springs, PA.
B. In furtherance of such right of the beneficiary to reside therein, my
Tr�stee shall apply and pay from other assets of the trust (i) all real estate taxes
or other assessments levied against the said property; (ii) the premiums required
to maintain adequate coverage under a suitable fire, hazard and liability
insurance policy and (iii) any costs required to perform necessary major
maintenance of the property, such as roof and/or structural repairs.
C. Upon the death of William E. Maclay, or after he has ceased to
reside in the said dwelling house with no intention to return, Trustee shall have
the right and authority to sell the property and dispose of the proceeds as part
of the remainder of this trust as hereinafter provided.
FOURTH: SECONDARY PURPOSES OF THE TRUST
My Trustee, in his sole and absolute discretion, is and shall be authorized to
distribute to or for the benefit of my grandsons, William Earl Maclay, Jr., and
Shane Maclay, exc sively for purposes of their education, funds in total amount

a��� make such distributions for the purpose of my said grandsons' educations shall
lapse if not fully exercised before the termination of this trust.

FIFTH: DISPOSITION OF THE TRUST REMAINDER AND TERMINATIION OF TRUST
Upon the death of William E. Maclay this trust shall terminate and the
remainder shall be distributed free of trust to Charles E. Maclay, Jr., if he is then
living, or to his issue, in equal shares, per stirpes.
SIXTH: ADMINISTRATIVE AND GENERAL PROVISIONS
A. No interest in income or principal shall be assignable to any
beneficiary or subject to execution or attachment by any creditor prior to
distribution to the beneficiary;
B. Settlor hereby reserves, exercisable whenever and as often as Set-
tlor may wish while settlor is living, the power to revoke, alter or amend this trust
in whole or in part by writings delivered to the trustee;
C. In addition to all those powers specifically given by law, Trustee and
his successors shall have the power to do all other acts and things necessary
and appropriate in the management, administration and distribution of this trust,
which powers shall be exercised by them in their absolute discretion;
D. No trustee shall be required to qualify before, be appointed by, or,
in the absence of a breach of trust, account to any court (and failure to
account alone shall not be considered such a breach); nor shall trustee be
required to obtain the order or approval of any court in the exercise of any
power or decision granted hereunder;
E. No fiduciary serving hereunder shall be required to furnish bond in
any jurisdiction, and if any bond is necessary, no surety shall be required.

CHARLES ELLWOOD MACLAY
I, Charles Eilwood Maclay, of South Middleton Township, Cumberland
County, Pennsylvania, being of sound and disposing mind, memory and
understanding, do hereby make, publish and declare this as and for my Last Will
�� and Testament, hereby revoking all other Wills and Codicils heretofore made by
me.
FIRST
I direct the payment of my just debts and expenses of my last illness and
funeral from my estate as soon after my death as conveniently may be done. If
there be no cemetery lot available for my interment owned by me at the time
�, of my death, I authorize my personal representative to purchase such cemetery
lot with a contract for perpetual care, using therefor funds from my estate in �
such amount as he shall consider necessary and desirable, and I avthorize my
personal representative to cause title to or ownership of such lot so purchased
to be vested in such person as my personal representative shall designate.
Further, I authorize my personal representative to expend funds from my
estate, in such amount as my personal representative shall consider necessary
and desirable for the purchase, erection and inscription of a suitable marker for
my grave.
SECOND
I make the following specific bequests:
A. To the Cumberiand County Historical Society I give the sum of ten
thousand ($10,000) dollars.
B. To the Salvation Army I give the sum of ten thousand ($10,000)

C. To my friend and neighbor, Ron Wilson, of 9 S. Ridge Road, Boiling
Springs, I give the sum of fifteen thousand ($15,000) dollars. In the event he
should disclaim, this bequest shall pass to his grandson, Logan Wilson.
THIRD
Because I have otherwise provided for my son William by gifts during my
lifetime and in trust for his benefit, I make no other provision for him under this my

FOURTH
To the Revocable Trust of Charles Ellwood Maclay and Jobyna Marie
Maclay Under Agreement Dated September 9, 1998, as amended, I give the
sum of one hundred thousand ($100,000) dollars, as well as any interest in the
property at 6 Shirley Lane that I may be deemed to have retained.
FIFTH
I give, devise and bequeath all the rest, residue and remainder of my
estate to my son, Charles E. Maclay, Jr., or his issue, per stirpes.

SIXTH
I direct that any and all inheritance, estate, and transfer taxes imposed
upon my estate passing under this Will or otherwise shall be paid out of the
principal of my residuary estate.
SEVENTH
I do hereby nominate, constitute and appoint my son, Charles E. Maclay,
Jr., of Williamsville, N.Y., to act as Executor of this my Last Will and Testament.
EIGHTH
My executor shall not be required to give bond for the faithful
performance of his duties in any jurisdiction.
