McCRACKEN, of the Borough of Duboistown, Lycoming County, Pennsylvania 17702 (hereafter called "Settlor"), and ALAN L. McCRACKEN, of Bel Air, Maryland,or if he cannot serve for any reason,ROBERT S. WINTER, JR., of Newtown Square, Pennsylvania, (hereafter called"Trustee"), WITNESSETH: FIRST: Settlor grants,assigns and sets over to Trustee and his successor all the property described in Schedule A annexed hereto, and said property,together with all other property,real or personal,that may be added to the Trust(such property and additions being hereinafter called "principal"), shall be held by Trustee, IN TRUST,upon the following terms. SECOND: During the Settlor's lifetime,to pay to him the net income therefrom and so much of the principal as shall be requested by Settlor or as Trustee, in his discretion, from time to time thinks advisable for Settlor's support to maintain him in the standard of living to which Settlor was accustomed at creation of the Trust. Trustee shall set aside IN SEPARATE MARITAL DEDUCTION TRUST,the least amount(based upon values as finally determined for federal estate tax purposes in Settlor's estate)as would be needed for the federal estate tax unlimited marital deduction to reduce the federal estate tax to the lowest possible figure after full use of all other deductions and credits allowable in calculating the federal estate tax, except that such amount shall be calculated without regard to the augmenting of Settlor's taxable estate by reason of generation-skipping transfers and without regard for any credit for state death taxes that would not otherwise be payable. Accordingly,Settlor directs that: A. If the marital deduction or any similar benefit is allowable with respect to any property, including property held by entireties, which Settlor's wife has received prior to Settlor's death,or at Settlor's death will receive,otherwise than pursuant to this Article Third,the value of such property shall be taken into consideration in calculating the size of the gift under Article Third. B. No property ineligible for the marital deduction or any similar benefit shall be distributed to this gift for Settlor's wife,FAY L.MCCRACKEN,pursuant to this Article Third. C. Either cash or investments or both may be allocated to the gift under this Article Third. D. Any property allocated under this Article Third in kind shall be valued at the value at which it is finally included in Settlor's gross estate for federal estate tax purposes, provided that the aggregate market value thereof on the date of allocation(plus the value as fmally determined for federal estate tax purposes of all other property qualifying for the marital deduction) is at least equal to the dollar value of the marital deduction as finally determined for federal estate tax purposes. 2 E. Settlor's wife,FAY L.McCRACKEN,shall be paid the entire income from the principal in such periodic installments as Trustee shall fmd convenient, but at least as often as quarter-annually. F. As much of the principal of this Trust as the Trustee, other than Settlor's wife may from time to time think advisable for the support of Settlor's wife or during illness or emergency shall be either paid to her or else applied directly for her benefit by the Trustee. G. In addition to the above provisions,Settlor's wife,FAY L.McCRACKEN, shall have the power to withdraw such amounts from principal as she shall desire from time to time including the entire e�austion of a11 principal. H. Upon the death of Settlor's wife,FAY L.McCRACKEN,Trustee shall first deduct and pay to the personal representative of Settlor's wife's estate an amount equal to the increase in federal estate tax or state death taxes which her estate will have to pay because of the inclusion of the assets under this Article Third in her gross estate(unless she directs otherwise in her Will)and all then-remaining principal shall be distributed to such of Settlor's children in such amounts and proportions and in such estates,either absolutely or in trust,as Settlor's wife,FAY L. McCRACKEN, shall by her last Will appoint,provided that this power may be exercised only by specific reference to the power in her Will. If Settlor's wife, FAY L. McCR.ACKEN, shall fail either wholly or in part to exercise effectively the power of appointment herein granted, the unappointed principal shall be distributed as a part of the Trust under Article Fourth thereof. I. This Article Third is intended to empower Settlor's Executor, or in the absence of same Settlor's Trustee, to qualify this gift or as much thereof as he may deem advantageous for the qualified terminable interest property provision set forth in Section 2056(b)(7)of the Internal Revenue Code and as such, Settlor directs that if any provisions of this Trust Agreement shall result in depriving this Article Third of the benefits of the IRC § 3 2056(b)(7),if elected,such provision is hereby revoked and this Agreement shall be read as if any portion hereof which would result in such disquali.fication is null and void. FOURTH: Following Settlor's death, the entire amount of trust assets not held in trust under Article Third hereof shall be held by Trustee IN SEPARATE FAMILY TRUST for the following uses and purposes: A. Trustee shall pay the net income from the principal in such periodic installments as Trustee shall find convenient, but at least as often as quarter-annually, together with as much principal, as in the sole discretion of Trustee,that Trustee deems necessary for the care,maintenance and general welfare of Settlor's wife. B. In additionto the above provisions,Settlor's wife,FAY L.McCRACKEN, shall have the power to direct the Trustee to pay to her or to apply out of principal in each year including the year of Settlor's death and the year of her death an amount not in excess of the greater of Five Thousand($5,000.00)Dollars or five(5%)percent of the then aggregate value of the trust principal. This power is noncumulative and can be exercised only by an instrument in writing intended to take effect during her life, signed by Settlor's wife, FAY L. McCRACKEN, and delivered to the Trustee. C. Upon the death of Settlor's wife,FAY L.McCRACKEN,or upon Settlor's death if she predeceases him,the then-remaining principal and any accumulated or undistributed income shall be distributed to the then-living issue, per stirpes, born of Settlor's marriage to FAY L. McCRACKEN, and provided that if any of such issue shall be under the age of twenty- one(21),the share of such issue shall be held by the Trustee,IN FURTHER SEPARATE TRUST, for the following uses and purposes: (1) If the beneficiary is under the age of twenty-one(21),to expend and apply so much of the net income(any income not expended or applied to be accumulated and added to 4 principal)and so much of the principal of each trust as the Trustee shall consider advisable for the support and education (including college education, both graduate and undergraduate) of that beneficiary until he or she attains the age of twenty-one (21) years, at which time such beneficiary's share sha11 be paid over to him or to her absolutely and freed from trust. (2) If any such beneficiary shall die before receiving final distribution of his or her entire share,the undistributed balance shall be distributed outright to his or her surviving issue,if any,or if none to Settlor's then living issue,per stirpes, subject to the trust provisions of Article Fourth(C)(1)herein. FIFTH: The principal and income of this trust shall be free from anticipation,assignment, pledge or obligation of Settlor or of any beneficiary and shall not be subject to any execution or attachment or to voluntary or involuntary alienation. SIXTH: Trustee shall have the power, but not the duty, to make such expenditures out of this trust as he, in his uncontrolled discretion,may consider desirable in order to facilitate the settlement of Settlor's estate. In exercising such power,Trustee may pay,in whole or in part,any or all of the following items: The expenses of Settlor's last illness and burial, including cost of gravemarker;his debts;his income taxes;the death taxes on any and all property included in his gross estate for tax purposes; and all other items in connection with the settlement of his estate. Any such items may be paid directly by Trustee,or the funds for such payment may be transferred by Trustee to Settlor's executor or administrator; and neither such executor or administrator nor any beneficiary of Settlor's estate sha11 be required to reimburse Trustee for any funds so paid. SEVENTH: Trustee shall have the following powers in addition to those vested in him by law and by other provisions of this trust, applicable to all property, whether principal or income,including property held for minors,exercisable without court approval,and effective until actual distribution of all property: 5 A. To retain any and all of the assets of this trust, real or personal, including any shares of stock or other securities, without restriction to investments authorized for Pennsylvania fiduciaries, as he deems proper, without regard to any principle of diversification or risk. B. To sell at public or private sa1e,to exchange, or to lease for any period of time, any real or personal property and to give options for sales, exchanges or leases, for such prices and upon such terms and conditions as he deems proper. C. To allocate receipts and expenses to principal or income or partly to each as he from time to time thinks proper in his sole discretion,but in no event shall the income of the marital deduction trust under Article Third be reduced by the exercise of this power. D. To lend to, or purchase from, Settlor's executor, even though any Trustee is also such Executor. E. To hold property in the name of Settlor,or in his name without designation of any fiduciary capacity, or in the name of a nominee or unregistered. F. Should the principal of any trust herein provided for be or become too sma11 in the discretion of the Trustee, other than Settlor's wife, so as to make establishment or continuance of the trust inadvisable,the Trustee,other than Settlor's wife,may make immediate distribution of the then-remaining principal and any accumulated or undistributed income outright to the person or persons and in the proportions they are then entitled to income. Upon such termination,the rights of all persons who might otherwise have an interest as succeeding income beneficiary or in remainder shall cease.
