I, Arlene F. Gregory, now domiciled in Cumberland County, Pennsylvania, declare this
to be my Last Will. I revoke all other wills and codicils that I may have previously made.
ARTICLE I
My just debts and expenses of my last illness, memorial service, and administration of
my estate shall be paid by my Executrix from the principal of my residuary estate as soon as
practicable after my death.
ARTICLE II
I direct that I am to be cremated and a memorial service held.
ARTICLE III
All inheritance, estate, and succession taxes (including interest and penalties thereon, but
not including any generation skipping tax) payable by reason of my death shall be paid out of
and be charged generally against the principal of my residuary estate without reimbursement
from any person. This provision is not a waiver of any right which my Executrix has to claim
reimbursement for any such taxes which become payable as the re�ult of any property over
which I have the power of appointment.

ARTICLE IV
I give, devise and bequeath all of my property, real, personal, and mixed, as follows:
A. It is my direction that the two cottages owned by me, which are both located at
6007 Riverview Drive, Cape Vincent, New York, be sold upon my death and all proceeds placed
in the residuary and remainder of my estate to be distributed as set forth in Paragraph B below.
B. I give, devise and bequeath all of the rest, residue and remainder of my estate to
my beloved children, Kimberly M. Noon, Michele R. Gibb, Melissa L. McCurdy, Charles E.
Gregory, Mary Karen Lickel and Brian A. Gregory, in equal shares, provided they survive me by
thirty (30) days. In the event that any of my children should fail to survive me by thirty (30)
days, that child's share shall be divided equally among that child's living children. In the event
any of my children have no surviving children, then I direct that child's share be divided equally
among my remaining living children.
If any person named in this Will is under the age of twenty-five (25) at the time of my
death, his or her property shall be held in trust under the terms and conditions established in this
Will.
ARTICLE V
Child Beneficiaries
At my death, if a named beneficiary has not attained either (A) the age of twenty-five
(25) years, or (B) a bachelor's degree from an accredited college or university or a certificate or
diploma from an accredited post-high school vocational school, his or her share of the proceeds

from my estate shall be retained in a separate trust for the benefit of said beneficiary. I direct
that the trust shall be administered under the following terms:
A. As much of the net income and principal as my Co-Trustees from time to time
might think desirable, taking into account funds from all other sources, shall be expended far the
health, support, or education of said beneficiary until he or she attains the later of age eighteen
(18) or graduation from high school;
B. As much of the net income and principal as my Co-Trustees from time to time
might think desirable, taking into account funds from all other sources, shall be expended to
provide a college or vocational education for said beneficiary until he or she attains age twenty-
five (25). Net income and principal may be expended to cover living and travel expenses
incurred by said beneficiary in pursuing full-time college or vocational studies which my Co-
Trustees in their sole discretion deem reasonable;
C. If a beneficiary does not pursue a college or vocational education, his or her
interest in the trust shall be held with no distribution until he or she achieves the age of twenty-
five (25) years; and
D. When said beneficiary attains age twenty-five (25) or acquires a bachelor's degree
from an accredited college or university or a certificate or diploma from an accredited post-high
school vocational school, the principal and any accumulated income in trust is to be distributed
to said beneficiary.

ARTICLE VI
No interest in income or principal shall be assignable by, or available to, anyone having a
claim against a beneficiary before actual payment to the beneficiary.
ARTICLE VII
I hereby appoint Michele R. Gibb and Kimberly M. Noon, as Co-Trustees of the Trust
created in this Will. No bond or other security shall be required in any jurisdiction for the
performance of their duties as Co-Trustees.
ARTICLE VIII
I nominate, constitute, and appoint Kimberly M. Noon, Executrix of my Last Will and
Testament. In the event of her renunciation, death, resignation, or inability to act for any reason
whatsoever as my Executrix, I nominate, constitute, and appoint Michele R. Gibb to act as my
Executrix. I hereby relieve my Executrix, whether original, substitute, or successor, from the
necessity of posting security in connection with her duties as such in any jurisdiction in which
she may be called upon to act so far as I am able by law to do so. My Executrix shall receive
reasonable compensation for services rendered to my Estate.

ARTICLE IX
I hereby authorize my Co-Trustees and my Executrix:
A. to retain and to invest in all forms of real and personal property, regardless of any
limitations imposed by law on investments by executors or trustees;
B. to compromise claims and to abandon my property which, in my Executrix's or
Co-Trustee's opinion, is of little or no value;
C. to sell at public auction or private sale, or to exchange or t� lease for any period of
time, any real or personal property, and to give options for sales or leases;
D. to join in any merger, reorganization, voting trust plan, or other concerted action
of security holders, and to delegate discretionary duties with respect thereto;
E. to borrow and to pledge property for repayment of funds borrowed; and
F. to distribute in cash or in kind.
These authorities shall extend to all property at any time held by my Executrix or my Co-
Trustees and shall continue in full force until the actual distribution of all such property. All
powers, authorities, and discretion granted by this Will shall be in addition to those granted by
law and shall be exercisable without leave of court.
