REDDING, JR., of Mechanicsburg, Cumberland County, Pennsylvania, being of sound and disposing mind, memory and understanding, do hereby make, publish and declare this as and for my Last Will and Testament, hereby revoking all other Wills and Codicils heretofore made by me. FIRST I direct the payment of my just debts and the expenses of my last illness and funeral from my estate as soon after my death as conveniently may be done. If there be no cemetery lot available for my interment owned by me at the time of my death, I authorize my personal representative to purchase such cemetery lot with a contract for perpetual care, using therefor funds from my estate in such amount as he shall consider necessary and desirable, and I authorize my personal representative to cause title to or ownership of such lot so purchased to be vested in such person as my personal representative shall designate. Further, I authorize my personal representative to expend funds from my estate..in such amount-as my personal representative shall consider necessar and desirable for the purchase, erection and inscription of a suitable marker for my grave. REDDING, absolutely and in fee simple if she survives me by thirty (30) days. THIRD In the event that my wife, BRENDA L. REDDING, fails to survive me by thirty (30) days, then I give, devise and bequeath all the rest, residue and remainder of my estate in equal shares unto my children, per stirpes; provided, that if any of my children have not attained the age of thirty (30) years, then I give, devise and bequeath my entire estate together with any other property which may be added, unto my Co-Trustees, hereinafter named, IN TRUST, NEVERTHELESS, upon the following terms and conditions: (A) To hold, manage, invest and reinvest the principal so received, and accumulation of income thereon, and to use, pay and apply the income and principal or so much thereof as in my Co-Trustees' sole discretion may be necessary for the maintenance, support, medical expenses and education of my children. (B) The payments authorized by this trust may be made by my Co- Trustees' directly to said children, or such of them as may be; in the sole opinion of Co-Trustees, of such age and ability to handle properly the funds so paid, or may be made directly to the person having custody and care of any of said children, or may be made directly to any institution entitled to such payment by reason of services rendered or to be rendered to any of said children. (E) The Co-Trustees shall set apart for each child one share of the principal and undistributed income of the Trust. The share shall be determined by dividing the principal of the Trust by the number of beneficiaries of the Trust who are living, or have left living issue. (F) Each separately apportioned share shall be held by the Co- Trustees as a separate trust for the benefit of the child for whom it was established, and shall be administered and distributed as follows: (a) The Co-Trustees shall pay said child all of the net income of the child's separate trust, in convenient, at least annual, installments. (b) The Co-Trustees shall also distribute so much of the principal as the Co-Trustees, in their discretion, deem necessary and desirable for the maintenance, support, medical expenses and education of the child. (c) The Co-Trustees shall distribute to the child one-third (1/3) of the principal of the child's separate trust upon the child's attaining the age of twenty-one (21) years. (G) If any child dies before a separate trust has been established for her, that portion of the principal which would have been set apart for her shall 3 continue in trust for the benefit of her then living issue, per stirpes, shall be administered in a manner consistent with the terms of the other trust shares created hereunder, and shall be distributed to such issue in equal shares when the youngest thereof attains the age of 21 years. (H) If any child dies without issue, the principal of her separate trust shall be added to the remaining trust(s) which have been established under this Item, an equal share to be allocated for each living child or deceased child with living issue. Each share allocated to a child or issue of a deceased child for whom a separate trust has been set apart shall be added to that trust. If any trust has been terminated, the share which would have been added to that trust shall be distributed as if it had been a part of that trust. FOURTH I hereby appoint my daughter, AMANDA L. REDDING, and my father, ROBERT L. REDDING, as Co-Trustees of any trust created under this Will. FIFTH In addition to the powers conferred by law, I authorize any personal representative, trustee or guardian acting under this instrument, in his/her absolute discretion: (a) To retain in the form received, or to sell either at public or private sale any real or personal property; SAIDIS SHUFF, FLOWER (b) To exercise any options to subscribe for stocks, bonds, or other & LINDSAY FURNEYS•AT-L W 2109 Maiket Street investments; Camp Hill,PA (c) To join in any plan of lease, mortgage, consolidation, exchange, reorganization or foreclosure of any corporation in which my estate or any trust may hold stocks, bonds or other securities; 4 (d) To sell, transfer, convey, mortgage, pledge, lease or exchange any property, real or personal, which at any time may form part of my estate, for the payment of debts or taxes, or for any purpose of administration or distribution, for such prices and upon such terms as they, in their sole discretion, may deem wise, and to execute and deliver deeds of conveyance or transfer thereof; (e) To make settlements and compromises on such terms as they, in their sole discretion may deem wise without the necessity of obtaining any court approval thereof; (f) To make distribution hereunder either in cash or kind, as they, in their discretion may deem wise. SIXTH Should my wife, BRENDA L. REDDING, predecease me, I appoint my elder daughter, AMANDA L. REDDING, and my father, ROBERT L. REDDING, Guardians of my daughter, ABIGAIL L. REDDING, until her majority. SEVENTH I do hereby nominate, constitute and appoint my wife, BRENDA L. REDDING, to act as Executrix of this my Last Will and Testament. Provided, however, that if she ' is unwilling or unable to act as Executrix, I direct the duties of Alternate Co-Executors be performed by my daughter, AMANDA L. REDDING, and my father, ROBERT L.
