I, ELMER L. LAY, of 227 Roxbury Road,Newville, Lower Mii�lir��'�yvnship� ; ;

Cumberland County, Pennsylvania, being of sound mind, memory and disposition, do -�- -�
hereby make, publish and declare this my Last Will and Testament, hereby revoking and
making void any and all Wills, Codicils, or writings in the nature thereof, by me at any
time heretofore made:
�s PAYMENT OF EXPENSES - I direct that a11 my debts and funeral expenses,
including my gravemarker and all expenses of my last illness, sha11 be paid from my
residuary estate as soon as practicable after my decease as a part of the administration of
my estate.
SECOND: RESIDUE OF ESTATE - I give, devise and bequeath all the rest, residue
and remainder of my estate, be it real, personal, or mixed of whatsoever kind and
wheresoever situate, unto my wife, BETTY L. LAY, provided she shall survive me by
thirty(30) days.
In the event my wife fails to survive me by thirty(30) days, I then give, devise and
bequeath all the rest, residue and remainder unto my children, DONNA J. FINKEY,
DONALD L. LAY, TERRI S. BAXTER, DANNY R. LAY and TIMOTH� S. LAY.
However, if a child does not survive me and leaves children who so survive me, such
children shall receive, per stirpes(by representation), the share my child would have
received had he or she so survived me.

My son, TIMOTHY S. LAY, owes me the principal sum of$ 12,000.00 as of the
date of this Will. He sha11 repay the principal balance owed either as an outright payment
to the estate or via a deduction of the relevant portion from the share to which he would
otherwise be entitled.
THIRD: TRUSTEE OF CHII.DREN'S ESTATE - Any share or shares of my estate
which passes to a minor shall be placed IN TRUST with DONALD L. LAY, as
TRUSTEE, to serve without posting bond, on the following terms and conditions:
So long as the minor beneficiary is a minor, the net income of the Trust
shall be paid to or applied for the maintenance, education or support of such
beneficiary at such time and in such proportions as my Trustee shall in h`er sole
discretion determine. In the event that the income would be insufficient to provide
the beneficiary with adequate maintenance, education and support, the Trustee
shall invade the principal for this purpose and such invasions shall be according to
the needs of the beneficiary, rather than according to any pro rata scheme of
distribution.
If DONALD L. LAY is unable to serve as TRUSTEE, I then appoint
TERRI S. BAXTER as TRUSTEE to serve without posting bond.
FOURTH: TAXES RESULTING FROM MY DEATH- All federal, estate and other
death t�es that may be assessed as a consequence of my death, whether or not the assets
pass under this Will, shall be paid from the residuary estate of my probate estate just as if
they were my debts, and none of those t�es shall be charged against any beneficiary or
joint owner.
FIFTH: EXECUTOR- I appoint my son, DONALD L. LAY, Executor of my Will. In

the event that DONALD L. LAY predeceases me or is unwilling or unable to serve as
Executor, I then appoint my daughter TERRI S. BAXTER, as Executrix of my Will.
Neither my Executor nor any successor shall be required to give bond for the performance
of their duties.
I grant to my Executor the power to compromise claims without court approval
and without the consent of any beneficiary.
SIXTH: PR4TECTIVE PROVISION- To the greatest e�ent permitted by law,
before actual payment to a beneficiary or to his or her account, no interest in income or
principal shall be assignable by a beneficiary or available to anyone having a claim against
a beneficiary.
