I. I direct that all my just debts and funeral expenses be paid from the assets of my estate as soon as practicable after my demise. II. If more than one of them desires to purchase said interest, each shall submit a sealed bid to my Executor and the property shall be sold to the highest bidder. If none of them are interested in purchasing it, it shall then be sold pursuant to the terms of the most recent (as of my death) Agreement I have with the owners of the remaining interest in the property. IV. I bequeath unto my wife, Ethel S. Brubaker, all tangible personal property which I own at my death. V. All the rest, residue and remainder of my estate, of whatever nature and wherever situate, including property over which I hold a power of appointment, I devise and bequeath unto my wife, Ethel. VI. In the event that my wife, Ethel, does not survive me, I devise and bequeath my entire estate that would have otherwise passed under Paragraphs W and V above as follows: A. I bequeath unto our sons, Ray, Robert and Richard, any items of my tangible personal property which they may desire and can agree upon. Any items not so chosen shall pass as part of my residuary estate below. B. Brubaker 713 Oak Oval Mechanicsburg,PA 17055-8408 May 14,2013 Carl Brubaker 15 West Jefferson Avenue Myerstown PA 17067 Dear Carl, As you know, in grandpa's Will, he granted unto "my sons or grandchildren"the right to purchase his share of the Stone Mountain Farm and the proceeds of such a sale would pass to me as part of the residue of his estate. At that time the farm was not producing income, so selling it and investing the proceeds would have been of greater benefit to me. Now, however, since they are "mining" the Farm, it would be of much greater benefit to me with my expenses here at the Village to actually own the Farm, since the proceeds from the"mining" are greater than income from investing the sales proceeds. I am writing to see if each of you would be open to his interest in the Farm being transferred to me subject to the provision in his Will so that, at the time of my death, the right to purchase it would pass on to each of you. If all of you are agreed to this, the transfer would still have to be approved by the other owners of the Farm because of the Agreement they have concerning a sale. If all of you are agreed to this, I will approach the other owners and, if they are in agreement, I will have Attorney Brinser prepare the necessary paperwork, which you will also have to sign.
