DAUPHIN OIL COMPANY, Respondent, : IN THE COURT OF COMMON PLEAS OF : CUMBERLAND COUNTY, PENNSYLVANIA NO. 2014 - S--10 % /&,' PETITION FOR REMOVAL OF MORTGAGE AND NOW, comes CARLISLE DEVELOPERS, LLC, by and through its attorneys, MARTSON LAW OFFICES, seeking authorization to remove DAUPHIN OIL CO INC.'s interest, if any, in the real property located at 815 Newville Road, Carlisle, Pennsylvania 17013, and in support thereof, avers as follows: 1. Petitioner, CARLISLE DEVELOPERS, LLC ("Petitioner"), is a Pennsylvania corporation with its offices at 320 South Hanover Street, Carlisle, Pennsylvania 17013. 2. Defendant, DAUPHIN OIL CO INC a.k.a. DAUPHIN OIL COMPANY, INC. a.k.a. DAUPHIN OIL COMPANY ("Dauphin"), is a Pennsylvania corporation with its last known address of 3057 Grassmere Avenue, Pittsburgh, Pennsylvania 15216. 3. On or about April 22, 2004, Petitioner transferred the property located at 815 Newville Road, Carlisle, Pennsylvania 17013 (the "Property") to Broujos & Gilroy, P.C., as Trustee and Exchange Accommodation Party for Dauphin Oil, Inc., for $300,000.00 in actual cash consideration. Attached hereto as Exhibit "A" is a copy of the relevant deed. (1/46-873 X3/0 X79 4. On or about April 27, 2004, Dauphin, acting as the Lender, granted a mortgage (the "Mortgage") in the sum of $550,000 to Broujos & Gilroy, P.C. against the Property. Attached hereto as Exhibit "B" is a copy of the Mortgage. 5. The Mortgage was recorded on April 28, 2004, in Mortgage Book 1863, Page 1. 6. It is believed that the Mortgage was given without an actual exchange of consideration. 7. On or about June 10, 2005, Broujos & Gilroy, P.C. transferred the Property to Dauphin for $1.00 in consideration. Attached hereto as Exhibit "C" is a copy of the relevant deed. 8. On or about July 10, 2014, the Property was sold to Petitioner at a Judicial Tax Sale by the Cumberland County Tax Claim Bureau. Attached hereto as Exhibit "D" is a copy of the relevant deed. 9. There is no record of any enforcement of the Mortgage or any record of Dauphin attempting to protect their interest in the Property. 10. Dauphin's interest in the Property through the Mortgage was merged into one absolute interest when it acquired a fee simple interest in the Property on June 10, 2005. 11. The merger of Dauphin's interest is rooted in the Merger Doctrine, which is based on the principle of "Nemo potest esse dominus et tenens (No man can be both tenant and lord)." (See Restatement (Third) of Property: Mortgages, § 8.5 Comment (a)). 12. The main factor courts use to determine whether the fee simple title merges with the mortgage is the intent of the parties, more specifically, the intent of the title holder. 13. It is believed and therefore averred that Dauphin was given the Mortgage for the sole purpose of protecting its interest during the purchase of the Property through a reverse 1031 exchange. 14 Furthermore, Dauphin has not done anything to protect its interest in the Mortgage in over eight (8) years, which reaffirms Petitioner's position and averments herein. 15. Thus, the Judicial Tax Sale of the Property served as a complete divesture of Dauphin's interest in the Property. 16. Dauphin received proper and timely notice of the impending Judicial Tax Sale and the potential divesture of its lien when it was given written notice as the property owner. Attached hereto as Exhibit "E" is a copy of the Petition for Judicial Sale and related documents. 17. Since the Judicial Tax Sale has the effect of divesting liens and Dauphin was properly notified of the sale, any interest(s) Dauphin had as the fee simple owner and mortgagee were divested. 18. The Property was transferred to Petitioner free and clear of any interest of Dauphin. WHEREFORE, Petitioner, Carlisle Developers, LLC, hereby respectfully requests that this Court grant its request to declare the Property free and clear of any rights, title and interests of Dauphin and reaffirm that the Mortgage was properly divested by way of the Judicial Tax Sale. Borrower shall pay all taxes, assessments, charges, fines and impositions attributable to the Property which may attain priority over this Security Instrument, and leasehold payments or ground rents, if any. Borrower shall pay these obligations on time directly to the person owed payment. Borrower shall promptly furnish to Lender all notices of amounts to be paid under this paragraph. If Borrower makes these payments directly, Borrower shall promptly furnish to Lender receipts evidencing the payments. Borrower shall promptly discharge any lien which has priority over this Security Instrument unless Borrower: (a) agrees in writing to the payment of the obligation secured by the lien in a manner acceptable to Lender; (b) contests in good faith the lien by, or defends against enforcement of the lien in, legal proceedings which in the Lender's opinion operate to prevent the enforcement of the lien or forfeiture of any part of the Property; or (c) secures from the holder of the lien an agreement satisfactory to Lender subordinating the lien to this Security Instrument. Borrower shall keep the improvements now existing or hereafter erected on the Property insured against loss by fire, hazards included within the term "extended coverage" and any other hazards for which Lender requires insurance. This insurance shall be maintained in the amounts and for the periods that Lender requires. The insurance carrier providing the insurance shall be chosen by Borrower subject to Lender's approval which shall not be unreasonably withheld. All insurance policies and renewals shall be acceptable to Lender and shall include a standard mortgage clause. Lender shall have the right to hold the policies and renewals. If Lender requires, Borrower shall promptly give to Lender all receipts of paid premiums and renewal notices. In the event of loss, Borrower shall give prompt notice to the insurance carrier and Lender. Lender may make proof of loss if not made promptly by Borrower. Unless Lender and Borrower otherwise agree in writing, insurance proceeds shall be applied to restoration or repair of the Property damaged, if the restoration or repair is economically feasible and Lender's security is not lessened. If the restoration or repair is not economically feasible or Lender's security would be lessened, the insurance proceeds shall be applied to the sums secured by this Security Instrument, whether or not then due, with any excess paid to Borrower. If Borrower abandons the Property, or does not answer within 30 days a notice from Lender that the insurance carrier has offered to settle a claim, then Lender may collect the insurance proceeds. Lender may use the proceeds to repair or restore the Property or to pay sums secured by this Security Instrument, whether or not then due. The 30 -day period will begin when the notice is given. BK 1 863 G0002 If the Property is acquired by Lender, Borrower's right to any insurance policies and proceeds resulting from damage to the Property prior to the acquisition shall pass to Lender to the extent of the sums secured by this Security Instrument immediately prior to the acquisition. 4. Preservation and Maintenance of Property; Leaseholds. Borrower shall not destroy, damage or substantially change the Property, allow the Property to deteriorate or commit waste. If this Security Instrument is on a leasehold, Borrower shall comply with the provisions of the lease, and if Borrower acquires fee title to the Property, the leasehold and fee title shall not merge unless Lender agrees to the merger in writing. 5. Protection of Lender's Rights in the Property. If Borrower fails to perform the covenants and agreements contained in this Security Instrument, or there is a legal proceeding that may significantly affect Lender's rights in the Property (such as a proceeding in bankruptcy, probate, for condemnation or to enforce laws or regulations), then Lender may do and pay for whatever is necessary to protect the value of the Property and Lender's rights in the Property. Lender's actions may include paying any sums secured by a lien which has priority over this Security Instrument, appearing in court, paying reasonable attorneys' fees and entering on the Property to make repairs. Although Lender may take action under this paragraph 5, Lender does not have to do so. Any amounts disbursed by Lender under this paragraph 5 shall become additional debt of Borrower secured by this Security Instrument. Unless Borrower and Lender agree to other terms of payment, these amounts shall bear interest from the date of disbursement at the Note rate and shall be payable, with interest, upon notice from Lender to Borrower requesting payment. 6. Inspection. Lender or its agent may make reasonable entries upon and inspections of the Property. Lender shall give Borrower notice at the time of or prior to an inspection specifying reasonable cause for the inspection. 7. Condemnation. The proceeds of any award or claim for damages, direct or consequential, in connection with any condemnation or other taking of any part of the Property, or for conveyance in lieu of condemnation, are hereby assigned and shall be paid to Lender. In the event of a total taking of the Property, the proceeds shall be applied to the sums secured by this Security Instrument, whether or not then due, with any excess paid to Borrower. In the event of a partial taking of the Property, unless Borrower and Lender otherwise agree in writing, the sums secured by this Security Instrument shall be reduced by the amount of the proceeds multiplied by the following fraction: (a) the total amount of the sums secured immediately before the taking, divided by (b) the fair market value of the Property immediately before the taking. Any balance shall be paid to Borrower. If the Property is abandoned by Borrower, or if, after notice by Lender to Borrower that the condemnor offers to make an award or settle a claim for damages, Borrower fails to respond to Lender within 30 days after the date the notice is given, Lender is authorized to collect and apply the proceeds, at its option, either to restoration or repair of the Property or to the sums secured by this Security Instrument, whether or not then due. BK 100 3 PG. 003 S. Successors and Assigns Bound. The covenants and agreements of this Security Instrument shall bind and benefit the successors and assigns of Lender and Borrower. 9. Notices. Any notice to Borrower provided for in this Security Instrument shall be given by delivering it or by mailing it by first class mail unless applicable law requires use of another method. The notice shall be directed to the Property Address or any other address Borrower designates by notice to Lender. Any notice to Lender shall be given by first class mail to Lender's address stated herein or any other address Lender designates by notice to Borrower. Any notice provided for in this Security Instrument shall be deemed to have been given to Borrower or Lender when given as provided in this paragraph. 10. Governing Law; Severability. This Security Instrument shall be governed by federal law and the law of the jurisdiction in which the Property is located. In the event that any provision or clause of this Security Instrument or the Note conflicts with applicable law, such conflict shall not affect other provisions of this Security Instrument or the note which can be given effect without the conflicting provision. To this end the provisions of this Security Instrument and the Note are declared to be severable. 11. Release. Upon payment of all sums secured by this Security Instrument, Lender shall discharge this Security Instrument without charge to Borrower. Borrower shall pay any recordation costs. 12. Purchase Money Mortgage. If any of the debt secured by this Security Instrument is lent to Borrower to acquire title to the Property, this Security Instrument shall be a purchase money mortgage. 13. Future Advances. This Mortgage secures future advances. This Mortgage shall also cover and be security for any other future loans and advances that may be made (whether with or without obligation to do so) by Lender to Borrower at any time or times hereafter whether or not any reference is made to this Mortgage at the time that such loans or advances are made. This Mortgage shall secure repayment of all monies due from Borrower to Lender now or in the future even if such amounts exceed the aforementioned contemplated maximum amount secured hereby. Without limiting the generality of any other provision(s) hereof, this Mortgage shall also secure repayment of the unpaid balance of advances made with respect to the subject premises, for the payment of taxes, assessments, maintenance charges, insurance premiums or costs incurred for the protection of the subject premises or the lien of this Mortgage, expenses incurred by the Lender by reason of default by the Borrower under this Mortgage or advances made to enable completion of the improvements upon the Property. The amount of all such loans or advances shall be added to the principal indebtedness. 14. Non Recourse. Lender shall look solely to the Property for the repayment of the debt secured hereby and shall be without recourse as to the Borrower.
