Barrick, a resident of Cumberland County, PENNSYLVANIA, do make, publish and declare this to be my Last Will and Testament, hereby revoking any and all Wills and Codicils heretofore made by me. FIRST: I declare that I am the spouse of Mereta Barrick, to whom all references herein to "my spouse" relate, and that I am a parent of the following named children: Na~rE BrttTHnA~ Soc. Bollinger November 4, 1947 173-38-5545 Diane Russell Au ust 19, 1950 173-38-5544 All references herein to my children shall include any child or children born to or adopted by me after the making of this will. It is my intention by this Will to dispose of my separate property and, with respect to the property owned by my spouse and myself in community at the time of my death, it is my intention by this Will to dispose of only my one-half share therein. I confirm to my spouse the other one-half share therein and I direct my Personal Representative to account to my spouse for such share. SECOND: I direct the prompt payment of my funeral expenses and expenses of last illness. -1- TI~RD: I direct that inheritance, death and estate taxes, including interest and penalties thereon, becoming due by reason of my death, with respect to property other than property held in trust or property taxed to my estate as a generation skipping transfer, be paid preferably out of my residuary estate passing under this Will to the extent thereof but may be paid out of the trust receiving distribution of my residuary estate passing under this Will if the trustee deems it appropriate. Any such taxes, and interest and penalties thereon, attributable to trust property or property taxed as a generation skipping transfer shall be paid out of the respective property or by the person or persons receiving distribution of such property. The determination of the amount of tax due by my residuary estate shall be made as if trust property were a pro rata share of my estate and as if no property classified as a generation-skipping transfer were taxed to my estate. FOURTH: I direct my Personal Representative, to distribute my tangible personal property as I set forth by a separate written statement prepared by me for that purpose in which I describe items of property and designate the persons to receive such property. In the absence of such a statement or to the extent that all my tangible personal property is not included in the statement, I devise and bequeath all the rest of my personal effects, automobiles, boats, jewelry, transferable club memberships and household effects to my spouse if my spouse survives me. Should my spouse not survive me, I devise and bequeath all the rest of my personal effects, automobiles, boats, jewelry and household effects to the Trustee of the Barrick FAMILY TRUST, that certain trust agreement executed by me as a Trustor on the ~u u ~ ~ a .day of 19 y , to be added to principal and allocated as provided under said trust agreement. -2- FIFTH: I devise, subject to any and all encumbrances thereon, all real property which I may own or have an interest in at the time of my death, together with improvements, rights and prepaid expenses on or relating to the property, to my spouse if my spouse survives me by a period of four months. Should my spouse not survive me, I devise and bequeath all real property which I may own or have an interest in at the time of my, death, together with improvements, rights and prepaid expenses on or relating to the property, to the Trustee of the Barrick FAMILY TRUST. SIXTH: All the rest and residue of my estate including lapsed devises or legacies, but not including property over which I may then have a power of appointment, I devise and bequeath to my spouse. Should my spouse not survive me, I devise and bequeath all the rest and residue of my estate including lapsed devises or legacies, but not including property over which I may then have a power of appointment, to the Trustee of the Barrick FAMILY TRUST. All property passing by this provision shall be held and administered as an integral part of the trust agreement, including any amendments thereto in effect at my death. it is not my intention by this article or any other articles in this instrument to create a separate or testamentary trust. During the joint lifetime of the Trustors, this trust may be revoked in whole or in part with respect to either Trustor's interest by an instrument in writing signed by the Trustor whose interest is being revoked and delivered to the Trustee and the other Trustor. On the death of one Trustor the Surviving Trustor shall retain the above rights of revocation and amendment with respect to the Survivor's Trust but any other trust established by this agreement shall be irrevocable and unamendable. From and after the death of the Surviving Trustor, all trusts established by this agreement shall be irrevocable and unamendable. No amendment shall substantially increase the duties and -/ liabilities of the Trustee or change the Trustee's compensation without the Trustee's written consent. (B) Trustors retain the right for themselves and others to transfer other property to Trustee by lifetime transfer or through bequest or devise by Will, and to make insurance policies or other contracts payable to Trustee, all subject to future acceptance by Trustee. (C) All rights under life insurance policies and other death benefit contracts, the proceeds of which are made payable to Trustee are retained by the Trustor who is owner of record, including the right to change beneficiary designation, borrow on, pledge as security for loans, exercise options and determine custody of the policies. The rights of any assignee of a policy made payable to this trust shall be superior to the rights of Trustee. If the owner -' -2- surrenders any policy or changes the beneficiary of any policy to someone other than ,-,,' Trustee, such action shall nullify the application of this agreement to such policy. (D) Trustors reserve the right to direct Trustee as to distributions of net income and principal during their joint lifetime. (E) Trustors and the Survivor reserve the following rights with respect to investments during lifetime and competency: 1. to direct the retention, acquisition and disposition of trust assets for investment purposes; and -./ 2. to approve or reject Trustee's recommendations as to the acquisition and disposition of trust assets for investment purposes. Trustors or the Survivor of them may exercise either right as to part or all of the trust assets by notifying Trustee of such intention and may release or reinstate the exercise of either right from time to time as to part or all of the trust assets. During periods when the Right to Direct Retention, Acquisition or Disposition or any Trust assets for investment purposes is selected to be exercised, Trustee shall have no investment responsibility with regard to such trust assets so selected. During periods when the right to approve or reject Trustee's recommendations as to the acquisition or disposition of any trust assets for investment purposes is selected to be exercised, Trustee shall submit recommended changes in those trust investments so selected for approval or rejection. Trustee is relieved from liability for ..-I -3- ...-I losses to the trust estate which result from either Trustor's exercise of either right or which result from either Trustor's delay in responding or failure to respond to recommendations. (F) Any rights or powers reserved by Trustors are personal and shall not be exercisable by any guardian, conservator or other personal representative. This provision shall not prevent any transfers under Section (B) above by a person acting under a durable power of attorney for Trustor. (G) Trustor and each of them desire to exercise their rights and powers reserved with respect to this Agreement only during competency. Therefore, for purposes of this Agreement, Trustee shall not recognize an attempt by a Trustor to exercise powers and rights if he or she is unable to manage or give prompt attention or intelligent consideration to financial matters or matters pertaining to this Agreement. Trustee may rely on the ....I written determination of Trustor's regular physician or physicians with respect to this provision. ../ -4- ARTICLE V _' DISPOSITIVE PROVISIONS: (A) Any income received by Trustee prior to the death of either Trustor shal1 be held or disbursed as directed by Trustors. In addition, Trustee shall pay to Trustors such portion or portions of principal, up to the whole thereof, as Trustors shall request in writing from time to time. (B) In the absence of directions from Trustors, or if circumstances are such that Trustee deems it appropriate, Trustee shall pay so much of the net income and principal to or for the benefit of Trustors or either of them from time to time as it shall determine in its discretion to be necessary or appropriate for the health and support in reasonable comfort of both Trustors and the health, education and support of those dependent upon them for support. Any income not so distributed may be accumulated and added to -./ principal. (C) On the death of either Trustor, Trustee shall divide the trust estate into separate trusts designated as "Survivor's Trust" and "Decedent's Trust." 1. Surviving Trustor's separate property and Surviving Trustor's community interest in trust property shall be allocated to Survivor's Trust. From the remainder of trust property Trustee shall allocate to Survivor's Trust an amount equal to the balance of the trust estate reduced by the largest amount which could be allocated to Decedent's Trust without creating or increasing any federal estate tax .-I -5- --' obligation upon deceased Trustor's estate. Trustee shall distribute the balance of the trust estate to Decedent's Trust. 2. The determination of whether a federal estate tax could be created or increased under paragraph 1 shall be made by reducing any tax calculated by the amount of the unified credit available to Deceased Trustor's estate. For calculation purposes generation-skipping tax shall not be classified as estate tax. ~. 3. In determining the amount of the pecuniary transfer to the Survivor's Trust under this section, the final determination of values in the federal estate tax proceeding in Deceased Trustor's estate shall control but, for purposes of allocation of property in satisfaction of the pecuniary transfer, values determined at the time of transfer shall be used. Only property which could qualify for the marital deduction shall be allocated to the Survivor's Trust. (D) With respect to the Survivor's Trust: 1. Trustee shall pay the net income from the time of deceased Trustor's death to or for the benefit of Surviving Trustor so long as Surviving Trustor shall live. 2. If, in the opinion of Trustee, Surviving Trustor is in need of additional funds to provide adequately for his or her health and support in reasonable comfort, Trustee shall pay to or for the benefit of Surviving Trustor such amounts from .,I -6- '--' principal from time to time as it shall determine in its discretion to be necessary or appropriate for such purposes. 3. In addition, Trustee shall pay to Surviving Trustor such amounts from principal as he or she shall request in writing from time to time. 4. On the death of Surviving Trustor, Trustee shall pay the then remaining principal and undistributed income to such person or persons or to the estate of Surviving Trustor in such amounts or proportions and in such manner, including outright or in trust, as Surviving Trustor shall appoint by Last Will if such makes specific reference to the exercise of this power. -' 5. On the death of Surviving Trustor if, or to the extent, distribution is not made pursuant to exercise of the power of appointment granted in the previous paragraph, Trustee shall add such remaining principal and undistributed income to the decedent's Trust. (E) With respect to the Decedent's Trust: 1. Trustee shall pay the net income from time to time to or for the benefit of those whom Trustee may select among a group of individuals comprised of Surviving Trustor and the issue of Trustors living at the inception of Decedent's Trust in such amounts and proportions as Trustee may determine in its discretion. In selecting individuals or determining amounts, Trustee shall consider the respective needs of the individuals included in the group. Notwithstanding the directive to ....' -7- '-" distribute income, Trustee may in its discretion accumulate all or any part of the net income and add it to the principal of this trust. 2. If, in the opinion of Trustee, any individual described as beneficiary under the previous paragraph is in need of additional funds to provide adequately for his or her health, education and support in reasonable comfort, Trustee shall pay from time to time to or for the benefit of such individual such amounts from principal as it shall determine in its discretion to be necessary or appropriate for such purposes. In determining the need of Surviving Trustor for additional funds under this paragraph, Trustee shall consider the existence and availability of principal in the Survivor's Trust and, in determining the needs of any other beneficiaries, Trustee shall consider other funds known by the Trustee to be available for such purposes. -/ (F) On the death of the surviving Trustor, Trustee shall make certain distributions of property as indicated on Schedule D which identifies the person and the property they are to receive. (G) If, by the previous section, any distribution is required to be made to a minor, '-.../ the interest so required to be distributed shall be indefeasibly vested in the minor but Trustee may retain the amount payable until the minor attains his or her majority or dies, whichever first occurs, and Trustee may pay so much of the income and principal to or for the benefit of the minor as in Trustee's sole discretion is necessary to provide for his or her health, education and support in reasonable comfort. Any income not distributed may be added to the principal of such interest and invested as a part thereof. When the minor attains his or her majority or dies, whichever first occurs, the then remaining principal and undistributed income shall be paid to him or her, if living, or to his or her estate, if deceased. (H) If, or to the extent, the above provisions do not provide for distribution of the trust estate, or any part thereof, such interest shall be distributed free of trust, upon -.I -9- termination of all prior estates or interests, to the intestate heirs of Trustor as then --../ determined by the laws of the State of PENNSYLVANIA as then in effect. (I) With respect to proceeds for issue of a deceased child: 1. Each share or trust apportioned to the living issue of a deceased child shall be distributed by Trustee to the then living issue of such deceased child, such issue to take by right of representation. ~ 2. If, by the previous paragraph, any distribution is required to be made to a minor, the interest so required to be distributed shall be indefeasibly vested in the minor but Trustee may retain the amount payable until the minor attains his or her majority or dies, whichever first occurs, and Trustee may pay so much of the income and principal to or for the benefit of the minor as in Trustee's sole discretion is necessary to provide for his or her health, education and support in reasonable comfort. Any income not distributed may be added to the principal of such interest and invested as a part thereof. When the minor attains his or her majority or dies, whichever first occurs, the then remaining principal and undistributed income shall be paid to him or her, if living, or to his or her estate, if deceased. ..../ -10 - (J) If, or to the extent, the above provisions do not provide for distribution of the - trust estate, or any part thereof, such interest shaH be distributed free of trust, upon termination of aH prior estates or interests, half to the intestate heirs of each Trustor as then determined by the laws of the State of PENNSYLVANIA as then in effect. ARTICLE VI DISTRIBUTION QUALIFICATIONS: (A) Trustee is not to recognize any transfer, mortgage, pledge, hypothecation, assignment or order of a beneficiary, other than the Trustor, which anticipates the payment of any part of the income or principal. The income and principal of the trust estate shaH not be subject to attachment, garnishment, creditor's bill or execution to satisfy any debt, obligation or tort of any beneficiary, nor shaH any part of the trust estate pass to a trustee J or receiver in any bankruptcy or insolvency proceeding initiated by or against any beneficiary. (B) Required distributions of income to a beneficiary shaH be made in convenient instaHments which must be at least as frequent as quarterly. In Trustee's sole discretion, distributions of income or principal to any beneficiary may be: 1. Paid directly to the beneficiary; or ..../ -11- -" 2. Deposited in any bank to the credit of the beneficiary in an amount carried in the beneficiary's name either alone or jointly with others; or 3. Expended for the benefit of the beneficiary; or 4. Paid to someone who has undertaken the responsibility, legally or voluntarily, for the support and maintenance of the beneficiary. Mter making any payment or distribution, Trustee shall be fully discharged of liability with respect to and further accountability for such payment or distribution. ..,I (C) Any irrevocable trust established by this agreement in which the market value of the aggregate assets in the principal account falls below an amount which Trustee considers to be marginal from an economic standpoint for the continuation of the trust, may be terminated in the sole discretion of Trustee and distributed to the income beneficiary or beneficiaries in proportion to their income interests; or, if such interests are indefinite, then to the income beneficiaries in such equitable proportions as Trustee shall determine. (D) Trustee is directed to regard the income beneficiary or beneficiaries at any given time as having primary rights under this agreement and Trustee is directed to consider only the welfare of income beneficiaries in the exercise of discretionary powers and to disregard the welfare of any successor beneficiaries. Any discretionary right to use principal shall include the right to exhaust principal for such purpose. In exercising discretion among beneficiaries, Trustee shall consider first the welfare of Trustor's spouse and then consider all others in order by generations closest to Trustor. No beneficiary shall have any right to ./ - 12- compel Trustee to make any discretionary payment or expenditure or to question the ../ propriety of any discretionary payment or expenditure made by Trustee. Any discretionary determination made by Trustee shall be final as to all beneficiaries. (E) On the death of a beneficiary entitled to income payments, any accrued or undistributed income not otherwise provided for herein shall continue to be treated as income and shall be held and accounted for, or distributed, in the same manner as if the income had been received and accrued after the beneficiary's death. (F) Trustee's discretion to distribute principal to or for the benefit of a beneficiary shall include authority to pay expenses of the last illness, funeral and burial expenses of that beneficiary after death; provided that any calculations of successor interests shall be made as if any such payments had been made from principal prior to the death of such beneficiary. ...,./ (G) Whenever any portion of trust property is valued for death tax purposes, or becomes subject to death taxes because of the death of Trustor or any other beneficiary, Trustee is directed to pay the equitable portion of such taxes attributable to the trust property including interest and penalties thereon. For any Qualified Terminable Interest property which becomes subject to death taxes, the equitable portion shall be the additional tax caused by the inclusion of such trust property. Trustee may rely upon calculations made by the legal representative responsible for the payment of such taxes and shall have no duty or obligation to inquire as to the correctness of any amounts certified by the legal representative as the shares attributable to the trust and the payment of such amounts to the legal representative or to the taxing governmental units shall be a complete discharge _./ - 13- to Trustee with respect to such payments. Any debt securities issued by the United States -/ Government held as part of the trust estate at the time of death of Trustor or any other beneficiary which are redeemable at par in payment of federal estate tax for that beneficiary's estate shall be applied by Trustee in the payment of such tax even if the amount so paid exceeds the trust's equitable portion thereof. If Trustee deems it to be appropriate, additional amounts of death taxes plus interest and penalties thereon becoming due on the death of a beneficiary may be paid from the trust estate. Any amounts paid by Trustee under direction or discretion must be paid out of property subject to the tax paid and may not be paid out of property excluded from death tax or property used as a deduction in calculating the death tax to be paid. (H) Trust assets consisting of residential real estate may be occupied by a .-I beneficiary as part of his or her current benefits to which he or she might be entitled; provided, that during the competency of the beneficiary the beneficiary shall have responsibility for and Trustee shall have no responsibility for taxes, assessments, insurance coverage, maintenance and general running and upkeep of the property or the payment of any of these costs and expenses and Trustee is relieved from liability for losses resulting from the failure of the beneficiary to meet his or her responsibility. (I) Any beneficiary of this Trust Agreement shall, in addition to any other rights conferred by law, have the right at any time within nine months after the death of Trustor to renounce in whole or in part any interest, benefit, right or power granted to such beneficiary by this agreement. Any such renunciation shall be made by written instrument -" - 14- executed by such beneficiary or that beneficiary's guardian, conservator or personal -./ representative and delivered to Trustee. (J) If any trust created by this agreement is still in existence twenty-one years after the death of all persons listed in Article V and their descendants who are living upon the date such trust first became irrevocable, all shares shall immediately vest in the persons then entitled to the income and in proportion to their income interests, or, if such interests are indefinite, then to the income beneficiaries in such equitable proportions as Trustee shall determine. -' .,/ -15 - ARTICLE VII -/ POWERS AND DUTIES OF TRUSTEE: (A) With respect to each trust created by this agreement, and the property of each trust, Trustees shall have all powers given it by law and all powers which may be exercised by individuals owning similar property in their own right. Without restricting the generality of the foregoing, the following powers are set forth, by way of illustration of the extent of powers granted and not by way of limitation, to be exercised from time to time by Trustees, either jointly or severally, without conferring with any other Trustee, in its discretion: 1. To receive additions to any trusts established under this agreement from any source, and to administer such additions according to the terms of this agreement; -' 2. To retain indefinitely without liability for loss any property or interest in property received in kind by Trustee as an addition to a trust estate regardless of degree of risk, effect on diversification or unproductivity of the asset; 3. To sell, exchange, lease, grant options to purchase and execute contracts concerning trust property for such considerations and upon such conditions and payment terms as Trustee may determine without regard to the termination date of any trust; 4. To invest and reinvest trust funds from time to time in bonds, notes, debentures, corporate stocks of any class, trust interests including common trust funds and investment trust shares, real estate or any other kind of real or personal property .-; - 16- '-' or business interest without being limited by any statute or rule of law concerning proper investments for Trustee; to assign undivided interests in investments to any separate trusts or shares established by this agreement; to maintain a Margin and Short Account and through such account to purchase securities on margin, sell securities which the Trust does not own (i.e., short sales) and to borrow securities in connection therewith, to borrow money, to secure the performance of the Trust's obligations to any brokerage company, and to grant authority to any brokerage company, acting as principal or otherwise, to pledge, repledge, hypothecate or rehypothecate assets of the Trust; to trade in options, including, without limitation, the purchase of puts and calls and the writing (sale) of covered and uncovered puts and calls; -./ 5. (E) A Trustee may resign at any time by giving thirty (30) days written notice to each adult beneficiary then entitled to receive income from the trust. On such resignation, a successor corporate Trustee shall be selected by a majority of the adult beneficiaries then entitled to receive income from the trust. Life proceeds received on the death of an insured shall be J allocated to principal although interest accruing after the date of death of the insured shall be allocated to income. ) -22- ARTICLE VIII _' INTERPRETATIONS: (A) As used in this agreement, the terms "child" and "children" shall mean descendants of the first degree and "issue" shall mean descendants of any degree. All terms shall include adopted children with full effect as if they were the natural children of the adopting parents. All terms include those persons born subsequent to the date of this agreement. (B) No significance is to be attached to the use of singular or plural designations or the use of the masculine, feminine or neuter gender in this agreement. Each designation or gender shall be construed to include the others where appropriate. (C) For purposes of dividing the trust estate upon the death of any beneficiary, the -/ trust estate shall include any assets paid to the trust because of the death of such beneficiary whether payable by contract or by provisions of the beneficiary's Last Will and Testament. (D) This trust agreement shall be construed under and regulated by the laws of the State of PENNSYLVANIA as now or hereafter in effect. Should at any time in the future, the Trustor(s) change their State of Residence to some state other than PENNSYLVANIA the laws of that state shall govern. _/ - 23- ARTICLE X ~ TRANSMUTATION ON CONTINGENCY (A) In the event either Trustor becomes medically or mentally incapacitated whereas to require skilled nursing care, intermediate care of custodial care as defined by State of domicile Statutes, Trustee may transmute any Community (or any other jointly owned) property held in this Trust agreement into (to become equal shares of) Separate property respectively of each spouse provided, however, that in Trustee's discretion there is no potential capital gains tax implications, adverse to the estate, as a result of such transmutation and thereby losing the "stepped-up" in basis allowance under Community property tax law as provided in S 1014(b)(6) of the Internal Revenue Code, as amended, 1986. Barrick, Deceased. BACKGROUND 1. Harry C. Barrick died June 21, 2002, a resident of Forest Park Health Center, Carlisle, Cumberland County, leaving a Will dated August 22, 1995. 2. Decedent's will was admitted to probate by the Register of Wills of Cumberland County on June 28, 2002 and letters Testamentary were issued to Diane Russell. 3. In his Will, Decedent bequeathed all the rest, residue and remainder of his estate to his children, Harry C. Barrick, Jr., Marilyn K. Bollinger and Diane Russell. 4. The Executrix advertised the grant of letters testamentary, prepared and filed an Inventory and Appraisement of Decedent's property and prepared and filed a Pennsylvania Inheritance Tax return and will prepare or cause to be prepared state and federal income tax returns and has or will pay the appropriate taxes thereon. 5. The Executrix has liquidated all of the assets of the estate. 6. The Executrix has paid all the debts and expenses of the estate known to her and she has no knowledge of any unpaid claims, absolute or contingent, which may be asserted against the estate nor does she have any reason to believe there are any such claims, except for the state and federal income taxes for 2002. 7. A statement reflecting all estate receipts, disbursements and distributions is annexed hereto as Exhibit "A". 8. It is the desire of the Beneficiaries and Executrix that the Estate of Harry C. Barrick, deceased, be distributed without the formality of a Court accounting, and the said Diane Russell, Executrix is willing to make such distribution upon receipt of this executed agreement. 9.
