AND STEVE�T J. WEINGARTEN and t'VIARY ANN S.

�iOW THEREFORE,with intent to be legally bound, Selier and Buyer hereby a�,•rae and covenant
as follows:
1. Sale and Purchase. Subject to the terms and conditions of this Agreement, Seller a�ees to
sell, grant and convey to Buyer and Buyer a�ees to purchase all that certain tract of real
estat�, together with all improvements thereon, situate in Upper MifIlin Township,
Cumberland Coi.mty, Pennsylvania, �own as 27 Heberlig Road, Newville, PA 17241,
containing approximately 0.8642 acre more specifically described in Ea�hibit A, attached
herato and incorporated by reference herein, which parcel of land and improvements are
hereinafter collectively referred to as the"Property."
2. Financial Terms.
A. The Purchase Price slaall be FORTY TWO THOUSAND FIVE HtTNDRED
DOLLARS AND ZERO CENTS ($42,SU0.00),which sball be paid by the Buyer to
Seller at the time of settlemen�
3. Warranty of Title. The Property shall be conveyed to Buyer by Seller's speciai warranty
deed, conveying good and marketable ti�le, free and clear of all Iiens, subject only to such
easements and restrictions as may affect the Property on the date hereof.
The quality of title to be conveyed is such title as will be insurable by a reputable Title
Insurance Company licensed to do business in Pennsylvania at regular basic rates and
without non-standard exceptions. It is exgressly agreed,however,that if Seller is unable to
deliver the quality of tifle required herein,Buyer's only options shall be to either ac�ept such
tifle as Seller can deliver without reduction in purchase price,or to terminate this Agreement
whereupon neither party shall have any further liability or obligation to the other hereunder.
In this event, Seller will also reimburse Buyer for all reasonable costs incurred by Buyer in
anticipation of this transaction.
Seller warrants that any easements and restrictions affectin�the Progerry will not be violated
as of the date of settlement and, if any, they will not unreasonably interfere with Buyer's
intended use of the Property.

4. Possession. Setttem�t Actaal physical possession of the Properiy shall be delivered to
Buyer at the time of settlement.Seltlement shall take place iv0 LATER THAN Angnst 31,
2014 or 3 week�subs�uent to the complete�ecution of this A�eement,whichever occurs
last.
�. Adiustm�ts. Property taxes,rents,water,sewer and other cusent lienable charges,if any,
shall be apportioned as of the ciaxe of settlement an the basis of the fiscal year of the taxin
body.
Seller has not received any notice of any resolurion, ardinance or claim for municipal
i.mprovements to be done or reqnired to be done on or about the Property. In the event anY
such nntices ar asse�sments are received after the execution of this A�eement and before
settlement,the Seller will give the Buyer notice of the same and the parties will cooperate
in�ood faith to a�ree upon who sball bear the cost(or in w��at proportion thep shall s3�aze

6. Reahv Transfer Tax. Buyer and Seller shall divide eqaaliy the payment of any realty transfer
tax required to be paid as a result of the conveyance set forth herein except that Seller's
maxim�obliDation shall be 1°10 of the piu�chase price if Buyer assigns their rirahts in tlus
A�eement or otherwise causes an increase in the contempIaied tax.
7. Brokers_ Each party represents and waaants to the other that it has not contracted with any
. real estate broker or similar person with respect to this A�reeme�, and tha#no brokeaa�;e
cammission is due to anyone in comiection with this saie.
8. Private Water_ There is na public wat�at the pmperty.
9. Private Sewer. There is no cunentty existina community sewage system available for the
sabject pmperty. Section 7 of the Peunsylvania Sewage Fac�ities Act provides tbat no
person shall install,con.s-lruct,request bid groposals for const�ction,alter,repair or occupY
any bwilding or structure for which an mdividuai sewage system is to be installed,withoirt
first obt ,�a pennit Buyer is advised by this notice that,before signin�this A�eernent
of Sale, Buyer should contact the local ajency charged with administering the Act to
determine the procedure �requirements for obtainin�a pe�it for'�Il� r�in�,
etc.an individual sew-a?e system The loral agency charged with admiuistering the Act will
be the municipality vvhere the Property is located or that municigaiity workina cooperatively
with others.
10. Environmental Matters.
A. With respect to the Property, Seller represents and�varrants that,to his l9nowiedae,
he has not violated,is not viola'na and has not been threatened with or received a
notice or charge asserting any violation o�and the Pmperty is not in vioiation o�the
Federal Solid Waste Disposal Act, the Federal Clean Air Act, the Federal Clean
Water Act,the Federal Resource Conservation Recovery Act of 1976("RCRA'�,the
Federal Com�rebensive Environmental Responsibility,Cleanup and Liability Act of
1980 {"�CERCLA�,the Toxic Substance Control Act of 1976,or any other federal,

investi�ation, reveal any recoanized environmental conditions concerning the
Property that under present Iaw ar rewlatiou required re,mediation,the parties will

13. Chan�es D�ine Transactian. Seller aarees that from the da�e of the full executian of this
Aare�ent unt�the date of settlement,none of the following shall occur withont the prior
written consent of Buyer,which consent may be withheld in Buyer's sole discretion: {a)na
chan�es in any existin'leases shaIl be made;(b)no new Ieases sball be entered in.to;(c)no
sabs-tantial alterations or improvements to the property shall be made or undertaken;and{d)

14. Disclosu�+es. Bnyer acl�.ovvledges receipt of Seller's Property Disclos�re Statement and

without reliance upon opinions or representations of Seller except as expressly set forth
