Notice is hereby given that a Mechanics' Lien Claim, a true and correct copy of which is
attached hereto, was filed on behalf of Warfel Construction Company on the 19t" day of
September, 2014, in the Court of Common Pleas of Cumberland County, Pennsylvania, at the

MECHANICS' LIEN CLAIM
Warfel Construction Company ("Warfel"), by and through its counsel, Harmon &
Davies, P.C., files this Mechanics' Lien Claim as a contractor, pursuant to the Mechanics' Lien
Law of 1963, 49 P.S. § 1101, et seq., against the property herein described, and any and all
buildings erected thereupon, and the curtilage appurtenant thereto, for payment of$150,366.00,
and in support thereof avers as follows:
1. Claimant, Warfel, is a Pennsylvania corporation, with its principal place of
business at 1110 Enterprise Road, East Petersburg, Pennsylvania 17520.
2. Respondent, Mechanicsburg Real Estate Company, LP, is a limited partnership
registered with the Commonwealth of Pennsylvania with a registered office address of 4550
Lena Drive, Suite 225, Mechanicsburg, Pennsylvania 17055.
3. The Respondent is the record owner of real property situated in Cumberland
County at an address known as 707 Shepherdstown Road, Mechanicsburg, Pennsylvania 17055
("the Property"). A true and correct copy of the legal description of the property is attached
hereto as Exhibit A.
* 4. Warfel files this Mechanics' Lien Claim as a contractor who contracted directly
with the Owner, Respondent,for improvements of the Property. .
5. On or about November 9, 2012, Warfel and Respondent entered a written contract
("the Contract") whereby Warfel was to furnish labor and materials to improve the Property.
6. The Contract provided that Warfel was to construct a new one-story senior care
facility consisting of a Skilled Nursing facility and a Personal Care facility. This construction is
referred to as "the Project." A true and correct copy of the Contract is attached hereto as Exhibit
B. The specific scope of work shown in the Contract is incorporated herein as if set forth in full
detail.
7. On or about November 19, 2012, Warfel began furnishing labor and materials to
the Property for the purpose of the Project.
8. The original Contract sum was $7,823,115.00.
9. Change orders were agreed upon, increasing the contract price by $385,114.00 to
a grand total of$8,208,229.00 as the contract sum.
10. Warfel has performed the Contract work.
11. The last date of furnishing labor or materials was August 14, 2014.

12. To date, Respondent has made payments totaling $8,057,863.00; thus, it failed to
pay the full amount owed on the contract.
13. To date, $150,366.00 is still owed, outstanding, and due on the contract. A true
and correct copy of the payment applications evidencing the outstanding amount owed is
attached hereto as Exhibits C and D.
14. Pre judgment interest on the amount owed is calculated as follows:
a. $104,847.70 was due on May 25, 2014 and carries interest at the rate of 6
percent per year from that due-date forward.
b. $45,518.30 was due on September 7, 2014 and carries interest at the rate
of 6 percent per year from that due-date forward.
15. Warfel contacted Respondent demanding payment on the owed amount. The
Respondent has refused to pay.
16. For the amount due, $150,366.00, plus interest at the above specified rates,
Warfel claims a lien on the Property, and all improvements and buildings located on the
Property.

§ 5.1.2 The period covered by each Application for Payment shall be one calendar month ending on the last day of the
month,or as follows:
§ 5.1.3 Provided that an Application for Payment is received by the Architect not later than the thirtieth day of a
month,the Owner shall make payment of the certified amount to the Contractor not later than the twenty fifth day of
the fol lowing month.If an Application for Payment is received by the Architect after the application date fixed above,
payment shall be made by the Owner not later than thirty ( 30)days after the Architect receives the Application for
Payment.

§ 5.1.4 Each Application for Payment shall be based on the most recent schedule of values submitted by the Contractor
in accordance with the Contract Documents.The schedule of values shall allocate the entire Contract Sum among the
various portions of the Work.The schedule of values shall be prepared in such form and supported by such data to
substantiate.its accuracy as the Architect may require.This schedule,unless objected to by the Architect,shall be used
as a basis for reviewing the Contractor's Applications for Payment.
§ 5.1.5 Applications for Payment shall show the percentage of completion of each portion of the Work as ofthe end of
the period covered by the Application for Payment.
§ 5.1.6 Subject to other provisions of the Contract Documents,the amount of each progress payment shall be
computed as follows:
.1 Take that portion of the Contract Sum properly allocable to completed Work as determined by
multiplying the percentage completion of each portion of the Work by the share of the Contract Stun
allocated to that portion of the Work in the schedule of values,less retainage of ten percent(10 %).
Pending final determination of cost to the Owner of changes in the Work,amounts not in dispute shall
be included as provided in Section 7.3.9 of AIA Document A201T"1 2007,General Conditions of the
Contract for Construction;
.2 Add that portion of the Contract Sum properly allocable to materials and equipment delivered and
suitably stored at the site for subsequent incorporation in the completed construction(or,suitably
stored off the site at a location agreed upon in writing),less retainage often percent( 10 %);
.3 Subtract the aggregate of previous payments made by the Owner;and
.4 Subtract amounts,if any,fnr which the Architect has withheld or nullified a Certificate for Payment as
provided in Section 9.5 of ATA Document A201-2007.
§ 5.1.7 The progress payment amount determined in accordance with Section 5.1.6 shall be further modified under the
following circumstances:
.1 Add,upon Substantial Completion of the Work,a sum sufficient to increase the total payments to the
full amount of the Contract Stun,less such amounts as the Architect shall determine for incomplete
Work,retainage applicable to such work and unsettled claims;and
(Section 9 8.S of AIA DocianentA201 2007 requires release of applicable retainage upon Substantial
Completion of Work lvith consent of sttrety,if any.)
.2 Add,if final completion of the Work is thereafter materially delayed through no fault of the Contractor,
any additional amounts payable in accordance with Section 9.10.3 of AIA Document A201-2007.
§ 5.1.8 Reduction or limitation of retainage,if any,shall be as follows:
(If it is intended,prior to Substantial Completion ofthe entire Work,to reduce or limit the retainage resultingfi oni the
percentages inserted in Sections 5.1.6.1 and 5.1.6.2 above,and this is not explained elsewhere in the Contract

§ 5.1.9 Except with the Owner's prior approval,the Contractor shall not make advance payments to suppliers for
materials or equipment which have not been delivered and stored at the site.

§ 5.2 FINAL PAYMENT
§ 5.2.1 Final payment,constituting the entire unpaid balance of the Contract Sum,shall be made by the Owner to the
Contractor when
.1 the Contractor has fully performed the Contract except for the Contractor's responsibility to correct
Work as provided in.Section 12.2.2 ofAIA Document A201-2007,and to satisfy other requirements,if
any,which extend beyond final payment;and
.2 a final Certificate for Payment has been issued by the Architect.
§ 5.2.2 The Owner's final payment to the Contractor shall be made no later than 30 days after the issuance of the
Architect's final Certificate for Payment,or as follows:
ARTICLE 6 DISPUTE RESOLUTION
§ 6.1 INITIAL DECISION MAKER
The Architect will serve as Initial Decision Maker pursuant to Section 15?of AIA Document A201 2007,unless the
parties appoint below another individual,not a party to this Agreement,to serve as Initial Decision Maker.

§ 6.2 BINDING DISPUTE RESOLUTION
For any Claim subject to,but not resolved by,mediation pursuant to Section 15.3 of AIA Document A201 2007 and
as amended in Specification Section 00750 Supplementary General Conditions,Article 15,the method of binding
dispute resolution shall be as follows:

ARTICLE 7 TERMINATION OR SUSPENSION
§ 7.1 The Contract may be terminated by the Owner or the Contractor as provided in Article 14 of AIA Document
A201-2007.

ARTICLE 8 MISCELLANEOUS PROVISIONS
§ 8.1 Where reference is made in this Agreement to a provision of AIA Document A201-20 07 or another Contract
Document,the reference refers to that provision as amended or supplemented by other provisions of the Contract
Documents.
§ 8.2 Payments due and unpaid under the Contract shall bear interest from the date payment is due at the rate stated
below,or in the absence thereof,at the legal rate prevailing from time to time at the place where the Project is located.

COMPLAINT IN ACTION UPON MECHANICS' LIEN
NOW COMES the Plaintiff, Warfel Construction Company ("Warfel"), by and through
its counsel, Harmon & Davies, P.C., and files this Complaint in Action Upon Mechanics' Lien as
a contractor, pursuant to the Mechanics' Lien Law of 1963, 49 P.S. § 1101, et seq., and the
Pennsylvania Rules of Civil Procedure 1651 et seq., and, in support thereof, avers as follows:
1. Plaintiff, Warfel, is a Pennsylvania corporation, with its principal place of
business at 1110 Enterprise Road, East Petersburg, Pennsylvania 17520.
2. Defendant, Mechanicsburg Real Estate Company, LP, is a limited partnership
registered with the Commonwealth of Pennsylvania with a registered office address of 4550
Lena Drive, Suite 225, Mechanicsburg, Pennsylvania 17055.
3. The Defendant is the record owner of real property situated in Cumberland
County at an address known as 707 Shepherdstown Road, Mechanicsburg, Pennsylvania 17055
("the Property"). A true and correct copy of the Deed to the Property is attached hereto as
Exhibit A.
4. Warfel files this Complaint as a contractor who contracted directly with the
Owner, Defendant, for improvements of the Property.
5. This Complaint commences an action to obtain judgment upon the Mechanics'
Lien Claim, which was filed on September 22, 2014 in the Court of Common Pleas of
Cumberland County, Pennsylvania, with a docket no. 14-5587, and a copy of the docketed
Mechanics' Lien Claim is attached hereto as Exhibit B.
6. On September 26, 2014, the Mechanics' Lien Claim was served upon the
Defendant, and a Sheriff's Return of Service was filed under docket no. 14-5587 on October 3,
2014.
7. On or about November 9, 2012, Warfel and the Defendant entered a written
contract ("the Contract") whereby Warfel was to furnish labor and materials to improve the
Property.
8. The Contract provided that Warfel was to construct a new one-story senior care
facility consisting of a Skilled Nursing facility and a Personal Care facility. This construction is
referred to as "the Project." A true and correct copy of the Contract is part of the Mechanics'
Lien Claim attached to this Complaint, and the scope of work, shown in the Mechanics' Lien
Claim and its attachments, is incorporated herein as if set forth in full.
9. On or about November 19, 2012, Warfel began furnishing labor and materials to
the Property for the purpose of the Project.

10. The original Contract sum was $7,823,115.00.
11. Change orders were agreed upon, increasing the contract price by $385,114.00 to
a grand total of$8,208,229.00 as the contract sum.
12. Warfel has performed the Contract work.
13. Warfel performed the work in a good and workmanlike manner and in accordance
with the Contract.
14. At no time during the course of the Project did Defendant terminate Warfel.
15. The last date of furnishing labor or materials was August 14, 2014.
16. To date, Respondent has made payments totaling $8,057,863.00; thus, it failed to
pay the full amount owed on the contract.
17. To date, $150,366.00 is still owed, outstanding, and due on the contract. A true
and correct copy of the payment applications evidencing the outstanding amount are attached to
the Mechanics' Lien Claim, attached to this Complaint.
18. Pre judgment interest on the amount owed is calculated as follows:
a. $104,847.70 was due on May 25, 2014 and carries interest at the rate of 6
percent per year from that due-date forward.
b. $45,518.30 was due on September 7, 2014 and carries interest at the rate
of 6 percent per year from that due-date forward.
19. Warfel contacted the Defendant demanding payment on the owed amount. The
Defendant has refused to pay.
WHEREFORE, it is respectfully requested that this Honorable Court enter judgment in
favor of the Plaintiff, and against the Defendant in the amount of$150,366.00, plus interest at the
above specified rates, and all other relief that this Honorable Court deems just.

(b) the Surviving Entity shall be entitled to all benefits and subject to all the same
obligations as the Merging Entity Before the Merger,
(c) liens upon the property of the Merging Entity,if any,shall not be impaired by
the Merger;and
(d) any claim existing or action or proceeding pending by or against the Merging
Entity before the Merger may be prosecuted to judgment against the Surviving Entity after the
Merger to the same extent as before the Merger.
3. Coayersign of Interests. As of the Effective Time, by virtue of the Merger and
without any further action on the part of any party,all of the ownership interests of the Merging
Entity immediately prior to the Merger shall continue in the Surviving Entity in the some
proportionate ownership interests and without any change resulting from the Merger. This will be
accomplished as follows:
(a) each 1.00%membership interest in the Merging Entity immediately prior to
the Merger shall be converted into(i)a 0.99%limited partnership interest in the Surviving Entity,
and(ii)a 1.0%membership interest in the Sole GP(and the Sole GP shall continue to hold a 1.0%
general partnership interest in the Surviving Entity),such that,immediately following the Merger,
each current member of the Merging Entity will own,directly or indirectly,the same percentage
interest in the Surviving Entity as such member held in the Merging Entity immediately prior to the
Merger, and
(b) all of the issued and outstanding membership interests of thb Merging Entity
shall be cancelled and rendered null and void and without any further force or effect

Merging Entity(each,a"Member")immediately prior to the Merger,and the percentage ownership
interest of each Member in the Surviving Entity immediately following the Merger.

4. Effective Trine. The Merger shall be effective upon the filing of a Certificate of
Merger with the Secretary of State of the State of Delaware(the"Effective'lime").

Certificate of Limited Psrtnership of the Surviving Entity,dated October 19,2012,shall continue in
full force and effect.

Surviving Entity's Limited Partnership Agreement;dated as of the Effective Time(the%P

further assignments, assurances or acts are necessary or desirable to vest,perfect or,confirm,of
record or otherwise,in the Surviving Entity its rights,title or interest in,to or under any ofthe rights,
properties or assets of the Merging Entity acquired or to be acquired by the Surviving Entity as a
result of, or in connection with,the Merger,then the Merging Entity shall be deemed to have granted
the Surviving Entity an irrevocable power of attorney,coupled with an interest,to execute and
deliver all such proper deeds,assignments and assurances in law and to do all acts necessary or
proper to vest,perfect or confirm title to and possession of such rights,properties or assets in the
Surviving Entity and otherwise to carry out the purposes of this Agreement;and the proper members,
managers and officers of the Surviving Entity are fully authorized in the name of the Merging Entity
or otherwise to take any and all such action.
(b) Gmterning Law. The validity,interpretation and performance of this
Agreement shall be controlled by and construed under the laws of the State of Delaware,without
regard to its conflicts of laws provisions.
(c) En$fe Agreemeart This instrument contains the entire agreement reached
between the parties hereto with respect to the transactions contemplated hereby and supersedes all
prior agreements,understandings,representations and warranties between the parties.
(d) Co_tMarts. This Agreement may be executed in any number of
counterparts,each of which shall for all purposes be deemed an original,but all of such counterparts
shall together constitute one and the same agreement. Signatures sent by fax or electronic mail
transmissions shall constitute originals.

Warfel Construction Company("Warfel"),by and through its counsel, Harmon&
Davies, P.C., files this Mechanics' Lien Claim as a contractor,pursuant to the Mechanics' Lien
LaNv of 1963,49 P.S. § 1101, et seq., against the property herein described, and any and all
buildings erected thereupon, and the curtilage appurtenant thereto, for payment of$150,366.00,
and in support thereof avers as follows:
1. Claimant, Warfel, is a Pennsylvania corporation,with its principal place of
business at 1110 Enterprise Road, East Petersburg, Pennsylvania 17520.
2. Respondent, Mechanicsburg Real Estate Company, LP, is a limited partnership
registered with the Commonwealth of Pennsylvania with a registered office address of 4550
Lena Drive, Suite 225, Mechanicsburg, Pennsylvania 17055.
3. The Respondent is the record owner of real property situated in Cumberland
County at an address known as 707 Shepherdstown Road, Mechanicsburg, Pennsylvania 17055
("the Property"). A true and correct copy of the legal description of the property is attached
hereto as Exhibit A.
4. Warfel files this Mechanics' Lien Claim as a contractor who contracted directly
with the Owner, Respondent, for improvements of the Property.
5. On or about November 9, 2012, Warfel and Respondent entered a written contract
("the Contract")whereby Warfel was to furnish labor and materials to improve the Property.
6. The Contract provided that Warfel was to construct a new one-story senior care
facility consisting of a Skilled Nursing facility and a Personal Care facility. This construction is
referred to as "the Project." A true and correct copy of the Contract is attached hereto as Exhibit
B. The specific scope of work shown in the Contract is incorporated herein as if set forth in full
detail.
7. On or about November 19, 2012, Warfel began furnishing labor and materials to
the Property for the purpose of the Project.
8. The original Contract sum was $7,823,115.00.
9. Change orders were agreed upon, increasing the contract price by $385,114.00 to
a grand total of$8,208,229.00 as the contract sum.
10. Warfel has performed the Contract work.
11. The last date of furnishing labor or materials was August 14, 2014.

12. To date, Respondent has made payments totaling $8,057,863.00; thus, it failed to
pay the full amount owed on the contract.
13. To date, $150,366.00 is still owed,outstanding, and due on the contract. A true
and correct copy of the payment applications evidencing the outstanding amount owed is
attached hereto as Exhibits C and D.
14. Pre judgment interest on the amount owed is calculated as follows:
a. $104,847.70 was due on May 25, 2014 and carries interest at the rate of 6
percent per year from that due-date forward.
b. $45,518.30 was due on September 7, 2014 and carries interest at the rate
of 6 percent per year from that due-date forward.
15. Warfel contacted Respondent demanding payment on the owed amount. The
Respondent has refused to pay.
16. For the amount due, $150,366.00,plus interest at the above specified rates,
Warfel claims a lien on the Property, and all improvements and buildings located on the
Property.

payment shall be made by the Owner not later than thirty ( 30)days after the Architect receives the Application for
Payment.

§ 5.1.4 Each Application for Payment shall be based on the most recent schedule of values submitted by the Contractor
in accordance with the Contract Documents.The schedule of values shall allocate the entire Contract Sum among the
various portions of the Work.The schedule of values shall be prepared in such form and supported by such data to
substantiate its accuracy as the Architect may require.This schedule,unless objected to by the Architect,shall be used
as a basis for reviewing the Contractor's Applications for Payment.
§ 5.1.5 Applications for Payment shall show the percentage of completion of each portion of the Work as ofthe end of
the period covered by the Application for Payment.
§ 5.1.6 Subject to other provisions of the Contract Documents,the amount of each progress payment shall be
computed as follows:
.1 Take that portion of the Contract Sum properly allocable to completed Work as determined by
multiplying the percentage completion of each portion of the Work by the share ofthe Contract Sum
allocated to that portion of the Work in the schedule of values,less retainage of ten percent(10 %).
Pending final determination of cost to the Owner of changes in t11e Work,amounts not in dispute shall
be included as provided in Section 7.3.9 of AIA Document A201T"I 2007,General Conditions of the
Contract for Construction;
.2 Add that portion of the Contract Sum properly allocable to materials and equipment delivered and
suitably stored at the site for subsequent incorporation in the completed construction(or,suitably
stored off the site at a location agreed upon in writing),less retainage of ten percent( 10 %);
.3 Subtract the aggregate of previous payments made by the Owner;and
.4 Subtract amounts,if any,for which the Architect has withheld or nullified a Certificate for Payment as
provided in Section 9.5 of AIA Document A201-2007.
§ 5.1.7 The progress payment amount determined in accordance with Section 5.1.6 shall be further modified under the
following circumstances:
1 Add,upon Substantial Completion of the Work,a sum sufficient to increase the total payments to the
full amount of the Contract Slue,less such amounts as the Architect shall determine for incomplete
Work,retainage applicable to such work and unsettled claims;and
(Section 9.8.S ofAIA Document A201 2007 requires release of applicable retainage upon Substantial
Completion of Work i4th consent of surety,0 any.)
.2 Add,iffinal completion of the Work is thereafter materially delayed through no fault of the Contractor,
any additional amounts payable in accordance with Section 9.10.3 of AIA Document A201-2007.
§ 5.1.8 Reduction or limitation of retainage,if any,shall be as fellows:
