DOROTHY LATHAM MYERS REVOCABLE TRUST
THIRD AMENDED AND RESTATED AGREEMENT OF TRUST
made this � � day of �,����q�y , 20 13 , by DOROTHY
LATHAM MYERS, of Lower Allen Township, Cumberland County,
Pennsylvania, as Grantor, (the "Grantor") and as Trustee (the "Trustee").
WITNESSETH:
WHEREAS, Grantor into a Trust Agreement on December 17,
2007 which was amended and restated by Agreement dated November 6,
2009; and
WHEREAS, Grantor executed a Second Amended and Restated
Agreement of Trust dated March 15, 2011; and
WHEREAS, Grantor reserved to herself in Article XIII of the
Trust Agreement the right to revoke or amend the Trust, in whole or in part,
at any time; and
WHEREAS, Grantor desires to amend and restate the Trust
Agreement; and
NOW THEREFORE, Grantor does hereby amend and restate the
Trust Agreement as follows:
ARTICLE I: Continuation of Trust. Trustee agrees
to continue to hold and administer the property subject to this Trust (the
"Trust Property") and any additions to the Trust Property, as Trustee, IN
TRUST NEVERTHELESS, for the uses and purposes set forth in this
Agreement.

ARTICLE II: Family Information. Grantor is
married to MELVIN C. MYERS, JR. Grantor intentionally has not provided
for him in this Agreement of Trust, not from lack of affection, but rather
because his resources are ample and Grantor's obligations to him, and his to
Grantor, are limited by the terms of a Pre-Nuptial Property Settlement
Agreement dated July 20, 1985. Grantor has one living child, WILLIAM
HENRY LATHAM. Grantor's son, ERNEST DOUGLAS LATHAM,
predeceased Grantor, being survived by his wife, BELINDA ALLYN LATH.AM
and Grantor's grandson, ERNEST DOUGLAS LATHAM, JR. Any person
born to or adopted by issue of Grantor are to be included as issue of Grantor.
Provided, however, no adopted person shall benefit under this Trust unless
the order or decree of adoption is entered before the adopted person attains
the age of twenty-one (21) years.
ARTICLE III: During Grantor's Lifetime. During the
lifetime of Grantor:
(a) Income to Grantor. Trustee shall manage and
invest the Trust, collect the income and pay over to Grantor so
much of the net income as Grantor requests from time to time.
Income not distributed shall accumulate and be added to
principal.
(b) Income for Needs. Trustee may also expend so
much of the net income of the Trust as may be necessary and/or
advisable in order to provide support and maintenance, including
health care, hospital, nursing and nursing home care for the
Grantor.
(c) Unlimited Princ�al to Grantor. During the lifetime
of Grantor, Trustee shall pay to Grantor so much, even if all, of
the principal of the Trust as Grantor may from time to time
request in writing. Trustee shall also make distributions to third
persons from the principal of the Trust as Grantor may from time
to time request in writing.

(d) Principal for Needs. Trustee may also expend so
much of the principal of the Trust as may be necessary and/or
advisable to supplement Grantor's income in order to provide
support and maintenance, including health care, hospital,
nursing and nursing home care for the Grantor.
ARTICLE N: Death of Grantor. Upon and aftei the
death of Grantor:
(a) PaSTments to Estate. Trustee shall pay over to the
Executor of Grantor's estate so much of the principal as shall be
required to pay all specific bequests provided in Grantor's Will
and inheritance and estate t�es, funeral and administration
costs which may be incurred with respect to Grantor's estate.
(b) Death Taxes. Grantor directs that all inheritance
and estate taxes becoming due by reason of her death, whether
payable by her estate or by any recipient of any property, shall be
paid by the Executor out of the residue of Grantor's estate, and to
the extent that the residue is insufficient, from the property
passing under paragraph (d) of this Article, as an expense and
cost of administration of Grantor's estate. The Trustee shall
have no duty or obligation to obtain reimbursement for any such
tax so paid, even though on proceeds of insurance or other
property not passing under Grantor's Will or this Agreement.
(c) Charitable Gift. Provided that my gross assets subject
to inheritance tax exceed in value the sum of NINE HUNDRED
THOUSAND ($900,000) DOLLARS, I give the sum of ONE
THOUSAND ($1,000) DOLLARS to MARKET SQUAR,E
PRESBYTERIAN CHURCH, Harrisburg, Pennsylvania.
(d) Distribution of Remaining Assets. The Trustee
shall thereafter distribute the remaining assets as follows:

(i) To Marv Elizabeth Latham Banzhoff.
To Grantor's stepdaughter, MARY ELIZABETH
LATHAM BANZHOFF, FIVE and FIVE-TENTHS

THOUSAND ($50,000) DOLLARS. If she does not
survive Grantor, this gift shall be made to her then
living issue, per stirpes
(u) To issue of Robert E. Latham. To the then
living issue of Grantor's stepson, ROBERT E.
LATHAM, per stirpes, FIVE and FIVE-TENTHS
(5.5%) PERCENT, but in no event more than FIFTY
THOUSAND ($50,000) DOLLAR,S.
(iii) To Belinda Allvn Latham. To Grantor's
daughter-in-law, BELINDA ALLYN LATHAM, SIX
and SIX-TENTHS (6.6%) PERCENT, but in no
event more than SIXTY THOUSAND ($60,000)
DOLLARS. If she does not survive Grantor, this
gift shall be made to her then living issue, per
stirpes.
(iv) To Sharon Latham. To Grantor's
daughter-in-law, SHARON LATHAM, SIX and SIX-
TENTHS (6.6%) PERCENT, but in no event more
than SIXTY THOUSAND ($60,000) DOLLARS. If
she does not survive Grantor, this gift shall be made
to her then living issue, per stirpes.
(v) To Brvan J. Sentz. To Grantor's stepgrandson,
BRYAN J. SENTZ, THREE and THREE-TENTHS
(3.3%) PERCENT, but in no event more than
THIRTY THOUSAND ($30,000) DOLLARS. If he

Latham. From the remaining balance, the Trustee
shall distribute up to EIGHTY THOUSAND
($80,000) DOLLARS to Grantor's daughter-in-law,
BELINDA A. LATHAM (or her heirs), provided,
however, that she or her heirs relinquish all rights
which she or they may have in that parcel of real
estate located in Carroll Township, York County,
Pennsylvania, known as 102 Fairway Drive,
Dillsburg, Pennsylvania, and more fully described
in a Warranty Deed dated April 21, 2000 by and
between William H. Latham as Grantor, and Ernest
D. Latham, Grantee, recorded in the Office of the
Recorder of Deeds in and for York County in Book
139, Page 6166, and further described in a Deed
dated May 7, 2004, by and between Belinda A.
Latham as Grantor and as Grantee, which Deed is
recorded in the Office of the Recorder of Deeds in
and for York County in Book 1661, Page 0538. If
there is no relinquishment of interests in the
property, this amount shall be added to the balance
for distribution to Grantor's son. The balance, if
any, shall be distributed to Grantor's son, WILLIAM
HENRY LATHAM. If he does not survive Grantor,
this gift shall be distributed to his then living issue,
per stirpes.
ARTICLE V: Additions to Trust. Grantor, or any
other person, fiom time to time, with the consent of Trustee, may make
insurance policies on the life of Grantor subject to the terms of this
Agreement, or give or otherwise transfer any other property, real, personal or
mixed, to Trustee, to be administered and distributed in accordance with the
provisions of this Agreement.

AR,TICLE VI: Spendthrift Clause. No part of the
income or principal of the property held under any Trust created under this
Agreement shall be subject to attachment, levy or seizure by any creditor,
spouse, assignee or trustee or receiver in bankruptcy of any beneficiary prior
to actual receipt by the beneficiary of the income and/or the principal. Trustee
shall pay the net income and the principal to the beneficiaries specified in this
Agzeement, as their interests may appear, without regard to any attempted
anticipation, pledging or assignment by any beneficiary, and without regard
to any claim thereto or attempted levy, attachment, seizure or other process
against the beneficiary.
AR,TICLE VII: Administrative Provisions. Trustee
shall possess, among others, the following powers, each of which shall be
construed broadly and may be exercised without court approval, but in a
fiduciary capacity only:
(a) Retain Investments. To retain any investments
Grantor has at his death, including specifically those consisting
of stock of any bank even if Grantor has named that bank as the
Trustee.
(b) Varv Investments. To vary investments and to
invest in such bonds, stocks, notes, real estate mortgages or
securities or in such other property, real or personal, without
being restricted to so-called "legal investments," and without
being limited to any statute or rule of law regarding investments
by fiduciaries. An institutional Trustee shall have the power to
invest in and vote securities in connection with the management
of mutual funds affiliated with that Trustee.
(c) Division of Assets. In order to divide the principal
of a Trust or for any other purpose, including final distributions,
Trustee is authorized to divide and distribute personal property
and real property partly or wholly in kind, and to allocate specific
assets among beneficiaries and Trusts created hereunder so long
as the total market value of any share is not affected by the

division, distribution or allocation in kind. The Trustee is
authorized to make, join in and consummate partitions of lands,

(d) Sell Assets. To sell either at public or private sale
any or all real or personal property severally or in conjunction
with other persons, and to consummate said sale(s) by deed(s) or
other instrument(s) to the purchaser(s), conveying a fee simple
title. No purchaser shall be obligated to see to the application of
the purchase money, or to make inquiry into the validity of
sale(s). The Trustee is authorized to make, execute, acknowledge
and deliver deeds, assignments, options or other writings as
necessary or convenient to carry out the powers conferred upon
Trustee.
(e) Encumber Real Estate. To mortgage real estate,
and to make leases of real estate.
(� Borrow Monev. To borrow money from any person,
including Trustee, to pay indebtedness of a Trust and taxes, and
to assign and pledge assets of Grantor's estate or any Trust
therefor.
(g) Pav Costs. To pay all costs, taxes, expenses and
charges in connection with the administration of a Trust,
including a reasonable compensation to agents.
(h) Distributions without Court Order. To make
distributions of income and of principal to the proper
beneficiaries, with or without court order, in such manner and in
such amounts as the Trustee deems prudent and appropriate.
(i) Vote Stock. To exercise voting rights with respect to
securities which form a part of any Trust established under this

Agreement, and to exercise all the powers incident to the
ownership of securities.
(j) Reor ag; nize. To unite with other owners of property
similar to property subject to this Agreement to carry out plans
for the reorganization of any company whose securities are
subject to this Agreement.
(k) Disclaim. To disclaim any interest in property
which would devolve to Grantor or these Trusts by whatever
means, including but not limited to the following means: as
beneficiary under a will, as an appointee under the exercise of a
power of appointment, as a person entitled to take by intestacy,
as a donee of an inter vivos transfer, and as a donee under a
thi.id-party beneficiary contract.
(1) Tax Returns. To prepare, execute and fi.le tax
returns of any type required by applicable law, and to make all
tax elections authorized by law.
(m) Employ Advisors. To employ custodians of property,
investment or business advisors, accountants and attorneys
Trustee deems appropriate, and to compensate these persons
from assets of any Trust under this Agreement, without affecting
the compensation to which the Trustee is entitled. The power to
employ under this provision shall be deemed to include the power
to engage the services of entities affiliated with a Trustee.
(n) Divide Trusts. To divide any Trust into two or more
separate Trusts so that the inclusion ratio for purposes of the
generation-skipping transfer tax shall be either zero or one, in
order that an election under Section 2652(a)(3) of the Internal
Revenue Code may be made with respect to one of the separate
Trusts, or for any other reason.

(o) Allocate Expenses. To allocate administrative
expenses to income or to principal, as the Trustee deems
appropriate. However, no allocation to income shall be made if
the effect of the allocation is to cause a reduction in the amount
of any estate tax marital deduction or estate tax charitable
deduction.
(p) Retain Insurance. To retain and to purchase
insurance and/or annuity contracts on or for the life of any
beneficiary or any person in which a bene�iciary has an insurable
interest, and to pay the premiums from assets of the Trust.
(� To Purchase Assets. To purchase assets from, or
make loans to, the estate of the Grantor. All assets must be
purchased at fair market values at the time of purchase. Any
loan must be adequately secured and must bear interest at a rate
prevailing at the time of the loan. The Trustee shall incur no
liability for purchasing assets from the estate of the Grantor,
even if the property is not the kind in which Trustee is
authorized by law to invest trust funds.
(r) Real Estate. To accept or refuse to accept any real
property transferred to or becoming a part of a Trust under this
Agreement, for whatever reason the Trustee considers
appropriate. The Trustee is authorized, in its sole and absolute
discretion, and at the expense of the Trust, to conduct any
environmental investigation, analysis or remedial procedure
which the Trustee deems reasonable or appropriate in regard to
the acquisition or retention of any real property. If the Trustee,
in its sole and absolute discretion, determines that it is not
reasonable to retain or acquire any real property due to actual or
potential existence of conditions which may violate state or
federal environmental laws or regulations, the Trustee may
refuse to accept such property or may promptly dispose of such
property in any reasonably appropiiate manner.

(s) Terminate Trust. To terminate any trust, if in the
opinion of the Trustee, the expense of administration of the trust
is not justified. Upon termination, the Trustee shall distribute
the trust property to the person(s) then entitled to receive or
have the benefit of the income therefrom. If there is more than
one current income beneficiary, the Trustee shall distribute trust
assets to the income beneficiaries in the proportion in which they
receive income, or if no proportion is designated, in equal shares
to the income beneficiaries. This power may only be exercised by
a Trustee who is an independent Trustee, and this power shall be
ineffective to the extent that the effect of the power is to vest in
any Trustee or beneficiary a general power of appointment.
(t) Other Acts. To do all other acts in its judgment
deemed necessary or desirable for the proper and advantageous
management, investment and distribution of the Trusts.
AR,TICLE VIII: Pavment on Behalf of Beneficiarv. The
Trustee is authorized to distribute principal and/or income in any one or more
of the following ways if the Trustee, in the discretion of the Trustee, considers
the beneficiary unable to apply distributions to the beneficiary's own best
interests, or if the beneficiary is under a legal disability:
(a) To Beneficiarv. Directly to the beneficiary;
(b) To Guardian or Conservator. To the legal guardian
or conservator of such beneficiary;
(c) To Custodian. To the Trustee, or to another person
selected by the Trustee, as custodian under the Pennsylvania
Uniform Tiansfers to Minors Act as to a beneficiary under the
age of twenty-five (25) years;
(d) To a Relative. To a relative of the beneficiary, to be
expended by that relative for the benefit of the beneficiary; or

(e) Direct Ex�enditure. By directly applying
distributions for the benefit of the beneficiary.
ARTICLE IX: Accountin�s. The Trustee, on an
annual basis, shall provide each income beneficiary who has attained the age
of eighteen (18) years, and the Guardian of the person of any income
beneficiary who has not attained the age of eighteen (18) years, statements
showing transactions in each Trust established for the benefit of that
beneficiary. The beneficiary, or the Guardian of the person of that
beneficiary, may waive this right to receive an annual accounting. The
Tiustee may, at any time, settle any account, or questions concerning the
administration of any Trust established hereunder, by agreement with the
then qualified beneficiaries (as defined in the Pennsylvania Uniform Trust
Act) of the Trust, if legally competent, or if not legally competent, in the
Trustee's discretion, then with the Guardian of the person of such beneficiary,
the legally competent spouse of such beneficiary, or the oldest legally
competent relative of such beneficiary who would take a portion of the estate
of the beneficiary were the beneficiary to die at that time intestate under the
laws of the Commonwealth of Pennsylvania. Any agreement made hereunder
shall bind all persons who may ever have an interest in such Trust, and shall
constitute a release and discharge of the Trustee with respect to transactions
disclosed in said Agreement. Nothing herein shall be construed to preclude
the Trustee from seeking a judicial settlement of any account.
ARTICLE X: Survival. Any person who has died
within thirty (30) days of Grantor's death, or under such circumstances that
the order of deaths cannot be established by proof, shall be deemed to have
predeceased Grantor.
AR.TICLE XI: Revocabilitv. This Agreement of Trust
is revocable, and may be modified or amended by written instrument executed
by Grantor and delivered to Trustee.
AR.TICLE XII: Trustees. Grantor makes the following
provisions with respect to Trustees:

(a) Successor Trustees. Grantor shall have the power,
at any time and from time to time, to designate one or more
successor Trustees. If Grantor does not otherwise appoint a
successor Trustee, Grantor appoints her son, WILLIAM HENRY
LATHAM, and her attorney, ELYSE E. ROGERS, to serve as
Trustees, herein the "Trustee." Thereafter, each Trustee shall
have the power to appoint his or her successor.
(b) Method of Appointment and Removal. Each
appointment and removal of a Trustee shall be in writing and
delivered to the Trustee being appointed or removed, to all other
Trustees then in office, and to each current beneficiary of the
Trust (as that term is defined in the Pennsylvania Uniform Trust
Act). The written instrument shall be signed by the person(s)
having the power to make the appointment or removal.
(c) Resi nation. Any Trustee may resign upon ninety
(90) days written notice to the then income beneficiary and each
adult sui juris remainder beneficiary of the Trust; provided,
however, that the resignation shall not become effective until
and unless at least one Trustee is then serving as trustee of the
affected Trust.
(d) Standard of Care. The Trustee shall not be liable or
accountable for any loss that may result from the good faith
exercise of the authority granted in this Agreement. This shall
specifically include decisions of the Trustee with respect to
discretionary distributions of income and/or principal to any
beneficiary.
(e) Dutv to Investi ate. In the absence of actual
knowledge of a breach of trust, or information concerning a
possible bieach of trust that would cause a reasonable person to
inquire, a successor Trustee is under no duty to examine the
accounts and records of any predecessor Trustee, or to inquire
into the acts or omissions of such predecessor, is not liable for

any failure to seek redress for any act or omission of such
predecessor, shall have responsibility only for property which is
actually delivered to such successor by such predecessor and
shall have all of the powers conferred upon a Trustee hereunder.
(� Compensation. The Trustee shall have the right to
receive reasonable compensation for services rendered and
reimbursement for reasonable expenses.
(g) Securitv. The Trustee is specifically relieved from
the duty of filing bond or entering security.
AR,TICLE XIII: Situs. The initial situs of this Trust
shall be Cumberland County, Pennsylvania. The Trustee may determine,
from time to time, to change the situs of any Trust established under this
Agreement. However, no change in situs shall be effective until written
notice shall have been provided to the income beneficiary of the Trust.
IN WITNESS WHEREOF, DOROTHY LATHAM MYERS has
hereunto offered her hand and seal as Grantor and as Trustee on the day and
year first above written.
