RUMNIEL I, CHARLOTTE G. RUMMEL, of Allegheny County, Pennsylvania, being of sound mind and memory, do make, publish and declare this my Last Will and Testament, hereby revoking all prior Wills and Codicils heretofore made by me. FIRST: I authorize that the legally enforceable expenses of my last illness and my funeral and burial expenses be paid out of my Estate as soon as may be convenient after my death. SECOND: Except as I may have provided in a Letter of Instructions signed by me and found with this my Will or other valuable papers, I give so much of my tangible personal property, together with any insurance thereon, to my children, DEBORAH RUMMEL JOHNSTON, JAMES ROBERT RUMMEL, and RANDAL THOMAS RUMMEL, as they may select or agree upon in writing. As to any times not so selected or agreed upon, I authorize my Co-Executors to sell the same and add the proceeds to the residue of my Estate. All costs of safeguarding, insuring, packing, and storing my tangible personal property before its distribution and the cost of delivering each item to the residence of the beneficiary of that item shall be treated as an administrative expense in my Estate. THIRD: I give and bequeath the following general cash bequests: A. I give and bequeath the sum of TWO THOUSAND AND NO/100'S ($2,000.00) DOLLARS to each of my siblings who are living at the time of my death. B. I give and bequeath the sum of TEN THOUSAND AND NO/100'S ($10,000.00) DOLLARS to each of my grandchildren who are living at the time of my death. FOURTH: I give and bequeath any and all shares of stock, common or preferred, which I own in non-funds status at the time of my death, to DEBORAH RUMMEL JOHNSTON, JAMES ROBERT RUMMEL, and RANDAL THOMAS RUMMEL, or the survivor or survivors of them then living. In the event none of them are then living, this bequest shall be void. FIFTH: I give, devise and bequeath all the rest, residue and remainder of my Estate to my issue, per stirpes, subject to the minority provisions hereinafter set forth SIXTH: In addition to the powers conferred on them by law, my Co-Executors or their substitute shall have the following powers, to be exercised in their absolute discretion, in the capacity to which such powers may be applicable, including without limitation, the discretionary power to retain for distribution in kind, without duty of diversification, all property owned by me at my death, or to sell all or any part of such property, upon such terms as my fiduciary shall deem advisable; to hold any proceeds and other cash uninvested or to invest in all forms of property; to exercise all rights of security holders; to compromise any claim or controversy without court approval; to borrow money from any source; to delegate discretionary - 2 - powers; and to make distributions in cash or in kind at current values, in undivided interests or nonpro rata shares. SEVENTH: All estate, inheritance, and succession taxes, including interest and penalties, payable with respect to all property included in my gross taxable Estate except any property over which I have a taxable power of appointment, shall be paid from the principal of my residuary Estate, at such times and in such manner as my Co-Executors shall deem advisable, without apportionment or right of reimbursement. EIGHTH: I do hereby make, constitute and appoint DEBORAH RUMMEL JOHNSTON and RANDAL THOMAS RUMMEL to be the Co-Executors of this my Last Will and Testament. In the event that either DEBORAH RUMMEL JOHNSTON or RANDAL THOMAS RUMMEL is at any time unwilling or unable to serve for any reason, no successor need be appointed. In the event both DEBORAH RUMMEL JOHNSTON and RANDAL THOMAS RUMMEL are at any time unwilling or unable to serve for any reason, I nominate and appoint JAMES ROBERT RUMMEL as Executor in their steads. NINTH: No fiduciary appointed herein shall be required to post bond or other security in any jurisdiction in which he or she may serve. TENTH: I appoint PNC BANK, NATIONAL ASSOCIATION guardian of any property, whether principal or income, which vests in a minor by reason of my death and with respect to which I am authorized to appoint a guardian, to hold and manage until such minor attains his or her majority, with all the same powers heretofore granted to the Executors in this will or powers granted by law, and authority to use both income and principal for the minor's comfortable support and complete education. Payments may be made to the person having - 3 - custody of the minor, without liability on the part of PNC BANK, NATIONAL ASSOCIATION to see to the application of said payments by the payee.
