COMPLAINT IN CONFESSION OF JUDGMENT
NOW, comes Plaintiff, Orrstown Bank, by and through its attorneys, O'BRIEN, BARIC
& SCHERER, and files the within Complaint in Confession of Judgment and, in support thereof,
sets forth the following:
I. Plaintiff is Orrstown Bank with an address of 77 E. King Street, Shippensburg,
Cumberland County, Pennsylvania.
2. Defendant is Lee A. Woodall, an adult individual with a last known address of
Apartment Number 305,1512 Windemere Place, West Chester, Chester County, Pennsylvania
19380.
3. Attached hereto as Exhibit "A" and incorporated herein by reference is a true and
correct copy of a Promissory Note executed by the Defendant dated April 7, 2003.
4. Judgment is not being entered by confession against a natural person in
connection with a consumer credit transaction.
5. The Promissory Note has not been assigned.
6. Defendant has failed to make payments due under the Promissory Note beginning
with the payment due May, 2004 and all monthly payments due subsequent to May, 2004.
7. The amount due is calculated as follows:

Interest to 03/04/05 $ 2,095.19
(per diem of$6.67)
Late charges $ 150.00

365/360 basis; that Is, by applying the ratio of the annual Interest rate over a year of 360 days, multiplied by the outstanding principal balance,

VARIABLE INTEREST RATE. For the 1Irst 12 payments, lt1e Interest rate on this Note will be 5.250"". Therealler, the interest "'te on this Note Is
subject to change from time to time based on changes in an Independent index which Is the Wall Street Prime (lt1e "Index"). The Index Is not
necessarily lt1e lowest rate charged by Lender on i1s loans. If the Index becomes unavanable during the term of this loan. Lender may designate a
substitute index aller notice to Borrower. Lender will tell Bonower the current Index rate upon Borrowe(s request The interest rate change will not
OCcur more alien than each year. Borrower _lands that Lender may make loans based on o1I1er rates as well. The Index currently Ia 4.250%
par annum. The Interest rate or rates to be appliad to the unpaid prlnclpaf balance of this Note will be the rate or rales set forth hereln In \he
'Payment' section. NotWithstanding any _ provlalon of this Note, alIer the I1rst payment stream, the Interest rate for each subsequent
payment stream will be eflectlve 85 of the last payment _ of the juat-endlng payment stream. NOTICE: Under no circumstances will the
interest rate on this Note be more than the maximum rate allowed by appflC8ble law. Whenever increases occur in the interest rate, Lender, at its
option, may do one or more of the tollowlng: (A) increase Borrowers payments ro ensure Borrowe(s loan will pay off by its original final maturity date,
(B) increase Borrowe(s payments to cover accruing Interest, (C) increase lt1e number of Borrower's payments, and (0) continue Borrower's
payments at the same amount and increase Borrower's final payment
PAEPA YMENT. Borrower agrees that all loan lees and o1I1er prepaid finance charges are eamad fully as of the date of the loan and will not be subject
to refund upon early payment (whether volun1ary or as a resull of default), except as otherwise required by law. Except tor the foregoing, Borrower
may pay without penally all or a portion of the amount owed earlier than ~ Is due. Early payments will not unless agreed to by Lender in writing, relieve
Borrower of Borrowe(s obligatioo ro continue to make payments under the payment schedule. Aalt1er, early payments will reduce lt1e principal balance
due and may resull in Borrowe(s making fewer payments. Borrower agrees not ro send Lender payments marl<ed 'paid in full". "without recourse". or
similar language. If Borrower sends such a payment Lender may accept jJ without losing any 01 Lenders rights under lt1is Note, and Borrower will
remain obligated \0 pay any lur1her amount owed to Lender. All written communicatioos concerning disputed amounts, including any check or olt1er
payment instrument that indicates lt1at the payment constitutes 'payment in lull' of lt1e amount owed or that Is tendered with other conditions or

LATE CHARGE. \I a payment is 1 S days or more late, Borrower will be charged 5.000% of the regularly scheduled payment or $50.00, whichever Is
greater.
INTEREST AFTER DEFAULT. Upon default, including failure to pay upon final maturity, the total sum due under lt1is Note will bear interest from the
date of acceleration or maturity at the variable interest rate on this Note. The interest rate will not exceed ttle maximum rate permitted by appftcable law.
DEFAULT. Each of the following shall constitute an event of detauIt ('Event of Default.) under this Nole:
Payment Default. Borrower fails ro make any payment when due under lt1is Note.
Other Defautts. Borrower fails to compty with or to perfonn any other term, obligation, covenant or condition contained in this Note or in any of
the related documents or to comply with or to perform any tenn, obligation. covenant or condition contained in any other agreement between
Lender and Borrower.
False Statements. Any warranty, representation or statement made or furnished to Lender by Borrower or on Borrower's \>eha" under this Note
or the related documents is false or misleading in any material respect, either now or at the time made or furnished or becomes false or misleading
at any time thereafter.
Death or 'nsolvency. The death of Borrower or the dissolution or tennination of Borrower's existence as a going business, the inSONency of
Borrower, the appointment of a receiver lor any part ot Borrower's property, any assignment for the benefit of cred~ors. any Iype of creditor
workout, or the commencement of any proceeding under any bankruptcy or insolvency laws by or against Borrower.
Credttor or Forf~lture Proceedings. Commencement of foredosure or forfeiture proceedings, Whether by judicial proceeding, setf.help.
repossession or any other method, by any creditor of Borrower or by any governmental agency against any colmteral securing the k>an. This
includes a garnishment of any of Borrower's accounts, including deposit accounts, with Lender. However, this Event of Defautt shall not ~ if
there is a good faith dispute by Borrower as to the valk::lity or reasona.bleness of "the claim which is the basis of the creditor or forfeiture proceeding
and if Borrower Qrves Lender written notice of the creditor or forfeiture proceeding and deposits with Lender monies or a surety bond for the
creditor or forfeiture proceeding, in an amount determined by Lender, in its sole discretion, as being an adequate reserve or bond for the dispute.
Events Affecting Guarantor. Any of the preceding events occurs with respect to any guarantor, endorser, surety, or accommodation party of any
of the indebtedness or any guarantor, endorser, surety, or accommodation party dies or becomes incompetent, or revokes or disputes the validity

required to, permn the guarantor's estate to assume uncondI1ionally the obligations arising under !he guaranty In a manner satisfactory to Lender,

Adverse Change. A material adverse change occurs in Borrower's financial condition, or Lender believes the prospect of payment or
performance of this Note is impaired.
Insecurity. Lender in good faill1 believes ilseW insecure.
Cure Provisions, If any demun, other than a defaun In payment is curable and n Borrower has 00\ been given a no1ice of a breach of the same
provision of lhis Nole within the p<ececflOg twelve (12) months, n may be cured (and no event of default will have OCCUlTed) ~ Borrower, after
receiving written no1ice from Lender demanding cure of such defaun: (1) cures lhe defaun within fifteen (15) days; or (2) n the cure requires
more than fifteen (15) days, immediately initiates steps which Lender deems In Lender's sole discretion to be sufficient to cure lhe defaun and
thereafter continues and completes aU reasooable and necessary sleps suffICient to produce compliance as soon as reasonably practical.
LENDER'S RIGHTS. Upon default, Lender may, after giving such no1ices as required by applicable law, declare the entire unpaid principal balance on
this Note and aU accrued unpaid interest immediately due, and then Borrower will pay that amount.
ATTORNEYS' FEES; EXPENSES. Lender may hire or pay someone else to help collect this Note n Borrower does not pay. Borrower win pay Lender
that amount. This includes, subject to any rmits under applicable law, Lender's attomeys' fees and Lender's legal expenses, whether or not there is a
lawsuit, including attorneys' fees, expenses lor bankruptcy proceedings (including efforts to modify or vacate any automa1ic stay or injunction), and
appeals. If not prohibited by applicable law, Borrower also will pay eny court costs, In addition to all other sums provided by law.
RIGHT OF SETOFF. To the extent permitted by applicable law, Lender reserves a right of setot! in all Borrowe<'s accounls with Lender (whether
checking, sailings, Of some other account). This includes wi accounts Borrower holds joindy With someone else and all accounts Borrower may open in
the Mure. However, this does not include any IRA or Keogh accounts, or any trust accounts for which setoff would be prohibited by law. Borrower
authorizes Lender, to 1he extent permitted by applicable law, to charge or setoff all sums owing on the indebtedness against any and aU such accounlS,
and, at Lender's option, to administratively freeze all such accounts to allow Lender to protect Lender's charge and setoff rights provided in lhis
paragraph.
PROPERTY INSURANCE. Borrower understands that Borrower Is required to obtain Insurance lor the collateral secuting this Note. Further inlormation
concemlng this requirement Is set forth In the Mortgage and in the Agreement to Provide Insurance, all1he terms and conditions of which are hereby
incorporated and made a part of this Note.
ANANCIAL INFORMATION. The Borrower agrees to provide the Lender with Federal Tax Returns andIor CPA p<epared Financial Statements and any
other financial information, required by the Lender's Original Commitment Letter to !he Borrower, on 811 annual basis. If the Lender does not receive 1he
required financial information within two hundred seventy (270) days of the Borrower's fiscal year end, the Lender has the right to increase the Interest
rate charged on lhls Note by 0.25%. The Borrower shall receive written notification ten (10) days prior to the Lender increasing the Interest rate charged
on this Note.
SUCCESSOR INlERESlS. The terms ot this Note shail be binding upon Borrower, and upon Borrower's heirs, personal representatives, successors
and assigns, and shail inure to the benefn of Lender and its successors and assigns.
NOTIFY US OF INACCURATE INFORMA l10N WE REPORT TO CONSUMER REPORTING AGENCIES. Please notify us n we report any inaccurate
Information about your account(s) to a consumer reporting agency. Your written no1ice describing the specific Inaccuracy(ies) should be sent to us at
the following address: ORRSTOWN BANK P.O. BOX 250 SHIPPENSBURG, PA 17257
GENERAL PROVISIONS. This Note is payable on demand. The inclusion of specific defaun provisions or rights of Lender shaU not p<eclude Lender's
right to declare payment of this Note on its demand. Lender may delay or lorgo enforcing any of its rights or remedies under this Note without losing
them. Borrower and any other person who signs, guarantees Of endorses this Note, to the extent allowed by law, waive presentmen~ demand lor
payment, and no1ice of dishonor. Upon any change In the terms of this Nole, and unless otherwise expressly stated In writing, no party who signs this
Note, whether as maker, guarantor, acCOfT)modallon maker or endorser, shall be released from liability. All such parties agree that Lender may renew
or extend (repeatedly and lor any length ot time) this loan or release any party or guarantor or collateral; or impair, fail 10 realize upon or perfect
Lender's security interest in the collateral; and take any other action deemed necessary by Lender without the consent of or no1ice to anyone. Ail such
parties also agree that Lender may modify this loan without the consent of Of no1ice to anyone other than the party with whom the modification Is made.
The obligations under this Nole are joint and several. If any portion of this Note Is lor any reason determined to be unenforceable, ft will not affect the
enforCeability ot any other provisions of this Note.
CONFESSION OF JUDGMENT. BORROWER HEREBY IRREVOCABLY AUTHORIZES AND EMPOWERS ANY ATTORNEY OR THE PROTHONOTAR'
OR CLERK OF ANY COURT IN THE COMMONWEALTH OF PENNSYLVANIA, OR ELSEWHERE, TO APPEAR AT ANY TIME FOR BORROWER AFTEI
A DEFAULT UNDER THIS NOTE AND WITH OR WITHOUT COMPLAINT FILED, CONFESS OR ENTER JUDGMENT AGAINST BORROWER FOR THI
ENTIRE PRINCIPAL BALANCE OF THIS NOTE AND ALL ACCRUED INTEREST, LATE CHARGES AND ANY AND ALL AMOUNTS EXPENDED 0
ADVANCED BY LENDER RELATING TO ANY COLLATERAL SECURING THIS NOTE, TOGETHER WITH COSTS OF SUIT, AND AN ATTORNEY'
COMMISSION OF TEN PERCENT (10%) OF THE UNPAID PRINCIPAL BALANCE AND ACCRUED INTEREST FOR COLLECTION, BUT IN ANY EVEN.

plaintiff without any prior notice or hearing based on a confession of judgment contained in a
written agreement or other paper allegedly signed by you. The court has issued a writ of
execution which directs the sheriff to take your money or other property owned by you to pay the
judgment.
If your money or property has been taken, you have the right to get the money or property
back if you did not voluntarily, intelligently or knowingly give up your constitutional right to
notice and hearing prior to the entry of judgment or if you have defenses or other valid objections
to the judgment.

Agreement of sale:
This is an agreement of sale to Luigi and Lee Woodall. This is the
sale of Lee Woodall's Village Kettle. Lee Woodall will still be
involved until the full payment is completed. Luigi will be able to
operate his business out of the Village Kettle and Lee Woodall will
act as owner until Luigi's debt is satisfied. Upon signing this Luigi
will immediately be able to begin business in the restaurant. Lee
Woodall will make sure all bills are paid up to date and then Luigi
will take over all bills that will appear in Lee Woodall's-name until
they are transferred in Luigi's name. Lee Woodall will change the
lease over to Luigi when the debt is fully satisfied and will set the
right channels so that the transaction is smooth and clear. Luigi.
will pay $130,000 dollars to Lee Woodall for the village kettle and
will start with a down. ~~ment of $50,000 dollars and the rest to
be paid within a f; 11_ i~Af}d or to be paid off at anytime the
remainder equaling $80,000 dollars. Mr. Woodall is responsible to
payoff his loan with the bank and Luigi is not responsible for that.
Luigi will claim all taxes on the property, which is included in the
rent of $1,350. The restaurant will change names and Mr. Woodall
will make sure that the proper channels are done and will take on
the expense for doing so. This agreement is in effect upon the
receipt of the initial deposit. Luigi also will allow Lee Woodall a
week to pay all outstanding bills for the restaurant so that it is
properly functioning for Luigi. Luigi will not have any rent
payments due until May 1, 2004.

ADDENDUM TO AGREEMENT OF SALE
KNOW ALL MEN BY THESE PRESENTS, that
LEE A. WOODALL, an adult individual, ("Seller")
AND
LUIGI ARENA, an adult individual, ("Purchaser")
Hereby agree and stipulate that the Agreement of Sale bearing a date of February 25, 2004 and
executed by the parties on April 8, 2004 shall be amended as follows:
I. The "bills" generally referred to in the Agreement of Sale are strictly limited to standard
utility bills for telephone service, electric, and natural gas which, as of this date, have been
transferred from Seller's name to Purchaser's name.
2. Seller agrees to sublet 1968 Spring Road, Carlisle, Pennsylvania to Purchaser beginning
May 1, 2004 for at the monthly rent of One Thousand Three Hundred Fifty ($1,350.00) with
payments to be made directly from Purchaser to the landlord. This sublease shall expire at the
conclusion of the original lease period established by Mr. Sites and Seller, but in no case, shall
the sublease obligation extend beyond 2009.
3. Seller agrees to execute a Bill of Sale in substantially the same form as attached exhibit
"A". Further, Seller hereby stipulates and warrants that he is the actual owner of the said

property and that there are no liens, encumbrances, or security agreements III existence
concerning the identified property to be sold and transferred to the Purchaser.
4. Seller agrees to complete and file a Bulk Sale Clearance Certificate concermng the
furniture, equipment, and fixtures identified in the attached Bill of Sale and transferred to the
Purchaser. Further, Seller shall defend, indemnify, and hold harmless the Purchaser of any and
all tax liabilities or assessments as may be incurred as a result of this Agreement and tbe transfer
of the items listed in the Bill of Sale attached as Exhibit "A". Seller agrees to pay any and all
taxes which may be incurred as a result of the transfer of these assets per this Agreement.
5. Seller agrees to discount tbe original purchase price of $130,000.00 to One Hundred and
Eighteen Thousand Dollars ($118,000.00) provided that $118,000.00 is received by the Seller on
or before April 8, 2005. If payment of $118,000.00 is not received by that time, then the
discount shall be void and the terms and conditions of the original Agreement of Sale shall
govern as it pertains to the purchase price and the terms of payment of the referenced purchase
pnce.
6. Seller acknowledges the receipt to date of Eighty-two Thousand Dollars ($82,000.00)
from the Purchaser and said payments shall be credited against the purchase price.
7. This agreement is non-assignable.
Wherefore, Seller and Seller's successors, assigns, administrators and executors will
warrant and forever defend Purchaser, his successors, assigns, administrators and executors and
by these presents.

BILL OF SALE
In accordance with the provisions of the Asset Purchase Agreement, dated February 24,
2004 and executed on April 8, 2004 (the "Agreement") , between
Lee A. Woodall, an adult individual, (the "Seller"),
And
Luigi Arena, au adult individual (the "Purchaser"),
The Seller, for good and valuable consideration, receipt of which is hereby
acknowledged, hereby grants, sells, conveys, transfers, assigns and delivers to the
Purchaser, free and clear of all liens and encumbrances, all of the following assets, rights,
interests, and properties of or relating to or used in connection with the Seller's business,
known as The Village Kettle Restaurant, located at 1968 Spring Road, Carlisle,
Pennsylvania
(a) all inventory of the Seller located at 1968 Spring Road, Carlisle, Pennsylvania; and
(b) all fixed assets owned by the Seller located at its place of business at The Village
Restaurant and as further identified in the attached Schedule "A" as well as the following:
1. Security System (including monitor and camera and video system);
2. Digital Dining Equipment and software;
3. One (I) Cash Register;
4. Ten (10) tables;
5. Nine (9) booths;
6. Thirty-six (36) chairs;
7. Eleven (11) hanging light fixtures;
8. One (I) coat rack;
9. Three (3) push carts used to bus tables;
10. Four (4) highchairs; and
II. Four (4) tray stands.
The assets described in subparagraphs (a) through (b) above are herein called the
"Assets." Terms not otherwise defined herein shall have the meanings given in the
Agreement.
The Seller hereby warrants and represents that it has good and marketable title to the
Assets and that it has the right to sell the same free and clear of any security
encumbrances.

The Seller, its successors and assigns, covenants and agrees to warrant and defend the
sale of the Assets unto the Purchaser, its successors and assigns, against all and every
person and persons whomsoever.
The Seller for itself and its successors and assigns hereby constitutes and appoints the
Purchaser, its successors and assigns the true and lawful attorney and attorneys for the
Seller with full power of substitution in the name and stead of the Seller but on behalf
and for the benefit of the Purchaser, its successors and assigns, to demand and receive
any and all of the Assets and give receipts and releases for and in respect of the same or
in any part thereof, and to do all acts or things in relation to the Assets To Be Acquired
which the Purchaser, its successors and assigns shall deem desirable, hereby declaring the
foregoing powers are coupled with an interest and are and shall be irrevocable by the
Seller in any manner or for any purpose or cause whatsoever.

BILL OF SALE
In accordancc with the provisions of the Asset Purchase Agreement, dald Fchmary 24,
2004 and executed on April 8, 2004 (the "Agreement") , between
Lee A. Woodall, an adult individual, (the "Seller"),
And
Luigi Arena, an adult individual (the "Purchaser"),
The Seller, for good and valuable consideration, receipt of vv hich IS hereby
acknowledged, hereby grants, sells, conveys, transfers, assigns and delivers to the
Purchaser, free and clear of all liens and encumbrances, all of the following assets, rights,
interests, and properties of or relating to or used in connection with the Seller's business,
known as The Village Kettle Restaurant, located at 1968 Spring Road, Carlisle,
Pennsylvania
(a) all inventory of the Seller located at 1968 Spring Road, Carlisle, Pennsylvania;
(b) all fixed assets owned by the Seller located at its place of business at The Village
Restaurant and as further identified in the attached Schedule "A" as well as the following:
I. Security System (including monitor and camera and video system)
2. Digital Dining Equipment;
3. Cash Register;
4. Ten (10) tables;
5. Nine (9) booths;
6. Thirty-six (36) chairs;
7. Eleven (II) hanging light fixtures;
8. One (I) coat rack;
9. Three (3) push carts used to bus tables;
10. Four (4) highchairs; and
II. Four (4) tray stands.
The assets described in subparagraphs (a) through (b) above are herein called the
"Assets." Terms not otherwise defined herein shall have the meanings given in the
Agreement.
The Seller hereby warrants and represents that it has good and marketable title to the
Assets and that it has the right to sell the same free and clear of any security
encumbrances.

The Seller, its successors and assigns, covenants and agrees to warrant and defend the
sale of the Assets unto the Purchaser, its successors and assigns, against all and every
person and persons whomsoever.
The Seller for itself and its successors and assigns hereby constitutes and appoints the
Purchaser, its successors and assigns the true and lawful attorney and attorneys for the
Seller with full power of substitution in the name and stead of the Seller but on behalf
and for the benefit of the Purchaser, its successors and assigns, to demand and receive
any and all of the Assets and give receipts and releases for and in respect of the same or
in any part thereof, and to do all acts or things in relation to the Assets To Be Acquired
which the Purchaser, its successors and assigns shall deem desirable, hereby declaring the
foregoing powers are coupled with an interest and are and shall be irrevocable by the
Seller in any manner or for any purpose or cause whatsoever.

As you may recall, we represent Mr. Luigi Arena concerning the Addendum to the Agreement of
Sale, dated September 3, 2004.
My clients have recently been advised by Mr. Sites that the lease for 1968 Spring Road expires in
June 2005, not 2009 as you had represented to Mr. Arena. As you know the lease period through 2009
was of critical importance to Mr. Arena and the operation of his restaurant. Because of this recent
revelation by Mr. Sites, I have advised Mr. Arena not to make any further payment concerning the
Agreement until we receive clarification and confirmation concerning the lease period through 2009.
Mr. Arena is more than willing to pay the balance due under the Agreement; however, without
assurances ofthe lease period through 2009, he is reluctant to make any further payment.
I trust you understand the signjficance of this request.
