WOODALL, Defendant CIVIL ACTION-LAW COMPLAINT IN CONFESSION OF JUDGMENT NOW, comes Plaintiff, Orrstown Bank, by and through its attorneys, O'BRIEN, BARIC & SCHERER, and files the within Complaint in Confession of Judgment and, in support thereof, sets forth the following: I. Plaintiff is Orrstown Bank with an address of 77 E. King Street, Shippensburg, Cumberland County, Pennsylvania. 2. Defendant is Lee A. Woodall, an adult individual with a last known address of Apartment Number 305,1512 Windemere Place, West Chester, Chester County, Pennsylvania 19380. 3. Attached hereto as Exhibit "A" and incorporated herein by reference is a true and correct copy of a Promissory Note executed by the Defendant dated April 7, 2003. 4. Judgment is not being entered by confession against a natural person in connection with a consumer credit transaction. 5. The Promissory Note has not been assigned. 6. Defendant has failed to make payments due under the Promissory Note beginning with the payment due May, 2004 and all monthly payments due subsequent to May, 2004. 7. The amount due is calculated as follows: Principal $48,032.22 Interest to 03/04/05 $ 2,095.19 (per diem of$6.67) Late charges $ 150.00 Attorneys fees $ 4,803.22 (10% of principal) TOTAL: $55,080.63 8. The death of Borrower or the dissolution or tennination of Borrower's existence as a going business, the inSONency of Borrower, the appointment of a receiver lor any part ot Borrower's property, any assignment for the benefit of cred~ors. any Iype of creditor workout, or the commencement of any proceeding under any bankruptcy or insolvency laws by or against Borrower. Credttor or Forf~lture Proceedings. Commencement of foredosure or forfeiture proceedings, Whether by judicial proceeding, setf.help. repossession or any other method, by any creditor of Borrower or by any governmental agency against any colmteral securing the k>an. This includes a garnishment of any of Borrower's accounts, including deposit accounts, with Lender. Events Affecting Guarantor. LENDER'S RIGHTS. ATTORNEYS' FEES; EXPENSES. Lender may hire or pay someone else to help collect this Note n Borrower does not pay. Borrower win pay Lender that amount. This includes, subject to any rmits under applicable law, Lender's attomeys' fees and Lender's legal expenses, whether or not there is a lawsuit, including attorneys' fees, expenses lor bankruptcy proceedings (including efforts to modify or vacate any automa1ic stay or injunction), and appeals. If not prohibited by applicable law, Borrower also will pay eny court costs, In addition to all other sums provided by law. RIGHT OF SETOFF. To the extent permitted by applicable law, Lender reserves a right of setot! in all Borrowe<'s accounls with Lender (whether checking, sailings, Of some other account). This includes wi accounts Borrower holds joindy With someone else and all accounts Borrower may open in the Mure. However, this does not include any IRA or Keogh accounts, or any trust accounts for which setoff would be prohibited by law. Borrower authorizes Lender, to 1he extent permitted by applicable law, to charge or setoff all sums owing on the indebtedness against any and aU such accounlS, and, at Lender's option, to administratively freeze all such accounts to allow Lender to protect Lender's charge and setoff rights provided in lhis paragraph. PROPERTY INSURANCE. Borrower understands that Borrower Is required to obtain Insurance lor the collateral secuting this Note. Further inlormation concemlng this requirement Is set forth In the Mortgage and in the Agreement to Provide Insurance, all1he terms and conditions of which are hereby incorporated and made a part of this Note. ANANCIAL INFORMATION. The Borrower agrees to provide the Lender with Federal Tax Returns andIor CPA p<epared Financial Statements and any other financial information, required by the Lender's Original Commitment Letter to !he Borrower, on 811 annual basis. If the Lender does not receive 1he required financial information within two hundred seventy (270) days of the Borrower's fiscal year end, the Lender has the right to increase the Interest rate charged on lhls Note by 0.25%. The Borrower shall receive written notification ten (10) days prior to the Lender increasing the Interest rate charged on this Note. SUCCESSOR INlERESlS. The terms ot this Note shail be binding upon Borrower, and upon Borrower's heirs, personal representatives, successors and assigns, and shail inure to the benefn of Lender and its successors and assigns. This Note is payable on demand. The inclusion of specific defaun provisions or rights of Lender shaU not p<eclude Lender's right to declare payment of this Note on its demand. Lender may delay or lorgo enforcing any of its rights or remedies under this Note without losing them. Woodall 21 West Mulberry Hill Rd Carlisle PA 17013 Agreement of sale: This is an agreement of sale to Luigi and Lee Woodall. This is the sale of Lee Woodall's Village Kettle. Lee Woodall will still be involved until the full payment is completed. Luigi will be able to operate his business out of the Village Kettle and Lee Woodall will act as owner until Luigi's debt is satisfied. Upon signing this Luigi will immediately be able to begin business in the restaurant. Lee Woodall will make sure all bills are paid up to date and then Luigi will take over all bills that will appear in Lee Woodall's-name until they are transferred in Luigi's name. Lee Woodall will change the lease over to Luigi when the debt is fully satisfied and will set the right channels so that the transaction is smooth and clear. Luigi. will pay $130,000 dollars to Lee Woodall for the village kettle and will start with a down. ~~ment of $50,000 dollars and the rest to be paid within a f; 11_ i~Af}d or to be paid off at anytime the remainder equaling $80,000 dollars. Mr. Woodall is responsible to payoff his loan with the bank and Luigi is not responsible for that. Luigi will claim all taxes on the property, which is included in the rent of $1,350. The restaurant will change names and Mr. Woodall will make sure that the proper channels are done and will take on the expense for doing so. This agreement is in effect upon the receipt of the initial deposit. Luigi also will allow Lee Woodall a week to pay all outstanding bills for the restaurant so that it is properly functioning for Luigi. WOODALL, an adult individual, ("Seller") AND LUIGI ARENA, an adult individual, ("Purchaser") Hereby agree and stipulate that the Agreement of Sale bearing a date of February 25, 2004 and executed by the parties on April 8, 2004 shall be amended as follows: I. The "bills" generally referred to in the Agreement of Sale are strictly limited to standard utility bills for telephone service, electric, and natural gas which, as of this date, have been transferred from Seller's name to Purchaser's name. 2. Seller agrees to sublet 1968 Spring Road, Carlisle, Pennsylvania to Purchaser beginning May 1, 2004 for at the monthly rent of One Thousand Three Hundred Fifty ($1,350.00) with payments to be made directly from Purchaser to the landlord. This sublease shall expire at the conclusion of the original lease period established by Mr. Sites and Seller, but in no case, shall the sublease obligation extend beyond 2009. 3. Seller agrees to execute a Bill of Sale in substantially the same form as attached exhibit "A". Further, Seller hereby stipulates and warrants that he is the actual owner of the said lrJ Page 1 of3 property and that there are no liens, encumbrances, or security agreements III existence concerning the identified property to be sold and transferred to the Purchaser. 4. Seller agrees to complete and file a Bulk Sale Clearance Certificate concermng the furniture, equipment, and fixtures identified in the attached Bill of Sale and transferred to the Purchaser. Further, Seller shall defend, indemnify, and hold harmless the Purchaser of any and all tax liabilities or assessments as may be incurred as a result of this Agreement and tbe transfer of the items listed in the Bill of Sale attached as Exhibit "A". Seller agrees to pay any and all taxes which may be incurred as a result of the transfer of these assets per this Agreement. 5. Seller agrees to discount tbe original purchase price of $130,000.00 to One Hundred and Eighteen Thousand Dollars ($118,000.00) provided that $118,000.00 is received by the Seller on or before April 8, 2005. If payment of $118,000.00 is not received by that time, then the discount shall be void and the terms and conditions of the original Agreement of Sale shall govern as it pertains to the purchase price and the terms of payment of the referenced purchase pnce. 6. Seller acknowledges the receipt to date of Eighty-two Thousand Dollars ($82,000.00) from the Purchaser and said payments shall be credited against the purchase price. 7. This agreement is non-assignable. As you know the lease period through 2009 was of critical importance to Mr. Arena and the operation of his restaurant. Because of this recent revelation by Mr. Sites, I have advised Mr. Arena not to make any further payment concerning the Agreement until we receive clarification and confirmation concerning the lease period through 2009. Mr. Arena is more than willing to pay the balance due under the Agreement; however, without assurances ofthe lease period through 2009, he is reluctant to make any further payment.
