ItiCHARDSON, Co-Executors of the ESTATE OF LILA E.
RICHARDSON,hereinafter called"Seuer,"
�ID WEAVER BURKHOLDER and RUTH BURKHOLDER, husband and
wife,of 129 East Main Street,Walnut Bottom,PA 17266,hereinafter called
KBuyer."
BACgGRUUND
A. Seller desires to convey to all that certain tract or parcel of land situate in South Newton
Township, Cumberland County, Pennsylvania, known as 177 East Main Street, Walnut
Bottom,Pennsylvania 17266, containing 0.8 acre more specifically described in E�ibit A,
attached hereto and incorporated by reference herein, which parcel of land and
improvements are hereinafter collectively referred to as the"Property."
B. Buyer desires to purchase the property.
NpW 1'HEREFORE, with intent to be legally bound, Seller and Buyer hereby agree and
covenant as follows:
1. Sale and Purchase. Subj�t to the terms and conditions of this Agreement, Seller agrees to
sell,grant and convey to Buyer and Buyer agrees to purchase the Property.
2. Financial Terms.
purchase price pNE HUNDRED FIFTY THOUSAND DOLLARS AND ZERO
CENTS($150,000.00),which shall be paid by the Buyer to Seller as follows:
A. Cash or check at signing this Agreement, to be held in escrow by Weigle &

3. Warranty of Title. The Property shall be conveyed to Buyer by Seller's special warranty
deed,conveying good and marketable title, free and clear of a11 liens, subject only to such
easements,restrictions as may affect the Property on the date hereof.
The quality of title to be conveyed is such title a will be insurable by a reputable Title
Insurance Company licensed to do business in Pennsylvania at regular basic rates and
without non-standard exceptions. It is expressly agreed,however,that if Seller is unable to
deliver the quality of title required herein,Buyer's only options shall be to accept such title
as Seller can deliver without reduction in purchase price, or to terminate this Agreement
whereupon neither parly shall have any fiirther liability or obligation to the other
hereunder. In the iatter event, Seller will reimburse the deposit immediately and will alsfl
reimburse Buyer for all rea.sonable costs incurred by Buyer in anticipation of this
transaction.
Seller warrants that any restrictions affecting the Property will not be violated as of the
date of settlement and, if any, they will not unreasonably interfere with Buyer's intended
use of the Property.
4. Possession, Settlement. Actual physical possession of the Property shall be delivered to
Buyer at the time of seitlemen� Settlement shall take place NO LATER THAN
September 17,2014. Time is of the essence.
A. Possession is to be delivered by deed, keys and physical possession to a vacant
building(if any}at day and time of settlement.
B. Bayer reserves the right to make a pre-settlement inspection of the Property,
pursuant to paragraph 13 below.
5. Settlement Location. Settlement shall be held at the pmperty, at purchaser's home, or at
offices of Richard L. Webber,Jr.,Attorney at Law,at 126 Fast King Street, Shippensburg,
Pennsylvania,as the parties shall agree.
6. Adjustments. Property ta��es,rents,water, sewer and other current lienable charges,if any,
shall be apportioned as of the date of settlement on the basis of the fiscal year of the taxing
�y.
Seller has not received any uorice of any resolution, ordinance or claim for municipal
improvements to be done or required to be done on or about the Property. In the event any
such notices or assessments are received after the execution of this Agreement and before
settlement,the Seller will give the Buyer notice of the same and the parties will cooperate
in good faith to agree upon who shall bear the cost(or in what proportion they shall share
the cost) for same. Should they not agree thereupon, either party sball have the option to
terminate this Agreement.

7. Realtv Transfer T�. Buyer and Seller shall divide equally the payment of any realty
transfer tax required to be paid as a result of the conveyance set forth herein except that
Seller's maximum obligation shall be 1% of the purchase price if Buyer assigns his rights
in this Agreement or otherwise causes an increase in the contemplated tax.
8. Brokers. Each party represents and warrants to the other that it has not contracted with any
real estate broker ar similar person with respect to ttus Agreement, and tb.at no brokerage
commission is due to anyone in connection with this sale.
9. Private Water. There is no public water at the property.
14. Private Sewer- THERE IS NO CURRENTLY E�IISTING C011ZhZIJNITY SEWAGE
SYSTEM AVAILABLE FOR THE SUBJEC� PROPERTY. Section 7 of the Pennsylvania
Sewage Facilities Act provides that no person shall install, construct, request bid proposals for
constxuction, alter, repair or occupy any building or structure for which an individual sewage
system is to be installed,without first obtaining a permi� Purchaser is advised by this notice that,
before signing this Agreement of Sa1e, Purchaser should contact the local agency chazged with
administering the Act ta determine the procedure and requirements for obtaining a permit for
instailing, repairing, etc. an individual sewage system. The local agency charged with
administering the Act will be the municipality where the Property is loca.ted or that municipality
working cooperatively with others.
11. Risk of Loss. Seller shall bear the risk of loss until final settlement and shall maintain
e�cisting insurance coverages until settlement Buyer may purchase insurance coverage to
protect his interest if desired.
12. Condition of Propertv. Seller warrants that the Property will be in the following
condition on the date Seller delivers physical possession to:(a) the Property sha11 be
broom-clean and fi�ee of debris and personal belongings. Any Seller moving related
damage to the Property shall be repaired at Seller's expense; (b) the heating, cooling,
electrical, plumbing and sprinkler systems and fixtures, and the appliances and fireplaces
will be in working order and fit for their intended purposes; (c) fihe roof and foundation
shall be free to leaks known to Seller; (d) any private well or septic tank serving the
Properly shall have applicable permits, and shall be in working order and fit for its
intended purpose; and (e)the Property and impravements,including the landscaping,will
be in the same general condition as they were on the effective date of this Agreement.
13. Waik'I7�rough Inspection. Before Settlement, Purchaser may, upon reasonable notice
and at a reasonable time, conduct a"walk-through"inspection of the Properly to determine
only that the Property is "as represented", meaning that the items referenced in Paragraph
12("the items") are respectively present,repaired,changed as agreed,and in the warranted
conditian. If the items aze not as represented, Seller will, prior to Settlement, replace,
correct or repair the items or, with the consent of(and Lender if agplicable), escrow an
amount at Setttement to provide for the same. The failure to c�nduct a walk-through

inspection or to claim that an item is not as represented, shall not constituke a waiver by of
the right to receive,on the date of possession,the items as represented.
14. Chan,ges During Transaction. Seller agrees that from the date of Acceptance until the
date of Closing,none of the following sha11 occur without the prior written consent of: (a)
no changes in any existing leases shall be made; (b)no new leases shall be entered into;(c)
no substautial alterations or improvements to the property shall be made or undertaken;
and(d)no financial encumbrances to the Property shall be made.
15. Disclosures. Buyer acknowledges receipt of Seller's Property Disclosure Statement and
Lead Paint Disclosure as required by law.
16. Purchase "AS IS". Buyer has inspected the premises and agrees to accept the same "as
is" without reliance upon opinions or representations of Seller. Buyer ackaowledges that
he is aware that the premis�s are in need of repair.
17. Default and Damages.
A. Buyer's Default and Damages. Should the Buyer violate or fail to fulfill and
perform any of the terms and conditions of this Agreement, then the Seller shall
give the Buyer written notice of default and if the Buyer fails to cure the default
withi.n ten(10)days of receipt of the notice,then Seller may retain the deposit paid
by the Buyer and the Seller shall have all the remedies provided by law against
Buyer, including but not by li.mitation bringing suit for specific performance and
termination of this Agreement
�/ B. Seller's Defautt and Damages. Should the Seller violate or fail to fulfill and
J�, perform any of the terms and conditions of this Agreement, then the Buyer shall
� � give the Seller written notice of default and if the Seller fails to cure the default
within ten (10) da.ys of receipt of the notice, th�n the Buyer shall have all the
remedies provided by law against Seller including but not by limitation termination
of this Agreement upon which Seller shall immediateiy refund the full deposit to
the Buyer.
18. Sale of certain appliances.
At settlement,Purchaser shall purchase the refrigeration,stove,and dehumidifier for a total
of$500.00,which is separate and apart from tiie purchase of the real estate.
19. Executian of this Agreement.
A. The Execution Date of this Agreement is the date when Buyer and Seller have
indicated full acceptance of this Agreement by signing andJor initialing i� For
pinposes of this Agreement, the number of days will be counted from the
Execution Date, excluding the date this Agreement was executed and including the

last day of the time period. All changes to this Agreement should be initialed
and dated.
B. Buyer and Seller acknowledge receipt of a copy of this Agreement at the time of
signing.
C. This Agreement may be executed in one or more counterpa.rts, each of which shall
be deemed to be an original and which counterparts together shall constitute one
and the same Agreement of the Parties.
D. Return of this Agreement, and any addenda and amendments, including return by
electronic transmission, bearing the signaiure of all parties, constitutes acceptance
hy the parties.
2Q. Miscellaneous.
A. This Agreement shall be binding upon and inure to the benefit of the parties
hereto and their respective heirs, successor and assigns. Purchassr may assign
this Agreement
B. This Agreement shall not be amended or modified except by a written agreement
signed by the Seller and Purchaser.
C. This Agreement contains the entire understanding between the Parties and any
representations, undertakings or agreements of any kind are superseded by the
provisions of this Agreement.
D. This Agreement sha11 be construed and enforced in accordance witli the laws of the
Commonwealth of Pennsylvania.
E. Neither party may record this Agreement or any memorandum hereof. Any
violation of the preceding sentence shall be of the essence of tlus Agreement and
shall immediately provide Seller with the right to terminate this Agreement, in
addition to all other remedies available to Seller.
F. Time is here declared to be of the essence of each and every provision of
this Agreement.
