The parties do hereby form a
partnership under the name Second and South Streets Associates to
acquire real and personal property, including, but not limited to

4. Partnership Interests. ~he initial ownership interests
of the Partners, subject to the provisions of this Agreement, shall

A separate capital account. shall be maintained for each
Partner. A Partner shall not be entitled to interest on his
capital contribution. No Partner ahall withdraw any part of his
capital account without the written consent of the remaininq
Partners. If the oapital account of a Partner becomes impaired,
his share of subsequent Partnership profits shall be first credited
to his capital account until that account has been restored, before

6. Additional Funds and Ad~ustment[.
(a) Call for Funds. The Partners recognized that the
income produced by the Partnership properties may be insufficient
to pay the "operating coets II of the properties. If addi t:l.onal
funds are reasonably required to pay such operating costs, the
additional funds may be called for by any Partner and shall be
contributed by the Partners in proportion to their capital interest
in the Partnership. However, the amount of funds subject to call
and contribution in any calendar year shall not exceed Forty
Thousand ($40,000.00) Dollars in the aggregate unless any excess
is approved by Partners holding at least a seventy-five (75%)
percent interest in the capital of the Partnership. As used above,
the tenu "operating coat.s" shall include, but not. be limited to
principal and interest payments on Partnership loans, whether or
not secured by mortgages on partnership properties; costs or
:t:epairs, maintenance and improvements; insurance prem.iums; real
estate taxes, assessments or other government.al charges; and
operating expenses of the Partnership directly relating to the
operating of the property.
(b) Contributions for Nondefaulcina Partners. In the
event any Partner is unable or unwilling to make any or all of his
proportional contribution, then the remaining Partner(s) who are
able and willing to do so may make a contribution in excess of
their proportionate share, in such amounts as they may agree among
themselves. If they are unable to agree, each Partner who is able

and willing to make a contribution shall have the primary right to
contribute that portion of such excess which the portion of such
Partner's capital interest in the partnership be are to the
aggregate capital interest of all such Partners and a secondary
right to contribute any remaining portion of such excess which is
not desired to be contributed by any other Partner in the exercise
of his primary right. If there is more than one {l} Partner
desiring to exercise secondary rights, they shall be entitled to
contribute the remaining portion of such excess in the same
proportion as stated above with regard to their primary rights.
(c) pontributions by Defaulting Partners. Any Partner
who makes a contribution to the partnership pursuant to Paragraph
6(b) above shall have the option tOI (i) treat the contribution

Such adjusted percentage interest of each Partner shall
supersede the percentage intere~t of such Partner as set forth
in Paragraph 4 above,
(1i) if the contributing Partner elects to treat his
contribution as a loan to the defaulting Partner, then no
adjustment shall be made to the contributing Partner's capital
account, and his share in profits, 106ses and cash flow of the
Partnership shall remain the same. However, the capital
account of the defaulting Partner shall be increased by the
amount of the loan, and a defaulting Partner's share in the
profIts, losses and cash flow of the Partnership shall be
adjusted as if he had made a contribution to the capital of
the Part.nership in the amount of the loan. The llllIount
advanced by the Partner on behalf of the defaulting Partner
shall be a debt of the defaulting Partner to the contributing
Partner and shall bear interest at the prime rate of interest
as published in The Wall Street Journal, or emy successor

7. Profits and Loss. The net losses, net profits and cash
flow of the Partnership shall be allocated among and distributed
to the Partners in acco.1"dance with their respective partnership
ownership interests. A separate income account shall be maintained
for each Partner. Partnership profits and losses shall be charged
or credited to the separate income account for each partner. If
a Partner has no credit balance in his income account, losses shall
be charged to his capital account. The cash flow shall be
distributed by agreement between the Partners, but, in no event,
less than semi-annually.

10. Management, ...QJLties and Restrictions.
(a) The Partnership shall have a Managing Partner. The
Managing Partner, at Partnership expense, shall have the right,
authority, power and duty to carry out the purposes and business
of the Partnership referred to in Paragraph 2 hereof, which, by way
of illustration, but not limitation, includes the right, authority,
power and duty tOI
(i) Acquire, develop and hold real property or
appurtenances thereto, ae well as personal or mixed property
connected therewith, including the purchase, lease,
development, improvement, maintenance, exchange, trade or aale
of such property, at such price, rental or amount, for caSh,
securi ties (in compliance wi th appropriate aecuritiea
regulationa), or other property and upon terms as the Managing
Partner deems to be in the beat interest of the ~artnership
provided he does not purchase or aell property to himself or
an entity of which he owns the majority interest;
(ii) Enter into a construction loan with a construction
lender; to borrow additional money; to obtain replacements of
any mortgage; and to prepay, in whole or in part, refinance,
increase, modify, consolidate or extend any mortgage, deed of
truet, or other security device, all of the fore9oing at such
ternls and in auch amounts aa the Managin9 Partner deems to be
in the heat interest of the Partnership;

(iii) Placa record title to or the right to use
Partnership assets in the name or names of a nominee or
nominees or trustee or trustees for any purpose convenient or
beneficial to the partnership;
(iv) Ratify and adopt, as acts of the partnerShip, the
acts of any Partner, nominee or designee made in the
furtherance of the interests of the Partnership;
(v) Enter into a oonstruction oontract for the
construction of improvements on the Property as the Manaqing
Partner, which in the exercise of his reasonable discretion,
deems appropriate I
(vi) Acquire and enter into any contract of insurance
which the Managing Partner deems necessary or appropriate for
the protection of the Partnership and for the conservation of
the Partnership aesets, or for any purpose convenient or
beneficial to the Partnership;
(vii) Employ persons in the operation and management
of the business of the Partnership, including, but not limited
to a property management agent, supervisory managing agents
and brokers, on such terms and for such compensation as the
Managing Partner sha~l determine; subject, however, to the
provision that any such agreements shall be terminated
immediately upon diSSOlution of the Partnership;
(viii) Open accounts and deposit and maintain funds
in the name of the Partnership in banks or savings and loan

associations; provided, however, that the Partnership funds
shall not be con~ingled with the funds of any other person;
(ix) Select its fiscal year;
(xl Determine the appropriate accounting method or
methods to be used by the Partnership in consultation with the
Partnership's accountants i
(xi) Amend this Agreement to reflect the addition or
substitution of Partners or the reduction of capital accounts
upon the return of capital to Partners;
(xii) Execute, acknowledge and deliver any and all
instruments, including notes, mortgages, construction loan
agreements or other documents containing a confession or
judgment clause, all to effectuate the foregoing, and to take
all such action in connection therewith as the Managing
Partner shall deem necessary and appropriate, including the
right and power to designate an authorized agent therefor; and
(xiii) To expend funds of the Partnership from
whatever source derived, including the construction loan, the
permanent mortgage loan, the sale of improvements in order to
effectuate any of the foregoing and any lawful activity of the
Partnership.
The Managing Partner shall be Thomas J. Flynn, and he may
be succeeded by such other Partner as shall achieve a vote of
fifty (SOt) percent of the Partnership interests.

(b) Each Partner may have other business interests and
may engage in any other business or trade, profession or employment
whatsoever, on his own account, or in partnership with or ae an
employee of or dS an officer, director or shareholder of any other
person, firm or corporation, and he shall not be required to devote
his entire time to the business of the partnership.
No Partner
shall be obligated to devote more time and attention to the conduct
of the business of the partnership than shall be required for the
supervision of the ownership, operation and management of the
Partnership.
11. Bapkin9' All funds of the PaX'tnership shall be deposited
in its name in such checking account or accounts as shall be
designated by the Partners . WithdrawalS therefrom may be made upon
check signed by ~homaa J.Flynn and Harry Williams, or, if they
shall otherwise agree, upon checks signed by either of them and/or
a thh'd person.
12. Books. The Partnership books shall be maintained at the
office of the PartnaX'ship, provided that each Partner or his duly
authorized attorneys or accountants shall at all times have access
thereto. The taxable year of the Part-nership shall be the calendar
year. The books shall be closed and balanced at the end of each
such calendar year. If requested by any Partner, an audit which
mayor may not be certified, as the Partners shall agree, shall be
made as of the end of each taxable year, and the expense of any
such audit shall be a partnership expense. If any Partner should

BO request in writing prior to the end of the taxable year, the
Partnership shall have, at itB expense, an audit performed for such
year.
13. Voluntary Termination. The partnership may be dissolved
at any time by agreement of the Partners, in which event the
Partners shall procead with reasonable promptness to sell any
perBonal or real property owned by the partnership and to liquidate
the business of the Partnership. Upon dissolution, the assets of
the Partnership buaioes" shall be used and distributed in the
following orderl (a) to payor provide for the payment of all
partnership liabilities and liquidating expenses and obligations
(including any loans made to the Partnership by any of the
Partners I (b) in proportion to their Partnership interests, to
discharge the balance of th~ income accounts of the other Partners;
(c) to balance the capital accounts of the Partners, in proportion
to their Partnership interests I (d) to discharge the balance of the
capital accounts of the Partners I and (e) any excess shall be
distributed prorate in accordance with the Partnership interest.
14. Withdrawal.
(a) After five (5) years from the execution of this
agreement any Partner shall have the right to withdraw from the
vartnerehip at the end of a calendar quarter by written notice of
intention to withdraw served upon the other Partners at the office
of the partnership at least one month before the end of the
calendar quarter. The withdrawal of a Partner shall have no effect

upon the continuation of the partnership business. The remaining
Partner, or, if more than one, Partners, (herein "Partners") shall,
at their option, have the right (1) to cause the Partnership to
purchase the interest of the withdrawing Partner; or (2) to
purchase themselves the withdrawing Partner's interest in the
Partnership; or (3) to terminate and liquidate the Partnership
business; or (4) to consent to a transfer of such partnership
interest to a third party. If the remaining Partners elect to have
the Partnership purchase or to purchase themselves the interest of
the withdrawing Partner, they shall serve notice in writin'll of suoh
election upon the withdrawing Partner at the office of the
partnership within two (2) weeks after receipt of his notice of
intention to withdraw. If the partnership determines not to
purchase the Partnership interest of the withdrawing Partner, any
one or group of remaining Partners may individually or
collectively, purchase said interest under the same rights and
conditions as if the remaining Partners, acting for the
Partnership, elected to 80 purchase.
(b) If either the partnership or one or more remaining
Partners elect to purchase the interest of the withdrawing Partner
or Partners in the partnership, the purchase price and method of
payment shall be the same as stated in paragraph 15 with reference
to the purchase of a decedent's interest in the partnership.
(c) If neither the Partnership nor one or more remaining
Partners elect to purchase the interest of the withdrawing Partner

in the partnership, the remaining Partners shall either consent to
a proposed sale of the withdrawing Partner's intereet, or all
Partners shall prooeed with reasonable promptness to sell and to
liquidate the business of the Partnership. The procedure as to
liquidation and distribution of the /26sets of the Partnership
buainess shall be the same as stated in paragraph 13.
(d) If the withdrawing Partner decides to sell and assign his
Partnership interest, and if the remaining Partners consent to such
transfer, the Partner or Partners acquiring said interest shall
succeed to this interest of the withdrawing Partner for all
purposes of this Agreement. The acquiring partner(s) shall stand
in the place of the withdrawing Partner, shall enjoy all rights and
bear all liabilities just as the wlthdrawing Partner would have so
done had he remained a Partner hereunder. Any acquiring Partner
shall execute a Joinder Agreement which shall be a counterpart of
this Agreement and any revisions or restatements hereof.
15. Death of Partner.
(a) Upon the death of any Partner (hereinafter
"decedent"), the estate of the decedent, and upon termination of
the estate, his beneficiaries shall have the right to continue in
the Partnership or to sell the decedent's Partnership interest to
the Partnership. If the decedent's interest in the partnership
passes to a trust upon termination of his estate, then the powers
herein granted to a beneficiary or beneficiaries shall be exercised
by the trustee or trustees acting in accordance with the instrument

of trust.
In the ev.ent of a Partner' 6 death, no beneficiary,
executor or trustee shall have any right to management or to
control or otherwise to vote in l'lny Partnership decision except. to
designate an MAl a~pratserl provided, however, that the remaining
Partner(s) shall continue to act for the best interests of the
partnership with due regard for their legal obligations to the
representative ( s) of the decedent, as a Partner, and shall not
amend the Partnership Agreement nor take any Partnership action
which would adversely and materially effect the decedent's
Partnership interest.
(b) If the estate of the decedent, or thereafter a
beneficiary thereof, determines to terminate the interest in the
Partnership, it or he shall first submit to the PartnerShip an
offer to sell the Partnership interest to the Partnership, or to
the remaining Partners (at the election of the remaining Partners)
upon such terms and conditions as are acceptable to the estate or
the beneficiaries. If the Partnership or the remaining Partners
do not elect to purchase the tendered Partnership interest upon the
terms and conditions submitted, or if negotiated terms and
conditions of sale are not agreed to within sixty (60) days from
the tender to the Partnership or the remaining Partners, then the
Partnership, by vote of all partnership interests (including those
of the decedent) in proportion to the ownership of those interests,
shall select an MAl appraiser and other qualified professional to
value all Partnership assets, including personal property ad

accounts receivable. If an MAl appraiser is not selected within
fifteen (15) days from the termination of the aforesaid 60-day
period, any Partner may, upon ten (10) days' written notice and
failure of the Partnership to cure, petition an appropriate court
to make such appointment (6) .
The expense of said appraisal (s)
shall be paid by tha Partnership, but any court expenses shall be
paid by the parties incurring the sa~me. Thereafter, the value of
all Partnership liabilities applicable to the Partnership assets
shall be deducted from the appraised value of the assets to reach
a "net value" for the entire Partnership, and the deceased
Partner's estate or trust shall be paid the value thereof
multiplied by the decedent's Partnership interest.
(c) The decision of the MAl appraiser or other qualified
professional as to the value of the assets of the Partnership shall
be binding upon all interested parties, unless an entity or person
possessing a Partnership interest files with the Partnership at the
principal office of the Partnership, within fifteen (15) days from
receipt of the final report of the MAl appraiser or other qualified
/
professional a notice in writing dissenting from said appraisal(s)
and containing the reasons therefor.
(d) Upon filing such dissent, the dissenting interest
shall llluubldil:lt",ly hirlil, at his or its own expense, another MAl
appraiser and qualified expert to value and appraise the assets of
the Partnership. If more than one party dissents, the dissenting

parties may agree on a second appraiser or may each employ an MAl
appraiser and/or other qualified professional.
(e) In the event of the employment by a dissenting pa'lOty
or parties of additional MAl appraisers or other qualified
professional (the costs of which shall be borne by the dissenting
party or parties), the appraised value of the assets for the
dissenting party or parties shall be determined by averaging all
appraisals for the dissenting party or parties. Thereafter, the
dissenting parties' mean value (their appraised value) shall be
averaged with the appraised value reached by the partnership's
appraiser(s), and the mean value thereof shall be binding upon all
parties.
(f) For purposes of determining the applicable
Partnership liabilities, the latest financial statement for the
Partnership, adjusted by transactions occurring from the date of
the financial s~atement as determined by the Partnership's
certified public accounting firm, shall be binding in all cases.
(g) If a Partnership interest is purchased pursuant to
the provisions of this Paragraph 1S, the Partnerehip or the
remaining Partners acquiring the Partnership interest shall, at the
election of the Partnership or of the remaining Partners, make
payment for the Partnership interest, either in cash within thirty
(30) days of a determination of the value of the Part.:nership
interest, or in five (5) annual installments, the first such
installment to be paid within thirty (30) days from a final

determination of the value of the Partne~ahip and the remaining
installments to be paid on the respective anniversary dates of
payment of the first installment. If the five (5) installment pay-
out method is elected the partnership shall pay quarterly interest
at a ~ate equal to one (1%) percent below the Prime Rate during the
applicable quarter, as determined on the first business day of such
oalendar quarter, for each quarter, said interest to commence with
payment of the first installment.
(h) If the surviving Partners do not elect to purchase
the Partnership interest of the decedent, or thereafter of a
beneficiary, they shall proceed with reasonable promptness to sell
the real and personal property owned by the Partnership and to
liquidate the business of the Partnership. The surviving Partners
and the 1e9a1 representative of the decedent, or thereafter a
beneficiary, shall share pro~ata in accordance with their
partnership interests, in the profits and losses of the Partnership
during the period ot liquidation. No compensation shall be paid
to the surviving Partners for services in liquidation.
(i) The Partners, for themselves, their heirs,
representatives and dssigns, hereby agree that the method of
valuing the Partnership assets herein provided shall be the
sole, exclusive and binding method upon all partiea and
Partnership interests and hereby waive the right to have such
asset valuation determined in a court or any other judioial
forum.

(j) If at any time du~in~ the valuation process, prior
to acceptance of the valuation, the representati ve (s) of the
decedent determine that the purchase price determined by
appraisal (S) is unsatisfactory, such representative (s) may
terminate the valuation and purchase procedure by withdrawing the
offer to sell. If the valuation process is terminated after
reoeipt of an initial appraisal or incurring expense thereof, then
the representative(s) having instituted such process shall not be
entitled to reinstitute the same for a period of one year from the
date such representative (s) shall have terminated it. Furthemore,
if such representative (s) do reinstitute the appraisal process
after one year, but within two years from having terminated the
same, the cost of making the initial appraisal (s) which would
otherwise be paid by the Partnership shall be paid by the
representative(a) reinstituttng the appraisal process.
16. Votinq. Except as otherwise provided herein, each
Partner shall be entitled to one vote in all matters requiring both
consent or other Partnership decision, provided that the death,
insolvency, bankruptcy or placing into receivership of any Partner
shall terminated his voting rights, managerial rights and any and
all other decision-making rights hereunder; in such event, the
remaining Partners shall have full power and authority to vote,
managE! and decide as to all Partnership matters.
17. Insurance. The PartnershiP aha1l procure adequat'
liability and fire insurance; the type, amount and company 0

companies must be determined by the unanimous agreement of the
Partners, notwithstanding any other provision hereof.
18. Assiqnroent. Except as provided herein, neither this
Agreement nor any interest of any of the parties herein (inoluding
any interest in monies belonging to or which JIIay accrue to the
Partnership as a result of lease rentals or sales of property) may
be assigned, pledged, transferred or hypothecated without the prior
written consent of the other partners. The right of any person,
firm or corporation claiming by, through or under any party hereto
(including, but not limiting the same to judgment or other
creditors, receivers, trustees, assignees, garnishees, executors,
adn\inistrators, etc.) to assert any claim against the right, title
or interest of any Partner shall be limited solely to the right to
claim or receive after the distribution of cash reoeipts to the
respective parties has been completed, and then, only subject to
the equities of the other parties as in this Agreement set fo~th.
19. Gender. When the context 60 require6, the ma6culine
gender may be substituted for the feminine, the feminine for the
masculine, and the neuter for either, and vice verell.. 'rhe singular
shall be substituted for the plural, and vice versa.
20. Interpretation. This Agreement ahall be interpreted in
accordance with the laws of the Commonwealth of pennsyl vll-nia.

Prior to the beginning of each calendar quarter in 2003, Lincoln Retirement
will declare a "new money" interest rate applicable to your contract. New
contributions to the fixed interest account received that quarter will be
credited this "new money" rate for the remainder of that quarter and the
following three quarters.
During the first quarter of 2003, the "portfolio" interest rate credited to
all fixed contributions under your contract for which the "new money"
interest rate has expired is 4.35 %. A new "portfolio" interest rale will
be declared quarterly.
Lincoln Retirement guarantees on a contract year basis to nedit interest
on fixed allocations at an effective annual rate nolless than the minimum
rates stated in your contrat.:t.
An effective way to help you save for retirement is to contribute the maximum
to your pre-lax retirement plan. In 2003, you can contribute up to $12,000
and if you are 50 or older, you can "supersize" your contributions by an

At your request, I have inspected and appraised the property located at 143 15th
Street, New Cumberland, Pennsylvania. The purpose of the appraisal is to estimate
the current market value of the property as described herein.
All pertinent market data has been investigated and analyzed. Subject to the limiting
conditions and assumptions included as part of my report, the market value as of
September 21, 1995 is estimated to be FIVE HUNDRED SIXTY THOUSAND
($560,000) DOLLARS.

one hundred twenty-five (125) feet, more or less, measured in an easterly direction from
the line of Lot No.4, Section "H", on the Plan of Hillside (said plan being recorded in
the Cumberland County Recorder's Office in Plan Book 1, Page 75); thence in a
northerly direction along the line running through the center line of the brick partition
wall of the double brick dwelling house, North forty degrees six minutes West (N 400 6'
W), a distance of 331.19 feet to a set iron at lands now or formerly of Foust, the line of
lot No.1 0, Section "H", on said Plan of lots; thence in an easterly direction North fifty.
four degrees twenty-nine minutes East (N 540 29' E), a distance of 75.80 feet, to a nail in
tree along a vacated alley; thence along same in a southerly direction, South forty
degrees zero minutes East (S 400 0' E), through a pipe, 325.13 feet to a pipe on the
northerly line of Fifteenth Street; thence in a westerly direction along the northerly line
of Fifteenth Street South forty-nine degrees fifty-four minutes West (5 490 54' W),
seventy-five (75) feet to an X cut, the point or place of BEGINNING.
BEING improved with the eastern half of a double brick dwelling house known as No.
143 Fifteenth Street, New Cumberland, Pennsylvania.
TOGETHER with all of the Grantors' right, title and interest in an unused, unopened and
now vacated alley sometimes known as Miller Avenue, being seven and sixteen
hundredths (7.16) feet in width, immediately adjacent to the eastern boundary line of the
aforesaid tract, all as shown on the Plan of Property for Wilbur N. Quigley as,prepared
by Michael C. D'Angelo, R.S., Dwg. No. 2-88, dated June 17, 1974. The said strip of
land is the result of the vacation of the said alley by the Borough of New Cumberland.
BEING THE SAME PREMISES which Walter W. Hammond, single man, by deed dated
April 6, 1992 and recorded April 10, 1992 in the Cumberland County Recorder of Deeds
Office in Deed Book P, Volume 35, Page 504, granted and conveyed unto Harry M.
Williams and M. Jean Williams, his wife, Grantors herein.
M. Jean Williams gives her power of attorney to her husband, Harry M. Williams,
pursuant to a Power-of-Attorney dated -1l"\1-u'~ /.;Z ,199 E' and intended to
be recorded herewith. .
THIS IS A CONVEYANCE FROM PARENTS TO PARENTS AND CHILDREN AND
DAUGHTER-IN-LAW AND IS THEREFORE EXEMPT FROM REALTY TRANSFER TAX.
Together with all and singular the hereditaments and appurtenances thereunto
belonging or in anywise appertaining and the reversions and remainders, rents, issues
and profits thereof and all the estate, right, title, interest, property, claim and demand
whatsoever or the Grantors, in law, equity or otherwise, of, in and to the same and every
part thereof.
To Have and to Hold the above-described premises with the appurtenances unto the
Grantees, Grantees' heirs and assigns, forever.
And the Grantors do hereby covenant and agree to and with the said Grantees, that
they, the Grantors, their executors and administrators, shall and will SPECIALLY
WARRANT AND FOREVER DEFEND the hereinabove described premises, with the
hereditaments and appurtenances, unto the Grantees, Grantees' heirs and assigns, against
the Grantors and against every other person lawfully claiming or who shall hereafter
claim the same or any part thereof, by, from or under him, her, them or any of them,
shall and will, subject as aforesaid, SPECIALLY WARRANT AND FOREVER DEFEND.
