LEBO, husband and wife Defendant/Owners COMPLAINT IN ENFORCEMENT OF MECHANICS' LIEN Excel Homes Group, LLC, by and through its undersigned counsel, files the following Complaint in Enforcement of Mechanics' Lien: 1. Plaintiff/Claimant is Excel Homes Group, LLC ("Excel"), which has a principal place of business at 4900 Ritter Road, Suite 130, Mechanicsburg, PA 17055. Excel is pursuing its mechanics' lien claim as a Subcontractor. 2. Defendants/Owners of the real estate against which the mechanics' lien is filed are C. Grant Lebo, III and April R. Lebo, husband and wife (the "Lebos"), who own the property at 690 Mt Rock Road, Carlisle, Penn Township, Cumberland County PA 17015. 3. Excel contracted with Brevity Custom Homes, LLC ("Brevity") to supply certain labor and materials in conjunction with a home Brevity was constructing for the Lebos. 4. Excel provided labor and materials to Brevity pursuant to a Final Invoice dated August 10, 2012, a copy of which is attached to its hereto as Exhibit 1. Brevity 1 accepted the Final Invoice by its words and deeds, and instructed Excel to proceed with the work as set forth on the Final Invoice. 5. Excel supplied eight (8) modular units and miscellaneous building components and materials that were assembled into a complete modular home at the Lebos' property. 6. The Final Invoice includes a $6,500 "Set Fee." However, the Final Invoice also indicates that it was to be a "Builder Set." This means that Brevity was responsible for the set, and that Excel would release $6,500 from the amount it received to go toward paying the company performing the set. Any amounts over $6,500 were the responsibility of Brevity. The Set Fee is included in the Final Invoice for tax and other business reasons, but does not create any contractual relationship between Excel and the company performing the set where the Final Invoice reflects that it is a Builder Set. Rather, the contractual relationship is between Brevity and the company performing the set. Excel included the $6,500 in its lien claim simply because this amount is reflected on the Final Invoice and Excel is the one that disburses this amount to the company performing the set. By filing its lien claim, Excel did not admit or acknowledge that it performed the set, nor that it was responsible for the set crew's acts or omissions. Rather, it is simply included the Set Fee as the disbursing agent. 7. The Final Invoice contains a detailed statement of the kind and character of the labor and materials furnished, and the prices charged for each, and the information contained on the Final Invoice is incorporated herein by reference. 8. The amount claimed to be due Excel is the full amount shown on the Final Invoice of$151,002.72, since Excel has yet to receive any portion of the payment for 2 J the amounts set forth on the Final Invoice and has completely performed all obligations required of it under the Final Invoice. 9. The last day Excel supplied labor and/or material was August 23, 2012. 10. The real property subject to the lien is 690 Mt Rock Road, Carlisle, Penn Township, Cumberland County PA 17015, Pennsylvania, Tax Parcel No. 31-09-0521-004. A copy of a Deed dated June 6, 2012 and recorded on June 13, 2012 from C. Grant Lebo III to C. Grant Lebo III and April R. Lebo, as husband and wife, is attached hereto as Exhibit 2. Copies of an aerial photograph of the real property as depicted on the Property Mapper software for Cumberland County is attached as Exhibit 3. 11. On December 11, 2012, Excel filed a Mechanic's Lien Claim against the Lebos, docketed as Excel Homes Group, LLC v. C. Grant Lebo and April R. Lebo, Court of Common Pleas of Cumberland County, No. 12-7446. A true and correct copy of Excel's Mechanic's Lien Claim is incorporated herein by reference and attached hereto as Exhibit 'W'. 12. Excel is entitled to a judgment against the Lebos' property in the amount of $151,002.72, and is entitled to recover such amount from the sale of the above described Property, subject only to senior claims to the above described Property. 3 a WHEREFORE, Plaintiff/Claimant Excel Homes Group, LLC demands judgment in its favor and against Defendants/Owners C. Brevity Custom Homes, LLC accepted the Final Invoice by its words and deeds, and instructed Claimant to proceed with the work as set forth on the Final Invoice. Claimant supplied eight(8) modular units and miscellaneous building components and materials that were assembled into a complete modular home at the Owners' property. The Final Invoice includes a $6,500 "Set Fee." However, the Final Invoice also indicates that it was to be a "Builder Set." This means that Brevity Custom Homes, LLC was responsible for the set, and that Excel would release $6,500 from the amount it received to go toward paying the company performing the set. Any amounts over $6,500 were the responsibility of Brevity Custom Homes, LLC. The Set Fee is included in the Final Invoice for tax and other business reasons, but does not create any contractual relationship between Excel and the company performing the set where the Final Invoice reflects that it is a Builder Set. Rather, the contractual relationship is between Brevity Custom Homes, LLC and the company performing the set. Excel is including the $6,500 in its lien claim simply because this amount is reflected on the Final Invoice and Excel is the one that disburses this amount to the company performing the set. By filing this lien claim, Excel is not admitting or acknowledging that it performed the set, nor that it is responsible for the set crew's acts or omissions. Rather, it is simply including the Set Fee as the disbursing agent. The Final Invoice contains a detailed statement of the kind and character of the labor and materials furnished, and the prices charged for each, and the information contained on the Final Invoice is incorporated herein by reference. 2 6. Grant Lebo, III and April R. Lebo (the "Lebos"), by and through their counsel, Salzmann Hughes, P.C., sets forth the following preliminary objection to Plaintiff s Complaint to Enforce Mechanics' Lien: 1. Plaintiff, Excel Homes Group, LLC, d/b/a Excel Homes ("Excel Homes") has filed its Complaint to Enforce Mechanics' Lien to enforce an alleged lien upon the residential real property of Defendants, the Lebos. 2. Excel Homes filed a Mechanics' Lien Claim on or about December 11, 2012, claiming that it is entitled to a lien as a subcontractor on the project to construct the Lebos' home. 3. On or about February 26, 2013, the Lebos filed First Amended Preliminary Objections to Excel Homes' Mechanics' Lien Claim pursuant to Pennsylvania's Mechanics' Lien Law, 49 P.S. §1505 (the "Mechanics' Lien Law Objections"). 4. By agreement between the parties, this Court's action upon the Mechanics' Lien Law Objections have been stayed pending settlement discussions between the parties and a third party. 5. The Mechanics' Lien Law Objections remain pending before this Court in Docket Number 2012-7446. 6. The Mechanics' Lien Law Objections are restated herein as set forth below. Preliminary Objection I Failure to Specify if Contract is Written or Oral and Failure Attach Written Contract as Required Pursuant to Pa.R.C.P. 1019 7. Excel Homes alleges that it contracted with Brevity Custom Homes, LLC, which contract is the basis for its claim. 8. Excel Homes fails to allege whether the agreement was written or oral as required pursuant to Pa.R.C.P. 1019(h). 9. To the extent that the agreement was written, Excel Homes fails to attach a copy of the written contract to its complaint as required pursuant to Pa.R.C.P. 1019(i). WHEREFORE, C. Grant Lebo and April Lebo object to Excel Custom Homes, LLC's Complaint to Enforce Mechanics' Lien and pray this Honorable Court to dismiss the same with prejudice. Preliminary Objections Pursuant to Mechanics' Lien Law 10. The following Preliminary Objections are filed under Pennsylvania's Mechanics' Lien Law, 49 P.S. §1505. 11. At all times, the party supplying modular home units to Brevity Custom Homes, LLC held itself out to be "Excel Homes" and not "Excel Homes Group, LLC." See Exhibit "B" to Excel Homes' Lien Claim attached hereto as Exhibit "A", Excel Homes contract with Hughes Contracting, dated June 7, 2012, attached hereto as Exhibit "B," Excel Homes' disclosure attached hereto as Exhibit "C," and Excel Homes' email to April Lebo dated August 11, 2011 attached hereto as Exhibit "D" and incorporated herein by this reference. 12. Records maintained by the Pennsylvania Department of State, Corporations Bureau show that as of the date of Excel Homes' Mechanics' Lien Claim, "Excel Homes" is a fictitious name registered in Pennsylvania to XL Acquisition Corp. A true and correct copy of the listing from the Pennsylvania Department of State is attached hereto as Exhibit "E" and incorporated herein by this reference. 13. Records maintained by the Pennsylvania Department of State, Corporations Bureau show that XL Acquisition Corp is a Virginia corporation currently operating under the name EHI Modular Company, Inc. A true and correct copy of the listing from the Pennsylvania Department of State is attached hereto as Exhibit "F" and incorporated herein by this reference. 14. Excel Homes Group, LLC is a Delaware limited liability company that is registered to do business in the Commonwealth of Pennsylvania under the name Excel Homes Group, LLC. 15. Excel Homes Group, LLC did not register to conduct business in Pennsylvania under the name "Excel Homes" until after the Lebos raised the issue in the Mechanics' Lien Law Objections. A true and correct copy of the listing of Excel Homes Group, LLC's registration of the fictitious name "Excel Homes" on September 12, 2013 is attached hereto as Exhibit "G." 16. Claimant was not properly registered itself to conduct business within the Commonwealth of Pennsylvania under the name Excel Homes at all times during the construction of the Lebo's residence and also at the time Excel• Homes filed its Mechanics' Lien Claim. 17. Excel Homes specifically and expressly represented to C. Grant Lebo and April Lebo (the "Lebos") that the Lebos were purchasing their modular home from Brevity Custom Homes, LLC and not from Excel Homes. See Excel Homes Disclosure, attached hereto as Exhibit "C." 18. Excel Homes specifically and expressly represented to the Lebos that Excel Homes is in the business of manufacturing and selling modular home units to independent builders for resale. See Excel Homes Disclosure, attached hereto as Exhibit "C." Preliminary Objection II Lack of Capacity 19. Paragraphs 1 through 18 are incorporated herein as if set forth in full. 20. Excel Hornes Group, LLC was not registered to do business in the Commonwealth of Pennsylvania under the name Excel Homes at the time it filed its Mechanics' Lien Claim. 21. Excel Homes Group, LLC did not have any right to avail itself upon the Court of the Commonwealth of Pennsylvania at the time that it filed its Mechanics' Lien Claim. 15 Pa.C.S.A. §8981, 15 Pa.C.S.A. §8587, 54 Pa.C.S.A. §331. 22. Excel Homes did not refile its Mechanics' Lien Claim after complying with the Fictitious Names Act. 23. Even if Excel Homes had refiled its Mechanics' Lien Claim upon complying with the Fictitious Names Act, such filing would not have been within the six (6) months following the completion of Excel Homes' work, as required pursuant to 49 P.S. § 1502. 24. Because Excel Homes lacked the capacity to sue, its Mechanics' Lien Claim is ineffective and Excel Homes' current Complaint to enforce that ineffective lien claim should be dismissed. WHEREFORE, C. Grant Lebo and April Lebo object to Excel Custom Homes, LLC's Compliant to Enforce Mechanics' Lien and pray this Honorable Court to dismiss the same with prejudice. Preliminary Objection III No Right to Lien 25. Paragraphs 1 through 24 are incorporated herein as if set forth in full. 26. Excel Homes clearly states in its Disclosure attached hereto as Exhibit "C," that Excel Homes is in the business or selling its products to independent contractors for resale to homeowners. Specifically, the Disclosure state: Excel Homes, ("Company") is delighted that your builder, Brevity Custom Homes, LLC., ("Builder") has decided to purchase your home from Excel. It is important that you understand that you are contracting for the purchase of your new home from your Builder. The Builder is not an agent, subsidiary or employee of the Company. Rather, the Builder is an independent business entity engaged in the home construction trade. The Company is in the business of manufacturing and selling modular housing components to independent builders. (Emphasis Added) 27. Excel Homes is a wholesaler, selling goods for resale by a third party and is not a contactor, subcontractor or materialman entitled to a mechanics' lien under the Mechanics' Lien Law of 1963, as amended. WHEREFORE, C. Grant Lebo and April Lebo object to Excel Custom Homes, LLC's Complaint to Enforce Mechanics' Lien and pray this Honorable Court to dismiss the same with prejudice. Preliminary Objection IV Waiver of Liens 28. Paragraphs 1 through 27 are incorporated herein as if set forth in full. 29. Excel Homes recommended that the Lebos use Hughes Contacting, Inc. of Carlisle, Pennsylvania as the general contractor. See Email to April Lebo attached as Exhibit "D." 30. Excel represented to the Lebos that Hughes Contracting, Inc. was the only authorized builder for Excel Homes in the area of the Lebos' property. 31. To the extent that Excel Homes can be considered a subcontractor (which is denied), they were engaged to the project prior to the Lebos' settling upon their construction loan on June 6, 2012. 32. At approximately the time of said settlement, the owner of Hughes Construction began doing business under the name Brevity Custom Homes, LLC. 33. Because Hughes Contracting, Inc. and later Brevity Custom Homes, LLC were both the sole available authorized builder for any Excel Homes home, Excel Homes, at all times had full and complete knowledge of exactly who they were dealing with. 34. Hughes Contracting, Inc. executed a Stipulation Against Liens for this project, which was filed with the Prothonotary in and for Cumberland County, Pennsylvania. A true and correct copy of said waiver is attached hereto as Exhibit "H" and incorporated herein by this reference. 35. Excel Homes' contract, which is the basis of its claim for a Mechanics' Lien, is with Hughes Construction, Inc. and not Brevity Custom Homes, LLC. See Exhibit "B," attached. 36. To the extent that Excel Homes can be considered a subcontractor (which is denied), their claim of lien is barred by the Stipulation Against Liens executed by Hughes Contracting, Inc. WHEREFORE, C. Grant Lebo and April Lebo object to Excel Custom Homes, LLC's Complaint to Enforce Mechanics' Lien and pray this Honorable Court to dismiss the same with prejudice. Preliminary Objection V Waiver of Liens — Equitable Estoppel 37. Paragraphs 1 through 36 are incorporated herein as if set forth in full. 38. Excel Homes recommended that the Lebos use Hughes Contacting, Inc. of Carlisle, Pennsylvania as the general contractor. See Email to April Lebo attached as Exhibit "D." 39. The Lebos justifiably relied upon Excel Homes' recommendation of a general contractor. 40. Because Excel Homes selected the general contractor, equity demands the Excel Homes bear the risk of non-payment by the general contractor where the general contractor has been paid by the home owner. 41. It would be inequitable to permit Excel Homes to benefit from their own poor judgment in selecting a general contractor by granting it a lien upon the Lebos' home. 42. To the extent that Excel Homes can be considered a subcontractor (which is denied), Excel Homes' actions equitably estop Excel Homes from asserting a Mechanics' Lien as provided under 49 P.S. §1401(a). The labor and material supplied by Claimant was pursuant to a Final Invoice dated August 10, 2012, a copy of which is attached hereto as Exhibit B. Brevity Custom Homes, LLC accepted the Final Invoice by its words and deeds, and instructed Claimant to proceed with the work as set forth on the Final Invoice. Claimant supplied eight (8) modular units and miscellaneous building components and materials that were assembled into a complete modular home at the Owners' property. The Final Invoice includes a $6,500 "Set Fee." However, the Final Invoice also indicates that it was to be a "Builder Set." This means that Brevity Custom Homes, LLC was responsible for the set, and that Excel would release $6,500 from the amount it received to go toward paying the company performing the set. Any amounts over $6,500 were the responsibility of Brevity Custom Homes, LLC. The Set Fee is included in the Final Invoice for tax and other business reasons, but does not create any contractual relationship between Excel and the company performing the set where the Final Invoice reflects that it is a Builder Set. Rather, the contractual relationship is between Brevity Custom Homes, LLC and the company performing the set. Excel is including the $6,500 in its lien claim simply because this amount is reflected on the Final Invoice and Excel is the one that disburses this amount to the company performing the set. By filing this lien claim, Excel is not admitting or acknowledging that it performed the set, nor that it is responsible for the set crew's acts or omissions. Rather, it is simply including the Set Fee as the disbursing agent. The Final Invoice contains a detailed statement of the kind and character of the labor and materials furnished, and the prices charged for each, and the information contained on the Final Invoice is incorporated herein by reference. 2 1 6. The amount claimed to be due Excel is the full amount shown on the Final Invoice of $151,002.72, since Excel has yet to receive any portion of the payment for the amounts set forth on the Final Invoice.
