ARTICLE THREE UPt�N THE SETf'L.OR'S DEATH § 3.9 Upan the death of the Settlor, the Trustee shall divide and distribute the Trust Assets as follows: § 3.1.1 If the Settlor's Husband survives the Settlor, the Trustee shatl retain i� trust a pecuniary sum equal to the amount, if any, that when added to any p�operty passing other than under this Trust which is included in the Seftlor's gross estate for federa! estate tax purposes but does not qualify for the marital or charitable deduction, will produce a federal estate tax in the Settlor's estate prior to the use of the credits hereinafter described equai#o the total of the Settlar's unified credit (the applicable credit amount) and the state death tax credit {if then in effect and to the extent that the use of said credit does not result in an increase in the state death taxes otherwise payable) available against such tax. Said amount shal! be computed prior to the payment of death taxes and it shall be assumed that an electian was made to qualify all qualified terminable interest property for the federal estate tax marital deduction except with respect to the assets aAocated to the trust created under this §3.1.1, whether ar not such electian is actuaify made. The Executor�f the Settlor's estate shall have the right to elect on the federal estate tax return prepared on behalf of the Settlor"s estate to have a portion or all of the property distributed pursuant to this §3.1.3 treated as qualified terminabie interest property in order ta qualify such portion o�all of the property for the marita! deductian for federal estate tax purposes, which election shall be binding and conciusive upon the Trustee. If the Settlor's Executor elects to have a ' portion or all of such assets sa qualify, such elected assets may, at the discretion of the Trustee and so lang as the election to qualify such assets for the federal estate tax marital deducfion is not jeopardized, be held and administered by the Trustee as a separate trust estate with the balance, if any, of the assets which are gaverned by this §3.1.3 also held and administered as a separate trust estate or may be held and maintained by#he Trustee with the non-elected assets as one trust estate. in eifher case, any such trust or trusts shall be held, administered and disposed of in accordance with the pravisions of Articie Five hereof. ARTIGLE FQUR UNIFIED GREDtT TRUST § 4.1 The Trustee shall have, hold, manage, invest and reinvest the assets of the Unified Credit Trust, callect the income and §4.1.1 During the life of the Settlor's Husband, if the Settlor's Husband shall survive the Settlor, the Trustee sha11 distribute the net income in quarter-annual installments, ar more frequently if the Trustee deems it advisable, to or for the benefit of the Settlor's Husband. §4,1.2 During any calendar year, the Trustee shall distribute to the Settlor's Husband such amounts from the principal of the#rust property as the Settlor's Husband from time to time shall request, but not in excess of the greater af Five Thousand Dollars ($5,000.00} ar five percent {5%} of the aggregate value of the trust property as determined on the date of the�rst request in each calendar year for such distribution, which right of withdrawal shaN not be cumulative from year to year. Said right of withdrawal shall be exercisabfe only by a wri#ten instrument executed by the Settlor's Husband and delivered to the Trustee. §4.1.3 The Trustee may also distribute ta or for the benefit af the Settlor's Husband so much of the principa! af the trust property as the Trustee shall from time to time deem necessary or proper for the health, maintenance and support of the Settfor's Husband, taking into account other available funds, including the individual assets af the Settlor's Husband; pravided, however, that no such distribution shalf be made until all assets held in trust under Artieie Five of this Trust are first expended ar exhausted. §4.1.4 Upon the death of the Settlor's Husband, the Trustee shall distribute the balance of the trust prape�ty equally between Carolyn, Lee, Dick and Ann to be held in confinued trust for the benefit af such beneficiary in accardance with the provisions of -4- Article Six hereaf. Said right of withdrawal shall be exercisable anly by a written instrument executed by the Settlor's Husband and delivered to the Trustee. § 5.1.3 The Trustee may also distribute to or for tne benefit of the Settlor's Husband so much of the principal of the trust property as the Trustee shall from time to time deem necessary or proper for the health, maintenance and suppart of the Settlor's Husband, taking into accaunt other available funds, inciuding her individual assets. § 5.1.4 Upon the death of the Settlor's Husband, § 5.1.4.1 If the Settlar's Husband survives the Settlar, the Trustee shall pay any accrued or undistributed net income to the personal representative of the Settlor's Husband. In addition, the Trustee shall also pay to the Settlor's Husband's personal representative or directly to the taxing authority, such amaunt, if any, from the principal af the trus# praperty, as the Settlor's Husband's personal representative certifies as being the additional amount of estate taxes, inheritance taxes, fransfer taxes and other taxes of a similar nature, and all interest and penalties with respect to any such taxes, attributable ta the inclusion of the value of this trust in the Settlo�'s Husband's estate for such tax purposes. § 5.1.4.2 Upon the death of the Settlor's Husband, the Trustee shall distribute the balance of the trust property equaify between Carofyn, Lee, Dick and Ann to be held in continued trust far the benefit of such beneficiary in - 5 - accordance with the provisions of A�ticle Six hereof. ARTICLE SIX ISSUE'S TRUST § 6,1 The Trustee shall have, hold, manage, invest and reinvest the assets of the Issue's Trust, collect the incame and: § 6.1.1 While the beneficiary of the lssue's Trust (the "Beneficiary") is then living, the Trustee shall distribute ta or for the benefit of the Seneficiary the net income of the Issue's Trust in quarter-annual installments, or more frequently if the Trustee deems it advisable, and so much of the principa) as the Trustee shall from time to time deem is in the besf interest of the Beneficiary taking into account other availabie funds, including the Beneficiary's assets. § 6.1.2 If the Beneficiary dies befare complete termination of the )ssue's Trust, the Trustee shall distribute the property then held in trust as follows: § 6.1.2.1 If the Issue's T�ust is a Non-GST Exempt Tn.�st as defined in § 8.2.15 herein, the Trustee shall distribute the praperty then held in such trust to such person or persons in such proportions and under such terms, trusts and conditions as the Beneficiary shall appoint by specific reference to this general pawer of appointment in the Beneficiary's last Will. Any assets not so appointed shall be distributed to the Beneficiary's issue then living, per stirpes, or if none, to fhe issue then living of the parent of the Beneficiary who was a descendant of the Settlor, per stirpes, or if none, to the Settlo�'s issue then fiving, per stirpes, provided, hawever, that if any such issue entitled ta a distribution shail not then have attained the age of twenty-five (25) years, such issue's share shali be paid to the person who has custody of such beneficiary, whether then serving or selected and appointed by the Trustee (including the Trustee), under any applicabMe Uniform Transters to Minors Act or Uniform Gifts ta Minors Act to be held for such beneficiary until such beneficiary reaches age twenty-five (25). § 6.1.2.2 If the Issue's Trust is a GST Exempt Trust as defined in § 8.2.15 herein, the Trustee shall distribute the property then held in such trust to such af the Settlor's issus ather than the Beneficiary in such amounts and upon such trusts, terms and conditions as the Beneficiary by his or her last Will may appaint by specific reference to this special power of appointment. Before exercising such special power of appointment, The Settlor requests that the - 6- Beneficiary seek counsel regarding the generatian-skipping transfer tax effects af such exercise. Any property not so appointed shail be distributed to the Beneficiary's then (iving issue, per stirpes, or if nane, to the issue then living af the parent of the Beneficiary who was a descendant of the Settlor, per stirpes, or if none, to the Settlor's then living issue, per stirpes, provided, however, that if any such issue entitled to a distribution sha11 not then have attained the age of twenty-five (25) years, such issue's share shall be distributed to a custodian for such beneficiary, whether then serving or selected and appainted by the Trustee (including the Trustee), under any applicable Uniform Transfers to Minors Act or Uniform Gifts to Minars Act to be held far such beneficiary until such beneficiary reaches age twenty-five (25). ARTICLE SEVEN APpOINTMENT OF FIDUCIARlES § 7.1 Upon the death, resignation or incapacity of the Set#lor to act as Trustee hereunder as certified in writing by the Settlor's then personal attending physician ar as adjudicated by a court af competent jurisdictian, the Settlor's Nusband and Hershey Trust Company shall continue to act as Trustee. § 7.2 Upon the death, resignation or incapacity af the Settlar's Husband, the child of #he Settiar then living, willing and abie to act as c�-Trustee from time to time may act concurrently with the Trustee with respect to any trust created hereunder of which said child is the primary beneficiary. § 7.3 Any corporate Trustee shai{ be a banking corporation with fiduciary powers, Except with respect to the corparate Trustee of the Unified Credit Trust, the individual Trustee serving from time to time shall have the power to remove the then carpora#e Trustee for any reason; however, such power shalf only exist in the event that a successor corporate or individual Trustee is immediately appointed by the then ind�vidual Trustee(s) and qualified to serve. § 7.4 The Trusfees sha(I act by majority vote. Except for specific reference herein to the "individua(" or"corporate" Trustee, all references herein to the "Trustee" shall mean the originafly appointed Trusfee, the successor individual Trustee or the individua! and corparate Trustees, as the case may be. ARTICLE EIGHT POWERS OF FIDUCIARIES § 8.1 No fiduciary under this Agreement shall be required to give bond or other security far#ha faithful performance of the fiduciary's duties. - 7 - § 8.2 Any such fiduciary shall have all powers given by law, including without limitation those undar the Pennsylvania Probate, Estates and Fiduciaries Code, and in addition the following powers: § 8.2.1 To invest in, accept and retarn any reai or personal property, including stock of a corporate fiduciary or its holding company, without restriction ta legal investments; p�ovided, hawever, if any property that forms a part of the principal af the trust{s) es#ablished by Article Five of this Agreement is unproductive, the Settlor's Husband may at any tirne and from time to tirne by a written notice require the Trustee of said trust(s) holding such unproductive prope�ty either to make any or ali �f such property productive o�ta convert such property within a reasanable time after the Trustee receives such notice; § 8.2.2 To seli, exchange, partition or lease for any periad of time any real or personal property and to give aptions therefa�e for cash or credit, with or without security; § 8.2.3 7o borraw money from any person inc(uding any fiduciary acting hereunder, and to mortgage ar pledge any real or personal praperty; § 8.2.4 To hold shares of stock or other securities in nominee registration form, including that of a cEearing corporation or depository, or in book entry form or unregistered or in such other form as will pass by delivery; § 8.2.5 To make distributians in cash, �r in kind at current values, or partly in each, allocating specific assets to particular distributees oln a non-pro rata basis, and for such purposes ta make reasonable deferminations of current values; § 8.2.6 Ta terminate, following the death of the Settlar's Husband any trusf created herein, the principal af which is or becomes toQ small in the Trustee's discretion to make the establishment or continuance of the trust advisable, and to make immediate distribu#ion of the then remaining trust property fo the beneficiary then entitled to the income of the trust property or, if there is more than one beneficiary, to the bet�eficiaries then enti#led ta the income of the trust property, in praportion to their respective interests thereEn or, if such interests are not defned, in equal shares to such beneficiaries. The receipts and releases of the distributees will terminate absalutely the right of all persons who might otherwise have a future interest in the trust, whether vested or contingent, without notice to them and without the necessity of filing an account in any court; § 8.2.7 If the Settlor's Executor daes not make an eiection pursuant to lnternat Revenue Code Section 2056(b}(7}(B}(v)with respect to a!I oi`the assets held in trust under Article Five hereof, the trust estate thereunder may be divided into separate frusts pursuant fo the terms of the electian and such division shall be based upon the fair market value of the assets comprising the trust at the time af the division; § 8.2.8 To allocate between the trusts established by Articles Four and Five af this Agreement any property that is nat includible in the Settlor's estate for administration purposes, but which is paid directly to the Trustee and is not otherwise designated for a specific trust, in such shares as the Trustee deems appropriate; - 8 - provided, however, any partion of such property that does not form a part af the Settlar's gross estate far federal estate tax purposes shall be allocated to the trust estabiished by Articfe Four af this Agreement and shall not be used for the payrnent of death taxes, debts ar administration expenses; § 8.2.9 To execute any agreement relating to the disposition ar redemption of any business interest that may be a part of the trust estate, whether the same involves a proprietary interest, a partnership interest or stack in a ciosely heid corporation; § 8.2.10 To operate or arrange for the operation af any business interest held hereunder, and to join or become a party to, or to oppose, any reo�ganization, readjustment, foreclosure, merger, voting trust, dissolution, consolidation or exchange relating to any such business interest; § 8.2.11 To engage in litigation and compromise, arbitrate or abandan claims; §8.2.12 Ta determine the apportionment of receipts and expenses, inciuding extraordinary cash dividends, stock dividends, capital-gain dividends af regulated investment companies and proceeds and expenses of the sale of unproductive real estate, between income and principal, such apportionment to be rnade so as to balance fairiy the interests of any incame beneficiary and the remaindermen; § 8.2.13 To make elections, decisions, concessions and settiements in connection with all inc�me, estate, inheritance, gift or other tax returns and the payment of such taxes, without obligation to adjust the distributive share of income or principal of any person thereby affected; § 8.2.14 To merge, after the death af the Settlar, any trust created hereunder with any other trust or trusts created by the Settlor ar the Set#lar's Husband, under wii{ or deed, i#the terms of any such trust are then substantially similar and are held for the primary benefit of the same persnns, and if such merger shall not cause any adverse estate, income ar generatian skipping transfer tax consequences; and § 8.2.15 The Settlor's Executor is authorized to alMocate any af the Settlo�'s exemption from federal generation skipping transfer tax under §2631 of the Internal Revenue Code (the "Settlor's GST Exemption") ta any property as to which the Settlor is the deemed transferor under§2652{a) of the Internal Revenue Cade, regardless of whether or not the praperty with respect to which an election or allocation is made is park of the Settlar's prabate estate. Similariy, the Settlor's Husband's Executor may ailocate a portion o�all of the Settlor's Husband's Exemption (the "Settlor's Husband's GST Exemptian") frorn generation skipping transfer tax to praperty he{d hereunder of which the Settlor's Husband is deemed transferor. Any such election or allocation shall be binding upon the Trustee and any beneficiary of any trust created hereunder. 'The Trustee is directed to divide any trust created he�eunder into two or more separate trusts if necessary ta segregate the portion ar portions of the trust or trusts created hereunder over which the Sett{or's GST Exemption or the Settlor's Husband's GST Exemption has been alfocated {the "GST Exempt Trusts"} from the partian or portions of the trust or trusts created hereunder over which neither the Settfor's GST Exemption nor the Settlor's Husband's GST Exemption has been allacated (the "Non-GST Exempt Trusts"); pravided, however, that such separated trusts shall be held, admi�istered and - 9 - disposed of in accordance with the terms hereunder as identica! trusts in all other respects, except as pravided in §fi.1.6 hereof. §8.2.16 To make any election availabfe under the tax 1aws, including the power to make an electian to qualify any trust created hereunder as a Qualified Subchapter S Trust ("QSST"} or an Electing Smali Business Trust ("ESBT"). § 8.2.17 With respect to any trust hereunder that hoids shares of stock in any S carporatian, as defined by § 1361 of the Intemal Revenue Code ("S Carporation stock"), to segregate such S Corporation stock from the ather assets af any such S Corporation trust, to hofd such stock in a separate trust under simNar terms and conditions, and to take such actions and make such elections as may be reasanable necessary to qualify any such separate trust as a permitted S Corporatian shareholder under§ 1361(c}(2) of the interna! Revenue Cade. ARTIGLE NINE BUSINESS iNTERESTS § 9.1 In the event any business interest should be a Trust Asset, whether the same involves a praprietary interest, a pa�tnership interest, a membership interest in a limited iiabifity campany or stack in a clasely-held corporation, eithsr wholly owned, controlled by the Trustee or awned in substantia! part by the Trustee, the Trustee is authorized, subject to the terms of any agreement which the Settior or the Trustee may have made far the sale of such interest, to con#inue said business unti! such time as the Trustee shall deem it advisable to sell, liquidate or distribute the same in kind. With respect to any sale or exchange af the stock of any such business interest and in the absence of any such agreement entered into by the Settlor or the Trustee, the Trustee is directed to consider and determine the appropriateness of a safe or redemption of such stock in accordance with Section 303 of the internal Revenue Code to the business entity and a possible deferral of federal estate tax payments under Section 6166 of the Internal Revenue Code. It is the Settlor's desire that, to the extent possible, any such business interest be continued or disposed of only in an orderly manner so as ta maximize the proceeds of any disposition. If an e{ection uncfer the foregoing provisions will effect such desire, the Trustee is encouraged to pursue such election if it deems such electiQn also to be in the best interests of the trust{s) created hereunder and the beneficiaries thereof. The Trustee shafl have all rights and pflwers in connection with such business as an awner fhereof, including specificafly the power at any time and frorn time to time to operate ar to join in ttte operation of the same as a going concern, fo form or to reform a gsneral or limited partnership or limited liability company, ta incorporate ar to reincorparate and to liquidate or to seIl the same or any - 1Q - part thereof as the Trustee deems advisable for the best interests of the trust(s) created hereunder and the beneficiaries thereof withaut the necessity of any order of cou�t and without any liability for loss resulting from the aperation of said business, except when such loss is the result of gross negiigence or freud an the part of the Trustee. ARTICLE TEN PROVISION FOR TAXES, DEBTS AND EXPENSES § 10.1 All estate taxes, inheritance taxes, transfer taxes and other taxes of a simi(ar nature payabfe by reason of the Settiar's death to any government or subdivision thereof upon or with respect to any property subject to any such tax {solely far ths purposes of this Artic{e Ten, "Death Taxes"}, and any penalties thereon, shall be paid by the Trustee as follows: (a} if the Settlor's Husband survives the Settlor, al! such Death Taxes and penalties shall be paid out of the principai of the property, if any, disclaimed by the Settlor's Husband and, if none or to the extent such disciaimed praperty is insufficient, from the principal of that portion of the trust property disposed of by § 3.1.1 hereof; and (b} if the Settlor's Husband does not survive the Settlor, a11 such Death Taxes and penalties shall be paid fram the principal of that po�tion of the trust property disposed of by § 3.1.3 hereof. All interest with respect to any such Death Taxes and penafties shall be paid aut of the income or principa! or partly out af the income and partly out of fhe principal of such portion hereof, in the absolute discretion of the Trustee, The Trustee shalE not make apportionmen# among or seek reirnbursement from the beneficiaries, recipients or owners of such property for any such Death Taxes, penalties or interest. Notwithstanding any provision of this Article Ten to the con#rary, the Trustee shall nat pay any such Death Taxes, penalties or interest attributable to any property included in the Sett4or's taxable es#ate solely because of a power of appointment thereover that the Settlar possess but has not exercised or any qualified terminable interest property. § 10.2 The Trustee may pay any of tt�e Settlor's legally enforceable debts, any expenses �f the Settlor's last illness, funeral, burial and administrative expenses of the Settlor's estate or any portion thereof, in the Trustee's sole discretion, without reimbursement, out of the principal of that portion of Trust Assets disposed af by of Article Five hereof. - 11 - ARTICLE ELEVEN REVOCABILITY § 11.1 The Settior may, by instrument in writing defivered to the Trustee, modify, alter or revoke this instrument in whole or in part; provided, however, that the duties, powers, compensetion and liability of the Trustee shall not be changed without the written consent of the Trustee. ARTICLE TWELVE MtSGELLANEDUS PROV3SIONS § 12.1 As used in this Agreement, the term "Intemal Revenue Code" shall mean the Internal Revenue Code of 1986, as amended from time to time, or the canesponding provision of subsequent law. § 12.2 If the Settlor's Husband and the Settlor die under such circumstances that it is impossible to determine which survived, it shall be conclusively presumed and this Agreement shall be construed as if the Settlor's Husband had survived the Settlor. § 12.3 Whenever a discretionary distribution of net income or principal is permitfed pursuant to any trust created hereunder, if such distributian may be made in whale or in part to a person who is then a Trustee of such trust, such person may not participate in any way in the decision whether to make such distribution. Na T�ustee wha is under a legal obiigation ta support a beneficiary of a trust created he�eunder shall participate in the exercise of any discretion granted to the Trustee of that trust to distribute net income ar principal in discharge af that {egal obligation. Furthermore, no Trustee sha21 enter into any reciprocal arrangement with any other trustee far the purpase of indirectly exercising a power prohibited hereunder. § 12.4 Whenever the Trustee is directed to distribute property to or far the benefit of any beneficiary who is under (a) twenty-five {25) years of age, or (b} a legal disabifi#y or otherwise suffers from an illness or mental ar physical disability that wauld rnake distribution directly to such benefrciary inappropriate (as determined in the Trustee's sole discretion exercised in good faith), the Trustee may distribute such property to the person who has custody of such beneficiary, may apply such property for the benefit af such beneficiary, may distribute such praperty to a custodian for such beneficiary, whether then serving or selected and appointed by the Trustee {including the Trustee), under any applicable Unifarm Transfers to Minors Act or Uniform Gifts to Minors Act to be held for such beneficiary until such beneficiary reaches age twenty-five (25}, may distribute such property directly to such - 12 - beneficiary's estate, or may distribute such property directfy to such beneficiary (except if any of the conditions hereinbefore described in (b) apply), without liability on the part of the Trustee to see to the application af such property. This provision shall not in any way operate to suspend such beneficiary's absolute awnership of such property or to prevent the absoiute vesting thereof in such beneficiary. § 12.5 Except as atherwise mey be provided in this Agreement, during the cantinuance of any af the trusfs created hereunder and thereafter until the property is distributed to and received by any beneficiary hereunder, the principal sums thus heid in trust for any beneficiary, respectively, and the income thereof shall not be subject to or (iable for any contracts, debts, engagements, Eiabifities or torts of such beneficiary now or hereafter mede, contracted, incurred or cammitted, but shall be abs�lutely free from the same, and such beneficiary shal( have no power to sell, assign or encumber all o�any part of the principal sums or such beneficiary's interest therein, respectively, ar the income thereof, or to anticipate the income. § 12.6 An individual fiduciary shall receive compensation in accordance wifh the !aw af Pennsylvania in effect at the time of payme�t, unless the fiduciary waives compensation. A corporate fiduciary sha11 be compensated by agreement with the individual fiduciary, or, in the absence of such agreement, in accordance with its fee schedule as in effect at the time of payment. The Settlor authorizes a corporate fiduciary to charge additional fees far services it provides to a trust hereunder that are nof comprised within its duties as fiduciary, for example, a fee charged by a mutual fund it administers in which a trust hereunder invests, or a fee for providing an appraisal, or a fee for providing carporate finance or investment banking services. The Settlor also recognizes that a corporate fiduciary may charge separately for some services comprised within its duties as such fiduciary, for example a separate fee for investing cash balances or preparing tax returns. Such separate charges shall not be treated as improper or excessive merely because they are added on to a basic fee in calculating total compensation for service as fiduciary. § 12.7 Notwithstanding any other provision af this Agreemen#, but only to the e�ttent that any trust hereunder is subject to the Rule Against Perpetuities under applicable law, upon the expiration of twenty-one (21} years after the death of the last survivor af the Settlor's Husband and issue living at the Settlor's deatn, the trusts c�eated hereunder shall forthwith terminate and the trust property shall be distributed to the beneficiary then entitled to the - 13 - incame of the trust property or, if there is more than ane beneficiary, to the beneficiaries then entitled to the income of the trust property in proportion to their respective interests therein or, if such interests are not defined, in equal shares tv such beneficiaries. § 12.8 This instrumen# and any trust created hereunder shall be govemed by the laws of Pennsylvania and shail have its situs in Dauphin County, Pennsylvania. The Market Data ar Sates Comparisan Appraach to value compares recent sales of similar assets to the subject asset being appraised. Adjustments may be made to the comparable sale for such items as condition, ags, provenance. obsolescence and time of sale ta arrive at an indication of the most probabEe selling price of the asset. The Market Data Approach is based on the premise that#he asset is easily substituted in the market place far a similar asset of similar quality and price.
