RAMP (hereinafter called "Settlor") and NANCY M. RAMP and ROBERT H. RAMP (hereinafter called "Trustee") WITNESSETH WHEREAS Settlor intends to establish and systematically fund a revocable inter vivos trust, and WHEREAS Trustee is willing to receive, administer, and distribute trust property in accordance with the terms, conditions, and provisions hereinafter set forth, NOW, THEREFORE, in consideration of the foregoing, and the premises contained herein, the parties agree as follows: Article One ORIGINAL TRUST ESTATE Simultaneously with the execution of this agreement, Settlor has delivered to Trustee the property described in Schedule A attached hereto, the receipt of which is acknowledged. These assets, together with any additional assets, are hereinafter referred to as the "trust estate". Trustee agrees to hold and administer all assets in accordance with the terms and conditions of this trust agreement. Settlor will also deliver to Trustee certain annuities, life insurance policy or policies, retirement or profit-sharing plans, which will be described in Schedule B. Each such annuity, policy, or plan will designate the trust as the primary or contingent beneficiary. The trust estate shall consist of the aforesaid, or the proceeds of the aforesaid, and any other property of any kind and character which may hereafter be added to the trust. Subject to acceptance by Trustee, Settlor or any other person from time to time may add cash, securities, insurance policies, or other assets to the trust estate by deed, gift, will, or trust. The additional assets will be held, invested, administered, and distributed according to the terms of this agreement, except to the extent expressly provided to the contrary in the instrument of transfer. Article Two BENEFICIARY-DESIGNATED PROCEEDS With regard to annuities, life insurance, and other beneficiary-designated policies or plans, it is the intention of the Settlor to pay any and all premiums, assessments, or other charges necessary to keep each policy or plan included in the trust in force. Settlor, however, shall be under no duty in this respect and shall incur no liability to the beneficiaries of the trust or to any other person if such policies lapse for nonpayment of premiums, assessments, or otherwise become uncollectible. Trustee may, in its discretion, pay premiums, assessments, or current Nancy M. Ramp Trust Page 2 charges on any or all insurance policy or policies in order to prevent lapse or conversion. Article Three RIGHTS RESERVED BY SETTLOR 1 1. Alteration, Revocation, or Amendment Settlor reserves the right to alter, amend, or revoke this agreement, at any time and from time to time, without the consent of Trustee or any person, by giving written notice to Trustee to that effect. These reserved rights include the right to change the identity or number of the trustees. Notwithstanding the above, the duties, responsibilities, and rate of compensation of any corporate Trustee may not be modified without its written consent. 2. Power Over Trust Assets. Except as otherwise provided below, Settlor also reserves the right to require changes in investments and to withdraw any or all assets of the trust estate. The Settlor reserves the power and right during life to collect any rent, interest, or other income which may accrue from the trust fund and to accumulate such income as a trust asset, or to receive such income individually and not in any fiduciary capacity. The Settlor reserves the power and right during life to mortgage or pledge all or any part of the trust fund as collateral for any loan. 3. Insurance and Annuity Policies The Settlor retains, during life, all rights, options, and privileges reserved to or conferred upon the owner by the terms of Nancy M. Ramp Trust Page 3 any insurance or annuity policy or plan, including, without limitation, the right to borrow upon and pledge such policies, to change the beneficiaries thereof, to convert such policies into other forms of insurance or annuities, to effect tax-free exchanges into other policies, to collect the cash value thereof, to permit or direct the same to lapse, and to receive dividends and other lifetime payments or benefits of any kind payable by the terms thereof. The Settlor may exercise the foregoing rights without the consent of the Trustee or any beneficiary hereunder. 4. Suspension of Settlor's Rights. If, at any time during the continuance of this trust, Settlor is suffering from any mental or physical incapacity that would affect judgment concerning the assets of the trust estate, such incapacity to be determined in the manner provided elsewhere in this document, the personal powers of alteration, amendment, revocation, and right to withdraw income or other assets will be suspended during that incompetency. If, at any time, a Co-Trustee, backup Trustee, or successor Trustee has a reasonable basis to believe that Settlor is suffering from any mental or physical incapacity or incompetency that would affect judgment concerning the assets of the trust estate, Settlor shall be given written notice to that effect, and Settlor's right to amend or revoke this trust or to demand payments from the trust estate will be suspended until the issue of Settlor's competence is determined in the manner provided elsewhere in this document. Such determination shall be made as quickly as possible. If Settlor's powers of amendment, revocation, and withdrawal are suspended Nancy M. Ramp Trust Page 4 as provided above, Settlor's duties and powers as Trustee,if any, will also be suspended until those powers are restored. 5. Personal Nature of Reserved Rights. No person (including a guardian or conservator of Settlor) other than Settlor personally may exercise any of the rights reserved to Settlor by the provisions of this article, except as otherwise indicated in this agreement. Article Four ADMINISTRATION DURING SETTLOR'S LIFETIME All property transferred to Trustee as provided above, will be held, in trust, for the purposes and upon the conditions specified below. During Settlor's lifetime, Trustee shall hold, manage, invest, and reinvest all assets of the trust estate (except insurance policies, which are to be governed as provided in Article Two above) and shall collect and receive the interest, income, and profits therefrom, upon the following terms and for the following purposes: 1. Payment to Settlor. Trustee shall pay any of the net income from the trust estate to Settlor, or to other persons designated by Settlor, that Settlor may from time to time request. In addition, Trustee shall pay to Settlor any part or all of the principal of the trust estate that Settlor requests in a writing delivered to Trustee, even to the point of completely exhausting the same. 2. Settlor Incapacity or Incompetency. If Settlor becomes incapacitated or incompetent at any time so that his personal powers of amendment, revocation, and withdrawal are suspended under the conditions set forth above, until rehabilitation and for as long as that incapacity or incompetency continues, Trustee Nancy M. Ramp Trust Page 5 shall pay to or apply for the benefit of Settlor any sums from the income or principal of the trust estate that Trustee, in its discretion, deems appropriate for his care, support, and maintenance and for any other purposes that Trustee considers necessary to provide for and to manage the everyday needs and requirements of Settlor, taking into consideration the standard of living to which he is accustomed at that time. These payments may include direct payments to any landlord, hotelkeeper or hospital; for services rendered in connection with any medical, nursing, dental care, skilled, proprietary, or home care; for services rendered in furnishing food, board, clothing, transportation, legal or accounting services, or any other required services, provided that Trustee receives proper substantiation by those performing the services; and for the preparation of returns and payment of any and all taxes which Settlor may be obligated to pay under any applicable state or federal laws. Payment or use of any portion of the income or principal of the trust estate for any of the purposes expressed above is not to be questioned by any person or court. 3. Accumulation. Any unexpended net income is to be incorporated into the principal of this trust, to be held, administered, and distributed according to all of its terms, conditions, and limitations. Article Five ADMINISTRATION AFTER SETTLOR'S DEATH 1. Real Estate. Upon the death of Settlor, if Settlor's spouse has survived Settlor, and as to any real estate to which the trust holds title, including the family Nancy M. Ramp Trust Page 6 residence, Trustee may, in its discretion, convey the trust's right, title, and interest in said property, as a Tenant in Common, to "Trustee of the Robert H. Ramp Trust', if said trust is the other Tenant In Common, so that the surviving spouse's trust acquires a fee interest in said property. 2. Transactions with Settlor's Estate. Trustee, in its discretion and whether or not it also serves as personal representative of Settlor's estate, may purchase on behalf of the trust any property belonging to that estate or may make loans to the personal representative of that estate to provide liquidity for payment of any claims, taxes, administration expenses, or other indebtedness of Settlor's estate. Any purchase or loan will be made on the terms and conditions that Trustee, in its discretion, deems appropriate, provided that any purchase of assets must be for adequate consideration in money or money's worth, and any loan must be made only with adequate interest and security. Trustee will not be liable for any loss to the trust estate caused by its acting in accordance with this article, except for losses occasioned by its own gross neglect or willful misconduct. 3. Payment of Expenses and Taxes. To the extent that, in Trustee's discretion, Settlor's non-trust residuary estate is insufficient to pay all administration expenses of Settlor's estate, expenses of last illness and burial, and all state and federal estate, inheritance, or transfer taxes, including any related interest and penalties, or to the extent that it is inadvisable to use some or all of the non-trust residuary assets to pay the same, Trustee shall pay, either directly or to Settlor's personal representative, such expenses, costs, and taxes. Nancy M. Ramp Trust Page 7 Trustee may rely on a written statement signed by Settlor's personal representative as to the adequacy of the assets of Settlor's residuary estate to pay those expenses, costs and taxes. Non-liquid assets, unless absolutely necessary, are not to bear any portion of those expenses, costs, and taxes and need not be disposed of in order to pay any of those amounts. 4. Administration and Distribution of Trust Estate. After making provision for the payments described above, Trustee shall administer and distribute the remaining trust estate as provided below. Article Six CREDIT TRUST Upon Settlor's death, if Settlor's spouse survives Settlor, Trustee shall allocate and set aside a sum equal to the lesser of Six Hundred Thousand Dollars ($600,000) or Forty Percent (40%) of the trust estate after paying any specific bequests. Alternatively, Trustee shall, in its discretion, set aside the maximum amount that can be allocated to permit such amount, under the statutes applicable at the time of allocation, together with subsequent accumulations, to bypass Federal and/or state estate taxes, in the estates of both spouses. For the purpose of determining the sum disposed of by this article, the values and amounts finally determined for Federal estate tax purposes shall control. The amount so allocated and set aside shall be designated the CREDIT Nancy M. Ramp Trust Page 8 TRUST. Trustee shall hold the sum determined as aforesaid, in trust, in accordance with the following provisions: 1. Payment of Income. Trustee shall manage, invest and reinvest said sum and shall pay the entire net income therefrom to or for the benefit of Settlor's spouse or issue, in such proportions as Trustee may determine, from and after Settlor's death and for so long as Settlor's spouse lives, in quarter-annual or more frequent intervals. 2. Invasion of Principal. In addition, Trustee may pay to or for the benefit of Settlor's spouse or children, for their health, education, support, and maintenance, from the principal of this trust, such amounts, including the whole thereof, and in such proportions, as determined in the discretion of Trustee; provided, however, that Trustee shall make no such payment to Settlor's spouse until the principal of the Marital Trust established in Article Seven below is first exhausted. 3. Five and Five Withdrawals. Settlor's spouse shall have the right to withdraw from the principal of this trust, in each calendar year, an amount not exceeding the greater of Five Thousand Dollars ($5,000) or Five Percent (5%) of the principal of this trust valued as of the date the request to withdraw is made by written notice to Trustee. Such right to withdraw shall not be cumulative from year to year. Article Seven MARITAL TRUST As to the balance of the trust estate, after allocation to the Credit Trust set Nancy M. Ramp Trust Page 9 forth in Article Six above, if Settlor's spouse survives Settlor, Trustee shall further allocate and set aside the remaining balance, and the amount so allocated and set aside shall be known as the MARITAL TRUST. Settlor's intention, in setting up the Marital Trust, is to give Settlor's spouse control over the use and disposition of the trust corpus and income while alive, and after death, through the exercise of a power of appointment, if said spouse desires to exercise same, notwithstanding the dollar amount of the trust initially or after the spouse's death. Trustee shall hold the sum determined as aforesaid, in trust, in accordance with the following provisions: 1. Payment of Income. Trustee shall manage, invest, and reinvest the Marital Trust and shall pay the entire net income therefrom to Settlor's spouse for so long as said spouse lives, in quarter-annual or more frequent intervals. 2. Invasion of Principal. In addition, Trustee shall pay to or for the benefit of Settlor's spouse, from the principal of this trust, such amounts, including the whole thereof, as such spouse shall request by written notice to Trustee. 3. Right to Appoint. Upon the death of Settlor's spouse, the principal of this trust at that time remaining shall be paid and distributed to or for the benefit of such person or persons as Settlor's spouse shall appoint by specific reference to this power of appointment through a will or trust or separate instrument. If the laws of the State in which Settlor dies domiciled provide that the estate tax marital deduction is not allowable for marital trust property unless the spouse may exercise said power of appointment by an appointment to his estate, then Nancy M. Ramp Trust , Page 10 Settlor's spouse may so exercise such power as to such specific portion of this trust as will thereby qualify for such State's estate tax marital deduction. If Settlor's spouse fails to exercise or does not fully or effectually exercise this power of appointment, all property not effectually appointed shall be paid and distributed, or continue to be held in trust, in the manner set forth in Article Eight below. 4. Marital Deduction. Trustee is authorized, in Trustee's discretion, to elect under Section 2056 of the Internal Revenue Code, as amended and in effect from time to time, and under any applicable state law, to qualify this trust or any portion thereof for the Federal estate tax marital deduction or applicable state marital deduction. Settlor anticipates that an election to minimize the estate tax payable by Settlor's estate will be made, but the Trustee or personal representative shall be under no obligation to do so. When determining whether to make said election or the portion of this trust to be qualified, the Trustee or personal representative may consider or disregard any factors deemed appropriate, such as the interests of the beneficiaries of spouse's estate and the tax consequences or costs to Settlor's or spouse's estate. The determination of Trustee shall be final, binding and conclusive upon all persons, whether or not then in being, having or claiming any interest in any trust hereunder. No determination shall result in any liability being imposed upon Trustee, and Trustee shall be fully indemnified and held harmless by the income and Nancy M. Ramp Trust Page 11 principal beneficiaries of this trust from and against any liability, claim, loss, damage or expense, including reasonable attorneys' fees, relating to any such determination. 5. Asset Allocation. The Marital Trust shall be governed by the following: (a) Except to the extent that other assets are not sufficient, there shall not be allocated to the Marital Trust any asset or proceeds of any asset which does not qualify for the marital deduction under the provisions of the Internal Revenue Code, or with respect to which any tax credit or deduction is available because such asset or proceeds shall be subject to both Federal estate tax and income tax. There shall not be allocated to the Marital Trust any asset or proceeds of any asset with respect to which any estate or death taxes are paid to any foreign country or any possession or subdivision of a foreign country. (b) The term "income" as used in the Marital Trust shall mean an amount not less than the income to which Settlor's spouse must be entitled in order to obtain the benefit of the marital deduction with respect to such trust. (c) Every provision of this trust shall be construed and interpreted and, if necessary, modified and limited in such manner that the provisions respecting the Marital Trust, including every power and duty with respect thereto, comply with every provision of the Internal Revenue Code in effect at the time of death prerequisite to every such provision qualifying said trust for the allowance of a marital deduction with respect thereto in determining the Federal estate tax. (d) The values as finally determined, whether by agreement or otherwise, in the Federal estate tax proceeding shall be used in computing the amount of Nancy M. Ramp Trust Page 12 property which qualifies for the marital deduction and which passes or has passed to Settlor's spouse under this trust or otherwise. Article Eight REMAINING TRUST ESTATE I. Division Into Shares. Upon the death of Settlor, if Settlor's spouse has predeceased Settlor, or upon the death of Settlor's spouse, if said spouse has survived Settlor, and as to the entire residuary trust, Trustee shall divide the same, as then constituted, .into equal shares for Settlor's.-children, ROBBYN L. TOLLES and STEVEN R. RAMP, so that the number of shares set aside, the issue for whom such shares shall be set aside, and the relative values thereof shall be determined per stirpes. ti As to each share set aside for any of Settlor's then living children, Trustee shall hold the same in further trust hereunder and pay over the net income of such share, as the same may then be constituted, unto the child for whom such share shall be set aside for and during the remainder of the life of such child or until the whole of such share shall have been sooner distributed. Trustee shall also pay over unto such child, after he or she shall have attained the age of twenty-one years, so much of the principal of the share set aside for such child as he or she shall request in writing at any time or times. 2. Death of Child. In the event of the death of any child of Settlor for which child a share or any undistributed part thereof shall then be held in trust hereunder, Trustee shall transfer and deliver such share forthwith, free from this trust, unto the then living issue, per stirpes. Ramp Trust Page 13 If no issue of Settlor shall be living at the death of Settlor, or Settlor's spouse if said spouse survived Settlor, or if any of Settlor's children for whom a share of the remaining residuary trust shall have been set aside shall die prior to the distribution of the whole of such share without there being any issue surviving such child, Trustee shall transfer and deliver such part of the remaining residuary trust as shall then be held in trust hereunder, unto such living person or persons as shall then be determined to be the distributees of Settlor by the application of the intestacy laws of the State of New York governing the distribution of intestate personal property then in effect as though Settlor had died at that particular time, intestate, a resident of the State of New York and owning the property so distributable. S. Trusts For Minors.. If any of the income and/or principal of any trust hereunder shall be distributable to any beneficiary, other than a child of Settlor, who shall not have attained the age of twenty-one years, then Trustee shall, notwithstanding anything hereinbefore contained to the contrary, until such beneficiary shall have attained the age of twenty-one years, pay over and/or apply such income and/or principal to or for the support, maintenance, education, benefit, and/or recreation of such beneficiary. Any income not so paid over and/or applied shall be accumulated and added to the principal of any such trust. Any such principal and/or accumulated income held as a separate trust hereunder shall, nevertheless, be subject to all of the duties, powers, and discretions set forth herein with respect to the trust fund, shall be vested in interest in such beneficiary and shall be distributed to such beneficiary upon his or her Nancy M. Ramp Trust Page 14 attaining the age of twenty-one years; or in the event of the death of such beneficiary prior thereto, shall be transferred and delivered unto the estate of such beneficiary. 4. Provision Against Perpetuities. Anything herein contained to the contrary notwithstanding, each trust hereunder, unless sooner terminated in the manner hereinbefore provided, shall end immediately prior to the expiration of twenty-one years after the death of the last survivor of Settlor; and thereupon Trustee shall pay over the principal of each such trust, free from this trust, unto the person then entitled to receive the net income from each such trust. 5. Invasion of Principal. If at any time or times during the continuance of any share held in trust hereunder Trustee, in its discretion, shall consider that the funds payable hereunder unto or for the benefit of any beneficiary of such share, together with the funds available to such beneficiary from other sources, are insufficient to provide properly for the essential needs, such as food, clothing, education, shelter, and illness expenses, of such beneficiary and his or her dependents, Trustee is authorized and empowered to pay over or apply the principal of such share in such manner and to such extent as Trustee, in its discretion, shall deem to be necessary to meet such essential needs of such beneficiary and his or her dependents. 6. Payment to Representative. Any income and/or principal of any trust hereunder to which any beneficiary may be entitled may, without regard to any order or assignment purporting to transfer the same to any other person, be paid or distributed by Trustee, in its discretion, into the hands of such beneficiary, or to the guardian of the person of such beneficiary, or to the person with whom such Nancy M. Ramp Trust Page 15 beneficiary shall reside, or mailed to such beneficiary's last known address, or deposited to the account of such beneficiary in a bank or trust company of good standing, or applied for the benefit of such beneficiary and dependents directly by Trustee; and the receipt of any payment or distribution or evidence of the application of any income or principal made in conformity with the foregoing shall fully discharge Trustee from any further liability therefore. Article Nine INCAPACITATION AND REHABILITATION The terms "incapacitation" and "rehabilitation", as used throughout this trust agreement, shall have the following meaning: 1. Incapacitation. The Settlor, the Trustee, or any Co-Trustee or successor Trustee shall be deemed incapacitated if, by reason of illness or mental or physical impairment, such individual is, in the opinion of two physicians currently practicing medicine and board-certified in the specialty applicable to the major impairment, unable to properly manage his or her affairs. 2. Rehabilitation. The Settlor, the Trustee, or any Co-Trustee or successor Trustee deemed incapacitated as defined above shall be deemed rehabilitated when, in the opinion of two physicians currently practicing medicine and board- certified in the specialty applicable to the major impairment, he or she is and will be able to properly manage affairs for a reasonably foreseeable length of time. Upon rehabilitation, that individual shall resume the duties and powers he or she had prior to incapacity and the successor shall relinquish all powers and be relieved of all duties. Nancy M. Ramp Trust Page 16 Article Ten PROTECTION OF BENEFICIARIES No beneficial interest under this trust, whether income or principal, is to be subject to anticipation, assignment, pledge, sale, or transfer in any manner, and no beneficiary may anticipate, encumber, or charge such interest. A beneficiary's interest, while in the possession of Trustee and, to the extent allowable by law, while in the possession of the beneficiary, will not be liable for or subject to the debts, contracts, obligations, liabilities, or accounts of any other beneficiary. Inasmuch as this trust is for the express purpose of protecting the beneficiaries from want and inconvenience by reason of the vicissitudes of life, so far as reasonable foresight can prevent, any portion of the trust property or income to be paid to any beneficiary will be payable only upon his personal receipt or, in the discretion of Trustee, specifically on behalf of that beneficiary. The income receivable by each beneficiary or payable on his behalf will not be subject to any legal process for the payment of that beneficiary's debts. Article Eleven TRUSTEE SUCCESSION 1. Identity of Trustee. Initially, the Trustee of this trust shall be the Settlor, NANCY M. RAMP, and her spouse, ROBERT H. RAMP, who shall each exercise all the Trustee powers set forth in Article Twelve. Upon the resignation, incapacity, or death of either, the survivor shall continue as sole Trustee. Nancy M. Ramp Trust Page 17 l During the time that Settlor and Settlor's spouse are acting as Trustee, either alone shall have the sole power to buy, sell or transfer any asset in this trust by executing any appropriate document, whether it be a deed, bill of sale, contract, stock or bond certificate, option, stock option, lease, or by an oral demand to sell a stock or bond. Either Settlor or spouse, acting as Trustee, shall have the right and power to make any deposits and withdrawals from any bank account of this trust, and the right and power to sign checks on any bank account of this trust, and any bank holding such account of this trust may accept either Trustee's signature on any check. j i During any period that the personal powers of Settlor, or the trustee powers of either Settlor or Settlor's spouse, acting as sole trustee because of the resignation, incapacitation, or death of the other, are suspended, or after such sole remaining trustee resigns, becomes incapacitated, or dies, Settlor's children, ROBBYN L. TOLLES, currently residing at 328 East Taylor Street, Reno, Neveda and STEVEN R. RAMP, currently residing at 15844 Pleasant Valley Lane, Salinas, California, shall serve as successor Co-Trustees, acting jointly and together. If either is unwilling or unable to serve, for any reason, the other shall act as sole Trustee. If the last alternate backup Trustee fails or ceases to serve as Trustee, or is removed by the beneficiaries as provided below, a majority in interest of the beneficiaries may appoint a successor Trustee. If the beneficiaries do not appoint a successor within thirty days of the death Nancy M. Ramp Trust Page 18 or notice of removal or resignation of the last successor Trustee, any beneficiary may petition a court of competent jurisdiction to appoint a successor trustee. 2. Resignation or Removal. Any Trustee may resign at any time by giving thirty days written notice to Settlor and the beneficiaries, including the natural or legal guardians of any beneficiaries who are not then of age. The notice will be sufficient if mailed to each beneficiary at that Beneficiary's last known mailing address. Settlor may remove any Trustee by giving written notice to that Trustee. After the death of Settlor and surviving spouse, or if the survivor's personal powers of amendment, revocation, or withdrawal are suspended as provided elsewhere in this document, a majority in interest of the beneficiaries may remove any Trustee by giving thirty days written notice to that Trustee, and the vacancy shall be filled by the next backup successor Trustee specified above. Settlor may name a successor Trustee by specific reference to this power in a separate instrument while alive. The successor trustee will not be liable for any inconsistencies or irregularities in the administration of the trust by any prior Trustee, but will be responsible and accountable only for those assets under its control and custody. Compliance by Trustee with any law requiring bond, registration, qualification, or accounting to any court is expressly waived. 3. Accountings by Trustee. After the death of both Settlor and Settlor's spouse, Trustee shall furnish annual statements, based upon either a fiscal or calendar year accounting period, to each income beneficiary who is then of age Nancy M. Ramp Trust Page 19 and to the legal representative or adult having custody of any income beneficiary who is not then of age showing the property held in trust for the benefit of that person at the close of the accounting period and all receipts and disbursements made during that period. Every successor Trustee to the original Trustee shall keep all backup Trustees fully informed. 4. Trustee Compensation. Any of Settlor's children who serve as Trustee shall not be entitled to compensation for so acting. Any non-family Trustee is entitled to receive reasonable compensation for services rendered in the administration of the trust. Article Twelve POWERS AND AUTHORITY OF TRUSTEE Trustee has the following continuing and discretionary powers to deal with any property, real or personal, held in the trust. Trustee may exercise these powers independently and without the approval of any court or judicial authority. No person dealing with Trustee need inquire into the propriety of any of its actions or into the application of any funds or other property. Trustee shall, however, exercise all powers in a fiduciary capacity for the best interest of any trust created by this agreement. Without in any way limiting the generality of the foregoing, Trustee is given the following specific powers in addition to any other powers conferred by law: 1. Holding and Retaining_ Except as otherwise provided to the contrary, to Nancy M. Ramp Trust Page 20 hold funds uninvested as Trustee deems appropriate, and to retain the original assets it receives for as long as it deems best, and to dispose of those assets as and when it deems advisable. 2. Investment and Acquisition. To invest in any assets Trustee deems advisable even though they are not technically recognized as legal investments for fiduciaries, without responsibility for depreciation or loss on account of those investments, or because those investments are nonproductive. Property acquired may be realty or personalty and may include life insurance, bonds, debentures, leaseholds, real property options, easements, ' mortgages, notes, mutual funds, investment trusts, common trust funds, voting trust certificates, and any,class of stock, regardless of whether the yield rate is high or low or whether or not the new asset produces any income at all. It is intended that the Trustee shall have the authority to act in any manner deemed in the best interest of the trust, regarding it as a whole, even though certain investments considered alone might not otherwise be proper. 3. Additional Assets. To receive additional property from any source, including the representatives of Settlor's estate and any trustee or beneficiary of any other trust, by whomsoever created. Any property so transferred shall become a part of such trust or trusts created by this agreement as such transferror shall direct and may be commingled with the other property in the trust or trusts to which such property has been added and shall be held, administered, and disposed of as a part of such trust or trusts. Nancy M. Ramp Trust Page 21 4. Asset Expenses. To expend whatever funds it deems proper for the preservation, maintenance, or improvement of assets. 5. Insurance. In its discretion, Trustee may pay premiums on all insurance policies that it holds, and, after Settlor's death, may elect any options or settlements or exercise any rights under those policies. A Trustee who is the insured of any insurance policy subject to the terms of this agreement may exercise any rights or have any incidents of ownership with respect to the policy, including the power to change the beneficiary, to surrender or cancel the policy, to assign the policy, to revoke any assignment, to pledge the policy for a loan, or to obtain from the insurer a loan against the surrender value of the policy. 6. Services. To employ and compensate attorneys, accountants, managers, agents, assistants, and advisors without liability for any act of those persons, so long as they are selected and retained with reasonable care. Fees may be paid from the domiciliary trust estate even if the services were rendered in connection with an ancillary administration. 7. Document Authorization. To execute deeds, leases, mortgages, contracts, bills of sale, notes, and other written instruments, and take or cause to be taken all actions deemed necessary or proper in connection therewith. To carry any insurance deemed advisable with any insurer against any hazards, including public liability, and to use insurance proceeds to repair or replace the asset insured. 8. Payments to Representatives. To make distributions, whether of principal Nancy M. Ramp Trust Page 22 or income, to any person under the age of 21 or to any incapacitated person , as defined elsewhere in this agreement, by making distributions directly to that person whether or not that person has a guardian; to the parent, guardian, or spouse of that person; to a custodial account established by Trustee or others for that person under an applicable Uniform Transfers to Minors Act; to any adult who resides in the same household with that person or who is otherwise responsible for the care and well-being of that person; or by applying any distribution for the benefit of that person in any manner Trustee deems proper. The receipt of the person to whom payment is made will constitute full ' discharge of Trustee with respect to that payment. 9. Distributions in Kind. To make any division or distribution in money or in kind, or both, without allocating the same kind of property to all shares or distributees, and specifically without regard to the income tax basis of the property. Any division will be binding and conclusive on all parties. Trustee is excused from any duty of impartiality with respect to any division or distribution. 10. Accountings. To render at any time an accounting to a majority in interest of the income beneficiaries who are then of age. Written approval of the accounting by a majority in interest of those beneficiaries will be binding and conclusive on all persons interested in the trust estate. 11. Undisclosed Nominee. To hold any assets in the name of a nominee without disclosing the fiduciary relationship, or to hold the property unregistered, without increasing or decreasing its liability. 12. Borrowina. To borrow whatever money the Trustee deems desirable for Nancy M. Ramp Trust Page 23 any trust herein on any terms from any lender, including the representative of Settlor's estate, and any trustee or beneficiary of any other trust, by whomsoever created, and to mortgage, pledge, or otherwise encumber as security any assets of the borrowing trust. 13. Claims and Obligations. Incident to the exercise of any power, to initiate or change the terms of collection or of payment of any debt, security, or other obligation of or due to the trust estate, upon any terms and for any period, including a period beyond the duration or the termination of any or all trusts. Upon whatever terms the Trustee deems advisable, to compromise, adjust, arbitrate, sue on, defend, or otherwise deal with any claims, including tax claims, against or in favor of any trust; to abandon any personal property assets the Trustee deems of no value or of insufficient value to warrant keeping or protecting; to refrain from paying taxes, assessments, or rents, and from repairing or maintaining any personal property asset; and to permit any personal property asset to be lost by tax sale or other proceeding. 14. Participations. To unite with other owners of property similar to any held in the trust in carrying out foreclosure, lease, sale, incorporation, dissolution, liquidation, reincorporation, reorganization, or readjustment of the capital or financial structure of any association or corporation in which any trust has a financial interest, to serve as a member of any protective committee to deposit trust securities in accordance with any plan agreed upon; to pay any assessments, expenses, or other sums deemed expedient for the protection or furtherance of the interests of the beneficiaries hereunder; and to receive and retain as trust Nancy M. Ramp Trust Page 24 investments any new securities issued pursuant to the plan, even though these securities would not constitute authorized trust investments without this provision. 15. Voting Rights. To vote and exercise all rights and options, or empower another to vote and exercise those rights and options, concerning any corporate stock, securities, or other assets, or to delegate those rights to an agent, and to enter into voting trusts and other agreements or subscriptions that Trustee deems r advisable. 16. Real Property. To buy, sell, exchange, mortgage, or lease any real property, publicly or privately, for cash or credit, without order of court and upon ' terms and conditions that Trustee deems advisable. Any lease so made will be valid and binding for its full term even though it extends beyond the full duration of the trust. To possess, manage, insure against loss, develop, subdivide, control, partition, mortgage, lease or otherwise deal with any and all real property; to satisfy and discharge or extend the term of any mortgage thereof; to execute necessary instruments and covenants to effectuate the foregoing powers, including the giving or granting of options in connection therewith; to make repairs, replacements and improvements, structural or otherwise, or abandon the same if deemed worthless or not of sufficient value to warrant keeping or protecting. To abstain from the payment of real estate taxes, assessments, water charges and sewer rents, repairs, maintenance and upkeep of same; to permit to be lost by tax sale or other proceeding or to convey the same for a nominal consideration or without consideration. To acquire, through purchase or exchange, at a discount, premium, or at par, all or parts of first or second mortgages on real properly, and to recast, restructure, refinance, sell, exchange, substitute collateral, satisfy, extend, accelerate payment, or renegotiate the terms of such mortgages. To foreclose any mortgage, to bid on the mortgaged property at the foreclosure sale or acquire it from the mortgagor without foreclosure, and to retain or dispose of such property upon any terms deemed advisable. 18. Transactions with Estate. To purchase property, real or personal, from the Settlor's or a beneficiary's estate upon such terms and conditions as to price and terms of payment as the Trustee and the representative shall agree upon, and to hold the property so purchased in trust although it may not qualify as an authorized trust investment except for this provision, and to dispose of such property as and when the Trustee deems advisable. To pay off any encumbrance on any trust asset and to invest additional amounts to preserve it or to increase its productivity. 19. Fiduciary Standard. To exercise all its powers even though it may also be acting individually or on behalf of any other person or entity interested in the same matters. Trustee; however, shall exercise these powers at all times in a fiduciary capacity, primarily in the interest of the beneficiaries of the trust. 20. Tax Decisions. If no personal representative of Settlor's estate is then serving, and to the extent permitted by law, to perform in a fiduciary capacity any act and make any and all decisions or elections under state law or the Internal Revenue Code on behalf of Settlor or his estate, including but not limited to, joining Nancy M. Ramp Trust Page 26 in the filing of income and gift tax returns with Settlor's surviving spouse, claiming the whole or any part of the expenses of administration as income tax deductions for Settlor's estate or this trust, electing the marital deduction in whole or in part, and selecting taxable years and dates of distribution. Trustee is specifically and intentionally excused from making equitable adjustments among beneficiaries because of the results of any election that it makes. 21. Establishment of Reserves. To determine, in a fiduciary capacity, how expenses of administration of the trust are apportioned between principal and ' income. Out of rents, profits, or other gross income received,to set aside and maintain reserves to the extent deemed advisable to meet present or future expenses, including taxes, assessments, insurance premiums, debt, amortization, repairs, improvements, depreciation, obsolescence, general maintenance, and reasonable compensation for services, including services of professional and other employees authorized hereby, as well as to provide for the effects of fluctuations in gross income and to equal or apportion payments for the benefit of beneficiaries entitled to receive income. 22. Size Termination. After Settlor's death, to refrain from funding or to terminate any trust created by this agreement whenever the value of the principal of that trust would be or is less than Five Thousand Dollars ($5,000). Rather than funding, or upon termination, as appropriate, Trustee may distribute the remaining principal and all accumulated income of the trust to the beneficiaries then entitled Nancy M. Ramp Trust Page 27 to receive income in proportion to their shares of that income (or on a per capita basis if their shares are not fixed). Trustee shall exercise this power to terminate in its discretion as it deems prudent for the best interest of the then current income beneficiaries. 23. Bond Treatment. To treat premiums and discounts on bonds and other obligations for the payment of money in accordance with generally accepted accounting principles and to hold nonproductive assets without allocating any portion of the trust principal to income, notwithstanding the provisions of any applicable local statute or any similar laws, rules, or regulations now or later in effect. 24. Use of Income. In addition to all other available sources, to exercise its discretion in the use of income from the assets of the trust estate to satisfy the liabilities of the trust or Settlor's estate as provided in this agreement, without accountability to any beneficiary. No such liabilities, however, are to be paid from income accruing with respect to assets qualifying for a deduction for federal estate tax purposes if other assets are available to pay those amounts. Trustee, considering the reasonable availability of other assets for the payment of all liabilities, may make payments of income or principal beginning at Settlor's death to those persons or trusts and for the purposes specified in this agreement. 25. Commingling. To commingle the assets held in the trust with the assets of any other trust held by Trustee for the benefit of the same beneficiaries, and to Nancy M. Ramp Trust Page 28 administer them as a single trust for all purposes, except that separate accountings always shall be maintained for each beneficiary's interest. 26. Consolidation. Unless inconsistent with other provisions of this agreement, to hold two or more trusts or other funds in one or more consolidated fund, in which the separate trusts or funds have undivided interests. To the extent that division of the trust estate is directed hereby, to administer the trust estate physically undivided until actual division thereof becomes necessary to make distribution; to hold, manage, invest and account for whole or fractional trust shares as a single estate, making the division thereof by appropriate entries in ' the books of account only, and to allocate to each whole or fractional trust share its proportionate part of all receipts and expenses; provided, however, this carrying of several trusts as a single estate shall not defer the vesting in possession of any whole or fractional share of a trust for the beneficiaries thereof at the times specified herein. 27. Business Continuation. To incorporate any business or venture forming a part of the trust. With respect to any business that may be or becomes a part of the trust estate, whether organized as a sole proprietorship, limited partnership, partnership, or corporation, Trustee is granted the following additional powers, which may be exercised upon such terms, for such time, and in such manner as the Trustee deems advisable. To hold, retain, and continue to operate such business solely at the risk of the trust estate and without liability on the Trustee's part for any losses resulting Nancy M. Ramp Trust Page 29 therefrom. To incorporate, dissolve, liquidate, or sell such business, in whole or in part, at such time and upon such terms as Trustee deems advisable. To borrow money for business purposes and to mortgage, pledge or otherwise encumber the assets of the trust estate to secure the loan. To exercise, with respect to the retention, continuation, and disposition of such business, all the rights and powers of which Settlor would have been capable of exercising, including all powers as may now or hereafter be conferred upon the Trustee by law or as may be necessary to enable the Trustee to administer the trust estate in accordance with the provisions of this agreement, subject to any limitations thereof that may be provided for herein. 28. Administrative Delegation. To delegate periodically among themselves,if more than one person serves as active Trustee at any given time, the authority to perform any act of administration of any trust. 29. LendingAute On any terms deemed advisable, to lend trust funds to the representative of Settlor's estate or any beneficiary of any trust herein, by whomsoever created, and to change the terms of those loans. This authorization includes the power to extend such loans beyond maturity, with or without renewal, and without regard to the existence or value of any security therefor, and to facilitate payment thereof, to change the interest rate thereof, and to consent to the modification of any guarantee relating thereto. 30. Investment Management. To employ any investment management service, financial institution, or similar organization to advise Trustee and to handle Nancy M. Ramp Trust Page 30 all investments of the trust and render all accountings of funds held on its behalf under custodial, agency, or other agreements. If the trustee for which this service was furnished is not corporate, these costs may be paid as an expense of administration. 31. Disclaimers. To disclaim any assets otherwise passing or any fiduciary powers pertaining to any trust created hereunder, by execution of an instrument of disclaimer meeting the requirements of applicable law generally imposed upon individuals executing disclaimers. No notice to or consent of any beneficiary, other interested person, or any r court is required for any such disclaimer, and Trustee is to be held harmless for any decision to make or not make such a disclaimer. 32. Security Transactions. To buy, sell, trade and otherwise deal in securities and interests in securities of any nature, except for short sales, options, futures, and commodities. Trustee shall not maintain and operate margin accounts with brokers or pledge any securities held or purchased by Trustee with such brokers as security for loans or advances made to Trustee. Article Thirteen BANKS AND TRANSFER AGENTS 1. Money Transactions. This trust is created with the express understanding that each bank at which an account is maintained shall have no responsibility or liability whatsoever to see to the proper administration of this trust. Upon the transfer of the right, title,and interest in and to any account by any Trustee hereunder, the bank shall conclusively treat the transferee as the sole Nancy M. Ramp Trust Page 31 owner of such account. Until the bank shall receive from some person interested in this trust, written notice of any death or other event upon which a right to receive income or principal may depend, the bank shall incur no liability for payment made in good faith to persons whose interests shall have been affected by such event. The bank shall be protected in acting upon any notice or other instrument or document believed by it to be genuine and to have been signed or presented by the proper party or parties. A summary consisting of copies of the first page of this trust, the Trustee designation page, this article of the trust, and the signature and notarization pages of the trust shall be sufficient to establish the validity of the trust. It shall not be necessary for the bank to keep a copy of the entire trust on file. 2. Security Transactions. This trust is created with the express understanding that each issuer, transfer agent, or custodian of any securities held hereunder shall have no responsibility or liability whatsoever to see to the proper administration of this trust. Upon the transfer of the right, title,and interest in and to any account by any Trustee hereunder, the issuer, transfer agent, or custodian of any securities held hereunder shall conclusively treat the transferee as the sole owner of such account. Until the issuer, transfer agent, or custodian of any securities held hereunder shall receive from some person interested in this trust, written notice of any death or other event upon which a right to receive income or principal may depend, the Nancy M. Ramp Trust Page 32 issuer, transfer agent, or custodian of any securities held hereunder shall incur no 3 liability for payment made in good faith to persons whose interests shall have been affected by such event. The issuer, transfer agent, or custodian of any securities held hereunder shall be protected in acting upon any notice or other instrument or document believed by it to be genuine and to have been signed or presented by the proper party or parties. A summary consisting of copies of the first page of this trust, the Trustee designation page, this article of the trust, and the signature and notarization pages of the trust shall be sufficient to establish the validity of the trust. It shall not be necessary for the issuer, transfer agent, or custodian of any securities held to keep a copy of the entire trust on file. 3. Dealings with Trustee. No person who deals with any Trustee hereunder shall be bound to see to the application of any asset delivered to such Trustee or to inquire into the authority for, or propriety of, any action taken or not taken by such Trustee. Article Fourteen DEFINITIONS AND CONSTRUCTION 1. Trustee. The term 'Trustee" refers to singular, multiple, and successor Trustees, as well as to backup Trustees and Co-Trustees who at any time may be appointed and acting in a fiduciary capacity under the terms of this agreement. 2. Gender. Where appropriate, words of the masculine gender include the feminine and neuter; words of the feminine gender include the masculine and Nancy M. Ramp Trust Page 33 neuter; and words of the neuter gender include the masculine and feminine. 3. Singular and Plural. Where appropriate, words used in the plural or collective sense include the singular and vice-versa. 4. Titles. Use of descriptive titles for articles and sub-articles in this agreement is for purposes of convenience only and is not intended to restrict the application of those provisions nor the construction of this agreement as one entire trust agreement. 5. Children. As used in this agreement, the terms "child" or "children" or "issue" include any children born to or legally adopted by Settlor or Settlor's lineal descendants. In applying the provisions of this agreement, a legally adopted child and his lineal descendants are to be considered lineal descendants of the adoptive parent and that parent's lineal ascendants. Any adopted person who would have been a lineal descendant of Settlor but for that adoption will be treated as a lineal descendant of Settlor for purposes of this agreement. Article Fifteen APPLICABLE LAW 1. Simultaneous Death. If both Settlor and spouse shall die in a common accident or disaster or under such circumstances that it is difficult or impracticable to determine who survived the other, then for purposes of this trust Settlor's spouse shall be deemed to have predeceased Settlor. If any other beneficiary under this trust and Settlor shall die in a common Nancy M. Ramp Trust Page 34 accident or under circumstances in which it is difficult or impractical to determine who survived the other, then for purposes of this trust such beneficiary shall be deemed to have predeceased Settlor. 2. Examination of Accountings. No Trustee is required to question any actions, omissions, accountings, or other records of any prior trustee, or of the fiduciary of any other estate or trust from which assets are given or devised to any trust created under this agreement. Any beneficiary who requests such an examination shall pay all fiduciary and legal charges and expenses incurred in such examination, and Trustee may offset those costs directly against any payment otherwise to be made to that beneficiary under this agreement. 3. Applicable Law. This trust agreement will be construed and administered in accordance with the laws of the State of New York. If any provisions of this trust are declared invalid or void under New York law, Trustee, in its discretion, can elect to have the provisions so declared, or the entire trust, governed by the laws of another specific state, if such action is legally permissible. 4. Severability. If any part, provision, condition, or clause of this trust agreement is held void or invalid, such invalidity shall not affect any other part, provision, condition, or clause hereof, but the remainder of this trust agreement shall be effective as though such void or invalid part, provision, condition, or clause had not been contained herein. 5. Further Instruments. Settlor shall execute such further instruments as may Nancy M. Ramp Trust Page 35 f be necessary to vest Trustee with full legal title to the property transferred to it under this agreement. 6. Binding Effect. This agreement extends to and is binding upon the personal representatives, successors, and assigns of Settlor and of Trustee. Article Sixteen INTENTION AND CLARIFICATION 1. Residence and Domicile. Settlor currently resides at 7 Austin Park, Pittsford, New York. 2. Spouse. Wherever used in this trust agreement, the word "spouse" shall mean Settlor's husband, ROBERT H. RAMP. 3. Health Care Decisions. Settlor has signed a Health Care Proxy and has appointed a Health Care Agent. In those documents, Settlor has clearly enunciated a desire not to be kept alive by artificial support equipment in the event Settlor suffers from an irreversible condition, or Settlor is in a profound state of dementia, or death is imminent. Settlor has taken such steps in order to clarify that, under such circumstances, Settlor desires not to have life prolonged unnecessarily by artificial means. Settlor feels that such heroics would serve no useful purpose and would just increase the stress and suffering of loved ones. 4. Burial Instructions. Settlor may leave a separate memorandum detailing wishes and desires with respect to funeral arrangements and burial instructions. 5. Tangible Personal Property. Settlor may leave a separate memorandum detailing wishes and desires with respect to personal property items Settlor wants Nancy M. Ramp Trust Page 36 certain persons to have. Items not specified should be allocated by Settlor's children among themselves, if Settlor's spouse has predeceased Settlor. If there is any dispute over any such property, Settlor directs Trustee to sell such items, if possible, and divide the proceeds of such sale equally among the children. 1 Article Seventeen PRIOR WILL REVOCATION Settlor hereby revokes all prior wills, codicils, and trusts and declares his intention that this Revocable Inter Vivos Trust shall control and govern the use and disposition of all assets.
