Lauver ndeank er, his wife, entered into an original Revocable Trust Agreement with Dsit Bank and Trust Company on January 5, 1988,which was amended, during h ife of Jean C. Lauver on February 9, 1989; and WHEREAS, Jean C. Lauver died on May 12, 1993; and WHEREAS, Settlor,after his wife's death,transferred other assets to the Trust;and WHEREAS, Settlor and the Bank executed five(5)successive amendments to the original Trust on November 3, 1993, December 7, 1995, February 5, 1999, February 11, 2000 and October 26, 2000; and i WHEREAS, Settlor and the Bank executed a Revised and Restated Revocable Trust Agreement March 22, 2005; and WHEREAS, it is the intent of Settlor to restate his Revocable Trust Agreement; and WHEREAS, the Bank as Trustee, acknowledges the original Trust and the assets which have been placed in the Bank's hands as Trustee during the period from January 5, 1988 to the present time. All accumulated assets, after the deduction of expenses of administration, referred to in the third paragraph of this document, shall be distributed by the Trustee to the following distributees in the percentages listed: 1. LAUVER)should predecease the Settlor, the share of the deceased child shall be distributed to the deceased child's children per stirpes; if one or more of the Settlor's children should predecease the Settlor and not be survived by a child or children, then, in that event, the deceased child's share shall be distributed outright to the Settlor's surviving children, equally, share nd share alike, perstirpes. THIRD: Trustee shall have the power, but not the duty, to make such expenditures from this Trust as it, in its uncontrolled discretion, may consider desirable in order to facilitate settlement of Settlor's estate. In exercising this power,Trustee may pay,in whole or in part, any or all of the following items: the expenses of the decedent's last illness and funeral,including the cost of an appropriate gravemarker;decedent's debts;income taxes; death taxes on any and all property included in decedent's gross estate for tax purposes; and all other items in connection with the settlement of the estate. Such items as have been referred to may be paid directly by the Trustee, or the funds for their payment may 5 be transferred by the Trustee to the Settior's Executor or Administrator. Any beneficiary of Settlor's estate shall be required to reimburse Trustee for any funds so paid or transferred under this clause. All death taxes on present or future interests shall be paid at such time or times as the Trustee may find advantageous and feel proper; regardless of whether the taxes are then due, provided that any postponed taxes on future interests shall be charged against any particular share with respect to which the taxes are imposed, if the same is.applicable hereto. To distribute the remainder of the corpus(res)to the beneficiaries and/or the Settlor if, in the Trustee's discretion,the size of the account has become too small to be practical or economical to continue with administration hereunder. 6 C. To vary investments when deemed desirable by the Trustee and to invest in such bonds, stocks, notes, real estate, mortgages or other securities, or in such other property, real or personal, as it may deem wise, without being restricted to so-called "legal investments" and without being limited by any statute or rule of law regarding investments by fiduciaries. In the discretion of the Trustee to unit with other owners of similar property in carrying out any plans for reorganization of any corporation or company whose securities form a part of the Trust assets. 7 F. To allocate receipts and expenses to principal or income or partly to each as it, the Trustee, from time to time, thinks proper in its sole discretion. G. To place and carry any asset of the Trust in the name of a nominee. H. To assign and to hold in Trust an undivided portion of any asset. I. The Trustee is.not obligated to pay any premium or assessment upon any policies of insurance held by it or to keep itself informed respecting the payment of premiums. The Trustee's responsibility with respect to any policies of insurance held by it during the lifetime of the Settlor, unless otherwise between Trustee and Settlor, shall be limited to safekeeping of the policies held by the Trustee; the right to borrow, pledge or encumber, shall remain exclusively with the Settlor unless otherwise provided for in writing. 9 SIXTH: The situs of this Trust for administration and accounting purposes shall be the County of Cumberland and the Commonwealth of Pennsylvania and any questions pertaining to the construction and the validity of the provisions of this instrument shall be governed by the laws of the Commonwealth of Pennsylvania.
