MEANS, of South Middleton Township, Cumberland County, Pennsylvania, do make, publish and declare this to be my Last Will and Testament, hereby revoking all Wills and codicils by me at any time made. ITEM 1. I direct my Executor, hereinafter named, to pay the expenses of my last illness and funeral expenses from the property passing under this Will as an expense and cost of administration of my estate. ITEM 2. I give, devise and bequeath unto AGNES C. RHINEHART, of Mt. Holly Springs, Pennsylvania, if she survives me, absolutely and in fee simple, all my property, real, personal and mixed, of whatsoever nature or kind and wheresoever the same shall be at the time of my death. ITEM 3. In the event that AGNES C. RHINEHART should predecease me, or if she and I should die as a result of a common disaster or under such circumstances that it is difficult or impossible to determine who died first, I direct my Executor to sell all of my real and personal property and to reduce my estate to cash. However, I direct my Executor to first have all of said real and personal property appraised. I do not want any of the real or personal property sold on a distress-sale basis. It is to be sold at a price determined by my Executor to be reasonable in relation to appraised value. In the interim, my Executor is to manage all of said real and personal property r according to the powers set forth in Item 4 below. I give and bequeath all the rest, residue and remainder of my estate unto PNC Bank, N.A. as Trustee, IN TRUST, with the proviso that said property is not to be distributed to the Trustee by the Executor until such time as it has all been reduced to cash. The Trust shall be for the following uses and purposes: (a) The Trustee shall divide the trust corpus into five (5) equal shares for my son, GERALD B. MEANS, JR. , of Alta, Iowa; my daughter, JENNIFER MARIE MEANS, of Alta, Iowa; CHARLES PAUL RHINEHART, JR. , of Gardners, Pennsylvania; BRIAN LEE RHINEHART, of Gardners, Pennsylvania; and DUSTIN ADAM RHINEHART, of Gardners, Pennsylvania, and shall allocate one of such equal parts to each beneficiary. (b) The Trustee shall pay to or expend and apply for the benefit of my beneficiaries so much of the income and principal as it, in its sole discretion, deems necessary for the proper support, maintenance, welfare and education of said beneficiaries. Any such distribution shall be made only from the part of the trust property designated as being for the beneficiary benefited. Any income not distributed shall be added to principal. (c) The Trustee shall pay over to each beneficiary the entire principal of his or her part as it shall exist at his or her attaining the age of twenty-five (25) years. In the event that one -2- of the beneficiaries predeceases me or dies prior to attaining the age of twenty-five (25) years, his or her part shall be distributed to his or her children, if any, in equal shares, or if none, it shall be added to the parts being held for the other beneficiaries of this Trust. If such beneficiary shall have previously attained the age of twenty-five (25) years, then his or her shale shall be distributed.outright and not added to his or her part. (d) No part of the income or principal of the property held under this Trust shall be subject to attachment, levy or seizure by any creditor, spouse, assignee or trustee or receiver in bankruptcy of any beneficiary prior to his or her actual receipt thereof. The Trustee shall pay over the net income and the principal to the parties herein designated, as their interests may appear, without regard to any attempted anticipation, pledging or assignment by any beneficiary under a trust, and without regard to any claim thereto or attempted levy, attachment, seizure or other process against said beneficiary. ITEM 4. The Executor and Trustee shall possess, among others, the following powers: (a) To vary or to retain investments, when deem desirable by the Executor or Trustee, and to invest in such bonds, stocks, notes, real estate mortgages or securities or in such other property, real -3- or personal, as the Executor or Trustee shall deem wise, without being restricted to so-called "legal investments" and without being limited by any statute or rule of law regarding investments by fiduciaries. (b) To sell, either at public or private sale and upon such terms and conditions as the Executor or Trustee may deem advantageous to the estate or trust, any or all real or personal estate or interest therein owned by the estate or trust severally or in conjunction with other persons, and to consummate said sale or sales by sufficient deeds or other instruments to the purchaser or purchasers, conveying a fee simple title, free and clear of all estate or trust and without obligation or liability of the purchaser or purchasers to see to the application of the purchase money or to make inquiry into the validity of said sale or sales; ,also, to make, execute, acknowledge and deliver any and all deeds, assignments, options or other writings which may be necessary or desirable in carrying out any of the powers conferred upon the Executor or Trustee in this paragraph or elsewhere in this instrument. (c) To mortgage real estate, and to make leases of real estate extending beyond the terms of the estate or trust hereunder. (d) To borrow money from any party, including the Executor or Trustee, to pay indebtedness of the estate or trust therefor. �\�, � -��J -4- a (e) To pay all costs, taxes, expenses and charges in connection with the administration of the estate or trust, including a reasonable compensation to agents. (f) In the discretion of the Executor or Trustee, to unite with other owners of similar property in carrying out any plans for the reorganization of any corporation or company whose securities form a part of the estate or trust. (g) To vote any shares of stock which form a part of the estate or trust. (h) To assign to and hold in the estate or trust an undivided portion of any asset. (i) To do all other acts in their judgment deemed necessary or desirable for the proper and advantageous management, investment and distribution of the estate or trust. ITEM 5. I nominate, constitute and appoint AGNES C. RHINEHART, as Executrix of my estate. In the event that she in unable or unwilling to serve in this capacity, I then nominate, constitute and appoint PNC BANK, N.A. to be the Executor of my estate.
