MYERS, Co-Lxecutors of the Estate of Jane K. Otto, by and thraugh their attorney�s, Irwin &
McKnight, P.C., and respectfully file this Answer to the Motion for Order of Sanctions filed by
Petitioner Randy L. Cramer,and in support thereof aver as follows:
1. The averments of fact contained in paragraph one (1) of the Motion are admitted.
2. The averments of fact contained in paragraph two (2) are admitted.
3. The averments of fact contained in paragraph three (3) are admitted. By way of
fur�her answer, while Petiticner may r�ave mailed his requests on October 31, 2014, the� were
not received by Respondents on that date. Furthermore, Petitioner's instant Motion may be dated
January 13, 2015, but it was not received by the undersigned until January 16, 2015.
Respondents filed an Answer to the Petition Directing Compliance with Discovery on January
12, 2015, and simultaneously mailed the formal Answer together with responsive discovery
answers and documents to Petitioner's legal counsel, even though undoubtedly Petitioner did not
receive said documents on that date.
4. The Respondents' Answer referenced in paragraph four (4) speaks for itself and
therefore no response is required. To the extent a response is required, Respondents specifically
deny that the responsibility and paym�nt of subdivi�ion costs are :ssues for trial. To tr.e contrary,
Respnndents helieve and therefore assert that as Petitioner's legal counsel prepared the written
agreement to "purchase" the subject property for nominal consideration of $1.00 but failed to

specify who would be responsible for payment of the subdivision costs, law and equity require
that Petitioner be responsible for said expenses.
5. The averments in paragraph five (5) are denied as stated. It is admitted that
complete answers to the discovery requests were not provided by December 1, 2014. However,
Respor�der�ts did senc� corres�onde�ice to P�titioner's le�al �ounsel on Nc;vember 21, 2014,
attaching a number of import�nt and relevant documents requested in discovery. A true and
correct copy of the correspondence dated November 21, 2014, and the exhibits included with
said letter are attached hereto and incorporated herein as Exhibit "A." Petitioner has still not
provided a response to said correspondence. The remaining averments in paragranh five (5) are
specifically denied and strict proof thereof is demanded.

thereof is demanded. By way of further answer, Respondents filed an Answer to the Petition

Directing Compliance with Discovery on January 12, 2015, and simultaneously mailed the
formal Answer together with responsive discovery answers and documents to Petitioner's legal
counsel in compliance with both the applicable Order of Court and representations made by
Respondents therein.

any violation of either the Orders of this Court or the applicable Pennsylvania Rules of Civil

12. The averments contained in paragraph twelve (12) are denied as stated. It is
admitted that Respondents did send correspondence to Petitioner's legal counsel on November
21, 2014, attaching a number of important and relevant documents requested in discovery,
including the appraisal of the subject property, recent tax bills, and the property tax records from

the county assessment office. The remaining documents requested and in the possession of
Respondents were mailed to Petitioner's legal counsel together with a formal Answer on January
12, 2015. The remaining averments in paragraph twelve (12) are specifically denied and strict
proof thereof is demanded.

Dear Attorney Mills:
I have reviewed your correspondence of October 29, 2014, with the Executors. We
be?iPve many of thP issue� raised roth in your letter and ia the va.xi�us pl�adiags v��e:e discussed
extensively in meetings and correspondence with Attorney Baranski in your office. I believe the
position of the Executors with regard to these issues has been both consistent and fair. One of
those consistent pos:tior.s is that the Estate •Nas not solely responsible to pay for and sub�ivide
the property. The Agreement was prepared by Attorney Baranski and is completely silent on the
issue of subdivision responsibility and cost, and should therefore be construed against your
client. Furthermore, South Middleton Township required a complete perimeter survey of the
southern acreage as part of obtairing subdivision approval, which both reqnired significantly
more survey work than the northern acreage, and that cost provided no benefit to the Estate.
My prior correspondence also provided a definitive dollar figure with a considerable
amount of detail in an attempt to help explain the dollar figures included with the accounting.
Ultimately, for the sole purpose of settlement negotiations, the Executors would like to know if
your client is prepared to pay any amount beyond the transfer tax figure. If not, or if your client
believes that he is only entitled to receive some monetary figure in addition to the transfer of the
property, then it is pointless to have any further settlement discussions and we will focus our
efforts on the pending objections and litigation.
In a further attempt to answer some of your questions, I am enclosing copies of the paid
2013-14 school taa� bill, 2014 county tax bill, and 2014-15 school tax bill regarding the subject
property. I do not have copies of any prior tax bills, but I am also enclosing copies of two (2)
Cumberlar.d County Property Record Cards that we used to calculate the prcrated tax
obligations. In addition, I am enclosing a copy of the realtor opinion of value letter with regard
to establishing a date of death value for the pi�os� of inh�ritance taxes. With r�gaxd te farm
rent, the Executors were not provided with a detailed breakdown when payments were made.
The payments for the entire property were typically between $7,728.00 and $7,980.00 per year.

The Executors believe that there are a maximum of only 21 acres that are tillable on the subject
property, and that the annual tax obligations have far exceeded any reasonably apportioned farm
rent.

number of uses as a large percentage of the land is located within a recognized FEMA flood zone.
Additionally,the proximity to an active railway wiil also have some negative impact on the value of the
pro�erty.
Based or�my exp�rience,It is my opiniQn that this property wili likely appeal to use�s looking for
recreational tand or,possibly,an adjoining landowner who may want to cantrol any future use of the
land. I do not feel that we cculd market this as any type of buildable lot at this time.
ARer reviewtng the best availabie data that I could identify regarding comparable properties that are
either�actively being marketed for sale now or that have sold within the last few years,it is my opinion
that you will likely be able to attract a buyer if you were to price the property somewhere between
$2,500 and$3,000 per acre. This would equate to an asking price in tF�e range of$92,500 to say
109,900. I woutd recommend that you stay under$100,000 as an asking price as this makes the
property more marketable and likely to be found on various intemet searches. Maximum exposure wili
be important fn this marketing of this property. I would anticipate an actual sales price of somewhere in
the range of$80,000 to$90,000.
