MILLS my entire estate, real, personal or mixed, wheresoever- situate, R whatsoever kind and description or nature to be hers absolutely. ITEM IV: In the event that my beloved spouse, EILEEN B. MILLS should predecease me or should she fail to survive me by thirty (30) days, or should she die simultaneously with me or in such a manner that the order of our deaths cannot be definitely ascertained, I hereby devise and bequeath all of the rest, residue and remainder of my estate, real, personal, mixed, of whatsoever nature, kind and description, wheresoever situate of which I may have the power of disposition or appointment at the time of my death, to my children, HEATHER KATHERINE MILLS and ELIZABETH KELLY MILLS, and any other children, natural or adopted, which I have; PROVIDED, however, that if any of my children shall be under the age of twenty-five (25) years, the share of such child shall be held by the Trustee, IN TRUST, for the following purposes and uses. A. If the beneficiary is under age eighteen (18), to expend and apply so much of the net income (any income not expended or applied to be accumu- lated and added to the principal) and so much of the principal of each trust as the trustee, after consultation with the guardian of said beneficiary, shall consider advisable for his or her support, maintenance and education (including college education, both graduate and undergraduate). B. After the beneficiary attains the age of eighteen (18), thereafter to pay to such beneficiary the net income together with so much of the principal thereof as trustee shall consider advisable for his or her support and education (including college education, both graduate and undergraduate), 2 after taking into consideration his or her other readily available assets,and sources of income. C. Up to thirty-three and one-third (33 1/3%) percent of the then-remaining principal and accumulated income of that beneficiary's share at age twenty- one (2 1) on the requet of the beneficiary shall be distributed to him at or after age twenty-one (21); an additional fifty (50%) percent of the then- remaining principal and accumulated income of his or her share at age twenty-three (23) at his or her request shall be distributed to him or her at or after age twenty-three (23); and up to the entire balance of principal and accumulated income then remaining of his or her share at his or her request shall be distributed to that beneficiary at or after age twenty-five (25). Distributions at or after these stated ages shall be made only in the event the beneficiary requests such distribution by a writing intended to take effect during his lifetime, executed by him upon or after ataining each of the stated ages and delivered to the trustee. D. If any beneficiary shall die before receiving final distribution of his or her entire share, the undistributed balance shall be distributed to his or her surviving issue, per stirpes. In default of any such issue, then to my then- living child or his or issue, per stirpes, the share of any child whose original share is then being held IN TRUST to be added to and treated as part of that trust. 3 ITEM V: I appoint TIMOTHY PAGNAM and JANE E. PAGNAM, as guardians of the person of each of my minor children. ITEM VI: I appoint JANE E. PAGNAM as Trustee of the trusts created by this my Last Will. ITEM VII: I appoint my spouse, EILEEN B. MILLS, Executrix of this my Last Will and hereby direct that she shall serve in that capacity. In the event that she predeceases me or dies simultaneously with me or is unable to assume the duties of that office, then in that event, I hereby nominate, constitute and appoint JANE E. PAGNAM, as Executrix under this my Last Will and Testament, and hereby direct that she shall serve in that capacity. ITEM VIII: I direct that my Executrix, Trustees and their successors shall not be required to give bond for the faithful performance of their duties in any jurisdiction.
