RE: Estate of Robert M. Mumma, Deceased, Court of
Common Pleas of Cumberland County, Pennsylvania,
Orphans' Court Division, No. 21-86-398 and
Mumma, etc. v. Mumma, No 66 Equity 1988
Dear Judge Sheely:
Your Honor will recall that in the two actions above
captioned there are two issues between the co-executrixes of
the Estate and Robert M. Mumma II which remain to be resolved,
viz. whether Mr. Mumma was given and now has a valid and
enforceable right of first refusal in the Estate's business
assets, and whether the Power of Attorney admittedly executed
by Mr. Mumma and the Agreements Among Tenants-in-Common,
relating to certain properties formerly held by Kim Company and
pennsylvania Supply Company, both of which were liquidated in
December 1986, are enforceable in accordance with their terms.
As your Honor is also aware, the co-executrixes have been
negotiating with a potential purchaser of the various
businesses on terms set out in a Letter of Intent which they
deemed to be highly favorable to the Estate. Unfortunately, as
we had feared, the claims made by Mr. Mumma in this litigation
have now resulted in the co-executrixes being notified by the
proposed buyer that they have decided to defer further
discussions with the Estate until the litigation is concluded.
We are herewith filing a praecipe listing both of these
actions for trial and would respectfully request that both
actions be set for a consolidated trial at the earliest date
convenient to the Court. We make this request for the reason
we believe an indefinite continuation of the business interests
of the Estate may not be in the best interests of the Estate
and its beneficiaries.
We have notified counsel of our intention to file this
request.
