MEAGER TRUST AGREEMENT � On January 11, 1999, in Orange County, California, this Trust Agreement is entered into by ROSE M. MEAGER as trustor, and ROSE M. MEAGER as trustee, hereafter referred to as the "trustee." Rose M. Meager is also sometimes known as Rose Langenbucher The trustor intend to transfer and deliver property to the trustee, as listed on the Schedule of Trust Assets attached hereto and incorporated herein by reference. This property, together with any other property that may later become subject to this trust (hereafter the "trust estate") shall be held, administered and distributed as hereafter provided. This trust may be referred to as the "ROSE M. MEAGER TRUST dated January 1 l, 1998." This trust may alternately be referred to as "Rose M. Meager, Trustee of the ROSE M. MEAGER TRUST, dated January 11, 1999 In addition to the above descriptions, any description for referring to my trust shall be effective to transfer title to my trust or to designate this trust as a beneficia.ry as long as that description includes the date of my trust, and the name of at least one initial or successor Trustee, and any references that indicates that assets are to be held in a fiduciary capacity. � SECTION l: FACTS AND DECLARATIONS. 1.1 Declaration Concerning Family. ROSE M. MEAGER was married to C. WILLIAM MEAGER on December 17, 1998. They do not have any children together. ROSE MEAGER had one child, JOHN LANGENBUCHER, who is deceased. Other properiy acceptable to the trustee may be added to the trust at any time, either by the trustor or by any other person, either during lifetime or at death. Such additional property, upon its receipt and acceptance by the trustee, shall become a part of the trust estate. 1.3 Amendment and Revocation. Provisions concerning the trustor's power to amend and revoke the trust are set forth in Section 8 below. 1.4 Character of Properiy. All property transferred to this trust is the sole and separate pro�perty of ROSE M. MEAGER. SECTION 2: DISPOSITION OF PRINCIPAL AND INCOME. 2.1 While Trustor is Living. While ROSE M. MEAGER is living, the trust estate shall be held, administered and distributed as provided below. 2.1.1 The trustee shall pay to ROSE M. MEAGER, or shall apply for her benefit, as much of the income or principal of the as the trustee, in the trustee's discretion, determines to be appropriate for the trustor's support, health, comfort and well-being. 2.1.2 In addition, at the written request of trustor delivered to the trustee, the trustee shall pay to ROSE M. IVIEAGER, or shall apply for her benefit, as much of the income or principal of the estate as the trustor requests. If the Trustor requesting a distribution is acting as trustee or co-trustee, a written request is not required. 2.1.3 Any income of the estate that is not distributed pursuant to the provisions of this paragraph 2.1 shall be accumulated and added to the principal of the estate. 2.2 Discretion to Pay Debts and Expenses Upon the Death of the Deceased Trustor. Upon the death of the trustor, the trustee may, in the trustee's discretion,pay out of the Trust estate, without apportionment, deduction or reimbursement therefor, the deceased trustor's debts, last illness and funeral expenses, other legal obligations, attorneys' fees and other costs incurred in administering her estate, including a probate estate, if any. Page -2- } � 2.3 General Power of Appointment. Upon the death of the trustor,the trustee shall distribute the balance then remaining, if any, of the Trust (including both principal and any accrued or undistributed income)to such one or more persons and entities, including the trustor's estate, and on such terms and conditions, either outright or in trust, as the trustor shall appoint by the last dated instrument delivered to the trustee, including a will (whether or not admitted to probate), specifically referring to and exercising this power of appointment. Any of the Trust not effectively appointed in this manner shall be held, administered and distributed as hereafter provided. 2.4 Disposition of Assets upon Death of Trustor. Upon the death of the trustor, the trustee shall hold, administer and distribute any portion of the Trust not disposed of as provided above (hereafter the "trust estate") as follows: 2.4.1 The trustee shall distribute from the Trust all jewelry, clothing, works of art, household furniture and furnishings, all automobiles included in the trust estate, and all other items of domestic, household or personal use or adornment(together with any interest in policies of insurance on such property) to the FOLLOWING: C. In determining payments to be made for such education; the trustee shall take into consideration the beneficiary's reasonable related travel and living expenses. 3.G Segregation of Trusts.
