POWER OF ATTORNEY
KNOW ALL MEN BY THESE PRESENTS, that I, FAYE W. SPONHAUER, of
Lower Paxton Township, Dauphin County, Pennsylvania, do hereby constitute and appoint my
son, FRANKLIN S. SPONHAUER, III, my true and lawful attorney-in-fact, with full power of
substitution and revocation, for me in my name and stead, to do every act which I could do in
connection with or in relation to any property, real or personal, belonging to me or to which I am
or may become entitled, and in particular, but without limiting in any way this general power:
1. Possession of all mv ProDertv. To receive and take possession of any and all
moneys, stocks, bonds, securities, goods, chattels, land, buildings, and other property,
real, personal or mixed, wheresoever said property may be located;
2. Collect Amounts due me. To demand, collect, and enforce payment or
delivery of and receive all sums of money, rents, annuities, interest, dividends, income,
legacies, distributive shares in estates and trusts, and other property which may be due,
payable, belonging to, or coming to me or to any person for my use, and to give due
receipt and discharge of the same;
3. Bank Accounts and Monev Market Instruments. To draw, sign and deliver
in my name and behalf checks on any checking, savings, money market, mutual fund or
other account in which I may have money or cash equivalents on deposit, to sign and
deliver orders for withdrawal of the whole or any part of any savings accounts belonging
to me, to endorse checks, open, close and make deposits in any such account, and to
purchase, extend and redeem any certificates of deposit or similar instruments in my
name;
4. Investment. To invest and reinvest funds, securities and other property
belonging to me in such manner as my attorney in the exercise of uncontrolled discretion
may deem proper;
5. Registration of ProDertv. To transfer into the name of any nominee or to any
custodian or agency account any securities or other property standing in my name;
6. Sale of ProDertv. To sell, give any option to buy, assign, transfer, exchange,
partition, lease and mortgage any real or personal property belonging to me, either at
public or private sale or transaction, and upon such terms and conditions as my attorney
may deem best;
7. Voting Securities. To consent to or participate in dissolutions,
reorganizations or other changes or action affecting any property of mine; to extend,
modify or waive the terms of any bond, mortgage or other obligation; to exercise all
option, conversion, subscription, voting and other rights pertaining to any property; and
to grant proxies and to delegate discretionary powers with respect thereto;
8. Borrowin2. To borrow money and to secure any such loan by mortgage or
pledge of any of my property;
9. Mana2ement of Property: Insuran'ce. To exercise any rights which I may
have in any property; to manage, maintain, operate, repair, rebuild and improve any real
and personal property belonging to me.
10. Property Insurance. To place property, casualty or liability insurance on
any property owned by me or in which I inay have an interest and to use all or any
portion of the proceeds of such insurance for the repair or rebuilding of the property
insured; to arrange for personal liability insurance;
11. Life Insurance. To pay the premiums on, borrow from, surrender for cash,
assign as collateral security or otherwise exercise any right, option or benefit reserved to
or vested in me under any policy of life or endowment insurance or any annuity contract;
12. Disclaimers. To release or disclaim any inheritance, bequest, devise or other
interest in or power over any estate, trust or other property;

of any inter vivos trust created by me for my initial benefit any real or personal property
or interest therein owned by me or to which I may be entitled, for the purpose of funding
such trust;
14. Gifts. To make gifts to individuals (including my attorney) and charities in
such form and amounts and at such times as my attorney deems I would have made in the

15. Emplovment of Others. To employ such attorneys, accountants, agents,
brokers, custodians, investment counsel, servants and others, to delegate to them, to
discharge them, to appoint others in their places and to pay them such compensation as
my attorney shall deem proper;
16. Safe Deposit Boxes. To enter any safe deposit boxes standing in my name
alone or with another, to rent safe deposit boxes in my name and to close out and cancel
the lease of any safe deposit boxes;
17. Taxes. To pay taxes and assessments levied against me or my property, to
prepare, execute, and file all required Federal and state income or other tax returns or
declarations whether original or amended, to represent or act for me before the United
States Treasury Department or any state tax commission or officer with respect to any tax
matters and years, with authority to receive confidential information and full power to
receive refunds, to execute any and all waivers, consents and agreements, and to make
claims for refunds or abatements;
18. Litil!ation. To institute, prosecute and defend any actions, suits, proceedings
or appeals by or against me before any court, trlbunal or board, whether at law, in equity,
as to tax matters, administrative proceedings or otherwise; .
19. Settlement and Arbitration. To release, settle, compromise or submit to
arbitration any accounts, claims, demands, suits or other proceedings against me or
belonging to me;
20. Business. To conduct and carryon any business on my behalf in which I
may be interested;
21. Contracts. To enter into and perform any contracts, agreements, and
covenants made by me or made on my behalf;
22. Execution of Documents. To make, sign, execute, acknowledge, seal and
deliver in my name and on my behalf all receipts, discharges, deeds, mortgages, leases,
contracts or other instruments which my attorney may deem necessary or proper in the
exercise of the foregoing powers;
23. Health Care. To authorize medical and surgical procedures on my behalf, to
authorize my admission to a medical, hospital, nursing, residential or similar facility and
to enter into agreements for my care and residence and to pay all bills in connection
therewith.
I further appoint my daughter, CHERYL P. SPONHAUER, to succeed my original
attorney-in-fact should he become unwilling or unable to act under this power of attorney,
whether due to death, resignation, renunciation, or any other reason.
If incapacity proceedings for my person or estate are instituted, I hereby nominate my
son, FRANKLIN S. SPONHAUER, III, my attorney-in-fact named above, or in the alternate,
my daughter, CHERYL P. SPONHAUER, as guardian of my person and estate.
This power of attorney shall go into effect immediately, and shall not be affected by my
subsequent disability or incapacity.
GIVING AND GRANTING unto my attorney-in-fact full power and authority to do and
perform every act necessary, requisite, or proper to be done in exercising this power of attorney
as fully as I might or could do if personally present, vvith full power of substitution and
revocation, hereby ratifying and confirming all that my attorney-in-fact shall lawfully do or
cause to be done by virtue hereof.

do make and publish this my Last Will and Testament. hereby revoking
and making void all former Wills by me at any time heretofore made.
ITEM I. I direct that my funeral be conducted in a manner corres-
ponding with my Estate and situation in life and that all my just debts and
funeral expenses be fully paid and satisfied as soon as conveniently may
be after my decease. I further direct that my burial be at the Shoop
Cemetery. Harrisburg. Pennsylvania.
ITEM II. I give and bequeath Seven Thousand ($7.000.00) Dollars
to my father. S. Ray Work. 1535 N. 3rd Street. Harrisburg. Pennsylvania.
ITEM III. All the rest. residue and remainder of my Estate. I
direct my Executor hereinafter named to divide into two (2) equal parts.
A. The first share I give. devise. and bequeath to my brother.

B. The second share I give. devise. and bequeath to my sister.

inheritance. state. succession. and legacy taxes to which my estate or
the transfer of any property hereunder may be subject and to charge such
