LAST WILL AND TESTAMENT
OF
ELSIE W. SWENSON
I, ELSIE W. SWENSON, currently of Mechanicsburg, Cumberland
County, Pennsylvania, being of sound mind, memory and understanding do
make, publish and declare this to be my Last Will and Testament, hereby
revoking all other Wills and Codicils to Wills heretofore made by me.
I.
I direct that my body shall be cremated and that my ashes be
interred in the Presbyterian Cemetery in Rices Landing, Pennsylvania.
II.
I order and direct the payment of all my just debts, expenses of
cremation and expenses of a private service, as soon as conveniently may be
made after my decease.
III.
I direct that gift, estate, inheritance and succession taxes on
property passing by virtue of my death, whether under this Will, or by inter vivos
settlements, power of appointment, tenancies by the entireties, other co-
tenancies, or otherwise, shall be paid out of the principal of my general estate to
the same extent as if said taxes were an expense of administration, and all
legacies, devises, and other gifts of principal and income made by this Will shall
be free and clear thereof. In the absolute discretion of my Executor, he may pay
such taxes immediately, or may postpone the payment of such taxes on future or
remainder interest until the time of possession thereof accrues to the beneficiary.

IV.
I give, devise and bequeath to my nephew ROBERT WOODRING and
his wife JANI WOODRING, currently of Connellsville, Pennsylvania, those items
of my furniture which they might desire for their personal use and enjoyment.
V.
I give, devise and bequest the sum of ten thousand dollars ($10,000)
to my aid, TRISHA ESLINGER, currently of Mechanicsburg, Pennsylvania.
V1.
All the rest, residue and remainder of my tangible personal property
and of my real estate, wheresoever situate, shall be sold by my Executor and the
proceeds added to my residuary estate.
VII.
I hereby give, devise and bequeath all the rest, residue, and
remainder of my Estate, to the following individuals and organization in the
percentages designated:
(a) Five percent (5%) of said residue to my brother,
JAMES R. WOODRING, currently of Waynesburg,
Pennsylvania;
(b) Seventy percent (70%) of said residue to ROBERT
and JANI WOODRING, currently of Connellsville,
Pennsylvania;
(c) Ten percent (10%) of said residue to my sister,
THRESSA DULANEY, currently of Waynesburg, Pennsylvania;
(d) Five percent (5%) of said residue to be held in
Trust by JANI WOODRING to be used, in her discretion, for
the college and/or post-graduate education of RYAN HUEY;
and

(e) Ten percent (10%) of said residue to BETHANY
VILLAGE - CARE ASSURANCE ENDOWMENT FUND.
Should any of the beneficiaries fail to survive me or not be in
existence at the time of my decease, then his, her or its bequest shall become
part of the residue to be bequeathed to the remaining beneficiaries pro rata.
VIII.
I nominate, constitute and appoint my nephew, ROBERT
WOODRING of Connellsville, Pennsylvania as Executor of this my bast Will and
Testament. In the event he is unable or unwilling to serve, I nominate,
constitute and appoint JANI WOODRING, as successor Executrix.
IX.
I direct that my Executor or successor Executrix shall not be
required to enter security or bond in any jurisdiction in which he or she may act;
but if, notwithstanding this direction, a bond is required, I direct that a surety
bond shall not be required.
X.
My Executor or Successor Executrix shall have the following powers
in addition to those vested in them by law and by other provisions of my Will,
applicable to all, property, whether principal or income, exercisable without court
approval, and effective until actual distribution of all property:
(a) to retain any or all of the assets of my estate, real
or personal, without regard to any principle of diversification
or risk;
(b) to invest in all forms of property, including stocks,
common trust funds and mortgage investment funds, without

restriction to investments authorized for Pennsylvania
fiduciaries, as he or she may deem proper;
(c) to sell at public or private sale, to exchange or
lease, for any period of time, any real or personal property and
to give options for sales, exchanges or leases, for such prices
and upon such terms or conditions as he or she deems
proper;
(d) to allocate receipts and expenses to principal or
income or partly to each as he or she from time to time may
think proper;
(e) to borrow money from any person or institution
and to mortgage or pledge any or all real or personal property
as my Executor or successor Executrix, in their sole
discretion, shall choose, without regard for the dispositive
provisions of this instrument;
to register securities in street names or in the
name of a nominee or in such manner that title shall pass by
delivery and to vote, in person or by proxy, securities held
hereunder and in such connection to delegate discretionary
powers;
(g) to compromise any claim or controversy;
(h) to choose the optional valuation date for estate or
inheritance tax purposes;
(i) to exercise any law-given option to treat adminis-
trative expenses either as income or as estate tax deductions,
without regard to whether the expenses were paid from
principal or income;
6) to exercise any law-given option to pay death
taxes in installments, the payment of interest due on such
installments to be charged against principal; and

(k) to make distribution in cash or in kind, or partly
in cash and partly in kind, and in such manner as he or she
may determine, and at valuations finally to be fixed by him or
her.
M.
I direct that all legacies, shares or interests in my estate, whether
pri ncipal or income, while in the hands of my Executor or successor Executrix or
Trustee, shall not be subject to execution, attachment,judgment, sequestration
or any other process for any debt, obligation, contract or engagement of any
beneficiary, and shall not be subject to pledge, assignment, conveyance of
anticipation, and the personal receipt of the beneficiary or said beneficiary's
guardian shall be sufficient and only discharge of my Executor or successor
Executrix or Trustee for payment of either principal or income.

IRREVOCABLE CHARITABLE REMAINDER UNITRUST
This Trust Agreement made and entered into as of this _361�cl day of
J-VviR-- , 1998, by and between ELSIE W. SWENSON, now of-Lemoyne,
Cumberland County, Pennsylvania (herein referred to as the "Donor) and
PINNACLEHEALTH FOUNDATION, a Pennsylvania not-for-profit corporation with
offices at 17 South Market Street, Harrisburg, Dauphin County, Pennsylvania
(hereinafter referred to as the "Trustee").
WITNESSETH:
WHEREAS, the Donor desires to establish a charitable remainder unitrust within
the meaning of Revenue Procedure 89-20 and Section 664(d)(2) of the Internal
Revenue Code of 1986 (hereinafter referred to as the "Code").
NOW, THEREFORE, for and in consideration of their mutual covenants and
promises, the parties hereto agree as follows:
ARTICLE I
Trust Assets
The Donor hereby absolutely and Irrevocably conveys, transfers and assigns to
the Trustee all of the Donors rights, titles and interests in and to the assets listed on
Schedule "A", attached hereto and by this reference made a part hereof(hereinafter
referred to as the "Trust Assets'). The Trust Assets shall be held, administered,
distributed and governed by the Trustee, IN TRUST NEVERTHELESS, in accordance
with the provisions of this instrument.
ARTICLE 11
Payment of Unitrust Amount
In each taxable year of the Trust, the Trustee shall pay to ELSIE W.
SWENSON, the Donor herein (herein referred to as the "Recipient'), during her lifetime,
a unitrust amount equal to Seven and One Half Percent(7.5%) of the net fair market
value of the assets of the Trust valued as of the first day of each taxable year of the
Trust(such date shall hereinafter be referred to as the"valuation date" and such
amount so determined shall hereinafter be referred to as the"Unitrust Amount").
The Unitrust Amount shall be paid in quarterly installments payable on the last
day of each calendar quarter. Any income of the Trust for a taxable year in excess of
the Unitrust Amount shall be added to principal. If for any year the net fair market value
of the Trust Assets is incorrectly determined, then within a reasonable period after the
value is finally determined for federal tax purposes, the Trustee shall pay to the
Recipient(in the case of an undervaluation) or receive from the Recipient(in the case
of an overvaluation) an amount equal to he difference between the Unitrust Amount
properly payable and the Unitrust Amount actually paid.
ARTICLE III
Proration of the Unitrust Amount
In determining the Unitrust Amount, the Trustee shall prorate the same on a
daily basis for a short taxable year and for the taxable year ending with the Recipient's
death, all in accordance with Treasury Regulation section 1,664-3(a)(1)(v),
ARTICLE IV
Distribution to Charity
Upon the death of the Recipient, the Trustee shall distribute all of the then
principal and income of the Trust(other than any amount due the Recipient or the
Recipient's estate under the provisions above) to PINNACLEHEALTH HOSPITALS,
Harrisburg, Pennsylvania, or its legal success (hereinafter referred to as the"Hospital").
If the Hospital is not an organization described in section s170(b)(1)(A), 170(c), 2055(a)
and 2522(a) of the Code at the time when any principal or income of the Trust is to be
distributed to it, then the Trustee shall distribute such principal or income to such one or
more organizations described in sections 170(b)(1)(A), 170(c), 2055(a)and 2522(a) of
the Code as the Trustee shall select keeping in mind the Donors charitable interests.
ARTICLE V
Additional Contributions
If any additional contributions are made to the Trust after the initial contribution,
the Unitrust Amount for the year in which the additional contribution is made shall be
Seven and One Half Percent (7.5%) of the sum of(a) the net fair market value of the
Trust assets as of the valuation date (excluding the assets so added to any income
from, or appreciation on, such assets)and (b) that proportion of the fair market value of
the assets so added that was excluded under(a) that the number of days in the period
that begins with the date of contribution and ends with the earlier of the last day of the
taxable year or the date of the Recipient. In the case where there is no valuation date
after the time of contribution, the assets so addedshall be valued as of the time of
contribution.

ARTICLE VI
Prohibited Transaction
The Trustee shall make distributions at such time and in such manner as not to
subject the Trust to tax under Section 4942 of the Code. Except for the payment of the
Unitrust Amount to the Recipient, the Trustee shall not engage in any act of self-
dealing, as defined in Seciton 4941(d), and shall not make any taxable expenditures,
as defined In Section 4945(d). The Trustee shall not make any investments that
jeopardize the charitable purpose of the Trust, within the meaning if Section 4944 and
the regulations thereunder, or retain any excess business holdings, within the meaning
of section 4943(c).
ARTICLE VII
Taxable Year
The taxable year of the Trust shall be the calendar year.
ARTICLE Vill
Governing Law
The operation of the Trust shall be governed by the laws of the Commonwealth
of Pennsylvania and, its situs shall be Cumberland County, Pennsylvania. The
Trustee, however, is prohibited from exercising any power or discretion granted under
said laws that would be inconsistent with the qualification of the Trust under Section
664(4)(2) of the Code and the corresponding regulations.
ARTICLE IX
Irrevocability- Limited Power of Amendment
i
This Trust shall be irrevocable
and shatl riot be*subject to ary amendment or`
alteration. The Trustee, however, shall have the power, acting alone, to amend the
Trust in'any manner required for the sole purpose of ensuring that the Trust qualifies
and continues to qualify as a charitable remainder unitrust within the meaning of
Section 664(d)(2) of the Code.
ARTICLE X
investment of Trust Assets
Nothing in this Trust instrument shall be construed to restrict the Trustee from
investing the Trust Assets in a manner that could result in the annual realization of a
reasonable amount of income or gain from the sale or disposition of Trust Assets.
ARTICLE XI
General Powers of Trustee
The Trustee shall possess, among others, the following powers, both as to
pi~incipal and income, to be exercised for the best interests of the beneficiaries, subject
always, however, to all of the provisions and restrictions set forth in all other ARTICLES
hereof:
(a) To retain any investments so long as the Trustee may deem it advisable
so to do.
(b) To vary investments,when deemed desirable by the Trustee, and.to
invest in such bonds, stocks, notes, real estate mortgagees or other securities or in any
securities owned, issued or underwritten by or any collective investment fund operated
by the Trustee or any of its affiliates or as to which the Trustee or any of its affiliates is
investment advisor, or in such other real or personal property as the Trustee shall deem
wise, without being restricted to so-called "legal investments."
(c) To sell either at public or private sale and upon such terms and
conditions as the Trustee may deem advantageous to the trust, any or all real or
personal estate or interest therein owned by the trust severally or in conjunction with
other person, and to consummate said sale or sales by sufficient deeds or other
instruments to the purchaser or purchasers, conveying a fee simple title, free and clear
of all trust and without obligation or liability of the purchaser or purchasers to see to the
application of the purchase money or to make inquiry into the validity of said sale or
sales; also, to make, execute, acknowledge and deliver any and all deeds,
assignments, options or other writings which may be necessary or desirable in carrying
out any of the powers conferred upon the trustee in this paragraph or elsewhere in this
instrument.
(d) To pay all costs, taxes, expenses, and charges in connection with the
administration of the trust.
(e) To vote any shares of stock which form a part of the trust and to
otherwise exercise all powers incident to the ownership of such stock.
(f) To select, employ and compensate any person, firm or corporation
engaged in rendering investment counsel advise to advise the Trustee in making
investments, managing securities or making decisions concerning the purchase,
retention, sale or other disposition of any part of the trust estate hereunder; and to
select, employ and compensate any attorney or firm of attorneys to render legal
services to the Trustee with respect to the trust estate hereunder.
The Trustee shall not be empowered to exercise any power if and to the extent that
such power, if effective, would disqualify the Trust as a charitable remainder trust under
Section 664(d)(2) of the Code,
ARTICLE XII
Surety of Trustee
The Trustee shall serve without the duty or obligation of filing any bond or other
security.
ARTICLE All
Concerning the Trustee
The Trustee may resign at any time and for any reason so long as it appoints a
Successor Trustee authorized to serve as a Trustee under the laws of the
Commonwealth of Pennsylvania and qualified to serve as Trustee under Section
664(d)(2) of the Code. Any such resignation and appointment of a successor shall be
by written notice to the Recipient and shall be effective without court approval. The
original Trustee shall not be compensated. Any successor Trustee shall be entitled to
compensation for services rendered in accordance with it standard schedule of fees in
effect when the services are rendered. No successor Trustee shall be liable to the acts
or omissions of the Trustee occurring prior to the successor Trustee taking office. Any
compensation payable to Trustee shall not be charged to or reduced the Unitrust
Amount. All references herein to "Trustee" shall refer to the original Trustee or any
successor, as the case may be,
