FIRST: I direct that the expenses of my last illness and funeral be paid from my estate as soon as convenient after my death. SECOND: I give to my wife, MARGARET A. MCKENNA, for the following uses and purposes, to be used as a down payment on a house or towards the reduction of an existing mortgage owned by TIMOTHY C. McKENNA. Until such time as this share is so expended, it shall be invested and reinvested by the Trustee in Certificates of Deposit for such terms and at such rates as the Trustee shall deem appropriate. In the event TIMOTHY C. McKENNA should.fail to buy a house or to have an existing mortgage, this share shall be.paid outright to him when he attains the age of 40. In the event LINDA J. McKENNA is unable or unwilling to act or continue to act as Trustee, TERRENCE W. McKENNA shall be the Trustee. In the event any of my children should fail to so survive me by a period of thirty days, his/her share shall pass to his/her surviving children. In default thereof, the predeceasing child's share shall go in equal shares to my remaining surviving children. FOURTH: All estate taxes, inheritance taxes, transfer taxes and other taxes of a similar nature payable by reason of my death upon or with respect to any property subject -2- to any such tax, whether or not such property passes under this Will, shall be paid by my Personal Representative out of the residuary portion of my estate, and all interest with respect to any such taxes shall be paid by my Personal Representative out of the income or Jprincipal or partly out of the income and partly out of the principal of such residuary portion of my estate, in the absolute discretion of my Personal Representative, without reimbursement from or apportionment among the beneficiaries,recipients or owners of such property. FIFTH: I hereby appoint my wife, MARGARET A. McKENNA, to be the Personal Representative under this, my Last Will and Testament. In the event MARGARET A. McKENNA should predecease me, or is unable or unwilling for any reason to act as my Personal Representative or dies during the administration of my estate, I then j appoint my son, TERRENCE W.
