I, MARY ELIZABETH BEATTY, also known as Beth Beatty, being of full
age and sound mind and memory, do make, publish and declare this to be my last
will and testament, hereby revoking all wills and codicil by me heretofore ma3e.
1. I hereby give and bequeath my two opal pins and anniversary ring
to my daughter, Elizabeth Beatty.
2. I hereby give and bequeath my emerald ring, and sapphire and
diamond ring to my daughter, Nancy S. Kocher.
3. I hereby give and bequeath my silver tea service to my
granddaughter, Ann Elizabeth Bayne.
4. I hereby give and bequeath my rivo strings of pearls; diamond
earrings; diamond and emerald earrings; and diamond and sapphire earrings to
my daughters, Nancy S. Kocher and Elizabeth Beatty, to be divided beriveen them
as they mutually agree.
5. I hereby direct that my executrix distribute any automobile that I
may own at the rime of my death; my coin collection; golf dubs; and silver and
china to my grandchildren,David Beatty Bayne, Scott Beatty Bayne and Ann

Elizabeth Bayne, as my executrix shall determine in her sole and absolute
discrefion.
6. I hereby give and bequeath the sum of Five Thousand Dollars
($5,000) to my grandson,Scott Beatty Bayne upon his graduation from college.
This gift will ]apse if his college graduarion occurs either before my death or more
than five (5) years after my death.
7. I h¢reby give and bequeath to my daughters, Nancy S. Kocher and
Elizabeth Beatty, the rest, residue and remainder of my property and estate,
tangible and intangible, of whatsoever nature and wherever situate, to be divided
and distributed equally between my daughters who may survive me at my death.
Should either of my daughters predecease me, then such predeceased daughter's
share of my residuary estate shall be divided and distributed equally among or
betcveen those of her children who may survive me at my death. Should such
predeceased daughter of mine leave no children of her own surviving me,such
predeceased daughter's share of my said residuary estate shall pass to the
surviving daughter or her children, as hereinbefore provided.
8. Should any beneficiary under this Will die within ninety (90) days
after the date of my death, he or she shall be deemed to have predeceased me for
all purposes under this Will.

9. No interest of any beneficiazy hereunder in either the principal or
income of my estate shall be subject or liable in any manner while in the
possession of my executrix to anticipation, pledge, assignment, sale, transfer,
chazge or encumbrance,whether voluntary or imoluntary,or for any liabilities or
obligations of such beneficiary whether arising from his or her death, debts,
contracts, torts or engagements of any type.
10. Except as otherwise required by law, in the administration of my
estate, my executrix shall have the following powers, which may be exercised
without leave of court, in addition to those powers as my executrix may have by
law:
(a) To sell,exchange, grant options upon, or otherwise dispose of
any property, real or personal, tangible or intangible,or mixed, or interests
therein, wheresoever sihiate, at any time held by her, at public or private
sale,for cash or upon credit, in such manner, to such persons, and at such
price,terms and condirions as she may deem best, and no person dealing
with her shall be bound to see to the application of any funds paid to her.
(b) To disfribute in tash or in kind, or partly in each,and in
shares different in kind from other shares, upon any division or distribution
of any property which she holds.

(c) To make from rime to time partial distribuHons in varying
amounts to the beneficiaries hereunder prior to final settlement and
distribution of my estate, and in connection therewith to determine in her
discrerion the time or Hmes when such partia] distributions may require
recomputation of said beneficiazies' proportionate interests hereunder for
the equitable allocaHon of income or on account of changing asset values
pending final distriburion.
(d) In general, to exercise all powers in the management of the
assets and property held by her which any individual could exercise in the
management of similar property owned in his or her own right, upon such
terms and conditions as to her may seem best, and to execute and deliver
all instruments and to do all acts which they may deem necessary or proper
to carry out such management and her duties under this Will.
11. I hereby appoint NANCY S. KOCHER to serve as executrix of my
estate hereunder. Should said individual be unable or unwilling, faIl to qualify, or
cease to act as such executrix,I hereby appoint my son-in-law, RICI-IARD S.
KOCHER, to serve as executor under this Will. My executrix shall not be required
in any jurisdiction to file, enter or post any bond or other security for the faithful
performance of her duries hereunder, and shall not be liable for the acts, omissions
or defaults of any agent appointed by her with due care.

12. I direct that all estate, inheritance,legacy, fransfer, succession and
death taxes, whatsoever nature ar kind and by whatsoever jurisdiction imposed,
and all interest and penalties that aze on,which may be payable or assessed in the
consequence of my death,whether or not with resped to the property passing
under this Will, shall be paid out of and charged against the principal in my
residuary estate in the same manner as are general administration expenses of my
estate so that all property subject to such taxes shall pass free and clear thereof,
without apportionment of or reimbursement for such taxes, interest or penalties
among any beneficiaries, transferees or other persons interested in such property
and without any right of any estate or executor to confribution recovery or
collection for the same.
IN WITNESS WHEREOF, I, the said MA2Y ELIZABETH BEATTY,have
hereunto set my hand to this instrument which I declare to be my last will and
testament, typewritten and consisting of these five (5) sheets of paper, at the
bottom of each of the preceding pages of which I also have placed my initials,on
