12 Decedent. INHERITANCE FUNDING COMPANY, INC.

14 THIS ASSIGNMENT is made and entered into between seller Jaime Cooper, aka Jamie
15 Cooper Madfisch, 408 Centerview Avenue,New Cumberland, PA 17070, and purchaser,
16 Inheritance Funding Company,Inc., (hereinafter"IFC") a California Corporation, located at 275
Battery Street, Suite 200, San Francisco, CA 94111.

1. Assignment. Jaime Cooper hereby irrevocably assigns, sells and transfers $22,400.00 of
18
19 Jaime Cooper's beneficial interest in the estate of Daniel Francis Madfisch, Decedent(hereinafter
20 "Estate")to IFC in exchange for an immediate cash payment of$15,000.00. The statement of the
21 assigned amount, cash payment and total cost to Jaime Cooper was provided to Jaime Cooper prior to
signing this agreement.

23 2. Payment. Jaime Cooper authorizes and instructs the personal representatives of the
24 Estate and their attorneys to pay and deliver$22,400.00 to IFC prior to making any distribution from
this Estate to Jaime Cooper.

3. Early Payoff Rebate. If$22,400.00 is received by IFC within 9 months from the date
26
IFC signs this agreement, IFC will refund $1,200.00 to Jaime Cooper, resulting in a reduced net
27
assignment amount(after rebate) of$21,200.00. All outstanding assignments between Jaime Cooper
28
and IFC must be paid in full before any rebate shall be payable by IFC.

1 4. Beneficial Interest Assigned. Jaime Cooper's beneficial interest in the Estate shall
2 include any and all rights: a) as a beneficiary, devisee, heir, legatee or otherwise of the Estate; b) to
3 commissions and fees as personal representative of the Estate; c)to distributions from ancillary
4 proceeding(s); d)to distributions from any IRA, retirement plan, employee benefit plan or other non-
5 probate asset of the decedent; and e)to Jaime Cooper's individual interest in the decedent's
6 homestead property, if applicable.
7 5. Waiver of Right to Disclaim. In consideration of IFC's agreement to purchase a
8 portion of Jaime Cooper's beneficial interest in the Estate, Jaime Cooper hereby agrees not to
9 disclaim any portion of his/her inheritance.
10 6. Sale of Real Property. Jaime Cooper authorizes IFC to direct the personal
11 representative of the Estate to sell the Estate's property to avoid the distribution in-kind of undivided
12 interests.
13 7. Prohibited Conduct. Jaime Cooper agrees not to take any action that may in any
14 manner defeat, eliminate, reduce, delay or prevent IFC's receipt of the assigned amount of
15 $22,400.00.
16 8. Bankruptcy. Jaime Cooper does not now or in the immediate future contemplate filing
17 for bankruptcy. Jaime Cooper has not consulted any lawyer or other professional within the last ninety
18 (90) days regarding the possibility of filing for bankruptcy. Jaime Cooper further agrees that he/she
19 has not,and/or will not file for bankruptcy within 180 days after the execution of this assignment. If
20 Jaime Cooper files for bankruptcy after entering into this agreement,Jaime Cooper acknowledges that
21 IFC purchased this assignment in good faith and shall be entitled to enforce all its rights as a creditor
22 secured by a lien on all of Jaime Cooper's distributions from the Estate.
23 9. Recourse. IFC shall have no recourse against Jaime Cooper unless: (a)there is a
24 material breach of this assignment by Jaime Cooper; (b)there has been fraud committed by Jaime
25 Cooper; or(c)Jaime Cooper receives a distribution from the Estate after this assignment is executed,
26 but before this assignment is satisfied.
27 10. Successor Rights. This instrument binds Jaime Cooper and his/her heirs, executors,
28 administrators, representatives, successors and other assignees of Jaime Cooper.

1 11. California Law. This agreement is made and shall be interpreted under the laws of the
2 State of California. It may be amended only by an agreement in writing that is dated and signed by
3 Jaime Cooper and IFC.
4 12. Consult Lep-al Counsel. Jaime Cooper acknowledges that IFC advised him/her to
5 consult with legal counsel concerning this transaction prior to signing this agreement.
