HOLTZINGER (the "Decedent") died on May 15, 2014, leaving a Will dated January 18, 2006, and Codicil dated March 19, 2009 (together referred to as the "Will"), and The Lewis T. Holtzinger Revocable Trust dated January 18, 2006 (hereinafter referred to as the"Trust"). B. The Will was duly probated by the Register of Wills of Cumberland County, Pennsylvania, and Letters Testamentary were granted to ORRSTOWN BANK (the "Executor") on June 2,2014. C. Decedent's Will bequeathed all of his tangible personal property to his daughters, PATRICIA A. GASTON and KAREN L. PEARSON, and bequeathed residue of his estate to his Trust. D. ORRSTOWN BANK is the Trustee of the Trust. E. The Trust benefited Decedent during his lifetime and ARTICLE III provided that upon his death, the remaining Trust assets shall be distributed as follows: 1 982175.1 n i .ri_r 7rn_mr � Ten Percent(10%)to Settlor's grandchildren. Forty-Five Percent (45%) to Settlor's daughter, PATRICIA A. GASTON. Forty-Five Percent (45%) to Settlor's daughter, KAREN L. PEARSON. F. Settlor was survived by both daughters and by five grandchildren: Bradley Gaston, Scott Gaston, Kelly Gambino, Christine Pearson and Robert Pearson. (The Settlor's said daughters and grandchildren are hereinafter referred to as the"Beneficiaries.") G. Of the Beneficiaries, only Christine Pearson and Robert Pearson have not attained the age of twenty-one years, although both have now attained the age of majority. H. The bequests of tangible personal property under Decedent's Will have been funded in full, the inheritance tax return has been filed and accepted, and the applicable taxes have been paid. I. The administration of the Estate and Trust is substantially complete and the Executor and Trustee wish to distribute the remainder of the assets to the Beneficiaries. J. Attached as Exhibit "A" is a copy of the Combined First and Final Account of Orrstown Bank as Executor of the Estate of Lewis T. Holtzinger and as Trustee of the Lewis T. Holtzinger Revocable Trust. K. The Account includes the distribution of the Decedent's Estate to The Lewis T. Holtzinger Revocable Trust. L. The Beneficiaries desire to formally approve the administration of the Estate and Trust and the final distribution of the assets of the Trust which is the purpose of this instrument. 2 NOW, THEREFORE, the Beneficiaries, representing the parties in interest as to the Decedent's Estate and Revocable Trust, for themselves, their beneficiaries, heirs, personal representatives, and assigns: 1. Agree that the Background of this Approval set forth above is true and correct and is incorporated herein by this reference. 2. Irrevocably approve the First and Final �lccount for Decedent's Estate and Trust attached hereto as Exhibit "A" (the "Account") and approve the administration of the Estate and Trust generally through the date hereof. 3. Irrevocably approve all transactions reported c�r proposed in the Account. 4. Agree that the approvals in paragraphs 2 and 3 hereof shall be as though all such transactions were set forth in formal accountings which had been confirmed absolutely by the Court having jurisdiction over the Estate and Trust. 5. Hereby waive the filing of any accounting of the Estate and Trust in any Court and agree that any Court having jurisdiction over the Estate and Trust may confirm the Account in the form attached hereto. 6. Acknowledge receipt of the assets shown as distributed to them in the Account or as distributable to them in the proposed distribution, in full and complete satisfaction of the undersigned's rights in and under the Will and Trust and hereby approve all other payments and distributions shown or proposed in the Account or proposed distribution. 7. Agree to refund to the Trustee, within ten (1 U) business days after receipt of written demand from the Trustee, such part or all of the amount of the said distributions, and 3 the income from the proceeds therefrom after the date of such distributions, which may at any time be determined by the Trustee to have been an erroneous distribution or needed for the proper conclusion of the Decedent's Estate or Trust, and agree that any period for the limitation of any action for collection of any erroneous distribution or needed assets, whether or not the same is caused by a mistake that is innocent or negligent, shall commence only at such time as the Trustee shall have obtained actual knowledge of such erroneous distribution or need for recovery and that in no event shall the period for collection of any erroneous distribution or needed assets be less than two years after the actual discovery thereof. 8. Do hereby absolutely and irrevocably release, remise, quitclaim and forever discharge the Executor, its successors and assigns, in its fiduciary and corporate capacities, of and from all actions, suits, payments, accounts, reckonings, claims or demands whatsoever for or by reason of its actions as Executor of the Estate. 9. Do hereby absolutely and irrevocably release, remise, quitclaim and forever discharge the Trustee, its successor and assigns, in its fiduciary and corporate capacities, of and from all actions, suits, payments, accounts, reckonings, claims or demands whatsoever for or by reason of its actions as Trustee of the Trust. 10. Do hereby indemnify the Executor and the Trustee and hold it harmless, to the extent of the value of the assets distributed to them, from and against any and all claims, loss, liability or damage including legal fees and costs which the Executor or Trustee may suffer or to which it may be subjected by reason of the administration and distribution of the Estate or Trust. 4 EXHIBIT"A" Combined First and Final Account of Orrstown Bank, Executor of the Estate of Lewis T.
