LAST WILL AND TESTAMENT OF PHYLLIS VOLMER HEINE
I, PHYLLIS VOLMER HEINE, of the Lower Allen Township, Cumberland County,
Pennsylvania, being of sound and disposing mind, memory and understanding, do make, publish
and declare this my Last Will and Testament, hereby revoking and making void any and all prior
Wills by me at any time heretofore made.
1.
I direct the payment of all my just debts and funeral expenses as soon after my decease as
the same can conveniently be done.
2.
All the rest, residue and remainder of my Estate, real, personal and mixed, whatsoever and
wheresoever situate, I give, devise and bequeath to my beloved sisters, HELEN TROXELL,
JANE STROUS and BETIY DYKINS in equal shares W stit:pes, to their own use and benefit
absolutely.
3.
I nominate, constitute and appoint PNC BANK, N.A. to be the Executor of this my
Last Will and Testament. I further direct that it shall not be required to fue bond or other security
in the Office of the Register of Wills for the purpose of administering my Estate.

Please find attached the first and final accounting and schedule of proposed distribution for
the estate of Phyllis V. Heine, deceased (21-01-151). I have attached to the account her last will and
testament and the several holographic codicils. A "copy fair" was accepted by Mary Lewis and Ralph
Wright as solicitor. I have also attached a copy of my legal opinion which was sent to all the
beneficiaries and/or potential beneficiaries named in the will and/or codicils.
The specific bequests, to the extent not adeemed or revoked, have been carried out and
receipts and releases have been obtained therefor. Since the bequest to Bethany Village has been
delivered in full and is for a minimal tangible value, it was deemed not necessary to involve the
Attorney General.
A Mrs. Debbie Strous was a former relation to the decedent by marriage. Her original gifts
were either revoked or adeemed. Several items ended up going to her daughters. It is my latest
understanding that she does not plan to object to anything. I have sent her a copy of the
accounting. Unless something unexpected occurs, there should be no objections to the accounting.

AND TEST AMENT AND THE SEVERAL CODICILS THERETO
I. BACKGROUND
Phyllis Volmer Heine has now departed this earthly life leaving a last will and testament and
several codicils thereto. The said documents have now been probated.
The docmnents consist of the professionally prepared last will and testament and two (2)
holographic codicils. The first codicil is dated November 20, 1996. The second codicil is undated
but does contain some evidence in the form of a "Received" stamp which is dated August 3, 1999.
"The [Pennsylvania Wills] Act does not require that the instrument shall be dated, and the date is
therefore no necessary part of the testament." Evans's Estate, 12 Pa. Dist. 219 (Phila., 1903). The
second codicil was properly signed on the third and last page after the dispositions of her jewelry.
This qualified as a signature at the "end" of the codicil under Pennsylvania case law. In Re:
Coyne's Will, 349 Pa. 331,37 A.2d 509, 510 (19_). Thus, all three (3) documents were properly
admitted to probate (See Exhibits A-I, 2 and 3).
The only real question remaining regarding the admission of the documents to probate had
to do with additional extraneous written matter below the testatrix's signature. These items were
clearly below the signature "at the end thereof' and were properly denied admission to probate as
per the opinion of counsel for the executor and as per the opinion of the solicitor for the Register of
Wills. This was accomplished through the lnechanism of a "copy fair". This is a term for a copy
prepared by the Register of Wills Office which shows only the parts actually admitted to official
probate. Any items not on the "copy fair" are accordingly of no force or effect. (See Exhibits B-1
and B-2 which show the designation "copy fair" on the probate petition as per the Register of
Wills handwritten notation and the second codicil which shows the extraneous written material
before the preparation of the "copy fair.")

II. HOW TO READ THE WILL AND CODICILS
TO DETERMINE THE TESTATRIX'S INTENT
Case law makes it clear that the will and all codicils lTIUst be construed together as if they
were one instrument. Boyer Estate, 372 Pa. 553, _ _ (19_); Moore Estate, 347 Pa. 276,
09 ). A codicil will not be interpreted to work any greater change to the will or any
previous codicil than is necessary to give effect to the words in the codicil. Braun Estate, 358 Pa.
271, __ (19_); Chauncey's Estate, 335 Pa. 73, __ (19_). Modification of
the will or the first codicil by the second codicil exists only so far, in our case, as the second codicil
is contrary or inconsistent.. Weaver Estate, 162 Pa. Super. 578, _ _ (19_). Thus, any
differences between the various documents will be controlled by the codicil last signed; in this case,
the second codicil.
In keeping with these general and fundamental rules, an outline of the two codicils is
provided for comparison purposes. (See copy attached.)
ID. ADEMPTION
The rules regarding specific personal property which has been bequeathed to a named
individual and is not found among the testatrix's assets when she dies are straight forward and
simple. When the testatrix does not own such item at her death, either because she has sold it, given
it away, or SilTIply lost it in her lifetime, the gift is said to have been "adeemed". The result is that it
is not available for distribution to the distributee named in the will. An "ademption" is not a
question of intention but results from a change in circumstances regarding ownership and
availability. Horn Estate, 57 Pa. Super. Ct. 283, _ _ (19_). Thus, in the event any iteITIS
are no longer owned by the testatrix, they are just simply not available for delivery to the
beneficiary .

(hereinafter called Settlor),
and PNC BANK, National Association, (hereinafter called Trustee),
WITNE."SETH
FIRST:
Settlor grants, assigns and sets over to Trustee and its successors,
all the property described in Schedule . A ., annexed hereto and said property, together with
all other property, real or personal, that may be added to the Trust (such property and
additions being hereinafter called principal), shall be held by Trustee, IN TRUST, upon the
following terms.
SECOND: Trustee shall manage all property comprising the principal of this
Trust and shall collect the income therefrom and accretions thereto and shall pay the net
income and hold and distribute the principal of said Trust as follows:
(A) Trustee shall pay the net income therefrom to Settlor for and during his
or her lifetime, subject to the provisions of Item FIFfH, in such periodic installments as
Trustee shall find convenient but at least as often as quarter-annually.
(B) Upon the death of Settlor, Trustee shall distribute the then remaining
principal and any accumulated or undistributed income to Settlor's executor or administrator
for distribution as a part of his or her estate.

THIRD:
The principal and income of this Trust shall be free from
anticipation, assignment, pledge or obligation of Settlor and shall not be subject to any
execution or attachment or to voluntary alienation.
FOURTH: Trustee shall have the following powers in addition to those
vested in it by law and by other provisions of this Trust, applicable to all property, whether
principal or income, exercisable without court approval, and effective until actual distribution
of all property:
(A) To retain any or all of the assets of this Trust, real or personal,
including stock of Trustee, or of its parent holding company, without regard to any principal
of diversification or risk.
(B) To invest in all forms of property, including stock, common trust funds
and mortgage investment funds whether operated by Trustee, or its parent holding company,
without restriction to investments authorized for Pennsylvania Fiduciaries, as it deems proper,
without regard to any principal of diversification or risk.
(C) To sell at public or private sale, to exchange or to lease for any period
of time, any real or personal property and to give options for sales, exchanges or leases, for
such prices and upon such terms or conditions as it deems proper.
(0) To allocate receipts and expenses to principal or income or partly to each
as Trustee from time to time thinks proper in its sole discretion.

(E) To hold property in the name of Settlor or in its name without
designation of any fiduciary capacity, or in the name of a nominee or unregistered.
FIFrH: Trustee may apply the net income of this Trust for the support
of Settlor should he or she by reason of age, illness or any other cause, in the opinion of the
Trustee, be incapable of disbursing it; and Trustee is further authorized to expend or apply
from the principal of this Trust such sums as it, in its sole discretion, may, from time to time
think advisable for the support of Settlor to maintain him or her in the station of life to which
he or she is accustomed at the creation of this Trust, or during illness or emergency.
SIXTH: Subject to the approval of Trustee, anyone may add property, real
or personal, to the principal of this Trust by deed, will or otherwise.
SEVENTH: Trustee shall receive compensation for the performance of its
functions hereunder in accordance with its standard schedule of fees in effect from time to
time during the period over which its services are performed.
EIGHTH: Settlor reserves to himself or herself the right by an instrument
in writing intended to take effect during Settlor's lifetime signed by Settlor and delivered to
Trustee to revoke or amend this Agreement in whole or in part provided that the duties,
powers and liabilities of Trustee shall not be substantially changed without its written consent.
NINTH: The situs of this Trust for administration and accounting purposes
shall be in the County of Cumberland and Commonwealth of PeMsylvania, and all questions
pertaining to the construction or validity of the provisions of this instrument shall be governed

by the laws of that Commonwealth.
IN WITNESS WHEREOF, Settler has hereunto set his hand in the day and year
first above written and Trustee has executed this instrument and caused its corporate seal to
be affixed hereto.
