REMOVAL OF CO-TRUSTEE AND APPOINTMENT OF SUCCESSOR CO-TRUSTEE
WHEREAS,during her lifetime, Elaine J. Kaufman-Schiller created a revocable trust,
known as the Edward R. Kaufman Trust Under Agreement dated August 3, 2005 (the "Trust");
and
WHEREAS,the Trust was amended and restated on May 3, 2012; and
WHEREAS,the amended and restated Trust was further amended on October 15, 2012;
and
WHEREAS, David H. Kaufman and Bridget M.Whitley are the Co-Trustees of the Trust;
and
WHEREAS, pursuant to 20 Pa.C.S.§7708(b)(2)(ii)(A),the situs of this trust is Cumberland
County, Pennsylvania, because letters testamentary were granted by the Register of Wills of
this county to David H. Kaufman; and
WHEREAS,ARTICLE VII, Paragraph (I)-authorizes David H. Kaufman to remove then then-
serving Co-Trustee of the Trust provided that he designates in a written instrument filed with
the court having jurisdiction over the administration of this Trust, some qualified person to
serve as successor or substitute Co-Trustee;and
WHEREAS, David H. Kaufman is desirous of exercising his power to remove and replace
the Co-Trustee of the Trust,
NOW THEREFORE,the undersigned David H. Kaufman hereby exercises the power
granted to him,in the Edward R. Kaufman Trust Under Agreement dated August.3, 2005 as
amended and.restated on May 3, 2012,and as amended on October 15, 2012,to remove
Bridget M.Whitley as Co-Trustee and appoints Mildred Lee Kaufman as Co-Trustee.
