I. This Honorable Court appointed Cumbedand Counry Aging and Community Services
as the tempo�ary plcnary guardian of the person and estate of Marcella Gousc by
Ordcr dated March 13, 2015.

2. Mrs. Uousc is thc owner of f ve(5) parcels of real property locared in Lower Allen
'1'ownship, kno���n and numbered as Collows:
a. 808 Upland Street, Meehanicsburg, Pe�nsylva�ia, Tax Parecl Number 13-
24-0795-0I R, having erected thereon a dwelling house;
b. Tax Pareel Numbers 13Q4-0795-018A and 13-24-0795-018B, which ace
unimproved parcels of real cstate and located contiguously to 808 Upland
Street, 13-24-0795-018.
c. 'I�nx Pzrccl Numbers 13-24-0795-22 and 13-24-0795-22A, which ace loeated
contiguously to one another but separated by one pamel of land from the three
(3) parccls of land owned by Mrs. Gouse, same being Tax Parcel Numbecs 13-
24-0795-018, 13-24-0795-018A and 13-24-0795-O78B.
3. Select Capital Commemial Propertics, Lnc., an entity related to the proposed
Purchasec of Mrs. Gouse's pmperlies, is [he owner of"Cax Parcel Nuinber 13-24-
0795-021, which is the lot located in betwecn Mrs. Gouse's properties.
4. Lower Allen Township declared Mrs. Gouse's residcocc bcated at 808 Upland
Street, Mechanicsburg (Tax Parcel Niunber 13-24-0795-OL8) unfit for human
occupancy or use on or about Pebruary 19,2015.
5. Petitioner's understanding is Ihat Mrs. Gousc's residence located at 808 Upland
Street, Mechanicsburg (Pax Parccl Number 13-24-0795-018) is beyond repair and
must bc dcmolishcd.
6. From the date and timc that [.owcr Alleo Township declared Mrs. Gouse's residence
unfit for human occupancy or usc, Petitioner has assisted Mrs. Uousc in terms of�

securing safc and appropriatc living arrangemcnts for Mrs. Gouse al thc Episcopal
Homc locatcd at 206 F.ast Bird Stree[, Shippensbu�g, Pennsylvania.
7. Sioce its appoinhnent as Mrs. Gouse's temporary plcnary guardiaq Cumbedand
County Aging and CommuniTy Services has detc�mined that it would be appropriate
for Mrs. Gouse to sell her rcal property given ihat she is unable to return to her home
because (a) Lower Allen Township has declared he�home unfit fo� human oecupancy
and use and (b) Agi�g and Co�nmuniTy Services' belierthal Mcs. Gouse requires
living assistancc at thc level of carc as that provided by the Episcopal Home in order
to ensure'vl�s. Gouse's personal security.
8. Cumbeda�d County Aging end Communiry Services has entered inlo an Agreemen[
of Sale for Real Es-tate for Mrs. Gouse's five (5) pamels of ceal property. A copy of
the Agreement of Salc for Keal Estate for the marital residence is attachcd hcreto and
ineorporated herei� as Exhibit"A."
9. "I�he proposed purchaser oC the propcctics is Old Getrysburg Associates V I, LP..
IQ Qimberland County Aging and Community Scrvices believes that the cerms of the
Agrcement of Sale for Real Cstate are advxntageous M�s. Gouse, notably to include:
a. Purchase price of$R0,000 (see Exhibit"A," Ya�agraph 2;
b. Absenee of a mortgage contingency givcn that Pnrchaser will pay "cash" at
scttlemen[;
c "As-is" sale of the home, whieh has been deelared unfit for huma�occupanty
and use and must be demolished see Exhibit "A;' Paragraph 12);
d. Pucchascr to be iesponsible for any and all costs associatcd with demolition of
the residence, thus saving Mrs. Goose from these costs and expenses which

e. Purchaser m retain all items of personal property a�d misccllancous rcfuse

L]. The Agrecmcnt of Salc foi Real Estate is contingcnt upon the Cumberland County
Office of Aging and Communiry Scrvices obtaining this Honorable CourPs approval
to take all action necessary to succes-sfully conelude settlement on the sale of
Marcella Gousc's rcal properties xs per the terms and conditions outlined in thc
Agreement of Sale for Real Estate. See Exhibit "A" Paragraph 8.(A).
12. Robert P. Kline, P.squire, attorncy for Mzrcella Gousq supports this Request for
Order Approving Snle of Real Estate.
13. M�. Kli�e and thc Qimbcrlaod County ORce of Aging and Community Service are
amenable to mceting with ihis Honorable Court via tdeconference in lieu of a hearing
to review res-olution oC[his maltcr.

AGREEMENT OF SALE FOR REAL &STATE
THIS AGREEMENT is enteTed into this �0� day of June,
20i5, by and between MARCELLA GOUSE (in care of Cumberland County
Aging and Community Services, Plenary Legal Guardians of Marcella
Gouse, of '_100 Claremont Road, Carlisle, Pennsylvania i7015-
85601 , single person, hereinafter called "SELLER" ,
ANO
OLD GETTYSBURG ASSOCIATES VI, L. P. , of 4718 Gettysburg Road,
Suite 401, Mechanicsburg, Pennsylvania 17055) , hereinafter called
"PURCHASER" .
IT IS MUTUALLY AGREED AS FOLLOWS :
1 . PREMISES . The Seller agreec to sell, grant and convey
to the Purchaser, and the Purchaser agrees to purchase and accept
the comeyance of the following described five (5) parcels of
real estate situate in Lower Allen Township, Cumberland County,
Pennsylvania, described as follows:
a. Being all that certain piece or parcel of real
estate having erected thereon a dwelling house being
known and numbered as 808 Upland Street, Mechanicsburg,
Pennsylvania, Tax ParCel NllmbeYs 13-24-0995-018, 13-24-
0795-018A, and 13-29-0795-018B, copies of said Deeds
being attached riereto, and collectively marked Exhibit
"A" and incorporated herein;
b. Being all that certain piece or parcel of unimproved
real esCate being known and numbered as Tax Parcel Number
13-24-07%-22, a copy of said Deed being attached hereto,
marked Exhibit "B, " and incorporated herein; a�d
c . Being all that certain piece or parcel of unimproved real
estate being known and numbered as Tax Parcel Number 13-24-
0�95-22A, a copy of said Deed being attached hereto, marked
Exhibit "C, " and incorporated herei�.

2 . PURCHASE_PRICE. The Purchaser agrees to pay the sum of
$80 , 000 . 0o to the Seller, allocated as between the five (5)
parcels of real property as foll.ows :
a. 808 Upland Street, Mechanicsburg, Pennsylvania, Tax
Parcel Numbers 13-24-0795-018, 13-29-0795-01BA, and 13-
29-0795-018B - $65, 000 . 00
b. Tax Parcel Number 13-24-0795-22 - $7, 500 . 00
c. Tax Parcel Number 13-24-0795-22A - $7, 500.00
as the full purchase price and consideration for the premises,
payable as follows : $S, Oo0 . o0 on the signing of this Agreement,
receipt of which is here6y acknowledged, said down payment to be
held by James D. Bogar, Esquire, said account to be a non-
interest bearing IOLTA account; and $75, 000 . 00 in cash unless
otherwise herein provided at settlement of this transaction as
scheduled and provided hereinbelow.
3 . SETTLEMENT. Fi�al settlement of this transaction shall
be made at the office of the Purchaser, 4718 Gettysburg Road,
Mechanicsburg, Pennsylvania, or any other mutually agreed upon
location, and shall be made on or before Ju1y 31, 2015, at which
Cine of settlement the Seller shall tender to the Purchaser a
properly drawn and executed deed of special warranty, conveying
to the Purchaser title i� fee simple, free of any and all liens
of record, except for any and all liens and encumbrances related
to Lower Allen Township' s condemnation of the residential
dweliing heme located a[ 808 Opland Street, Tax Parcel Number 13-

25-0795-018 , and including easements or buildina a�d use
restrictions visible on the ground or of prior record. Time is
of the essence of this Agreement of Sale for Real F.state .
4 . TRANSFER TAXLS ANO APPORTIONMENT OE REAL ESTATE TAXES
RENTS AND EXPENSES HND SELLER' S ASSIST.
(A) All realty transfer taxes sha11 be paid equally by
the Seller and Purchaser, with Purchaser paying one percent (1%)
and Se11er paying one percent (1°a) . Current real e�tate taxes,
utility charges and any municipal service fees or rents wi11 be
prorated at and to the date of settlement . Seller will be
responsible for payment of all expenses normally associated with
the sale of residential real estate, said expenses including, but
not necessarily beinq limited to, preparation of the within
Agreement of Sale for Real Estate and the deed. Purchaser wi11
be responsible for payment of atl expenses normally associated
with the purchase of residential real estate, said expenses
including, but not necessarily being limited to, title search,
title examination and title insurance, mortgage apolication and
costs of mortgage.
5 . POSSESSION. Seller shall deliver possession of the said
premises to Purchaser at the tine of final settlement .
6 . CONDITION OF PROPERTY AND RISK OF LOSS. The SelleY
agrees that the property shall remain in substantially its
present condition until date of settlement, and if it is not, the

Purchaser may rescind Chis contract . Seller shall bear [he risk
of loss from fire or o[her casualty until time of settlement .
7 . DEFAULT. Should PurChaser default in performing this
Agreement, any sum or sums paid on account of the purchase price,
by way of down-payment or otherwise, shall be retained by Seller,
as liquidated damages, whereupon this Agreement shall become nu11
and void.
Should Seller default in performing this Agreement,
Purchaser shall have the right of having this Agreement declared
null and void and, furCher, having any sum or sums paid on
account of the purchase price, by way of down-payment or
otherwise, returned in full to Purchaser.
8 . CONTINGENCIES. This Agreement of Sale for Rea1 Estate
is subject to and contingenT upon the occurrence or nonoccurrence
of the followi�g events, as the case may be:
(A) Cumberland County Aging and Community Scrvices, Plenary
Legal Guardians for Seller Marcella Gouse to obtain a❑ Order from
the Court of Common Pleas of Cumberland County authorizing the
sale of real estate as contemplated herein by this Agreement of
Sale for Real Estate on or before July 20, 2015 .
(B) Seller has no reports or records or knowledge of lead-
based paint and/or lead-based haearde in the property. Seller
warrants that the dwelling unit in question was constructed prior
to 1978 . Purchaser waives the opportunity to conduct a lead-

based paint and/or lead-based paint hazards risk assessment or
inspect:on for t}�e presence of lead-ba&ed paint and/or lead-based
paint hazards.
(C) Purchaser to retain all items of personal property and
miscellaneous refuse contained in the home and associated out-
building and on the real property as of the date of settlement .
(D) Purchaser to be responsible for any and all costs
related to the demolition of the recidential dwelling located at
806 �pland Street, in order to satisfy Lower Allen Township, [o
occur after the date of settlement of the within contemplated
Cransaction. Purchaser eha11 also be responsible for
coordination of any and all legal requirements rela[ed to
demolition of the residential dwelling located at 808 Upland
Street .
(E) There are no o[her contingencies with respect to this
Agreement of Sale for Rea1 Estate .
9 . SORVEY. ?f the Purchaser should determine trie need for
a current survey of the premises, the cost and expense thereof
shall be borne exclusively by the Purchaser.
10 . STATUS OF SEWER AND WATER. The property is served by
private sewer and private water.
11. MUNICIPAL IMPROV_EMENTS. Seller has notice of municipal
improvements in terms of the condemnation of residential dwelling
located at 808 �pland Street .

12 . IhSPECTION/WARRANTY. It is understood that Purchaser
has inspected the above-referred to property and is not relying
upon any representations made by Seller or by Seller' s agert (s) .
Seller agrees to sell and Purchaser agrees to purchase the above-
described property "as is" , there being �o warranties, either
expressed cr implied, as to the condition of the proper[y.
Furthermore, Purchaser expressly represents that Purchaser has
had ample cpportunity to inspect the above-referred to property
and to i�vesGigate and have answered by third parties any
questions Purchaser has regarding the property and the present
condi[ion of same and that Purchaser has not, in entering into
this Agreement of Sale for Real Estate, accepted or relied upon
any statements or representations made to Purchaser by Se11er,
other than the statements sec forth in the Seller' s Property
Disclosure Sta[ement . This prwision shall survive settlement .
13 . PERSONALTY. The following specifically enumerated items
of personalty or personal property are included in the within
sale : Any and a11 items of personal property, to include
miscellanecus refuse, left in the home and any outbuildings and
on the real property as of the date of settlement .
The fcllowing specifically enumerated items of personalty or
personal property are not included in trie within sale : NONE.
14 . BROKERS AND AGENTS. Seller and Purchaser both represent
that they have dealt with no real estate brokers or agents in

con�ection with this sale and that no brokers or real estate
agent's commission is due any person on account of this sale.
Each party shall indemnify and hold harmless the other party from
the claim or demand of any broker or agent for any commission
which any such broker or agent may claim to be due him or her as
a result of this sale .
For the performance of this Agreement and intending to be
legally bound hereby, the parties bind themselves, their heirs,
personal reprecentatives, successors and assigns, as witness
their hands and seals the day and year first above written.
